SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

PROPOSAL SUBMISSION

1. The Offeror shall submit documentation illustrating their approach for satisfying the requirements of this solicitation. Proposals must be clear, coherent, and prepared in sufficient detail for effective evaluation of the Offeror’s proposal against the evaluation criteria. The Offeror shall not simply rephrase or restate the Government‘s requirements, but rather provide rationale that addresses how the Offeror intends to meet the requirements. The Offeror shall assume the Government has no prior knowledge of its capabilities and experience. The Government will base its evaluation on the information presented in the Offeror’s proposal unless stated otherwise. Proposals must clearly and specifically demonstrate how the Offeror intends to accomplish all work areas and must include convincing rationale and substantiation of all claims. Cover letters shall explicitly state that the offeror is an Independent Public Accountant (IPA). However, Cover Letters or introductory sections/volume shall not be used to supplement other areas of the proposal which carry page limits. Proposals received that fail to specifically address experience in each work area in the PWS could be determined non-responsive and may not be considered for award.

The Offeror shall describe its proposal, through the use of graphs, charts, diagrams and narrative, in sufficient detail for the Government to understand and evaluate the nature of the approach. In its evaluation and confidence assessment, the Government will consider the degree of substantiation of the proposed approaches in the proposal volumes.

2. Proposal Submission: Proposals shall remain valid for a period of at least 180 days from the date of

Government receipt. Offerors shall submit their proposals electronically to Jade Gaston via e-mail to jade.c.gaston.civ@mail.mil. Offerors are advised to ask the Contracting Officer for clarification of any part of these instructions that they do not understand.

3. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.

4. The offeror’s initial proposal should contain the offeror’s best terms from a price and technical standpoint.

The Government may reject any or all proposals if such action is in the public interest; and waives informalities and minor irregularities in the proposals received.

5. With the exception of salary information contained in the Letters of Intent, no pricing information shall be included in the technical volume. Proposals received that fail to separate Non-price Volume data from Price Volume data may be determined non-responsive and may not be considered for award.

6. If the Offeror wishes to restrict the disclosure or use of its proposal, use the legend permitted by FAR

15.609. Individual subcontractor/vendor proprietary information may be submitted via separate emails to the contract specialist listed above. The information contained in these emails must be referenced (title, page and section number as appropriate) within the main proposal where the information would have been included if it were not subcontractor/vendor proprietary. The information in these submissions is subject to all other applicable requirements of the RFP.

7. Format. The submission shall be legible, clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and RFP number in the header or footer. The offeror shall provide a clear table of contents/matrix that identifies to the SSEB key elements within the proposal where the offeror intends to articulate their responses to the requirements of the solicitation.

Graphic presentations, including tables, while not subject to the same font size and spacing requirements, shall have spacing and text that is legible. No font shall be smaller than 10 point with margins no less than one inch.

Each volume in the proposal shall include a copy of the cover letter (letter of transmittal), title page, table of contents, and glossary of all abbreviations and acronyms used.

Each volume shall be written to the greatest extent possible on a stand-alone basis so that its content may be evaluated with a minimum of cross-referencing to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity. Hyper-linking of cross-references is permissible. Information required for proposal evaluation, which is not found in its designated volume or cross-referenced, is assumed omitted from the proposal.

Each volume must address the section titled items in the table below. Proposals received with Volumes that fail to specifically address the expected contents of the volume could be determined non-responsive and may not be considered for award.

File Packaging. Proposals shall be submitted electronically in seven (7) volumes, as outlined below. The title page of each volume shall clearly identify each volume-by- volume number, and volume name, (i.e., Volume I, Introductory Volume), Request for Proposal (RFP) number, and date of submission. Use indexing table of contents to identify all sections within a particular proposal volume.

Page Limitations. The cover letter, title page, table of contents, table of figures, list of tables and glossary of abbreviations and acronyms do not count against page count limitations. Proposal contents that exceed the stated page limitations will be removed from the proposal by the Contracting Officer, prior to turning the proposal over to the Government evaluation teams, and will not be considered in the evaluation. Each factor shall be submitted as a separate volume.

Proposals shall adhere to the following page count limitations:

Volume 1 – Introductory Volume

In the Introductory volume, offerors shall represent that by proposal submission, their firm will perform all requirements specified in the RFP. In addition, the Offeror shall provide the following information in Volume I:

Table of Contents. The Offeror shall provide a master Table of Contents covering the entire proposal.

Acronym List. The Offeror shall provide a master Acronym List covering acronyms used in all proposal volumes.

Proposal Compliance Matrix. The Offeror shall provide a Proposal Compliance Matrix that cross-references the content of proposal volumes with Section L requirements.

Organizational Conflicts of Interest (OCI) Identification and Risk Mitigation Plan:

The offeror shall conduct due diligence and submit with their proposal an Identification and Mitigation Plan. This plan shall identify all facts that a reasonably prudent person would consider relevant in determining whether a potential conflict of interest currently exists or might arise under the performance of this contract. The offeror shall identify at a minimum all current contracts or financial interests that might be effected by the performance of the PWS. Additionally, the offeror shall identify any potential conflicts of interest, as that term is defined in FAR part 9, that the offeror reasonably believes could arise during the performance of this contract. The offeror’s submission should include any subcontractors or team members. Offerors should be aware that the technical, financial, and operational assistance efforts anticipated under this contract may implicate budgets, priorities, or recommendations of other service or product/system acquisition of the Army or Department of Defense (DOD). Accordingly, offerors should be particularly sensitive to the potential conflicts that might arise should the offeror or its affiliates/subcontractors have any financial interest in other contracts related to ASA FM&C and the Army Financial Statements Compilation and Publication services. The accuracy of the findings presented shall be certified to the best of their knowledge and belief by an official authorized to bind the company. If the conclusion reached by the contractor is that no OCI exists, then a statement certifying that the contractor (including subcontractors and affiliates) has no OCI issues relating to this Request for Proposal or contract, including supporting rationale, shall be submitted as well.

In the context of OCI, involvement is defined as any participation or connection to a project, contract, program, or product which may create actual or perceived OCI. The Contracting Officer will review statements provided by each offeror as to the work the company has performed; evaluate the submittals considering in-house knowledge as to the company's program support; and determine whether or not there is an OCI. This must include all subcontractors and affiliates. Subcontractor and affiliate OCI is equivalent to a prime contractor OCI.

To prevent the improper release or disclosure of information, or any actual or perceived personal or organizational conflict of interest that might arise in the performance of this contract, the contractor shall bring any potential conflicting relationships or financial interests held by the contractor, its key employees, or others executing performance on behalf of the contractor to the attention of the Contracting Officer throughout the life of this contract. If the Contracting Officer determines that an unacceptable conflict or violation exists, the contractor will take the actions necessary to mitigate or eliminate the conflict or violation. If the contractor's approach to mitigation is not deemed satisfactory by the Contracting Officer, the Contracting Officer may take other actions.

The Contracting Officer will review statements provided by each offeror as to the work the company has performed or anticipates; evaluate the submittals considering in-house knowledge as to the company’s program support; and determine whether or not there is an Identification and Mitigation Plan. The Government’s consideration of this information is for purposes of assessing the contractor’s responsibility and is not otherwise part of the evaluation factors to be considered for award.

For any potential conflicts of interest, the offeror shall provide a mitigation plan to be reviewed and approved by the Contracting Officer. The mitigation plan shall provide verifiable means of eliminating any significant conflict of interest in the performance of this contract. The mitigation plan shall also describe the contractor's current policies for identifying, reporting, and preventing future organizational and personal conflicts of interest that might arise in the performance of this contract.

The contractor is responsible for ensuring compliance, both organizationally and individually, with regulatory and professional standards, including any standards relating to ethics, obtaining and releasing proprietary information, and individual or organizational conflicts of interest. The responsibilities of this clause shall apply to all subcontractors, team members

Business Ethics Internal Controls:

The offeror shall include in the Introductory Volume a Business Ethics Internal Controls report which shall discuss and include a copy of their relevant corporate policies and procedures that reflect their overall business ethics, their approach to protection of non-public information, their approach to training, their approach to enforcing such policies with examples, and their approach to redressing or correcting violations with examples. If the contractor intends to use subcontractors or team members to perform aspects of this contract which requires access to non-public information, the offeror shall discuss means to prevent improper release by such sub-contractor or team member. The offeror shall discuss any specific incidents within the last three years where the offeror, its team members, or any management employee has been indicted, suspended or debarred on a matter relating to public contracting. The offeror shall also discuss how it will prevent the release of proprietary information and what steps will be taken in the event of such a release. This discussion shall include how the offeror will manage these efforts as the prime contractor and how subcontractors will be managed.

Evidence of Commitments from Subcontractors/Team Members/Affiliates:

Offerors proposing subcontractors/team members/affiliates or other organizational elements not part of the entity submitting the proposal shall provide evidence of the commitment from these organizations to perform as presented in the proposal. Examples might include completed and signed teaming agreements, subcontracts, joint venture agreements, or other similar commitments. If the offeror is a division or subsidiary of another company, provide an organizational chart depicting all parent and affiliated companies of the offeror.

Personnel with Binding Authority:

The offeror shall provide the name, title, and contact information (current telephone number and email address at a minimum) of the personnel within the company who possess contractual binding authority and will be supporting the proposal as well as any resulting contract award.

Representations and Certifications:

Provide a completed Section K Representations and Certifications.

Volume 2 – Factor 1 Technical SubFactor 1 - Technical Approach:

Based on the Offeror’s understanding of the PWS requirements and reemphasizing that the primary focus of this effort is compiling and publishing Army general fund and working capital fund financial statements, the offeror shall address the requirements of the PWS and provide responses to the following questions:

Describe in detail your approach to compiling quarterly audited financial statements from trial balance generation, adjustments, and consolidation in the reporting system which creates the statements for both the general fund and working capital fund.

Offerors shall demonstrate how their corporate experience specifically correlates to the requirements of the Army Audited Financial Statement Compilation and Publications statement of work.

2. A significant subcontractor/teaming partners’ project experience as either a prime contractor or a subcontractor is acceptable. Experience information must include a current point of contact (name, company name, phone number, and email), contract number, task order number (if applicable), contract type, dollar value, date of award, performance period, and a brief narrative describing the nature and complexity of the work.

Small Business 15% Women-Owned Small Business .5% HubZone Small Business .5% Service-Disabled Veteran-Owned Small Business .1%

The SB Subcontracting Plan is a requirement for award to a large business and will be incorporated into any resultant contract. This plan is only required of an offeror which is itself other than a SB, SDB, WOSB, HUBZone HZSB, VOSB, SDVOSB, or HBCU/MI. This volume describes the offeror’s approach to maximizing opportunities for small businesses in this effort, relative to the subcontracted portion’s value. The offeror’s SB Subcontracting Plan percentages are to be presented in terms of total dollars of work for each SB category, divided by the total value of subcontracts (including options).

The required elements of the SB Subcontracting Plan are set forth by FAR 52.219-9 and DFARS 252.219-7003, and should be organized to address these elements in similar order to clearly demonstrate that each element has been fully addressed. All small businesses and historically black colleges or universities and minority institutions included in the SB Subcontracting Plan shall be specifically identified to facilitate compliance with 252.219- 7003(g). The offeror’s plan shall depict the percentage values of the option requirements separately. The information in the SB Subcontracting Plan must properly correlate with that of the offeror’s SB Participation Plan.

SB Subcontracting Plan Goals. The offeror is requested to consider the Government’s subcontracting goals for this acquisition in responding to this factor, as follows:

SB Subcontracting - 40%

SDB Subcontracting - 5% WOSB Subcontracting - 5% HUBZone Subcontracting - 1% SDVOSB Subcontracting - 3%

For each category in which the offeror’s SB Subcontracting Plan contains goals below those described above, the offeror shall provide an explanation as to why.

Volume 7 – Factor 4 – Cost/Price:

1. In accordance with FAR 52.222-46, offerors shall submit a total compensation plan setting forth salaries and fringe benefits proposed for the professional employees who will work under the contract. This provision requires that offerors submit for evaluation a total compensation plan setting forth the following for professional employees working on the contract:

a. Proposed salaries (Direct Labor Rates)

b. Fringe benefits Offerors shall also submit supporting verification information as attachments to the plan to include actual payroll and fringe benefit/rate data for any proposed employees currently working for the offeror. For any proposed employees not currently working for the offeror, the offeror shall include other verifying data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, used in establishing the total compensation structure including direct labor and fringe benefits. If an offeror fails to submit the required plan and requested supporting information, the offeror's proposal will be considered to be inadequate, unresponsive, and will be excluded from consideration.

2. Offerors shall include a copy of their published price list or market pricing along with their price proposal.

Electronic spreadsheet files shall be sent in Microsoft Excel 2013 format that includes all formulas, computations, underlying data, or equations used to compute the proposed amounts and shall be self-contained with no external references or hidden data. Print image files or files containing only values are not acceptable. Supporting narrative shall be provided in Microsoft Word 2013 format or later.

Other Requirements, Terms and Conditions of the Cost Volume:

a. The Government will provide the required labor categories and hours within the cost volume for each of the three

(3) contract performance periods (base and two options), and the contractor shall provide the requested labor and ODC costs associated with the given level of effort, in accordance with the provided cost model. No variance from these hours is permitted.

b. Under this solicitation, the total cost/price proposed is the sum total of the contractor’s proposed direct and indirect labor rates factored against the prescribed number of hours for each labor category, with all other indirect costs, burdens, and fees applied in accordance with the contractor’s approved disclosure statement and any other applicable laws, regulations, and solicitation terms and provisions.

c. A completed and totaled Section B shall be submitted with the offerors price proposal. A completed copy of the cost model shall also be included with all offeror price proposals as discussed in paragraph e below. A proposal is presumed to represent the offeror's best effort to respond to the solicitation. Any inconsistency with other sections of the offeror's proposal (i.e. technical proposal), whether real or apparent shall be explained in the proposal.

d. Competition is anticipated in response to this solicitation, therefore data other than certified cost or pricing data is currently required in accordance with FAR 15.403-3. If adequate competition is not received certified cost or pricing data may be required.

e. The contracting officer may specify the format of certified cost or pricing data or data other than certified cost or pricing data. All offerors are to complete the Microsoft Excel spreadsheet model attached to this solicitation (COST MODEL). The data in the offerors' completed spreadsheet model will be evaluated for fairness and reasonableness as discussed above. Therefore, each offeror is to submit a completed copy of this model in an Excel 2013-compatible, readable format inclusive of any and all formulas and any linked data as part of their price proposal. Offerors may alter the rows, columns, and certain formulas in the spreadsheet to accommodate the nuances of the offeror's accounting and estimating systems, however it is requested that the overall format be maintained as much as possible for analysis purposes. Labor hours in a given labor category may be sub-allocated between the prime and proposed subcontractors if performance is to be separately performed by a prime and sub(s).

f. CLINs with an ESTIMATED normalized amount for other direct cost (ODC) and travel has been specified for proposal purposes. Each Offeror is to include these amounts in their proposals. Any material handling and/or G&A is to be applied to ODCs as appropriate. Since ODCs are an estimated amount that may or may not occur, no fixed fee will be proposed or accepted.

g. Each offeror shall conduct appropriate cost/ price analysis to establish the cost/price fairness and reasonableness of any proposed subcontract prices and shall include evidence of the results of these analyses in the offeror's price proposal. If an Offeror is unable to conduct price/cost reasonableness of a subcontractor, the Offeror shall provide a statement why and ensure that the required data is provided to the Contracting Officer directly by the subcontractor.

h. Each offeror shall submit a locked read only copy and an unlocked copy of their workbook spreadsheets as part of their electronic cost/price proposal. Each offeror is to provide electronic copies only of their cost/price proposal.

i. Uncompensated Overtime:

a) In accordance with FAR 37.115, use of uncompensated overtime is not encouraged.

b) The offeror shall identify uncompensated overtime hours (if any), and the uncompensated overtime rate for direct charge Fair Labor Standards Act -- exempt personnel included in their proposals and subcontractor proposals. This includes uncompensated overtime hours that are in indirect cost pools for personnel whose regular hours are normally charged direct.

c) Whenever there is uncompensated overtime, the adjusted hourly rate (including uncompensated overtime) (see definition at FAR 37.101), rather than the hourly rate, shall be applied to all proposed hours, whether regular or overtime hours.

d) FAR Clause 52.237-10 is applicable to this acquisition and is incorporated in Section L of this solicitation.

j. FLSA Non-Exempt Labor Categories: FAR 37.107 and FAR 22.10 provide for minimum wages and fringe benefits as well as other conditions of work under certain types of service contracts. Each offeror and any subcontractors shall clearly identify and cross-reference any Fair Labor Standards Act (FLSA) non-exempt labor categories covered by specific Service Contract Act/Department of Labor (DoL) Wage Determinations in the price/cost proposal. Please annotate within the proposal or provide a separate schedule showing this information including any DoL wage determinations. The above accounting system requirement is also applicable to subcontractors as well if the subcontract is awarded on a cost reimbursable basis. If the subcontractor's accounting system is NOT adequate, the prime offeror should consider a T&M or fixed priced award to the sub if the sub's accounting system is not adequate for cost contracts.

k. Subcontract Pricing: The Offeror shall conduct appropriate cost/price analysis to establish the reasonableness of any proposed subcontractor cost/prices and shall include the results of these analyses in the offeror's Cost/Price proposal. If an offeror is unable to conduct price/cost reasonableness of a subcontractor proposal, the offeror shall indicate the reason why and shall provide a statement of explanation and ensure that the subcontractor provides the required data to the solicitation point of contact directly from the subcontractor to the Contracting Officer.

l. Offerors shall also complete the Pricing Table to include fully burdened labor rates, and submit this information with their price proposal. The Travel costs have been normalized as detailed in the Cost Model spreadsheet.
