FAR Part 16 Exception to Fair Opportunity Justification Under Multiple Award Indefinite Delivery Contracts

For Actions Exceeding the Simplified Acquisition Threshold (SAT)

1. Contracting Activity: Army Contracting Command – Aberdeen Proving Ground, ATTN: CCAP-SCD, 4310 Boothby Hill Road, Aberdeen Proving Ground, MD 21005

2. Description of Action: The U.S. Army Evaluation Center (AEC), a component of the Army Test and Evaluation Command (ATEC), Command, Control, Communications, Computers, Intelligence, Surveillance and Reconnaissance (C4ISR) Evaluation Directorate, requests a modification to its existing cost-plus, fixed-fee (CPFF) task order, contract W91CRB-14-D-0033-0002 with V.R.C. Corporation (VRC), located at 85 S.

Bragg Street, Suite 600, Alexandria, Virginia 22312-2793. The contract was a competitive fair opportunity requirement issued under the existing AEC Omnibus Indefinite Delivery, Indefinite Quantity (IDIQ) contract with a period of performance of one base year with one option year and a total award amount of $10,759,784.41. This modification will extend the period of performance by six (6) months. The Government projects to execute this modification in December 2016 and will use fiscal year 2017, Research, Development, Test and Evaluation (RDT&E) funds.

3. Description of Supplies/Services:

The C4ISR Evaluation Directorate is responsible for participating as a chair and/or member of each ATEC System Team (AST) to plan and conduct evaluations of all command and control systems undergoing research, development and acquisition within the Army and selected joint service systems. The evaluations support milestone decisions, materiel release decisions, and special studies. C4ISR Evaluation Directorate is currently involved with the continuous evaluation of more than seventy systems. These systems include any systems identified for acquisition which can enhance the ability of the U.S. Army or Joint Forces to communicate or the ability of those forces to conduct mission command.

The services provided by VRC under contract W91CRB-14-D-0033-0002 support C4ISR in participating in the system evaluations described above. The services include supporting test and evaluation (T&E) efforts, assistance in evaluation event planning, evaluation execution, reporting during field tests, operational tests and other test events of key C4ISR systems. The contractor also provides support on technical reports and documentation for the Directorate’s evaluation mission. The overarching performance requirements and tasks provided by the contractor, which will be continued under an extension include the following: Test and Evaluation Support; Data and Database Management; Evaluation, Analytical and Verification Support; Methodology, Studies and Analysis, Scientific and Technical Services, and Test and Safety Management.

This action will extend the period of performance by six (6) months from 12 December 2016 to 11 June 2017. An increase in the total cost of the task order is not required, as there is adequate cost ceiling remaining ($2,587,075.67) under the task order to cover an additional six (6) months of performance. Therefore, this modification will extend the period of performance, but not increase the total estimated cost of the contract. The total value for the additional six (6) months is estimated at $1,991,239.69.The total estimated cost for this extension was derived from an independent Government Cost estimate using historical rates from the current contract. The Government does not anticipate significant changes in the direct labor rates or indirect rates under this extension.

4. Authority Cited: 10 U.S.C. 2304c(b)(1) as implemented by FAR 16.505(b)(2)(i)(A) – The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.

5. Reason for Authority Cited:

VRC is currently providing the services under this task order, which was a fair opportunity provided to all base Omnibus IDIQ contract awardees. This task order will expire on 11 December 2016 and a recompete of this task order is currently in process, but due to unexpected delays, award is not expected to be made by the current task order completion date. The circumstances leading to this request for an extension are as follows: The C4ISR task order re-compete package was initially submitted to the Army Contracting Command on 27 July 2016. On 1 August 2016, AEC’s leadership provided guidance to all of its Directorates to further examine the source selection process associated with the AEC Omnibus task orders and determine whether a lowest-price technically acceptable (LPTA) or trade-off source selection approach would provide the best value to Government. This detailed examination for the C4ISR Directorate support task order concluded that the LPTA source selection process best satisfied the Government’s requirements. As a result, the C4ISR Directorate had to revise the evaluation criteria to fit within this construct, the Performance Work Statement requirements and Instructions to Offerors, which led to the need for a contract extension.

TOR release is expected in December 2016. AEC Omnibus task order competitions historically take approximately six months from issuance of the solicitation to award.

Therefore, providing an additional six (6) months for performance on the current task order is required and will extend the current contract period of performance to 11 June 2017. This date represents the minimum time the Government requires to issue the TOR, allow competitors 30-days for proposal development, time for the Government to evaluate proposals, conduct discussions, if necessary, make a source selection decision, and to accommodate a 30-day transition period. Below is a projected milestone chart for the recompete task order award.

Milestone Schedule Issue TOR 12/16/2016 Proposals Received 1/16/2017

The extension of the instant Task Order must be in place prior to the current contract expiration date of 11 December 2016 in order to avoid an unacceptable break in service.

VRC is the only company that can reasonably provide continued in-scope support to the C4ISR Directorate in performing its critical test and evaluation of numerous programs during this six month timeframe. VRC contractor personnel are currently performing the services under this contract and have readily available resources and understanding of the C4ISR mission and internal operations. There is not enough time to compete and award a fair opportunity six-month extension prior to the completion date of the current contract without causing a break in service and placing multiple programs in serious risk of mission failure. Below are the C4ISR Evaluation Directorate critical programs currently under test and evaluation and a discussion of the harm should there be a break in contractor support.

Mission Command and Integration (MC&I) Programs

The Nett Warrior (NW) program is conducting an Operational Test (OT) (Limited User Test (LUT)) in conjunction with Network Integration Evaluations (NIE) in July 2017.

Contractor support is necessary for refinement/review of the Test Concept Brief and Operational Test Agency Test Plan (OTA TP), participation in Developmental Test events, and drafting any updates to the Data Source Matrix in support of the LUT. Lack of contractor support during the preparations for the OT will unacceptably delay AEC's evaluation of the NW system during the LUT.

Numerous MC&I programs, such as the Common Operating Environment (COE), Command Post Computing Environment (CPCE), Mounted Computing Environment (MCE), and Mobile Hand-Held Computing Environment (M/HH CE), are preparing for Operational Tests and Assessments during the NIE scheduled for Spring/Summer of 2018. The Evaluation Strategy Reviews for these systems are planned for January 2017.

Contractor support is necessary to assist in the development of test and evaluation objectives and measures. Any disruptions to the preparations for these OTs will cause perturbation to the schedule and will place the entire test program at risk, unacceptably delaying the fielding of these systems to Soldiers.

Network Programs

Program/Equipment: Command & Control Evaluation for C4ISR Evaluation Directorate

FOR OFFICIAL USE ONLY

a. Rifleman and Manpack Radio - The Rifleman and Manpack radio program is currently preparing for a Customer Test (CT) in the February to April 2017 time frame. There will be three (3) separate candidate radios tested for three (3) months. Due to the length of this test, uninterrupted contractor support is essential. The contractor will assist in writing the Army Test and Evaluation Command (ATEC) report on the Rifleman and Manpack radios after the Initial Operational Test and Evaluation (IOT&E). Maintaining contractor support is essential during and after the CT to maintain familiarization required for writing reports, preparing briefings and planning for future tests.

Immediately following the CT, planning will begin for the IOT&E scheduled to take place during late 2018. Knowledge and experience from the CT is essential to assist in planning for the IOT&E. If contractor support is not available during the CT and shortly after from December 2016 - June 2017, AEC’s ability to ensure the correct data is collected, ability to witness critical portions of the CT, and the ability to influence the IOT&E test design will be unacceptably compromised.

b. Joint Enterprise Network Manager (JENM), Mid-Tiered Networking Vehicular Radio (MNVR), Transportable Tactical Command Communications (T2C2), and Warfighter Information Network - Tactical (WIN-T) Programs

From December 2016 through June 2017, contractor support is required for assistance with the planning and executing of JENM, T2C2, and WIN-T Inc 2 test and evaluations (T&E) and for the continuous evaluation of MNVR. Below are the primary events for the three aforementioned programs:

JENM - Formal Qualification Testing (FQT), developmental testing and operational testing with all software defined radios, and Test and Evaluation Master Plan (TEMP) development.

MNVR - Government Regression Test 1.3, review and update of the CPD and TEMP development.

T2C2 - Initial Operational Test, Instrumentation Accreditation Event, New Equipment Training, and Logistics.

WIN-T Inc 2 - Developmental Test of Tactical Communications Node-Lite (TCN- L)\ Network Operations and Security Center-Lite (NOSC-L) system, Instrumentation Accreditation Event, New Equipment Training, and VALEX for

NIE 17.

Tasks to be accomplished during this period include support to ATEC System Team (AST) chair with meeting attendance, technical support, briefing support, test data analysis, review of evaluation documentation, and preparation of SEP updates and reports. The program is at a critical stage in the T&E process and numerous test events require continual monitoring, analysis and reporting. A break in contractor support will cause unacceptable delays in planned test events and evaluations which are critical to

FOR OFFICIAL USE ONLY

the Army Full Rate Production (FRP) fielding of JENM and MNVR and fielding of T2C2 and WIN-T Inc 2 TCN-L/NOSC-L in support of rapid deployment Unit operations.

Information Technology / Medical Programs

The C4ISR Evaluation Directorate supports development and execution of test and evaluation strategies for numerous information technology (IT) systems that provide Army enterprise resource planning business and medical software applications. They include: Individual Personnel and Pay System-Army (IPPS-A); Logistics Modernization Program (LMP), Business Acquisition Management (BAM), Medical Communications for Combat Casualty Care (MC4) and the Army Contract Writing System (ACWS). MC4 is an Acquisition Category (ACAT) 3 program and IPPS-A and ACWS are both ACAT 1, Major Automated Information Systems (MAIS). BAM may include test and evaluation efforts through 1st and 2nd QTR FY 17. The aforementioned medical programs will require TEMP Development, SEP Completion, or have actual testing events that require contractor support from December 2016 through June 2017. Uninterrupted contractor support is essential for database development, test execution tasks, analysis of the data;

and assistance with the draft reports. Any break in contract support once testing on MC4 begins will unacceptably impact the planning, test execution, analysis and reporting for these programs.

In conclusion, MC&I, Network, and Information Technology/Medical programs are critical to the operational effectiveness of the Army. As specifically discussed above for each program, without contractor support the C4ISR Evaluation Directorate will lack the ability to execute AEC’s mission and meet their customers’ needs. These customers rely on AEC to provide timely evaluations and reporting, and will face significant and unacceptable delays to their acquisition programs. Test and evaluations most often require many months of advance planning and scheduling. Any lapse in these support services will have significant impacts not only to the test and evaluations, but also to the fielding of significant capabilities to the U.S. Army and the Warfighter.

An extension to task order W91CRB-14-D-0033-0002 is the only solution to ensure continued support to the C4ISR Directorate without unacceptable delays. A competitive award to a contractor other than VRC will require acquisition planning and lead time of at least six months, which will cause a lapse in service and mission failure for the C4ISR Evaluation Directorate. There is not enough time to release a solicitation, evaluate proposals, award a new contract, and allow for a transition period to fully integrate incumbent and new contractor personnel. VRC is the only responsible source with readily available resources to maintain the same level of quality for C4ISR during the required timeline without the risk of having a detrimental break in contract support.

6. Actions to Increase Competition: A recompete for this task order is currently underway and will be issued as a fair opportunity competition under the AEC Omnibus contract. Competition is expected to be received on this action. During the last

Program/Equipment: Command & Control Evaluation for C4ISR Evaluation Directorate

FOR OFFICIAL USE ONLY

competition for this requirement, the Government received proposals from seven Omnibus contract holders.

7. Market Research: Market research was not performed since it was determined that need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
