52.212-1 Instructions to Offerors--Commercial Items JAN 2017
ADDENDUM 52.212-1
ADDENDUM 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2018)
QUOTES SHALL BE VALID FOR 90 DAYS
1. GENERAL. This procurement will be awarded as a Lowest Price Technically Acceptable contract. The quote will be evaluated in accordance with FAR 13.106-2(b).
a. The Government intends to award a Purchase Order without discussions with Quoters (except for clarifications as described in FAR 15.306(a)). Therefore, the initial quote should contain the Quoters best terms from a price standpoint. Quoters should not assume that they will be afforded the opportunity to clarify, discuss, or revise their quote. However, the Government reserves the right to request clarifications or enter discussions if determined by the Contracting Officer to be necessary. The Government may reject any or all responses if not in accordance with the Federal Acquisition Regulation.
b. The Government reserves the right to cancel this solicitation and make no award. By responding to this request for quote and submitting a quote per FAR 13, the Contractor understands that the Government shall not be liable for any costs incurred by the Quoter in response to this request for quote.
2. QUOTE SUBMISSION. All Quotes shall be in the form prescribed by this solicitation and shall contain a response to each of the areas identified below in paragraph 4. All responses shall be in English, legible and prepared in the following general format to be properly evaluated. Responses must be complete, self-sufficient, and respond directly to the requirements of this Request for Quote (RFQ).
a. Electronic submission. The Quoter shall provide a copy of its quotation as an electronic file. By submission of a quote on electronic media, the Quoter shall ensure that the submission is readable, in the format specified in the solicitation. The quote shall be emailed to William Phipps at william.a.phipps.mil@mail.mil with a courtesy copy to Rosario Kinderknecht Contracting Officer at rosario.kinderknecht.civ@mail.mil before 12:00 pm local Afghanistan time as identified in Block 13a.
b. To be eligible and responsive for award, prime and all subcontractors must be registered at the time the quote is submitted and approved at time of award in Joint Contingency Contracting System (JCCS). U.S. companies must also be registered and approved in JCCS and System for Award Management (SAM) by the award date. In addition, all subcontractors at all tiers who will be contracted by the prime during the life of the contract shall also be registered and approved in JCCS and SAM by the award date. The contractor is required to submit a listing of all proposed subcontractors, at all tiers, to the contracting officer by the quotation date. If no subcontractors are expected to perform during the life of the contract, the prime must submit a negative response to the contracting officer before the award date. Failure to be registered in JCSS and SAM at the prime and subcontractor levels and failure to inform the contracting officer of the names of all subcontractors (or provide a negative reply) may deem the Quoter non-responsive and ineligible for award.
A "subcontractor" means any supplier, distributor, vendor, or firm (company) that furnishes supplies or services to or for a prime contractor or for another subcontractor.
3. Questions/Amendments/Exceptions.
a. Solicitation Questions. Quoters may email questions regarding this solicitation to William Phipps, Contract Specialist at william.a.phipps.mil@mail.mil with a courtesy copy to Rosario Kinderknecht, Contracting Officer at rosario.kinderknecht.civ@mail.mil. The Government will answer all questions received by 12:00 pm local Afghanistan Time, 7/27/2018 All e-mailed questions shall be submitted with the subject line as (Enter Solicitation #)–Questions. The Government reserves the right not to respond to any questions received concerning this solicitation after the Solicitation Questions receipt date and time above. Accordingly, Quoters are encouraged to carefully review all solicitation requirements and submit questions to the Government early in the solicitation process. Government responses to questions will be provided to all Quoters.
b. Amendment. The Government reserves the right to revise or amend the specifications, drawings, or both, prior to and/or after the date set for receipt of quotations as necessary. Such revisions, if any, will be announced by an amendment(s) to this RFQ. All information related to this RFQ, including pertinent changes/amendments and information prior to the date set for receipt of quotation, will be emailed to the companies listed in the solicitation.
When an amendment is released by the Government that makes changes that affect the statement of work the contractor will be provided the opportunity to resubmit their proposals.
c. Exceptions. If the Quoter takes exception to any of the requirements specified in this solicitation, the Quoter shall clearly identify each exception and include a complete explanation of why the exception was taken and what benefit it provides to the Government. All exceptions to the solicitation requirements (Sections B through H) and supporting rationale shall be included in an addendum to the quotation clearly labeled "Exceptions Addendum."
An addendum is only required if the Quoter takes exception to any requirement in the solicitation. The Exceptions Addendum does not have a page limitation, but shall only include information relevant to exceptions taken to the solicitation requirements. The Government will assume the Quoter takes no exceptions to any solicitation requirement if the Quoter does not submit an Exceptions Addendum identifying exceptions. Quoters are advised that solicitation requirements are not necessarily negotiable and such exceptions may render a Quoter's quote unacceptable and ineligible for award.
4. FORMAT AND CONTENT OF QUOTATION. Each quotation shall be submitted as set forth below and all information shall be confined to the appropriate part to facilitate independent evaluation. Quotations which do not include the requested minimum information, will be deemed non-responsive to the solicitation and will be eliminated from further consideration for award at the Government’s discretion. Quotation sections shall be labeled by section (i.e., Volume I - Price).
Volume I - Price. Information and required documents. Quoter shall provide all price information necessary to provide a meaningful basis for Government's analysis and evaluation of price for the project set forth in Section B of this solicitation. Prices shall include all related costs, (i.e., labor, wages, transportation, etc...), if applicable. The Government reserves the right to request other than certified cost and pricing data as needed.
Schedule B – Complete in its entirety the “Offeror” portion of the Standard Form (SF) 1442 blocks 14 through 30c on page 2 and contract line items (CLINs) 0001. Note: IAW FAR 4.102 Block 30b on the SF 1442 "Individuals. A contract with an individual shall be signed by that individual. A contract with an individual doing business as a firm shall be signed by that individual, and the signature shall be followed by the individual's type, stamped, or printed name and the words, "an individual doing business as (insert name of firm).
Amendment(s) – Quoters must acknowledge amendments by signing blocks 20A through 20C, of any amendments issued out during the solicitation.
a. To assure timely and equitable quotation evaluation, Quoters shall strictly follow the instructions contained herein. Quoter shall meet all solicitation requirements, such as terms and conditions, representations and certifications and requirements in addition to those identified as evaluation factors. Quoter shall submit signed copies of all amendments (if any) issued for this solicitation. Quoters shall assume that the Government has no prior knowledge of their experience, and will base its evaluation on the information presented in the Quoters quotation.
Failure to meet a requirement may result in a quotation being ineligible for award.
b. Quotations shall be complete, self-sufficient, and respond directly to the requirements of this solicitation.
The quotation shall not simply rephrase or restate the Government's requirements, but rather provide convincing rationale clearly addressing how the Quoter intends to meet the requirement(s

ADDENDUM 52.212-2
ADDENDUM 52.212-2 EVALUATION--COMMERCIAL ITEMS (JUN 2018)
EVALUATION OF OFFERORS
1. Basis of Award. The Government intends to award a contract resulting from this solicitation using the evaluation method of “Lowest Price Technical Acceptable." Award will be made to a single Quoter of whom the contracting officer has determined that its proposed price is fair and reasonable in accordance with FAR 13.106-3(a). Trade-offs between cost/price and non-cost/price factors is not permitted.
2. Evaluation Process. The evaluation process consists of Price Only. The Government will evaluate quotes as follows.
a. The Government will evaluate proposed prices for reasonableness using price analysis techniques. Proposed prices evaluated as unreasonable ( 10% above or below the average prices recieved) will be grounds for eliminating a quote from competition.
b. The Government intends to award one (1) contract as a result of this solicitation. The Government will evaluate quotes and award a contract without discussions with Quoters (except if clarifications are required in accordance with FAR 15.306(a) Clarifications and award without discussions.) Therefore, the Quoter's initial proposal shall contain the Quoters best terms from a price standpoint. However, the Government reserves the right to request clarifications or enter discussions if determined by the Contracting Officer to be necessary.
c. All quotes will be reviewed for timeliness. If the quote is received after the closing date of the solicitation, the quote will not be considered for award.
d. Timely quotations will be reviewed for responsiveness to the solicitation. If the quote is non-responsive to the solicitation, it will not be evaluated and the Quoter will be notified that the quote is non-responsive.
3. Evaluation Factor
Factor 1: PRICE: Price will not be scored or rated. All CLIN pricing must be complete and accurate. Furthermore, prices will be assessed in accordance with FAR 13.106-2 Evaluation of quotations or offers for fairness and reasonableness. The Government reserves the right to require the submission of Other Than Certified Cost or Pricing Data as deemed necessary by the Contracting Officer to arrive at a fair and reasonable price.
Currency: Quotes submitted in response to this solicitation shall be in terms of U.S. Dollars. The Government shall use the exchange rate of 69.0000 Afghani to convert local currency quotes into U.S. Dollars for evaluation.
Evaluation of foreign currency quotes will be in accordance with FAR clause 52.225-17. All supporting documentation shall reflect the same currency established in the price proposal.
Factor 2: TECHNICAL CAPABILITY: The technical factor evaluation provides an assessment of the Quoter's capability to satisfy the Government's minimum requirements.
The Government will evaluate the quotes for acceptability, assigning one of the ratings described below for each Factor. To be "Acceptable" a quote must be evaluated as "Acceptable" for all factors. Any factor that does not meet the minimum requirement will be deemed "Unacceptable."
RATING DESCRIPTION
Acceptable Quote clearly meets the minimum requirements of the solicitation.
Unacceptable Quote does not clearly meet the minimum requirements of the solicitation.
d. The technical proposal shall ensure quality, efficiency, and timeliness. The technical proposal shall be practical and be prepared simply and economically, providing straightforward, concise delineation of what the contractor will do to satisfy the requirements of the contract. The technical section shall provide evidence that the Quoter understands the full scope of the materials it is required to provide under the proposed contract by providing all information identified in 52.212-2.
The Quoters agree to hold their prices firm for 90 calendar days from the date specified for receipt of offers.
A written notice of award or acceptance of an offer emailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the Quoter's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

CLAUSES INCORPORATED BY FULL TEXT
52.211-8 TIME OF DELIVERY (JUN 1997)
(a) The Government requires delivery to be made according to the following schedule:
REQUIRED DELIVERY SCHEDULE
Within (30) calendar days after Contract Award
Item No. Quantity of Contract
ALL ALL
The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.
(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
(End of clause)
52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2017)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(i) Taxes are considered delinquent if both of the following criteria apply:
(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(ii) Examples.
(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.
Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing.
