Upload Completion & Deadline: Interested parties shall submit responses no later than the date specified on the solicitation document. The time & date of proposal receipt will be the upload completion / delivery time & date recorded within PIEE Solicitation Module site. Do not assume that electronic submission will occur instantaneously.

Large files (e.g. 10MB or more) will take some time to upload. Offerors should time their upload effort with prudence by not waiting until the last few minutes—this will allow for unexpected delays in the transmittal process.

There is no bonding requirement for this procurement action.

Note: The contract award will be based on Best Value to the Government. Factors to be considered are Past Performance and Price. In addition to the price breakout schedule, the offeror must complete and submit Past Performance Questionnaires located in the Evaluation Factors for Contract Award section of this solicitation. The total evaluated price will be determined by adding the total base period total, all option period totals, and the sample task order totals together. All evaluation factors, other than cost or price, when combined are considered approximately equal to cost or price.

All contractors must be registered in the System for Award Management (www.SAM.gov) prior to submittal of a quote. All proposed contractors are highly encouraged to review FAR Clause 52.232-33 Payments by Electronic Funds Transfer – System for Award Management, which indicates “All payments by the Government under this contract shall be made by electronic funds transfer (EFT).” Those not currently registered can obtain registration by going to the website http://www.SAM.gov. The process can usually be completed from 24 to 48 hours after submission. Contractors will need to obtain a Unique Entity Identifier (formerly DUNS number) for processing their registration. If you do not already have a Unique Entity Identifier, one can be obtained from http://www.SAM.gov. Refer to www.SAM.gov for information formerly found in CCR, EPLS, ORCA and FedReg.

Please begin the registration process immediately in order to avoid delay of the contract award should your firm be selected.

ALERT: You must submit a notarized letter appointing the authorized Entity Administrator before your registration will be activated. This requirement now applies to both new and existing entities. Effective 29 April 2018, the notarized letter process is now mandatory on all CURRENT registrants at SAM who have a requirement to update data on their SAM record. The notarized letter is mandatory and is required before the GSA Federal Service Desk (FSD) will activate the entity's registration.

Effective 29 June 2018, vendors creating or updating their registration can have their registration activated prior to the approval of the required notarized letter. However, the signed copy of the notarized letter must be sent to the GSA Federal Service Desk (FSD) within 30 days of activation or the vendor risks no longer being active in SAM.

Vendors can check whether an account is active by performing a query by their CAGE or Unique Entity Identifier (formally known as DUNS). The new registration process may now take several weeks, so vendors are highly encouraged to begin registering as soon as possible to avoid any possible delays in future contract awards.

Remember, there is no cost to use SAM.

To find out additional information about the changes of the SAM registration process, contractors should visit the Frequently Asked Questions (FAQ) link located at the top of the SAM homepage (www.sam.gov).

Note: Page numbering in this document may not be accurate.

EVALUATION FACTORS

Evaluation Factors for Contract Award

1. The Government will evaluate the quotes in accordance with the criteria described herein, and award a firm-fixed-price contract to the responsible offeror, whose quote conforms with all the terms and conditions of the solicitation and whose quote is determined to represent the overall best value to the Government, all factors considered.

“Offeror Quotes” as referred to in this solicitation shall include the following:

a. Completed Price Breakout Schedule/Price Quote

b. Completed Offeror’s “Project Detail Sheet” forms and Past Performance Questionnaires

The basis of award is the Tradeoff Process. The Contracting Officer will award a firm-fixed-price contract to the responsible offeror whom the Contracting Officer determines conforms to the solicitation, is fair and reasonable and offers the best overall value to the Government, all factors considered. The Government reserves the right to accept other than the lowest priced offer or to reject all offers.

The evaluation process essentially consists of four parts: quote compliance review, past performance evaluation, price evaluation, and price/technical trade-off analysis.

a. Quote Compliance Review: This is an initial review to ensure that all required forms and certifications are complete and that both a technical and price quote were received.

b. Past Performance Evaluation: The Source Selection Evaluation Board (SSEB) will evaluate and rate the quotes against the RFQ requirements. Past Performance will be rated based on recency/relevancy and confidence using the adjectival-based system described in the included rating charts.

c. Price Evaluation: The SSEB and Contracting Officer/SSA will evaluate price quotes independent of the technical evaluation. The SSEB will not have access to price information until completion of the technical evaluation. The base period total, all option period totals, and the sample task order totals will be combined to arrive at the Total Evaluated Price.

d. Price/Technical Trade-off Analysis: After all above evaluations are complete, the Contracting Officer/SSA will compare the relative advantages and disadvantages of technical quotes and compare prices. The Contracting Officer will then consider all factors to select the quote offering the best value to the Government.

2. Evaluation Criteria.

2.1. Content and Rating. Offeror quotes shall be specific and complete in every detail and shall contain the information necessary to properly assess and evaluate the Contractor's capability to perform the specified contract services, based upon the following factors:

a. Past Performance

b. Price

All evaluation factors, other than cost or price, when combined are considered approximately equal to cost or price. In addition to a complete and properly prepared price breakout schedule or price quote, the Contractor shall also complete the “Project Detail Sheet” forms and Past Performance Questionnaires contained in Appendix A. The price breakout schedule and information provided on the forms will be used to evaluate each Offeror’s quote.

Quotes will be evaluated based on the degree to which the quote meets, fails to meet, or usefully exceeds the standards established for individual factors, and compared with acceptable quotes submitted by other Offerors.

Quotes will be evaluated in accordance with the factors contained in the following paragraphs.

3. Past Performance. Offerors shall provide a narrative of:

1) Evidence of experience in dive surveys for mussels in the lower Ohio and Tennessee Rivers;

2) Evidence of experience in preparing reports or data reviewed by Fish and Wildlife Agencies;

3) Resume of Qualifying Malacologist. Previous individual experience working with state Fish and Wildlife agencies in the states of Kentucky and Tennessee may be considered as a strength, and may receive additional consideration.

Project Detail Sheets shall be used by the Offeror. To determine relevancy, offerors shall provide up to five (5) projects producing data/reports for environmental analysis of mussel life in major rivers where reports/information is reviewed by Federal and/or State Wildlife Agencies. Projects submitted which exceed the limit above will not be evaluated.

To be considered recent, projects shall be substantially complete within the last five (5) years from the solicitation due date. Projects are considered substantially complete if enough work has been performed such that it demonstrates the ability to complete all components of the project.

Past Performance Questionnaires attached to this document shall be used by the Offeror to provide business references that may be contacted for the purpose of verifying past performance. The Government will consider information in the Past Performance Questionnaires completed by personnel for whom the Offeror has performed work, and any information obtained from other sources. Evaluation of past performance will be based on subjective assessment based on a consideration of all relevant facts and circumstances. It will not be based on absolute standards of acceptable performance. The Government's conclusions about the overall quality of the Offeror's past performance may influence the selection of the quote considered "Best Value to the Government".

4. Price.

4.1. Price. The completed price breakout schedule will be reviewed for completeness and compatibility with the estimated cost to perform the contract services. The reasonableness of the pricing will be evaluated and compared with the Government's cost estimate. The lowest quote shall not by itself determine which Offeror is awarded the Contract. The prices shall demonstrate an understanding of costs to perform the specified contract services. This understanding should be reflected in the Offeror's quoted prices for individual work items. The Offeror's price quote will also be evaluated for proportionality and balance. An Offeror's price quote may be considered unbalanced when it is based on prices significantly less than the estimated cost for some work items and prices which are significantly overstated for other work.

4.2. Overall Price Evaluations. This solicitation will have two (2) sample task order projects as a component of the total evaluated price in order to establish the tradeoff between past performance and price. The sample task order projects WILL NOT be awarded, but will only be used for price evaluation purposes. In addition to the sample projects, offerors will have to submit hourly rates for items specified in the price breakout schedule for the base IDIQ contract. These hourly rates will become binding upon contract award.

The base period total, all option period totals, and the sample task order totals will be combined to arrive at the Total Evaluated Price. The price will be evaluated by the SSEB and Contracting Officer for fair and reasonableness through the use of a price analysis. Price will also be checked for unbalancing of line items. Offerors are cautioned to distribute costs appropriately. Evaluation of option periods in the selection process will not obligate the Government to exercise the option(s).

4.3. Discounts. Prompt payment discounts will not be considered in the evaluation of quotes. However, any offered discount will form a part of the award, and will be taken if payment is made within the discount period indicated by the Offeror.

5 Evaluation Process.

5.1. Award will be made to the responsive and responsible Offeror, whose quote conforms to the solicitation requirements with acceptable Past Performance/Price as determined by the Contracting Officer, and when compared to other acceptable quotes is determined to be the “Best Value to the Government.”

5.2. The Government may award a contract based on initial offers received, without discussions of such offers.

5.3. The Government reserves the right to check any or all cited references to verify supplied information and to assess owner satisfaction. The Government also reserves the right to not contact the provided references. The Government will at a minimum review past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including CPARS. The Government may also use other tools such as FAPPIS, Dun & Bradstreet, etc. or any other relevant information to assist in its evaluation of an Offeror’s past performance.

6. Ratings.

6.1 Rating Charts: Evaluators will apply the adjectival rating for the definition that most closely matches the evaluation.

Past Performance Relevancy Ratings Rating Description Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Confidence Assessments Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will successfully perform the required effort.

ADJECTIVE RATINGS AND DEFINITIONS TO BE USED TO BEST REFLECT

YOUR EVALUATION OF THE CONTRACTOR’S PERFORMANCE

RATING DEFINITION NOTE

(E) Exceptional Performance meets contractual requirements and exceeds many to the Government/Owner’s benefit. The contractual performance of the element or sub-element being assessed was accomplished with few minor problems for which corrective actions taken by the contractor was highly effective.

An Exceptional rating is appropriate when the Contractor successfully performed multiple significant events that were of benefit to the Government/Owner. A singular benefit, however, could be of such magnitude that it alone constitutes an Exceptional rating. Also, there should have been NO significant weaknesses identified.

(VG) Very Good Performance meets contractual requirements and exceeds some to the Government’s/Owner’s benefit. The contractual performance of the element or sub-element being assessed was accomplished with some minor problems for which corrective actions taken by the contractor were effective.

A Very Good rating is appropriate when the Contractor successfully performed a significant event that was a benefit to the Government/Owner. There should have been no significant weaknesses identified.

(S) Satisfactory Performance meets minimum contractual requirements. The contractual performance of the element or sub-element contains some minor problems for which corrective actions taken by the contractor appear or were satisfactory.

A Satisfactory rating is appropriate when there were only minor problems, or major problems that the contractor recovered from without impact to the contract. There should have been NO significant weaknesses identified. Per DOD policy, a fundamental principle of assigning ratings is that contractors will not be assessed a rating lower than Satisfactory solely for not performing beyond the requirements of the contract.

(M) Marginal Performance does not meet some contractual requirements. The contractual performance of the element or sub-element being assessed reflects a serious problem for which the contractor has not yet identified corrective actions. The contractor's proposed actions appear only marginally effective or were not fully implemented.

A Marginal is appropriate when a significant event occurred that the contractor had trouble overcoming which impacted the Government/Owner.

(U) Unsatisfactory Performance does not meet most contractual requirements and recovery is not likely in a timely manner. The contractual performance of the element or sub-element contains serious problem(s) for which the contractor's corrective actions appear or were ineffective.

An Unsatisfactory rating is appropriate when multiple significant events occurred that the contractor had trouble overcoming and which impacted the Government/Owner. A singular problem, however, could be of such serious magnitude that it alone constitutes an unsatisfactory rating.

SCOPE OF WORK

Scope of Work

Indefinite Delivery Contract for Mussel Surveys

Mussel surveys are required to provide necessary maintenance dredging of the Congressionally authorized Navigation Channel of the Inland Navigation System. Mussel surveys will provide information for avoiding mussel resources and evaluating the existing conditions where channel dredging is required to continue commercial barge traffic. Mussel surveys must be accomplished by diver survey with accurate Differential Global Positioning System (DGPS) data on each location as specified in the site requirements. All dive surveys will include a qualified Malacologist as supervisor and survey planner along with certified divers for recovering mussels and or substrate data. Dive surveys will be required on the Ohio River and tributaries.

Mussel surveys will be required for 3 purposes:

a. To map river bed areas for existing mussel beds, determine suitable disposal areas (Presence or absence of mussels) or other general mussel resource location information.

b. To determine quantitative or qualitative changes in known mussel beds areas, determine mussel density information.

c. To relocate mussel resources prior to some disruptive work activity.

Each survey area will be identified by the Corps of Engineers to include the spatial limits, the density of survey sample sites/transects, and the type of data recovered or mussel movement where necessary. Typically, surveys will only require species level identification and substrate type (sand, gravel, silt, bedrock) to describe the presence or absence of shell fish or the density of individuals found in the survey area. The Corps’ primary objective is to map the limits of the mussel bed and individuals will not be collected or removed from the area unless otherwise directed by the government, but will be replaced within the general vicinity where found, on similar substrate and within what is understood as the mussel bed area. Mussels will only be brought to the surface where that is necessary for positive identification. Where future mussel relocations may be required, all native fresh water mussels will be collected, identified and counted. Collected mussels will be kept in good condition following removal from the substrate and during their handling. Usually, mussels will be moved to the designated relocation site(s) as soon as practicable, but in all cases they will be relocated on the same day collected. Collected mussels will be hand placed on the bottom, but do not need to be individually reburied.

A Safe Practices Manual, Dive Operations Plan, Activity Hazard Analysis, Emergency Management Plan, Dive Personnel Qualifications shall be submitted through the Contracting Officer and approved by the Louisville District Diving Coordinator prior to conducting the survey. All dive operations must be in compliance with Section 30, Diving Operations, and Appendix O, Manning Levels for Dive Teams, of the Corps of Engineers “Safety and Health Requirements Manual” EM 385-1-1 and OSHA, 29 CFR 1910, Subpart T. The surveys or relocations will be conducted using Differential Global Positioning System (DGPS) equipment for spatial determination of the location of the dive transects sites, locations of any important mussels recovered (federally listed or special status species as specified in specific site requirements) and to record substrate information. All river position location data will be stored on digital data logging equipment in a format to be supplied to the Corps of Engineers representative (typically ESRI Shape files).

It is the intention of the Corps of Engineers to request a daily price for a four man dive crew which includes necessary boat and equipment for an 8 hour survey day to meet USACE regulations. The four man crew will typically include the dive supervisor, a dive tender, a stand by diver, and the diver. The Malacologist will be an addition to the 4 man dive crew during the survey. Overtime should be specified in the bid, per 4 man crew hour.

Travel and per diem shall be in accordance with the Joint Federal Travel Regulations (JFTR). Report preparation costs should be listed as an hourly rate. Unusual large mussel relocation requests or special monitoring projects may involve additional crews or extra equipment. Additional crews will be added at the established crew price and special equipment not listed will be negotiated based on the Corps of Engineers needs.

Required Services The Contractor shall:

a. Provide all personnel and equipment needed to conduct the necessary mussel surveys.

b. Provide a written dive plan for the survey effort for the Corps of Engineers approval prior to initiation of all field efforts. An example of an approved dive plan may be requested for reference.

c. Meet the requirements of the US Army Corps of Engineers “Safety and Health Requirements Manual”, EM385-1-1 https://www.publications.usace.army.mil/Portals/76/Publications/EngineerManuals/EM_385-1- 1.pdf. This is the controlling document regarding worker safety.

d. Provide an Activity Hazard Analysis, analyzing the safety concerns or risks of each task and the measures taken to eliminate or minimize those concerns.

e. Insure all appropriate Federal and State permits and licenses are obtained and complied with.

f. Work as best as possible within the parameters recommended by the Federal and State Fish and Wildlife agencies for protocol in mussel surveying as detailed in dive site requirements.

g. Provide a short narrative description of each survey area, DGPS survey points for as a minimum; the start and end locations of each transect, and DGPS points to define the limits of mussel resources.

h. Provide all Global Positioning System equipment needed for this contract.

i. Provide electronic range finding equipment for additional aid in distance measurement during surveys.

j. Provide all boats, trailers, and motor vehicles needed for the study effort and insure that all equipment complies with EM 385-1-1 and is in safe working condition. Dive equipment may be inspected by the Government Point of Contact (POC) Dive Inspector to insure compliance.

k. Make initial orientation trip to the POC (usually the District ordering work) for a technical briefing on mapping and data recording methods unless waived by the POC.

l. NOT retain any samples of river bottom material unless specifically requested by the POC.

m. NOT retain any mussel resources unless specifically as requested for relocation or other purposes.

n. Allow periodic inspections of work effort in the field from the Corps of Engineers.

o. Accommodate occasional visits by representatives of State and Federal fish and wildlife agencies for familiarization with data gathering techniques and study progress. Should such visits impede contractor progress in meeting the goals of this contract, the Corps of Engineers POC should be notified at the earliest possible convenience.

The Government Point of Contact shall:

a. Provide a single POC to direct the work tasks described above.

b. Provide accurate mapping information to establish limits for areas to be surveyed including key DGPS points to define the survey limits. Hard copy maps of each survey will be furnished to the contractor upon ‘Notice to Proceed’ if requested.

c. Provide instructions to the contractor regarding levels of accuracy expected with GPS equipment.

d. Provide information to the Contractor regarding appropriate coordinate system and datum to be used for this work.

e. Provide periodic inspections to assure quality of data and conformance to scope of contract.

Typical Field Work and Report Schedule

The contractor will be provided a schedule to include start date, not to exceed completion date for field work and a date for report completion. Sufficient time will be allowed for weather or river level changes that interrupt expected work completion. Reports of surveys completed will be delivered no more than 10 days following survey completion unless otherwise specified/negotiated.

Typically, because channel depth does not exceed 12 feet the surveys can be performed in less than 30 feet of depth (depending on river gage levels). It is understood that stage and discharge conditions can occur on the Ohio and main rivers that make field conditions unsafe and work may need to be postponed or halted for safety reasons. It is understood that adverse river conditions may require work completion in alternate sites in the general vicinity. These conditions will be fully coordinated with the Corps POC before any requested work is initiated with a notice to proceed.

Fiscal Arrangements

The contract orders shall be lump sum (fixed price) type. Partial payments to the contractor may be made up to ninety percent (90%) of the total amount of the contract, based on percent completion of the required work. Payment shall be made upon receipt of itemized invoices furnished by the contractor. The percent (10% or the balance of the contract) will be dispersed following receipt of all data files by the District ordering the service.

Contractor Manpower Reporting

The Contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for US Army Corps of Engineers, Louisville District (UIC W07202) via a secure data collection site. The Contractor is required to completely fill in all required data fields using the following web address: https://www.sam.gov/.

Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year, beginning with 2021.
