1.3 Insurance requirements are completely separate from the indemnity obligations described in paragraph 2 below. Insurance limits required herein are minimum limits to be provided by LICENSEE and shall not limit the liabilities of the LICENSEE under this AGREEMENT. Nothing herein shall be construed as LICENSOR being responsible for or indemnifying LICENSEE for its losses not covered under the insurance coverages listed herein. LICENSEE shall be solely responsible for determining whether the amounts and types of coverages, whether under the coverages listed herein, provided by LICENSOR or otherwise, are adequate to protect the interests of LICENSEE. Any type of insurance or any increase of limits of liability not described above, which the LICENSEE requires for its own protection or on account of statute, shall be its own responsibility and at its own expense.
1.4 Upon receipt of a written request from the LICENSOR, the LICENSEE shall furnish certificates evidencing such insurance is in full force and effect and providing ten (10) days' advance written notice to LICENSOR in the event of material change, non-renewal or cancellation. Receipt of any certificate of insurance by LICENSOR that does not meet the requirements set forth herein does not constitute a waiver of such requirements or acceptance of non-conforming certificates. Failure to provide evidence of such insurance can result in the LICENSEE or its subcontractors being removed from the site until proper coverage is verified.
1.5 LICENSEE shall require any and all of its subcontractors engaged by it in the performance of the WORK to procure and to maintain in full force insurance equivalent to the insurance requirement of the LICENSEE under this Exhibit during the time that its subcontractor is engaged in performing the WORK.
1.6 The LICENSOR shall have the right, but not the duty, to designate all attorneys retained by the LICENSEE or LICENSEE's insurance carrier for LICENSOR’s defense under these insurance requirements.
1.7 LICENSEE shall require that any insurer issuing a policy or otherwise providing coverage hereunder, including but not limited to Alternate Employer Endorsement or Additional Insured status for the LICENSOR, whether held or obtained by LICENSEE or its subcontractor and whether or not required by this AGREEMENT, provide the LICENSOR with thirty (30) day advance written notice of any material change in, cancellation of, or other non-renewal of coverage or of any intent to do so.
1.8 LICENSEE shall require that any insurer issuing a policy or otherwise providing coverage hereunder, whether held or obtained by LICENSEE or its subcontractor and whether or not required by this AGREEMENT, expressly waive any right to subrogation against LICENSOR or recovery from any amount which the LICENSOR may recover from LICENSEE or its subcontractor, or any other party, covered or uninsured, or which LICENSEE or its subcontractor may recover from any other party, covered or uninsured.
1.9 Whenever in the context of a particular claim, the anti-indemnity provisions of the Longshore and Harbor Workers Compensation Act, 33 USC §905(b), are or may be applicable, the parties expressly agree and intend that the liability insurance provided and carried by the LICENSEE shall name and treat LICENSOR as an additional named insured, shall be primary with respect to any other insurance available to LICENSOR, and shall waive subrogation as to LICENSOR or any party to which LICENSOR is contractually or legally obligated to provide indemnity.
1.10 LICENSOR's insurance shall not operate to relieve LICENSEE or its subcontractors from the responsibility of carrying their own insurance to cover loss of their respective tools and equipment which will not become an integral part of or be consumed in performance of the WORK. LICENSEE hereby releases LICENSOR from any and all liability for the loss for such tools and equipment. Such insurance carried by LICENSEE shall contain a clause waiving all rights to subrogation by the insurer or insurers as against LICENSOR.
2.1 To the fullest extent permitted by law, LICENSEE agrees to indemnify fully, hold harmless and defend, at LICENSEE’s sole expense, PDV Midwest Refining, L.L.C. and CITGO Petroleum Corporation, their parents, subsidiaries, joint owners and tenants, tenants-in-common, tenants-by-entirety, lessors, related entities, operators, joint ventures, partners and affiliates, and their officers, directors, agents, employees, representatives, successors and assigns (herein collectively referred to as “LICENSOR”), from and against any and all Liabilities and Damages claimed by LICENSOR, LICENSEE, LICENSEE’s subcontractors or third-parties, including employees of LICENSEE, LICENSOR and their subcontractors, arising in connection with the WORK under this Agreement, without regard to the cause or causes thereof, including but not limited to those LIABILITIES and DAMAGES (as defined in Section
