Solar Array Inverter Replacement Conchas Dam, New Mexico

Part 1

General Information

1.0 General: This is a non-personal services contract to make repairs and modifications the photo voltaic system. The current system is non-functional and susceptible to a single point of failure. The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1 Description of Services/Introduction: The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other appurtenances and non-personal services necessary to remove and replace the existing inverter and damaged solar panel for the photovoltaic system as defined in this Performance Work Statement except for those items specified as Government furnished property and services.

1.2 Background: The existing 65kw combination inverter/combiner box and one (1) solar panel for the photovoltaic were damaged beyond repair during a lightning storm and must be replaced to make the system functional again. Having only one inverter for the entire system introduces a single point of failure. The new system will need to have at least three separate inverters and a separate combiner box. The existing solar array consists of sixteen (16) strings of twelve (12) 370 watt modules. The intent of this system redesign from parallel to series connection is to decrease the possibility of a complete system failure in the future.

1.3 Objectives: The intent of the PWS is to remove the failed inverter for the photo voltaic system and prevent a single point failure by installing three (3) 20-25kw inverters, a separate combiner box, and replace the existing damaged solar panel. The Contractor shall provide all terminations, modifications, programming, startup procedures necessary to make the photo-voltaic system fully functional as defined in this Performance Work Statement except for those items specified as Government furnished property and services. The Contractor shall perform to the standards in this contract.

1.4 Scope:

1.4.1 Work performance.

a. Removal and proper disposal of the failed, Yaskawa SECLTRIA XGI, 65kw inverter and damaged

Heliene Monocrystalline 72M-370 watt Photovoltaic Module (solar panel).

b. Installation of three (3) to four (4) new inverters and a separate combiner box that will accommodate the existing solar array of sixteen (16) strings of twelve (12) 370 watt modules.

c. Installation of one (1) 370-watt photovoltaic module (solar panel) to match existing units.

d. All modifications, wiring, terminations programming and start up procedures to make the new inverters and photovoltaic system fully operational.

1.4.2 Items to be provided

a. Minimum of three (3) but not more than four (4), new 20kw to 25kw PV inverters for use with the existing 65KW, 3phase, 480VAC output, photo voltaic system.

b. One (1) separate 3 phase, 600V AC combiner box to connect the existing solar panels to the new inverters.

c. One (1) Heliene Monocrystalline 72M-370 watt Photovoltaic Module or product equivalent that will fit in line with the existing (77” x 39” x 1.6”) modules and on the existing mounting system.

d. All raceways, conductors, junction enclosures and terminations needed to accommodate the new inverters, combiner box and replacement photovoltaic module.

e. As-built drawings, specifications documents for new equipment and operation and maintenance instructions for the maintenance staff.

1.5 Period of Performance: The period of performance shall be 60 days from Contract Award.

1.6 General Information:

1.6.1 Quality Assurance: The Government shall evaluate the Contractor’s performance under this contract in accordance with the PWS through onsite surveillance while work is being performed and by inspection of completed tasks.

1.6.2 Hours of Operation: The Contractor is responsible for conducting business between the hours of 0730- 1700 Monday thru Friday, except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must, at all times, maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential.

1.6.3 Recognized Holidays: No work shall be performed during Federal holidays unless prior arrangements are made with and approved by the Lake Manager, Conchas Dam.

1.6.4 Place of Performance: Work is located in the county of San Miguel, twenty-seven miles north of the I-25 Newkirk off ramp. The Conchas Dam Maintenance Facility located is at 200 Captain Kramer Ln, Conchas, NM 88416. Actual work area is the Photovoltaic system located behind the maintenance building.

1.6.5 Type of Contract: The Government will award a lump sum service contract.

1.6.6 Security Requirements: The Photo Voltaic system is secured with in a fenced in area located behind the maintenance shop. The contractor will have coordinate with the Lake Manager for access. The Contractor shall secure the premises such that the Project site and work areas are at no time subjected to vandalism or theft as a result of the Contractor's operations.

Per the guidelines mandated with the implementation of OPORD 2013-74: Integrating Antiterrorism and Operations Security (OPSEC) into the USACE Acquisition Process, the following OPSEC provisions apply to this requirement.

1.6.7 Suspicious Activity Reporting Training (e.g. iWATCH, CorpsWatch, or See Something, Say Something). The contractor and all associated sub-contractors shall receive a brief/training (provided by the RA) on the local suspicious activity reporting program. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the project manager, security representative or law enforcement entity. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 5 calendar days after the completion of the training.

1.6.8 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The Contracting Officer, Contracting Officer’s Representative (COR), and other Government personnel, as appropriate, may meet periodically with the Contractor to review the Contractor's performance. At these meetings the Contracting officer will apprise the Contractor of how the Government views the Contractor's performance and the Contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the Government.

1.6.9 Contracting Officer’s Representative (COR): The COR will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract:

perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of Government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting contract.

1.6.10 Points of Contact:

1.6.11 Subcontracting: Contractor may subcontract any phase or portion of the work. However, such subcontract must not relieve Contractor from compliance fully with the specifications and enforcing the use of all required safety equipment by the subcontractor and his employees providing any phase of the work. Contractor must require and verify that all materials and methods used by subcontractor are consistent with the contract documents.

1.6.12 Supervision: The Contractor must give his personal supervision to the work or have a competent foreman or superintendent to act for him with authority at all times work is in progress.

1.6.13 Personnel: The work under this contract must be performed by competent, properly trained and (as applicable) properly certified personnel. The Contracting Officer (KO) has the final authority to approve or disapprove all Contractor employees.

1.6.14 Damage to Government and Private Property: Any damage to Government or Private Property must be repaired and/or replaced in a timely manner with no additional cost to the Government. The Contractor must notify the KO immediately of any damage to property and/or injury to any person resulting from his operations.

1.6.15 Cleanup: The Contractor must clean up all work areas daily and place all waste, debris or spoils created by this work in proper disposal containers and in a State approved landfill or waste receiving/disposal facility.

1.6.16 Permits: The Contractor must without additional expense to the Government be responsible for obtaining all required insurance coverage, licenses, permits and clearances; and for complying with all applicable Federal, State, County and Local codes, laws, statutes, ordinances and regulations in connection with the execution of this work.

1.6.17 First Aid: Contractor must provide in the immediate vicinity of the work area a complete OSHA approved first aid kit for employee use.

1.6.18 Warranty of Work: The Contractor must warrant that all work performed and that all the materials utilized in this contract are free of any defect in material supplied, design furnished, or workmanship performed by the Contractor or any subcontractor or supplier at any tier. A written copy of said warranty signed and dated by the Contractor must be provided to the POC at job completion and is required for the completed job to be fully accepted and approved by the KO. This warranty must continue for a period of one year from the date of final acceptance of the work by the KO.

1.6.19 Execution of Warranty: The KO will notify the contractor, in writing, within a reasonable time after discovery of any failure, defect, or damage to the work involved in this contract scope. The Contractor must without any additional cost to the Government and in a reasonable amount of time fully restore any deficient work and fulfill completely the terms and conditions of the warranty. The Contractor’s warranty with respect to work repaired or replaced will run for one year from the date of repair or replacement. If the Contractor fails to remedy any failure, defect, or damage within a reasonable time after receipt of notice, the Government must have the right to replace, repair, or otherwise remedy the failure at the Contractor’s full expense. The Contractor must warrant that any warranty work performed under this contract conforms to the contract requirements and is free of any defect in material, or design furnished, or workmanship performed by the Contractor or any subcontractor or supplier at any tier. A written copy of said subsequent warranty signed by the Contractor must be provided to the KO at warranty work completion.

1.6.20 Site Acceptance: Upon completion of the work the premises must be left clean and orderly. All work must be accomplished in a workmanlike manner and must be of a professional quality.

1.6.21 Payment: The Contractor may invoice for partial performance of a task when that task is being performed in compliance with all applicable contract requirements in a manner found acceptable by the Government, and the amount due for any such partial performance (for purposes of FAR 32.906, Making Payments, and the clause at FAR 52.232-1, Payments) shall be subject to approval by the PM and Lake Manager on the recommendation of the KO.

The Contractor shall submit invoices by email to the PM for processing and payment from the Government by the 10th of each month. Invoices shall include all the necessary information, including all necessary supporting documentation, and will be based on the work completed for each specific task under this project. The Contractor must (concurrently) send a monthly progress report and invoices for approval to:

During the performance of this project, the Government must make progress payments based on the invoices submitted or the work completed and found to be acceptable by the Government.

PART 2

DEFINITIONS & ACRONYMS

2.0 Definitions:

2.0.1 Contractor: A supplier or vendor awarded a contract to provide specific supplies or service to the Government. The Contractor may also be referred to as the Prime.

2.0.2 Contracting Officer (KO): A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the Government. Note: The only individual who can legally bind the Government.

2.0.3 Contracting Officer’s Representative (COR): An employee of the U.S. Government appointed by the Contracting Officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.0.4 Defective Service: A service output that does not meet the standard of performance associated with the Performance Work Statement.

2.0.5 Deliverable: Anything that can be physically delivered but may include non-manufactured things such as meeting minutes or reports.

2.0.6 Key Personnel: Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.0.7 Physical Security: Actions that prevent the loss or damage of Government property.

2.0.8 Quality Assurance (QA): The Government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.0.9 Quality Control (QC): All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.0.10 Subcontractor: One that enters into a contract with a prime Contractor. The Government does not have privity of contract with the subcontractor.

2.0.11 Work Day: The number of hours per day the Contractor provides services in accordance with the contract.

2.0.12 Work Week: Monday through Friday, unless specified otherwise.

GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES

3.0 Government Furnished Items and Services:

3.1 Services: The Government will not provide any services for the work described herein.

3.2 Facilities: The Government will provide access to the restrooms in the maintenance building located to north of the Solar Array.

PART 4

CONTRACTOR FURNISHED ITEMS AND SERVICES

4.0 Contractor Furnished Items and Responsibilities:

4.1 General: The Contractor shall furnish all supplies, equipment, facilities, and services required to perform work under this contract that are not listed under Part 3 of this PWS.

4.2 Secret Facility Clearance: NA

4.3 Materials: The Contractor shall all provide all materials, supplies, and equipment (i.e. conductors, raceways, terminations, and hardware) necessary to meet the requirements under this PWS.

4.4 Equipment: The Contractor shall all equipment (i.e. Inverters, combiner box, and solar panels) necessary to meet the requirements under this PWS.

4.5 Contractor Management Reporting (CMR): NA

PART 5

SPECIFIC TASKS

5.0 Basic Services: The Contractor shall provide services for the replacement of the damaged inverter, solar panels, etc to make the photo voltaic system fully operational.

5.1 Task Heading:
