Summary of Vandenberg Space Force Base Industry Day Presentation
This document is a comprehensive industry briefing for federal construction opportunities at Vandenberg Space Force Base (VSFB) being executed through Other Transaction Authority (OTA) agreements under 10 U.S.C. § 2808a. The U.S. Army Corps of Engineers (USACE), Los Angeles District, is soliciting qualified design-build and construction manager at risk contractors for four major infrastructure projects totaling approximately $352.2 million, with anticipated solicitation and selection in FY28Q2 for three projects and FY27Q4 for one project. The four projects consist of: (1) Sentinel Re-Entry Vehicle Facility ($110 million, OTA-CMAR, FY27Q4); (2) Launch Support Infrastructure including South Base Entry Control Facility, Space Launch Complex-5 improvements, and underground telecommunications ($90.6 million, OTA-PDB); (3) Consolidated Air Traffic Control Tower, Fire Station 41, and Base Operations Facility ($152 million, OTA-PDB); and (4) Telecommunication Lines connecting South Base to North Base ($12.4 million, OTA-PDB). Two separate OTA agreements will be awarded—one combining the Launch Support Infrastructure projects and one for the ATCT project—and awards are not intended to go to a single contractor.
All projects operate under OTA authority outside Federal Acquisition Regulation (FAR) compliance, with the negotiated agreement serving as the sole governing document. Key requirements include strict adherence to pre-approved environmental footprints established in AF Form 813 with all design and construction occurring within designated limits of disturbance; contractors are solely responsible for delays and redesign costs resulting from unauthorized footprint adjustments. Contractors must demonstrate previous experience with projects of similar magnitude and complexity. The projects incorporate 35 percent design documents and existing geotechnical, environmental, and archaeological data to be provided during solicitation. Critical site constraints include federally protected species, archaeological sites, Chumash cultural resources, and VSFB's corrosive coastal environment. Supporting facilities include site preparations, utilities, electrical infrastructure, demolition, and environmental/UXO monitoring. Dispute resolution utilizes a streamlined, tiered negotiation process outside the Contract Disputes Act, with construction laws including Davis-Bacon compliance, OSHA safety requirements, environmental regulations, and bonding requirements remaining applicable.

Decision Gateway to Phase 2
The USACE Los Angeles District has a requirement to build a new, highly-specialized cybersecurity training facility. Speed, innovation, and cost control are critical. Instead of a traditional, FAR based process, under 2808(a) authority, the Government utilizes an Other Transaction approach to compete, down-select to the top 3 firms, and selects design-build firm, “ABC Ltd.," to develop the project under a Progressive Design-Build model.
• The design-build firm, “ABC Ltd.,” was selected based on their superior qualifications and expertise, amongst qualified firms, not a low bid or proposal

OFF RAMP
DECISION POINT
AGREEMENT PHASE 1 – DESIGN & PRECONSTRUCTION SERVICES (OT Agreement using MILCON Design Funds)
ABC Ltd. begins with the SPLs initial concept design. At this stage, there is no fixed price for construction. Instead, the firm will present an initial "Open Book Estimate" that becomes a living document as the design progresses.
“The Green Line” Agreement Phase 1 – Design & Construction Services
An "open book estimate" for a Progressive Design-Build project is a transparent and collaborative pricing model.
Instead of the design-builder providing a single, fixed price (a "closed book"), the firm opens their financial records to the government.
The design-builder shares all cost information as the design progresses, including:
Direct Costs: All subcontractor bids, material supplier quotes, and labor rates.
Indirect Costs: Estimates for project management, field office overhead, and other general conditions.
Fee/Profit: A pre-negotiated and clearly defined fee, which can be a fixed amount or a percentage of the final construction cost.
This provides the Government with an understanding of key project's cost drivers and can work with the design-builder to make informed decisions
What is an open book estimate?
Example Project: SPL Cybersecurity Training Facility Estimate Version: 1.0 (Based on 30% Design) Date: 6 Oct 2026
OPEN BOOK ESTIMATE – 30% DESIGN
Cost Category Estimated Cost Basis of Estimate
1. Direct Construction Costs (Subcontractor & Materials)
Site Work & Utilities $1,500,000 Based on preliminary geotechnical report and historical data for similar sites.
Concrete & Steel Structure $4,000,000 Volumetric estimate based on initial massing model. High variability.
High-Performance Facade $2,500,000 Allowance based on 2 concepts. Decision needed by 60% design review.
Specialized HVAC/Mechanical $3,500,000 System not yet selected. Estimate based on high-efficiency Variant Refrigerant Flow (VRF) system.
Electrical & Data Infrastructure $5,000,000 High-risk item. Includes significant allowance for shielded cabling and redundant power. Needs input from SPL IT Security team.
Security Systems (SCIF, etc.) $2,000,000 Allowance pending detailed requirements from
SPL.
Interior Finishes $1,800,000 Allowance based on $/SF for similar training facilities.
High-Performance Facade: 2 Options presented: a pre-cast panel system and a modern metal-and-glass system. The design-builder shows the actual quotes for both, along with the pros and cons (energy performance, aesthetics, schedule). The SPL team, seeing the real costs, chooses the metal-and-glass system as the more cost-effective and accelerated schedule option, and the estimate is updated with that hard quote.
Electrical & Data Infrastructure: The design-builder facilitates a meeting between their electrical subcontractor and the SPL IT security experts.
Together, they refine the requirements for the shielded cabling. The subcontractor provides a detailed, updated quote based on this collaborative session. The "High-risk item" note is removed, as the scope is now clearly defined and cost is reduced.
Cost Category Estimated Cost
Basis of Estimate
1. Direct Construction Costs (Subcontractor & Materials)
High-Performance Facade
$2,500,000 Allowance based on 2 concepts. Decision needed by 60% design review.
Electrical & Data Infrastructure
$5,000,000 High-risk item. Includes significant allowance for shielded cabling and redundant power. Needs input from SPL IT Security team.
Open Book Estimate – 60% Design
Project Cost Limitation: The project has a budgetary limit of $19,600,000. The Open Book Estimate is showing $20,000,000, which is $400,000 over budget.
Cost reduction measures are employed.
Target Value Design: The updated estimate shows the project is tracking slightly over SPL’s initial budget. The entire team (FED, Design-Builder, Stakeholders) holds a workshop. They look at the "open book" and decide to change the interior finish specifications in non-critical areas from high-end to a more durable, mid-range option, saving approximately $400,000. The Target Value Design is now within budget at $19,600,000.

THE EVOLUTION OF AUTHORITIES
Statutory Authority Primary Mission Focus Strategic Role & Operational Intent
10 U.S.C. § 4021 (Research OTs) Basic, Applied, & Advanced Research The foundational authority. Used for dual-use technology exploration where commercial partners own the underlying intellectual property. It avoids FAR compliance to encourage early-stage innovation and collaborative R&D.
10 U.S.C. § 4022 (Prototype OTs) Prototype Projects & Production Transition The primary tool for modern defense modernization. Authorizes physical or virtual prototype development. Crucially, successful completions can transition directly into non-competitive follow-on production agreements. Novel approach if for construction.
10 U.S.C. § 2808a (MILCON OTs) Military Construction & Facility Modernization
The New Frontier via 2026 NDAA.
Expands the OT model directly into military construction even when the construction methods being used are not novel or experimental.
THE FAR VS OTA
OTAs operate entirely outside the Federal Acquisition Regulation (FAR). The negotiated Agreement becomes the sole governing document. This demands a pivot from rigid, regulatory compliance to a focus on commercial agility, problem-solving, and shared risk to deliver best-value solutions.
THE FAR VS OTA
No Christian Doctrine All terms are legally negotiable
The OT Agreement
No more clauses or provisions, we have articles that make up the Agreement.
Everything is negotiated.
If it is not included in the OT, it does not exist.
THE OT
AGREEMENT
How will it be formed?
What is still applicable to construction that we used to have in our FAR-Base contracts?

ARTICLE - DISPUTES
Disputes: We are not subject to the Contract Disputes Act. We will negotiate a streamlined, business-focused dispute resolution process.
This typically involves a tiered approach: first, discussions between project leads, then elevation to the AAO, then the AO, then senior leaders, potentially mediation, before any litigation.
ALL TERMS ARE LEGALLY NEGOTIABLE
All Applicable Laws Still Apply
–Fiscal - Fiscal law / Anti-Deficiency Act compliance –Criminal –General Laws
WHAT LAWS DON’T APPLY? -
PROCUREMENT SPECIFIC LAWS
Statute / Regulation Traditional FAR Contract Requirement OTA Status
Competition in Contracting Act (CICA) Mandates "full and open competition" via rigid bidding tiers and formal Justifications & Approvals (J&As) .
Does Not Apply . Agencies only need to compete the agreement "to the maximum extent practicable" using flexible, streamlined procedures .
Truthful Cost or Pricing Data Act (TINA) Requires contractors to submit certified cost or pricing data during negotiations .
Does Not Apply . Negotiators are free to use commercial pricing terms, market research, or custom metrics .
Contract Disputes Act (CDA) Mandates a highly structured, slow process for filing contractor claims and appeals.
Does Not Apply. Dispute resolution must be custom-negotiated and written directly into the OTA terms .
Cost Accounting Standards (CAS) Dictates precise, rigid accounting rules for how companies measure and allocate costs .
Does Not Apply . Companies can use their existing commercial accounting systems instead of expensive government-compliant systems.
Bayh-Dole Act & Rights in Technical Data Standardizes strict default rules giving the government licensing rights in technical data and software.
Does Not Apply. Intellectual property and data rights are fully negotiable from scratch .
Project Labor Agreements (PLA) Mandatory for federal construction projects with an estimated value of $35 Million or more.
Not Applicable. Because the FAR does not govern OTs, the regulatory mandate for PLAs does not apply.
CONSTRUCTION LAWS STILL APPLY
Davis-Bacon / applicable labor law compliance OSHA & EM 385-1-1 safety requirements Environmental compliance (NEPA/UFC/installation standards) Payment & Performance bonds Security

Footprint and Environmental Compliance
• Strict Boundary Constraints (Hard Requirement):
Prime contractors and design-build teams must design and construct strictly within the pre-approved limits of disturbance established in the preliminary design documents and governing AF Form 813.
• Impact of Deviations:
Any unapproved expansion or alignment shift outside the evaluated corridor invalidates the AF Form 813 clearance. Deviations will require a new or supplemental environmental assessment, inevitably resulting in construction work stoppages, multi-month review cycles, and delayed project start dates.
• Contractor Responsibility:
Delays and redesign costs resulting from unauthorized footprint adjustments will be deemed non-excusable and the sole responsibility of the prime contractor.
• Technical Execution Within Boundaries:
Where site constraints or sensitive resources exist, contractors must utilize designated low-impact construction techniques rather than adjusting boundaries (e.g., mandatory Horizontal Directional Drilling [HDD] for telecom/utilities to protect sensitive surface areas).
Upgraded facilities and infrastructure enhance flight operations.
