CCE 204-4008 Background Checks – U.S. and Host Nation Contractors (GERMANY) (March 2005)

1. U.S. Citizen Contractors that work with or teach youths under the age of 18 years are subject to local and stateside background checks. The activity manager will determine the extent of background checks required. The contractor employee may begin performance of the contract after receiving a favorable local background check. The contractor agrees to replace the employee should results of the stateside background check, if required, be unfavorable as determined by the activity manager. The contractor’s replacement of the employee with the unfavorable background check shall be within a timeframe provided by the activity manager. The contractor also agrees to replace employees whose background check, during their tenure of employment, renders them with an unfavorable local or stateside background check, as determined by the activity manager. Activity managers will forward a copy of each background check, identifying such with the appropriate contract number, to the contracting officer for inclusion in the contract file. When the Government awards a nonpersonal services contract directly to an individual, the failure of said individual to provide a favorable background check would be grounds for termination.

2. Local Nationals and Third Country Nationals Local national and third country national contractors that work with or teach youths under the age of 18 years are subject to background checks as determined by the activity manager. As a minimum prior to beginning performance, local national and third country national contractors will furnish the activity manager a Polizeiliches Fuehrungszeugnis issued within the previous four months. The activity manager will determine the favorability of the Polizeiliche Fuehrungszeugnis. Local nationals and third country nationals agree to the same employee termination provisions as stated for US Citizens (above). A copy of the Polizeiliche Fuehrungszeugnis will be forwarded to the contracting officer with appropriate contract number, for inclusion in the contract file.

CCE 225-4000 AUTHORIZATION TO PERFORM SERVICES IN GERMANY (March 2005)

Contractors performing services in the Federal Republic of Germany (FRG) shall comply with German law. The Contractor shall determine whether performance requires registration with German authorities or authorization to do business in Germany and, if so, shall comply with all requirements. Whether or not registration or authorization to do business is required, the Contractor also shall determine what documents or authorization its employees and any subcontractor employees must possess to work in Germany. The Contractor shall ensure affirmatively that its employees and subcontractor employees possess such documents or authorizations.

Contractor employees who:

(a) are not nationals of Germany or other European Union countries, and

(b) are not members of the force, the civilian component or their dependents, and

(c) do not have assimilated status under Articles 71, 72, or 73 of the Supplementary Agreement to the NATO SOFA shall possess work and residence permits.

By acceptance of and performance under this contract and any task orders or delivery orders issued hereunder, the Contractor affirms that it has complied with the requirements above.

Compliance with this clause and German law is a material contract requirement. Noncompliance by the Contractor or Subcontractor at any tier shall be grounds for issuing a negative past performance evaluation and terminating this contract, task order, or delivery order for default.

(End of local clause)

3. To update the Instruction to Offerors Addendum and Addendum to Clause 52.212-4 to read as follows:

Instruction to Offerors:

Subfactor 1: Certifications. As part of its proposal, offerors shall submit documentation that demonstrates proof of certification that comply with the requirements specified in PWS Paragraph 1.1 (Background) regarding ISO (Organization for Standardization) 9001-2000 certification and PWS Paragraph 1.6.2. (Contract Management) regarding being registered in the trade as a “Meisterbetrieb”. Only offerors providing documentation supporting this requirement will be eligible for award. Proposals that are received that do not provide the contractors proof of certification that conforms to the requirements outlined in referenced PWS Paragraphs will be rated “Unacceptable” based on not meeting this standard.

Subfactor 2: Personnel Staffing and Qualifications. As part of its proposal, offeror shall submit a personnel staffing plan that addresses how it will meet the PWS requirements defined in paragraph 1.6.18. (Key Personnel) for the contract manager, alternate contract manager, project manager, and key personnel qualifications. Also, the contractor must submit documentation on how it will meet the requirements in PWS Paragraph 1.6.15 (Special Qualifications and Requirements).

Subfactor 3: Quality Control Plan (QCP). As part of its proposal, offeror shall provide a description of its quality control/inspection system, which shall cover the Performance Objectives listed in Technical Exhibit #01 (Performance Requirement Summary) and shall include specifics of the areas to be inspected (on both a scheduled and unscheduled basis), frequency of the inspections, and the title and organizational placements of the inspectors.

The inspection system shall also identify methods for identifying deficiencies in the quality of services performed and shall address the process for taking corrective actions as specified in Appendix B, Paragraph 5 (Quality Control Plan) of the PWS without depending on Government direction. The Quality Control Plan should also include procedures regarding the establishment and implementation of the Contractor’s Key Control Plan specified in section 1.6.14 (Key Control) of the PWS.

Factor 2: Past Performance

a. Offeror shall describe up to three (3) relevant contracts (if available) and/or subcontracts it has performed over the past three (3) years. Relevant contracts include individual contracts that are similar in scope to this solicitation, including contracts performed by a teaming partner or subcontractor. New corporate entities may submit data on prior contracts involving its officers, and proposed key personnel; however, in addition to the other requirements in this section, the Offeror shall describe in detail the role performed by such persons in the contracts cited. The list shall include, for each contract:

(i) Verified contract information for U.S. Government contracts, identifying the Contracting Office, and providing contact information for the Procuring and Administrative Contracting Officers, and the Contracting Officer's Representative for each contract listed.

(ii) For all contracts, provide the name and address of the client firm and name and full contract information (telephone number, fax number, and email address) for a point of contact with knowledge of the contractor’s performance. The contact information must be current as of the date of the submission of the offer.

(iii) Contract Number

(iv) Total contract value (or current and/or estimated total values, if ongoing)

b. The Government reserves the right to gather and consider information from sources other than those identified by the offeror, including the Contractor Performance Assessment Report System (CPARS). Offerors are requested to notify references that the Government Factor 3: Price:

a. Offerors shall complete the pricing information on all three ELIN sheet Frequencies (Anticipated Frequency, Alternate Frequency 1, and Alternate Frequency 2) for the basic year and for all option years. Offerors shall transfer the total prices from the extended line items on the Anticipated Frequency ELIN sheet ONLY to the CLIN prices located on pages 8-10 in the Schedule. The Government will evaluate the offerors' price for completeness and unbalanced pricing. Each offeror's proposed price will be evaluated to determine whether it is fair and reasonable in accordance with FAR 15.404. The total evaluated price shall be the average of all ELIN Prices listed in the schedule for all three frequencies (Anticipated Frequency, Alternate Frequency 1, and Alternate Frequency 2) for the base year, all option years, and an additional six months of service possible under FAR 52.217-8. All three frequencies will be given an equal weighted percentage. To account for the option period(s) possible under Clause 52.217-8 (maximum six months), Option to Extend Services, the Government will take the price for all CLINS of the final option period, prorate it to a six-month value, and add it to the sum of all CLINS (base plus all option periods). This amount will be the total evaluated price. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). In the event there is a difference between a unit price and the extended total amount, the unit price will be held to be the intended offer and the total recomputed accordingly. If the offer provides a total amount for a contract item but fails to enter the unit price, the amount divided by the specified quantity will be held to be the intended unit price. Although the Government will include all three ELIN frequencies when determining the total evaluated price, contract award will only be made to the anticipated frequency ELIN sheet. Please carefully read the addendum to FAR 52.212-4, particularly the addendum to paragraph c and paragraph l, for information on how the alternate ELIN sheets will be used in this contract.

Addendum to Clause 52.212-4:

Paragraph (a) Inspection/Acceptance: Inspection and acceptance will be performed at the address, shown in block 15 of the Standard Form 1449.

Paragraph (b) Assignment is replaced by DFARS 252.232-7008 ASSIGNMENT OF CLAIMS (OVERSEAS).

Paragraph (c) Changes: The information contained in paragraph (c) supplements and does not replace paragraph (c). The Government may change the frequencies in services of this contract through the use of a unilateral modification. The written notice must be given to the contractor at least 70 days before one of the alternate frequency ELIN sheets are implemented. Once an alternate frequency ELIN sheet is implemented, that frequency becomes the active ELIN sheet until another unilateral modification is issued advising the contractor of a change in the active ELIN sheet frequency. If and when ELIN frequency sheet shifts occur, they will take place at the beginning of a month to facilitate invoicing. The Government will make award to the anticipated frequency sheet. As specified above, the government may unilaterally modify this contract from the anticipated frequency sheet to either Alternate Frequency Sheet 1 or 2. The only frequency shifts that occur unilaterally will be based on one of the three ELIN sheets in this contract (Anticipated Frequency, Alternate Frequency 1, and Alternate Frequency 2).

Paragraph (k) TAXES is replaced by Clause DFARS 252.229-7000 INVOICES EXCLUSIVE OF TAXES OR

DUTIES

Paragraph (t): The following clauses are added by reference: FAR 52.203-3, FAR 52.203-6, FAR 52.204-7, FAR 52.233-3, FAR 52.233-4 and DFARS 252.204-7004 A.

4. To update Provision 52.212-2 “Evaluation – Commercial Items (Jan 1999)

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1. Technical

2. Past Performance

3. Price

The Government will make an award using the Lowest Price Technically Acceptable (LPTA) source selection process per FAR 15.101-2. Technical and past performance, when combined, is used to evaluate the offeror’s proposal for acceptability. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors.

After determination of technical acceptability and past performance rating of acceptable, award will be based on the lowest price, technically acceptable proposal.

Factor 1: Technical

The Technical rating will be based on an “Acceptable” / “Unacceptable” basis. The following definitions will be used in evaluating the offeror’s proposal against the technical requirement.

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

The technical factor is met when the Offeror’s proposal demonstrates as effective approach that clearly demonstrates evidence of the full capability for executing the PWS requirements.

Subfactor 1: Certifications. This factor evalutes the offeror's understanding of the certification requirements specified in PWS Paragraph 1.1 (Background) regarding ISO (Organization for Standardization) 9001-2000 certification and PWS Paragraph 1.6.2.

This factor evaluates the offeror's approach to a personnel staffing plan that addresses how it will meet the PWS requirements defined in paragraph 1.6.18.

This factor evaluates the offeror's approach to its quality control/inspection system. This approach must cover the Performance Objectives listed in Technical Exhibit #01 (Performance Requirement Summary) and shall include specifics of the areas to be inspected (on both a scheduled and unscheduled basis), frequency of the inspections, and the title and organizational placements of the inspectors.

This factor also evaluates the ability of the inspection system to identify methods for identifying deficiencies in the quality of services performed and shall address the process for taking corrective actions as specified in Appendix B, Paragraph 5 (Quality Control Plan) of the PWS without depending on Government direction. The factor will also evaluate the offeror's understanding of the requirement for a Key Control Plan as specified in section 1.6.14 (Key Control) of the PWS.

A rating of unacceptable at the subfactor level will result in an overall rating of unacceptable for the entire factor.

Offers must receive an acceptable rating for the technical factor, to include all subfactors, to be considered eligible for the award.

Factor 2: Past Performance

The Past Performance rating will be based on an “Acceptable” / “Unacceptable” basis. The following definitions will be used in evaluating the degree the offeror will satisfactorily provide the required services based on past and current performance records. An Acceptable or Unacceptable rating will be determined as follows:

Rating Description

Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

a. Past Performance Information: The information presented in the Past Performance References and information obtained from other available sources other than those identified by the Offeror (such as past performance information obtained from Federal, State and local Government agencies, better business bureaus, published media, and electronic data bases available to the Government) will be the basis for evaluation of this factor.

b. Past Performance Evaluation: The Government will consider the offeror’s previous and current record of contractual performance. The Government assessment will focus on recent contracts that are relevant to the effort required by this solicitation. Recent is defined for this action to be contracts that were performed within the last three (3) calendar years from the issuance date of the Request for Proposals (RFP). Relevant contracts include individual contracts that are similar, in whole or in part, to this solicitation, including contracts performed by a teaming partner or subcontractor.

c. The Government may reject a proposal if it is found that any information that has a negative impact on the offeror’s past performance record has been deleted, misrepresented, or withheld.

d. It is at the Government’s discretion to determine whether past performance information furnished is or is not considered similar to the size and scope of the present requirement. Should the offeror have no past performance information the Government will assign the neutral rating of “Unknown Confidence” to the offeror, which will be deemed as an “Acceptable.”

e. Offerors are cautioned that, in conducting the past performance assessment, the Government may use data provided in the offeror's proposal and data obtained from other sources. Since the Government may not necessarily interview all of the sources provided by the offerors, it is incumbent upon the offerors to explain the relevance of the data provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of proving an “acceptable” past performance rests with the offerors.

f. Offerors may provide information on problems encountered on the contracts identified in their past performance submissions and the offerors’ corrective actions (FAR 15.305).

Factor 3: Price:

(a) The offeror's price will be evaluated for completeness and unbalanced pricing. Although the Government will include all three ELIN frequencies when determining the total evaluated price, contract award will be made only to the anticipated ELIN frequency sheet. Please carefully read all addendums to FAR 52.212-4 in this contract, particularly the addendum to paragraph c and paragraph l.

i. Currency: Offers submitted in response to this solicitation shall be in terms of local currency or U.S.

Dollars. The Government shall use the daily exchange rate of the solicitation closing date to convert local currency offers into U.S. Dollar for evaluation. Evaluation of foreign currency offers will be in accordance with FAR clause 52.225-17. All supporting documentation shall reflect the same currency established in the price proposal.

(b) Options:

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Additionally, when exercising the option, the Government will specify which of the three ELIN schedules the option is for.

(c) A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.

Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(End of provision)
