BPA CONDITIONS
GENERAL
A. In the spirit of the Federal Acquisition Streamlining Act, the U.S. Army Corps of Engineers (USACE) and the vendor/contractor/contractor/contractor enter into this agreement to further reduce the administrative costs of acquiring commercial services/supplies. BPA's eliminate contracting and open market costs and time such as search for sources, the development of technical documents, solicitations, and the evaluation of offers.
B. A blanket purchase agreement is a simplified method of filling anticipated repetitive needs for services by establishing "charge accounts" with qualified sources of service.
The use of BPA's is economical when: 1) there is a wide variety of items in a broad class of services that are generally purchased, but the exact items, quantities, and delivery requirements are not known in advance and may vary considerably; 2) there is a need to provide commercial sources of service for one or more offices or projects in a given area that do not have or need authority to purchase otherwise: and 3) the use of this procedure would avoid the writing of numerous purchase orders.
C. The BPA is not a contract. The Government is not obligated to place any orders, and the vendor/ contractor time. The BPA is not enforceable against either party. An enforceable contract exists only when the Government places a call against the BPA and the vendor/contractor/contractor accepts that call.
D. The existence of a BPA does not justify purchasing from only one source. Individual requirements greater than $2,500 shall be competed. Additionally, authorized individuals placing calls under BPA's are responsible for ensuring that prices are reasonable.
Individuals authorized to make calls greater than the micro-purchase threshold, are responsible for obtaining and documenting competition as required by RFO 12.201- 1(e)(3)(iv).
AUTHORITY, RESPONSIBILITIES AND RESTRICTIONS
A. In accordance with RFO 12.201-1(e)(3)(iv), the Contracting Officer is authorized to establish BPA's and shall ensure that the following agreements between the vendor/contractor and the U.S. Army Corps of Engineers, New Orleans District are reached:
1. The vendor/contractor agrees to furnish the requested services in accordance with the terms and conditions of the BPA, without the need of additional paperwork;
2. A written record of each purchase is prepared and a receipt is created at the time of delivery for each individual call; and
3. The vendor/contractor agrees to provide a summary invoice/statement.
B. Authorized Callers: Only Warranted Contracting Officers of the New Orleans District may sign individual calls against these BPAs to place orders for more than $25,000.00 per call. Authorized Call Officers within the New Orleans District may place individual Calls against this BPA for no more than $25,000.00 per call. An authorized caller for a U.S.
Army Corps of Engineers (USACE) Blanket Purchase Agreement (BPA) is an individual specifically designated by the USACE contracting officer to place orders against that BPA. This person is an official representative of the government and is the only individual, other than the contracting officer, who can make purchases under the agreement. Only authorized individuals are authorized to place orders (Calls) under this BPA, and the Contractor shall not accept, nor is the Government liable, for payment of orders made by anyone other than authorized individuals. Additional USACE MVN employees authorized to place calls will be identified upon award. Any changes in the names of the authorized individuals shall be made only by the Contracting Officer. Upon award, the list of initial authorized Call Officers will be provided upon award and shall be maintained and made available by the Contracting Officer Representative (COR).
C. Responsibilities: Call Officers are responsible for providing the vendor/contractor with complete ordering information to ensure that proper completion of work, billing, and prompt payment occurs. Call Officers should also ensure obligations and expenditures are kept within available funds.
D. Restrictions: BPAs are not to be used for purchases greater than the Simplified Acquisition Threshold (SAT) which is $350,000.00.
E. The minimum order amount is $100.00.
PURCHASES UNDER BPAs
A. Price Reasonableness and Competition: A Warranted Contracting Officer shall obtain competition to the maximum extent practicable. Pricing will be established, and reasonableness determined by competition on a per order basis. Prices to the Government for purchases hereunder shall be as low or lower than, those charged to the contractor's most favored customer for comparable services under similar terms and conditions.
B. Placing a Call: Calls shall be placed against this BPA directly with the vendor/contractor/ contractor by phone, e-mail or hard copy to BPA holder.
1. The Authorized Caller contacts the BPA holders and, if required, requests competitive quotes. When soliciting quotes, the vendor/contractor/contractors are provided a description of the type of supplies/services needed, the location and the required delivery date. Selection of the BPA will be made based on the best value to the Government-based on price, and non-price factors, e.g. quality, equipment, vendor/contractor availability to furnish the services stipulated in the Scope of Work.
2. Authorized Callers are required to ask the vendor/contractor to state any discounts on their invoice/statement.
3. Authorized Callers shall inform the vendor/contractor/contractor of the BPA number and Call Number that must appear on their invoice/statement.
C. Purchase File Documentation:
1. For calls that are anticipated to be from $2,500 to $25,000 and should circumstances of the order action deem only one source reasonably available, that rationale shall be documented.
2. Each order placed against an established BPA should be entered on a log sheet.
Separate call sheets (logs) shall be maintained for each vendor/contractor with whom a BPA has been established. Limitations on Subcontracting (Feb 2026) (Deviation 2026-O0038)
(a) This clause does not apply to the unrestricted portion of a partial set-aside.
(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that-
(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and
(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.
(c) Applicability. This clause applies only to-
(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(3) Contracts that have been awarded on a sole-source basis in accordance with sections 19.105, 19.106, 19.107, and 19.108;
(4) Orders expected to exceed the simplified acquisition threshold and that are set aside for small business concerns under multiple-award contracts, as described in 8.4 and 16.5;
(5) Orders, regardless of dollar value, that are set aside in accordance with sections 19.105, 19.106, 19.107, and 19.108 under multiple-award contracts, as described in 8.4 and 16.5; and
(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.
(d) Independent contractors. An independent contractor shall be considered a subcontractor.
(e) By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for-
(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded.
