SUMMARY OF CHANGES

SECTION SF 30 - SF 30 CONTINUATION

The required response date/time has changed from 20-Aug-2024 10:00 AM to 27-Aug-2024 10:00 AM.

The following have been added by full text:

AM0004

Question 4: The Contract Documents appear unclear on dealing with excusable weather delays for adverse weather in excess of anticipated. Please provide the monthly table of expected adverse weather days or confirm that the use of either U.S. Army Corps of Engineers or another government tabulation of expected adverse weather by month for the Project area is acceptable, and, confirm that such adverse weather days in excess of those expected, if any, shall be handled by the parties as an compensable delay, or explain what is intended.

Response 4: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 5: The Contract Documents lack clarity on beneficial occupancy, in part or whole, of the Project prior to Substantial Completion. Please confirm that if the Owner takes beneficial occupancy of the Project or any identifiable portion of the Project, such beneficial occupancy shall constitute Substantial Completion of the beneficially occupied portion of the Work and that the Owner shall negotiate with Contractor with respect to any impacts of such occupancy, or clarify what is intended.

Response 5: Please refer to FAR clause 52.236-11, which is incorporated by reference in the solicitation.

Question 6: Please confirm that if the Owner takes beneficial occupancy of the Project or any identifiable portion of the Project, such beneficial occupancy shall commence warranty obligations with respect to the occupied portion of the Work, or, if not, clarify what is intended.

Response 6: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 7: The Contract Documents appear silent on a Builder's All-Risk Policy. Please confirm that the Owner intends to and shall carry a Builder's All Risk policy in the face amount of the Project until the Project achieves Substantial Completion or until the Owner takes Beneficial Occupancy, whichever is earlier, or, that the Owner will reimburse Contractor for the cost of such Builder's All-Risk policy if carried by the Contractor in the absence of such an Owner policy, or, explain what is intended.

Response 7: The agency will not carry a Builder’s All Risk policy, nor any other insurance. Unless otherwise specifically noted, the awardee must exercise its own business judgment in determining whether to purchase any insurance to cover anticipated risks. The agency will not reimburse the contractor the cost of procuring a Builder’s All-risk policy.

Question 8: The Contract Documents appear unclear on the amount of time for Owner review of a Proposed Change Order. Please confirm that any Proposed Change Order (PCO) delivered by Contractor to Owner shall receive approval or be returned with written comment within fourteen (14) calendar days, or thereafter be considered null and void without further action by either party, unless extended in a signed writing by Contractor before 6:00 PM local time at the Owner's place of business on the 14th day after the date that such PCO was delivered by Contractor to Owner, or identify any other period Owner intends.

Response 8: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 9: The Contract Documents indicate that Contractor's remedy for delays caused by the Client/Owner shall allow for an extension of Contract Time but not an adjustment of Contract Price. Such a remedy is inadequate to compensate the Contractor for the direct cost impacts of such compensable changes. Please confirm that Client/Owner-responsible delays will be fairly negotiated as to impacts on time and cost, or explain why not.

Response 9: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 10: The Contract Documents do not expressly exclude damages other than direct damages or liquidated damages. These other damages would be in the nature of indirect damages. Please confirm that each Party expressly waives any claim for indirect or consequential damages that could be demanded by either Party against the other, or explain what is intended.

Response 10: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 11: Please confirm that Liquidated Damages ("LDs") are the Owner's sole and exclusive remedy with respect to any late substantial completion ("SC") caused solely by Contractor, and confirm that the Owner agrees that the Parties shall consider LDs to be direct damages and not to be considered indirect damages, or explain what is intended.

Response 11: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 12: The indicated LDs do not distinguish between extended Substantial Completion and extended Final Completion. The Owner's likely daily costs of administering the Contract close-out after Substantial Completion (or Beneficial Occupancy) are typically de minimis. If there will be LDs after Substantial Completion (or Beneficial Occupancy) for extended Final Completion, please provide that separate, daily extended Final Completion LD amount.

Response 12: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 13: The Contract Documents lack clarity on the handling of excess adverse weather. Please confirm that the Parties will use a standard calendar of anticipated adverse weather of expected days by month of expected adverse weather and that Contractor shall track, document and present adverse weather in excess of anticipated on a weekly basis for an adjustment of the Contract Time, with such adjustment presented on a monthly basis, or explain what is intended.

Response 13: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 14: The Contract Documents appear to allow the Owner to direct acceleration without compensation when the cause for critical path delay is by other than the Contractor. Please confirm that the Parties shall negotiate the compensable impacts of any directed or constructive acceleration of the Work except where such acceleration or recovery of delay to the Project critical path due solely to Contractor critical path delay and without corresponding critical path delay by the Owner or others, or explain what is intended.

Response 14: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 15: FAR 52.249-10(a) provides that Government "may take possession of and use any materials, appliances, and plant on the work site necessary for completing the work." Taking over Contractor’s owned equipment is an extraordinary measure that violates a Bidder’s corporate policy as well as existing covenants and enforceable agreements. Please confirm that under no circumstances shall Owner take possession of, or exercise control over, Contractor’s tools, construction equipment or machinery, or explain what is intended.

Response 15: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 16: The Contract Documents are unclear on existing HAZMAT. Please confirm that the Contract Documents disclose any presently existing HAZMAT within the project limits and include the location, the specific material(s) and concentrations determined, when such HAZMAT is expected to be remediated by the Owner, or explain what is intended.

Response 16: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 17: The contract appears to be silent on broadform indemnification. [Texas Statutes disfavor or disallow broadform indemnification (See, Title 2., Subtitle C., Chapter 151 of the Texas Insurance Code.] Please confirm that each Party shall be responsible to the other Party to the extent and in the proportion that the Party's acts or omissions result in impacts to the other Party or to third parties, or explain what is intended.

Response 17: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 18: The Contract Documents appear unclear on LDs as the sole remedy for late completion.

Please confirm that LDs are intended as the Owner's sole remedy for any delay to the Substantial Completion date caused solely by Contractor and without concurrent Owner-responsible delay, or explain what is intended.

Response 18: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 19: Please confirm that with respect to any withheld retainage, it shall not be held longer than the minimum mandatory time allowed by applicable state law, or explain what is intended.

Response 19: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 20: Please indicate whether retainage may be placed by Owner at Contractor's request in an interest earning account until such payment of retainage with interest earned to Contractor, or explain why this is not available.

Response 20: Retainage will not be placed in an interest earning account.

Question 21: Please indicate whether the Owner will consider a retention/retainage bond at Contractor's sole cost in lieu of percentage retainage in order to enhance Contractor cash flow without significant added risk to the Owner, or explain why this is not available.

Response 21: No.

Question 22: The Contract Documents do not indicate incomplete right-of-way ("ROW") acquisition or impairment of Project Work. Please confirm; or, if there are acquisition, easement or title issues, please disclose those in writing and indicate the expected date of resolution of each and provide the contact information for such land-acquisition person or persons.

Response 22: Please refer to Solicitation Section 01100-11, Paragraph 12, “Rights-of-Way”.

Question 23: The Contract Documents appear unclear on the method of analyzing alleged Contract Delays. Please confirm that the Parties intend to: 1) use the most recent updated schedule prior to the delaying event, 2) insert the delating activity or activity fragmentary network and 2) then analyze the days of impact to the expected Substantial Completion Date; or, explain what method will be used.

Response 23: Interested bidders should consult with their legal counsel for advice on interpreting legal requirements of the solicitation and resulting contract.

Question 24: The Contract Documents do not appear to indicate any specific Utility Conflicts of conflicts with underground infrastructure. Please confirm that the Plans properly reflect all known, existing subsurface utilities and infrastructure (whether in the ground or adjacent waters, if any), or specifically identify what inaccuracies exist, where, and with respect to what specific utilities services (like water, sewer, gas, low voltage); and, provide the expected date of relocation or removal, indicating the responsible entity and point of contact for each separate utility.

Response 24: See Section 35 20 23.00 12, paragraph 3.2.3 Existing pipelines, Structures or Utilities.

Utility list provided was developed from permits and as-builts provided by utility owners. Contractor is to do its own investigation to verify pipelines in project area. Numbers are provided for LA One Call and Gulfsafe to aid in investigation.

Question 25: The Contract Documents appear unclear on the relocation of any utility conflicts, if encountered. Please identify necessary each incomplete utility relocation, if any, within the project limits with a date for completion and a contact for coordination; and, please confirm that the Parties shall negotiate an equitable adjustment for any cost or time impacts resulting from undisclosed utilities, if encountered, or explain what is intended.

Response 25: No relocations are to be performed under the terms of this solicitation and future contract.

SECTION 00010 – BIDDING SCHEDULE

Mississippi River Outlets

Vicinity of Venice, Louisiana

Baptiste Collette Bar Channel

#24-1 Maintenance Dredging Plaquemines Parish, LA

*Denotes a change from the original Bidding Schedule.

Award will be made as a whole to one bidder.

NOTE 1: The unit “JOB” as used in this Bidding Schedule is synonymous with the term “Lump Sum” used elsewhere within these plans and specifications.

NOTE 2: Bidders shall furnish unit prices for each item listed in the Schedule requiring a unit price. If the bidder fails to insert a unit price in the appropriate blank for required item(s), but does furnish an extended total, or an estimated amount for such item(s), the Government shall deem the unit price to be the quotient obtained by dividing the extended amount for that line item by the quantity. IF A BIDDER OMITS BOTH THE

UNIT PRICE AND THE EXTENDED TOTAL OR ESTIMATED AMOUNT FOR ANY

ITEM, ITS BID SHALL BE DECLARED NON-RESPONSIVE AND THEREFORE

INELIGIBLE FOR AWARD.

NOTE 3: Any bid may be rejected if the Contracting Officer determines in writing that it is unreasonable as to price. Unreasonableness of price includes not only total price of bid, but the price for individual line items as well. Any bid may be rejected if the prices for any line items or subline items are materially unbalanced (See FAR 14.404-2, Rejection of Individual Bids).

NOTE 4: THE NOTICE TO PROCEED (NTP): The successful bidder is advised that performance and payment bonds shall be submitted in accordance with the time frame in block 12B of SF 1442 after Notice of Award. The NTP will be issued immediately after verification of acceptable performance and payment bonds. Within seven (7) days after issuance of the NTP, the Contractor shall initiate a meeting to discuss the submittal process with the Area or Resident Engineer or his authorized representative. Physical work cannot start until the Accident Prevention Program, Contractor Quality Control Plan, and other submittals which may be required, have been submitted and approved and all preliminary meetings called for under the contract, have been conducted.

NOTE 5: RAPID VENDOR PAYMENT. Web based instructions for the submission of invoices may be found at the following website:

http://www.mvn.usace.army.mil/BusinessWithUs/Contracting/RapidVendorPayment

NOTE 6: Option for Increased Quantity- Separately Priced Line Item (FAR 52.217-7).

The Government may require the delivery of the numbered line item, identified in the Schedule as an option item, in the quantity and at the price stated in the Schedule. The Contracting Officer may exercise the option by written notice to the Contractor any time prior to the completion date of the basic line item or any previously exercised option or executed modification. Delivery of added items shall continue at the same rate that like items are called for under the contract, unless the parties otherwise agree.

NOTE 7: EVALUATION OF OPTIONS (FAR 52.217-5 JUL 1990). Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the government to exercise the option(s).

*NOTE 8: OPTION WORK ITEM: The Government may require the delivery of, in whole or part, the numbered line items identified in the schedule as an OPTIONAL WORK item, in the quantity and price stated in the schedule. The Contracting Officer may exercise the OPTIONAL WORK by written notice to the Contractor. If the Government activates the Optional Work Items, the activation will occur while the Contractor’s plant is within the limits of work. Bidders shall bid on all items including optional items (see “EVALUATION OF OPTIONS” FAR 52.217-5). Failure to bid on all items will result in a non-responsive bid.

NOTE 9: TIME ADJUSTMENT IN THE EVENT OF THE EXERCISE OF OPTIONAL

WORK. In the event that the OPTIONAL WORK item is exercised under the terms of the contract, the time required for completion of the contract will not be adjusted but shall be performed concurrent with the original contract duration of 200 calendar days established for the BASE WORK items specified in Section 00700, CONTRACT CLAUSES, paragraph entitled COMMENCEMENT, PROSECUTION, AND

COMPLETION OF WORK.

EVALUATION OF SUBLINE ITEMS (Dec 2019 - AFARS 5152.211-9000).

Item Nos. 0003 and 0004 are subdivided into two or more estimated quantities and are to be separately priced. The Government will evaluate each of these items on the basis of total price of its subline items.

(End of Clause)

VARIATIONS IN ESTIMATED QUANTITIES - SUBLINE ITEMS (Dec 2019) - AFARS 5152.211- 9001).

This variation in estimated quantities clause is applicable only to item Nos. 0003 and 0004 .

(a) Variation from the estimated quantity in the actual work performed under any second or subsequent subline item or elimination of all work under such a second or subsequent subline item will not be the basis for an adjustment in contract unit price.

(b) Where the actual quantity of work performed for item Nos. 0003 and 0004 is less than 85% of the quantity of the first subline item listed under such item, the contractor will be paid at the contract unit price for that subline item for the actual quantity of work performed and, in addition, an equitable adjustment shall be made in accordance with the clause at Federal Acquisition Regulation (FAR) 52.211-18, VARIATION IN

ESTIMATED QUANTITY.

(c) If the actual quantity of work performed under item Nos. 0003 and 0004 exceeds 115% or is less than 85% of the total estimated quantity of the subline item under that item and/or if the quantity of the work performed under the second subline item or any subsequent subline item under item Nos. NONE exceeds 115% or is less than 85% of the estimated quantity of any such subline item, and if such variation causes an increase or a decrease in the time required for performance of this contract the contract completion time will be adjusted in accordance with the clause FAR 52.211-18, VARIATION IN ESTIMATED QUANTITY.
