52.204-7 SYSTEM FOR AWARD MANAGEMENT (JULY 2013)

(a) Definitions. As used in this provision--

Data Universal Numbering System (DUNS) number means the 9-digit number assigned by Dun and Bradstreet, Inc.

(D&B) to identify unique business entities.

Data Universal Numbering System +4 (DUNS+4) number means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.)

This 4-character suffix may be assigned at the discretion of the business concern to establish additional System for Award Management records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at Subpart 32.11) for the same parent concern.

Registered in the System for Award Management SAM database means that--

(1) The offeror has entered all mandatory information, including the DUNS number or the DUNS+4 number, the Contractor and Government Entity (CAGE) code, as well as data required by the Federal Funding Accountability and Transparency Act of 2006 (see Subpart 4.14) into the SAM database;

(2) The offeror has completed the Core, Assertions, and Representations and Certifications, and Points of Contact sections of the registration in the SAM database;

(3) The Government has validated all mandatory data fields, to include validation of the Taxpayer Identification Number (TIN) with the Internal Revenue Service (IRS). The offeror will be required to provide consent for TIN validation to the Government as a part of the SAM registration process; and

(4) The Government has marked the record ``Active''.

(b)(1) By submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance, and through final payment of any contract, basic agreement, basic ordering agreement, or blanket purchasing agreement resulting from this solicitation.

(2) The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address exactly as stated in the offer. The DUNS number will be used by the Contracting Officer to verify that the offeror is registered in the SAM database.

(c) If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one.

(1) An offeror may obtain a DUNS number--

W912P8-15-B-0025

(i) Via the Internet at http://fedgov.dnb.com/webform or if the offeror does not have internet access, it may call Dun and Bradstreet at 1-866-705-5711 if located within the United States; or

(ii) If located outside the United States, by contacting the local Dun and Bradstreet office. The offeror should indicate that it is an offeror for a U.S. Government contract when contacting the local Dun and Bradstreet office.

(2) The offeror should be prepared to provide the following information:

(i) Company legal business.

(ii) Tradestyle, doing business, or other name by which your entity is commonly recognized.

(iii) Company Physical Street Address, City, State, and Zip Code.

(iv) Company Mailing Address, City, State and Zip Code (if separate from physical).

(vi) Date the company was started.

(vii) Number of employees at your location.

(viii) Chief executive officer/key manager.

(ix) Line of business (industry).

(x) Company Headquarters name and address (reporting relationship within your entity).

(d) If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.

(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering. Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.

(f) Offerors may obtain information on registration at https://www.acquisition.gov.

“FAR 52.236-4 PHYSICAL DATA (APR 1984)

Data and information furnished or referred to below is for the Contractor's information. The Government shall not be responsible for any interpretation of or conclusion drawn from the data or information by the Contractor.

a. Weather Conditions. Data on weather conditions may be obtained from the National Weather Service.

b. Conditions of Channel. Normally, ample width and depth of channel are available within the limits of the work to provide for normal navigation and to carry out the necessary construction operations.

NOTE: Hydrographic surveys of locations within the limits of work are available for inspection in the office of the Contracting Officer.

c. Channel Traffic. Normal traffic of the river, consisting of self-propelled craft with or without tows, will pass the sites of the work.

d. Obstruction of Channel. The Government will not undertake to keep the channel free from vessels or other obstructions, except to the extent of such regulations, if any, as may be prescribed by the Secretary of the Army in accordance with the provisions of Section 7 of the River and Harbor Act of 8 August 1917. The Contractor will be required to conduct the work in such manner as to obstruct navigation as little as possible, and in case the Contractor's plant so obstructs the channel as to make difficult or endanger the passage of vessels, said plant shall be promptly moved on the approach of any vessels, to such an extent as may be necessary to afford a practicable passage. Upon completion of the work, the Contractor shall promptly remove his plant, including ranges, buoys, piles and other markers placed by him under the contract in the navigable waters or on shore.

e. River Stages. Approximate range of stages of the Mississippi, Atchafalaya, and Red Rivers at different local gages is indicated in the following tables:

Extreme high water usually occurs during April and May and a secondary rise frequently occurs in June after which the stage usually falls to approximately the low water reference plane (LWRP) and remains low for several months. The normal working season for the work to be done under this contract is seldom more than five (5) months, extending from about August to January. Annual hydrographs of the different gages within the limits of this work are available for inspection at the office of the Contracting Officer. Currents usually encountered at the sites of the work during the low water period will vary from about one (1) mile per hour to above six (6) miles per hour.

f. Wharf Structures. Work will not be required beneath or landward of wharf structures that would interfere with ordinary construction methods or impede ordinary construction progress inherent in this type of work.

g. Conditions of Inflow Channels (Low Sill and Auxiliary) Miles 314.5 and 312.0 AHP.

The controlling elevations of the bottom of the channels for access to the sites are approximately as follows:

Low Sill +1.0 N.G.V.D.

Auxiliary - 5.0 N.G.V.D.

Note: During the work period, the gates of the structures will be open.”

“(3) The Contractor shall perform grading, earth fill, stone bank paving, stone repairs within the limits of these contract specifications, and shall prosecute the work at the various jobsites in such order of precedence as may be prescribed by the Contracting Officer. Task Orders will be furnished to the Contractor during the life of the contract specifying the jobsites at which grading, earth fill, stone bank paving, and stone repairs are to be performed. While the Contractor's work is in progress at any particular jobsite, the Contracting Officer may issue a Task Order for additional work to be performed by the Contractor at that particular jobsite. Task Orders issued may not necessarily require that stone bank paving be performed at each of the jobsites at which subaqueous mattress work is being performed by the Government or at only those jobsites where subaqueous mattress work has been performed by the Government. Generally, work ordered at any jobsite consists of all grading, earth fill, stone bank paving, and stone repairs to be placed at that jobsite; however, the Government reserves the right to order that only portions of the grading, earth fill, stone bank paving, and stone repairs at any jobsite be placed under the contract with the remainder of the work accomplished by other means. When river stages or other conditions are such that such action is warranted, the Government further reserves the right to refrain from issuing a Task Order for grading, earth fill, stone bank paving, and stone repairs at a jobsite, or after a Task Order has been issued, to delete from the Task Order all or any part of said grading, earth fill, stone bank paving, and stone repairs. The Government may temporarily suspend work at a jobsite in order for the Contractor to perform emergency work at another jobsite. Upon completion of the emergency work the Contractor may be directed to resume grading, earth fill, stone bank paving, and stone repairs at the jobsite where the work was suspended or another jobsite. An equitable adjustment will be made under the Section 00700 Contract Clause entitled CHANGES (FAR 52.243-4) for performing emergency work. “

*Denotes a change from the previous Bidding Schedule.

NOTE 1: The award will be made as a whole to one bidder.

NOTE 2: UNIT PROCES ARE BINDING FOR THE DURATION OF THE CONTRACT. Bidders shall furnish unit prices for each item listed in the Schedule requiring a unit price. If the bidder fails to insert a unit price in the appropriate blank for required item(s), but does furnish an extended total, or an estimated amount for such item(s), the Government shall deem the unit price to be the quotient obtained by dividing the extended amount for that line item by the quantity. IF A BIDDER OMITS BOTH THE UNIT PRICE AND THE EXTENDED TOTAL OR

ESTIMATED AMOUNT FOR ANY ITEM, ITS BID SHALL BE DECLARED NON-RESPONSIVE

AND THEREFORE INELIGIBLE FOR AWARD.

NOTE 3: Any bid may be rejected if the Contracting Officer, in writing, determines that it is unreasonable as to price. Unreasonableness of price includes not only total price of the bid, but the price for individual line items as well. Any bid may be rejected if the prices for any line items or sub-line items are materially unbalanced.

NOTE 4: NOTICE OF AWARD/NOTICE TO PROCEED: The successful bidder is advised that performance and payment bonds will be submitted in accordance with the time frame in block 12B of SF 1442 after the Notice of Award. Performance and payment bonds will be required per individual task order. The Notice To Proceed will be issued immediately after verification of acceptable performance and payment bonds. A separate Notice To Proceed will be issued for each Task Order. Within 7 days after issuance of the Notice To Proceed, the Contractor will

00010-5 ED 15-003

initiate a meeting to discuss the submittal process with the Area or Resident Engineer or his authorized representative. Physical work cannot start on a first Task Order until the Accident Prevention Program, Contractor Quality Control Plan, and other submittals which may be required have been submitted and approved and all preliminary meetings called for under the contract, have been conducted. Similarly, physical work cannot start on subsequent Task Orders until Task Order specific supplements to the Accident Prevention Program, Contractor Quality Control Plan, and other submittals which may be required, have been submitted and approved and all Task Order specific preliminary meetings called for under the contract, have been conducted.

NOTE 5: OPTIONAL WORK ITEMS. The Government may require the delivery of Item Nos.

0020, 0021 and 0022, identified in the schedule as Option Work items, in the quantities and prices stated in the schedule. If an Optional Work item quantity is exceeded, the overrun quantity will be paid for at the Optional Work item unit price stated in the schedule. The Contracting Officer may exercise the Optional Work by written notice to the Contractor within the duration of the contract. The contract expiration date is 30 June 2016. The Government will exercise the Optional Work in accordance with the Contract Clause in Section 00700 entitled “OPTION FOR

INCREASED QUANTITY-SEPERATELY PRICED LINE ITEM (FAR 52.217-7, MAR 1989).

Failure to bid on all items will result in a non-responsive bid.

NOTE 6: EVALUATION OF OPTIONS (FAR 52.217-5 JUL 1990). The Government will evaluate offers for award purposes by adding the total price for all options to the total price for this basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).

NOTE 7: TIME ADJUSTMENT IN THE EVENT OF THE EXERCISE OF OPTIONAL WORK. In the event that the OPTIONAL WORK item Nos. 0020, 0021, and 0022 are exercised under the terms of the contract, the time required for completion of the contract will not be adjusted but shall be performed concurrent with the original contract duration of established for the BASE WORK.

Contract expires 30 June 2016.

NOTE 8: Initial mobilization and demobilization costs will be paid for by the Government. Any subsequent mobilization and demobilization costs will be paid for by the Government provided that (a) the Contractor has completed all the work assigned in all the Task Orders issued and the Contractor has demobilized, or (b) the Government has suspended the Contractor and the Contractor has demobilized. Bidders are cautioned to read sub-paragraph 1.b.(3) in Section 01100, paragraph 1 entitled “LOCATIONS AND ANTICIPATED WORK”.

NOTE 9: Attention is directed to the Section 00700 Contract Clause entitled "ORDER LIMITATIONS" (FAR 52.216-19, Oct 1995) for Task Order limitations.

NOTE 10: Task Orders will be issued by electronic communications (e-mail or facsimile) by the Contracting Officer.

NOTE 11: All quantities are estimated and are to be used for bid evaluation purposes only.

Estimated quantities of individual contract line items may vary significantly either up or down depending on the work required during the contract period, which expires 30 June 2016, as long as the earnings limitations of the contract are not exceeded.

NOTE 12: Any travel and lodging costs of contractor personnel shall be considered in the contractor’s pricing, and shall be distributed among the individual contract line items.

NOTE 13: Bidders are cautioned to read the Section 00700 Contract Clause entitled “ALTERNATE A, SYSTEM FOR AWARD MANAGEMENT” (DFARS 252.204-7004, Feb 2014).

NOTE 14: This bid schedule is for evaluation purposes only to determine the lowest bidder.

NOTE 15: The unit “Job” as used in this Bidding Schedule is synonymous with the term “Lump Sum” used elsewhere within these plans and specifications.

SECTION 00800 - SPECIAL CONTRACT REQUIREMENTS

1. COMMENCEMENT, PROSECUTION, AND COMPLETION OF WORK

a. Commencement. The Contractor shall be required to (a) commence work under this contract within 15 calendar days after the date the Contractor receives each Task Order, (b) prosecute the work diligently, and (c) complete the entire work within the time specified in each Task Order.

b. Prosecution.

(1) The work of placing revetment consists of three principal operations to be performed in the following sequence:

(a) Bank grading (to be done by others).

(b) Sinking subaqueous mattress (to be done by others).

(c) Stone bank paving (to be done under this contract).

Notes: Priority for prosecution of contract work shall be as follows unless otherwise stated by the Contracting Officer:

Priority 1 - Stone dike paving required to be in place to avoid delaying the placement of ACM by the mat sinking unit. Dikes that must be in place for heeling purposes for mattress sinking operations to commence shall be constructed far enough in advance of the mat sinking unit’s arrival so as not to delay its progress of placement of ACM.

Priority 2 - Stone bank paving on graded or exposed banks.

Subsequent to mat sinking operations, stone bank paving on graded or exposed banks will follow as close behind the subaqueous mattress sinking unit as operations permit. This work shall be completed as soon as possible after completion of subaqueous mattress sinking operations at each particular jobsite.

Priority 3 - Any additional stone bank paving placement work.

Priority 4 - Any additional stone dike paving placement work.

(2) Sinking subaqueous mattress usually begins at the downstream limit of each jobsite and proceeds continuously upstream. Usually working conditions are such that stone bank paving can be started two (2) days after the beginning of subaqueous mattress sinking operations.

00800-2 ED 15-003

(3) Stone repairs may be specified for any or all of the revetments sites.

Prior to the start of work for each Task Order, the Contracting Officer shall issue to the Contractor a list of revetment sites with the type of stone repairs to be performed in accordance with these plans, specifications and estimated quantities required for the work on each revetment site. Stone repairs may be accomplished at any reach of the revetment site as the Contractor may elect after the receipt of each Task Order, provided the Contractor does not fall behind in the stone bank paving operations.

(4) Normal occurrences of sudden rises in river stages during the low water construction season which may erode the unpaved bank and destroy the subaqueous mattress, make it imperative that the stone bank paving performed under this contract follow the subaqueous mattress sinking operations as closely as working conditions permit unless otherwise prioritized as detailed in the notes of subparagraph Prosecution, subparagraph (1)(c) above, or Section 01100, paragraph LOCATIONS AND ANTICIPATED WORK, subparagraph b.(3). The rate of stone bank paving progress will therefore normally be governed by the rate of progress maintained by the subaqueous mattress sinking operations.

Ordinarily, subaqueous mattress sinking operations progress at an average rate of 700 linear feet (bank measurement) per calendar day on the Mississippi River and at an average of 850 linear feet (bank measurement) per calendar day on the Atchafalaya and Red Rivers and Old River Control Channels. However, the subaqueous mattress sinking operations progress can vary from 200 to 1700 linear feet per day. Stone bank paving operations at each particular jobsite, insofar as is consistent with the requirements of each Task Order, shall be kept as close as practicable to the subaqueous mattress sinking operations and be completed as soon as possible after completion of subaqueous mattress sinking operations at each particular jobsite, unless otherwise prioritized as detailed in the notes of subparagraph Prosecution, subparagraph (1)(c) above, or Section 01100, paragraph LOCATIONS AND ANTICIPATED WORK, subparagraph b.(3).

(5) The Contractor shall maintain sufficient stone supply and equipment to place an average of 4,500 tons or more per calendar day per rig per specified locations requiring stone berms; 1,500 tons or more per calendar day per rig per specified locations requiring stone bank paving; 700 tons or more per calendar day per rig per specified locations requiring stone repairs; and 1,500 tons or more per calendar day per rig per specified locations requiring stone keys; and 700 tons or more per calendar day per rig per specified locations requiring foreshore dike repairs. The time specified in each Task Order shall be computed based upon these specified rates throughout the contract period. Should there be insufficient bank available for placement at the required rates; the time specified in each Task Order shall be adjusted to allow for the delay.

(6) The Contractor shall furnish sufficient force, materials, construction plant and equipment, and stone supply, and shall work such hours, including night shifts and overtime operations as may be necessary to insure the prosecution of the work in accordance with subparagraph Prosecution, subparagraph (4) above. If the Contractor falls behind the specified progress and trails the completed subaqueous mattress sinking operations by more than 5,000 linear feet, the Contractor shall increase the number of shifts and/or overtime operations, and/or the amount of construction plant, and/or stone supply, all without additional cost to the Government.

(7) Failure of the Contractor to comply with the requirements of the Contracting Officer under the provisions of these contract specifications shall be grounds for determination by the Contracting Officer that the Contractor is not prosecuting the work with such diligence as to insure completion within the time specified in the Task Order. Upon such determination, the Contracting Officer may terminate the Contractor's right to proceed with the work, or any part thereof. The Government shall complete such terminated portion of the work by Government plant and hired labor or otherwise, and the Contractor and his surety shall be liable to the Government for any excess cost resulting from the completion of the terminated portion of work.

c. Completion. The Contractor shall complete the entire work, including final cleanup and dressing of all worksites, within the time specified in each Task Order. The time specified in each Task Order is determined by adding together the following: the tons of stone placed for stone berms divided by 4,500 tons per calendar day; the tons of stone placed for stone bank paving divided by 1,500 tons per calendar day; the tons of stone placed for stone repairs divided by 700 tons per calendar day; and the tons of stone placed for stone keys divided by 1,500 tons per calendar day; and the tons of stone placed for foreshore dike repairs divided by 700 tons per calendar day. The time specified in each task shall start on the first date of stone placement within 15 days after the receipt of the Task Order.

The notice shall be provided at least five (5) calendar days prior to the anticipated need for the additional quantity. The Contractor will be responsible for any impact on the completion of the work resulting from an untimely notice. Upon approval by the Contracting Officer for any additional quantity of an item, the time specified in the Task Order shall be modified accordingly.

3. LIQUIDATED DAMAGES

a. If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages to the Government in the amount of $3,470.00 for each calendar day of delay until the work is completed or accepted.

b. If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Section 00700 Contract Clause entitled “TERMINATION FOR CONVENIENCE OF THE GOVERNMENT (FIXED-PRICE)” (FAR 52.249-2, Alternate I, Sep 1996).

5. CONTRACTOR PERFORMANCE EVALUATIONS – CONSTRUCTION

In accordance with the provisions of Subpart 36.201(Evaluation of Contractor Performance) of the Federal Acquisition Regulation (FAR), construction contractor’s performance shall be evaluated throughout the performance of the contract. The United States Army Corps of Engineers (USACE) follows the procedures outlined in Engineering Regulation 415-1-17 to fulfill this FAR requirement. For construction contracts awarded at or above $550,000.00, the USACE will evaluate contractor’s performance and prepare a performance report using the Construction Contractor Appraisal Support System (CCASS), which is now a web-based system. After an evaluation (interim or final) is written up by the USACE, the contractor will have the ability to access, review and comment on the evaluation for a period of 30 days.

Accessing and using CCASS requires specific software, called PKI certification, which is installed on the user’s computer. The certification is a Department of Defense requirement and was implemented to provide security in electronic transactions. The certification software could cost approximately $110 - $125 per certificate per year and is purchased from an External Certificate Authorities (ECA) vendor. Current information about the PKI certification process and for contacting vendors can be found on the web site: https://www.cpars.gov. If the Contractor wishes to participate in the performance evaluation process, access to CCASS and PKI certification is the sole responsibility of the Contractor.
