Revised CONTROL NO. LRC·JA-16-05 Revised 12·5-16
AMENDED JUSTIFICATION AND APPROVAL
FOR OTHER THAN FULL AND OPEN COMPETITION
1. CONTRACTING ACTIVITY:
Department of the Army, Corps of Engineers Chicago District 231 South LaSalle Street, Suite 1500, Chicago, Illinois 60604.
Procuring Contracting Officer: Regina G. Blair Office Symbol: CELRC-CT Phone Number: (312) 846-5371
2 •. DESCRIPTION OF ACTION: The Chicago District Is seeking authority to enter into two sole source follow-on contracts with Smith l\oot, Incorporated (hereinafter, "SRI"), a US owned small business operating.at 14014 NE Salmon Creek Avenue, Vancouver1 Washington, 98686~1610.
a. The District ls proposing to accomplish this procurement byway of a newly established firm-flxed prlce service contract, whlc:hwlll indude a base performance period of six (6) months With an option to extend the services for a period of 6 months, This amendment Is submitted because it has become necessary for the District to non-competitively.award an additional three (3) month (Including options) contract prior to awarding the twelve (12) month (including options) contract.
B. Civil works appropriations have be~n committed for this acquisition and relative funds will be .used to finance the resulting contract.
c The planned contracts are sole-source, follow-on contracts with SRI for the operation and maintenance (O&M) of the Chicago Sanitary and Ship Canal (CSSC} Aquatic Nuisance Species Dispersal Barriers Systems, Romeoville, IL.
This sole source J&AWas originally approved on 16 Sep.2016 and ls now being amended to include an additional three (3) months .of O&M services. The District needs. additional time to negotiate the data deliverables, which are essential to the day·to·day operation of the Barrier sites, with the contractor.
Receiving the appropriate data deliverables Is critical to ensure the Government is able to increase competition in the.future, as well as minimizing the possibility of a Barrier breakdown. The District still anticipates awarding the requirements under the orlglnal.J&A (six.month base period and six rnonth option). However, in. order to ensure successful resolution of the data deliverables, the District will award a contract.for O&M services with a base period ofone month with two option periods (one month each) prior to awarding the second contract. The twelve-month contract cannot be awarded .
before January 2017, hence the three-month "stop gap" contract is necessaryto avoid a possible barrier shutdown(s). The options will only be exereised if the twelve month (Including options) contract has not been finalized. This revises the total sole source J&A amount from to
. All original justifications pertaining to these services remain unchanged.
3. DESCRIPTION OF SUPPLIES/SERVICES:
The Electric Dispersal Barriers llA, llB1 and Demonstrntlon Barrier I are located at 750 and 790 East Old Romeo Road, In Lockport, llllnols, 60441. These facilities under the cognizance of the USACE Chicago District; lie along the banks of the Chicago Sanitary and Ship Canal (CSSC),which ls part of the
· Revised 12-5-16
Chicago Area Waterway system. The barriers were constructed to deter the movement of invasive species, such as Asian Carp, between the Mississippi River and Great Lakes basins. The barrier project currently consists of three distinct parts: Demonstration Barrier I, Barrier llA, and Barrier llB. Each of the barriers consists of steel electrodes fastened to the bottom of the canal which send a low-voltage, pulsing directcurrent (DC) through the water in order to repel invasive fish. Barriers llA and llB are located 800 to 1,300 feet downstream of the Demonstration Barrier. They are able to generate a more powerful electric field over a larger area and consist of two Independent sets of electrodes and control houses. Each control house and set of electrodes can be operated Independently. A new barrier (Permanent Barrier I) Is being constructed and is expected to be completed In late 2017 /early 2018. This Is the last planned Barrier for.the Chicago District. The operation and maintenance (o&M) of the new barrier will not be Included in this proposed contract, as Its. O&M will be performed by USACE staff.
By way of the proposed contracts, SRI will be required to furnish all necessary management, personnel, services, tools, meters, parts, materials, supplies, and equipment required.to operate and maintain Demonstration Barrier I, Barrier llA, and Barrier llB. This Includes monitoring, maintaining, and repairing the pulse-generating systems, telemetry control systems, and other necessary support systems.
Monitoring is to be provided 24 hours/day, 7 days/week. Various scheduled maintenance events will occur on bi-weekly and quarterly schedules.
The proposed contract will also require submittal of data deliverables that provide detailed information on the computer control systems used at the barriers. This Information Includes flow charts and data flow diagrams for operating systems, entity relationship diagrams, full database table structures, all Information technology communication protocols and processes, documentation governing software llfecycles, documents detailing maintenance support of all information technology hardware and software, and recovery procedures for all mission essential information technology hardware. This information Is necessary to comply with Department of Defense requirements (Department of Defense instruction 8510.01), It will also give the Corps greater ability to operate and maintain the barriers within the Corps or with other.contractors.
The estimated value of this work ls , based on recent contract data, including for six months of O&M, for the control system data deliverables, and an additional if the six month option forD&M Is exercised. The three month O&M contract Is estimated at . These contracts will obtain the control system data deliverables and provide uninterrupted O&M services for the barriers until new O&M contracts can be developed and awarded, The Chicago District intends to develop and solicit a competitive O&M contract that includes all operations tasks and as many maintenance tasks as possible. Another contract will likely be. necessary for the specialized maintenance services that require the technical expertise of SRI or a similarly skilled firm. That may require a further sole-source contract with SRI, but with a slgnlffcantly reduced scope and value. Meanwhile, the described follow-on contracts will maintain essential O&M services for an Interim of seven to fifteen months.
4. AUTHORITY CITED: 10 u.s.c .. 2304(c)(1), as Implemented by 6.302-1, Only one responsible source and no other supplies or services wl// satisfy agency requirements. Specifically, the relevant authority is FAR 6.302-l(a) (2) (lil): "For DoD ... services may be deemed to be available only from the original source in the case of follow-on contracts forthe continued provision of highly specialized services when It is likely that award to any other source would result In -- (A) Substantial duplication of cost to the Government that is not expected to be recovered through competition, or (B) Unacceptable delays in fulfilllng the agency's requirements."
· Revised 12-5-16
5, REASONS FOR AUTHORITY CITED:
a .. Background: The Fish Barrier System is unique inthe World with regard to its size and purpose, which Is to completely stop invasive species from transiting a large Waterway. Prior to working on the CSSC Barriers, SRI had done extensive.research and development on electric deterrent systems for intake structures and moblle deterrent.systems on vessels. The Corps contracted with SRI to.build Demonstration Barri.er I (Contract No.DACW23-00-C-0001- Demonstration Barrier), which was experimental. Building upon the lessons learned with .Demonstration Barrier I, the Corps contracted with SRI to construct .Fish Barriers llA and llB (Contracts DACW23-03·C-0013 - Dispersal Barrier llA; and W912P6-10-C-0007- Dispersal Barrier llBh which were much more.complicated and powerful than the Demonstration Barrier. A Barriers O&M solicitation was advertised as a full and open competition in 2012, but the Corps only received a proposal from SRI. Hence, the longterm Barrier O&M contract (Contract No.W912P6"13-C-0001) was awarded to SRI on November 09, 2012. For reasons described herein, this contract was recently extended for six months to September 2016. Finally, a bridge contract was awarded via a local J&A in September 2016 to extend services to December 2016.
Hence, the Chicago District needs Interim follow-on contracts, permitting uninterrupted operation of the Fish Barriers for up to fifteen months. As stated previously, two contracts are needed In order to provide the necessary time to negotiate the data deliverables.
The Chicago District held an Industry Days event for the Barriers on 28 and 29 January 2016. The afternoon of 28 January featured. In-office presentations on the barrier system to potential contactors.
Attendees were then provided an opportunity to tour the barriers site on 29 January. Feedback from this event Indicated that there Is definite interest among other firms in providing services at the barriers, but also significant concern that companies other than SRI would have. enough Information about the barrier systems to effectively operate and maintain the barriers.
Therefore, the control system data deliverables are being Included In the proposed contract.
b. Justlfkatlon: SRI Is the only responsible source for this contract because they are the only source that has the existing knowledge to operate and maintain all parts of the barrier systems and to provide the control system data deliverables. SRI built each of the existing barriers to be operated and maintained under the proposed contract and developed and Installed the system to control pulsing the barriers that is called the Fish Barrier Telemetry Control System (FBTCS). SRI has not licensed the FBTCS technology.for use by others. Hence, any contractor other than SRI would have to spend months, or even years, to learn how to understand and use the previously procured equipment to establish O&M methodology and procedures adequateto support efficient and uninterrupted functioning of the· barriers.
The pulse-generating control system is mission critical for all Barriers. The purpose of the barrier Is to ,stop the movement offish. The pulses of D.C currenttransmltted to.the water are what deter the fish. If pulse generation strays from its spedfied parameters or stops entirely, the b.arrler becomes Ineffective.
R.evlsed CONTROL NO. LRC-JA·16-05 Revised 12-5-16
Variation ofthe electrical parameters outs'ide of specified ranges could also lead to electrical safety hazards for operators stationed at the barrier. Therefore, the performance of the pulse-generation control system Is crucial to both project effectiveness and projectsafety. The O&M of the barrier is Integral to such effectiveness and safety. In particular, since this Is an extensive, complex, and highly energized system, it cannot run efficiently for any extended period of time without engineers and technicians who know how to operate and maintain It. Such continuous and flawless operation Is critical because the Barrier cannot be breached, for even a few minutes,. by Invasive species.
SR l's unique technology ls an integral part of the CSSC Barriers, which Include a sophisticated and customized control system designed by SRI. SRI has not provided the Corps with enough detailed specifications on the FBTCS that would allow the Corps to obtain true competition for a competitive solicitation to operate and maintain the Barrier.
It has not been licensed to vendors or other entities. While another contractor may be able to design a different control.system to accomplish the same goal, It would be at a substantial duplication of cost, and create an unacceptable delay as discussed further below.
. The proposed interim contract ls thus a necessary byproduct of this need to continue effective O&M of the barriers while negotiating a complete set of defined and mutually understood data rights, permitting USACE to announce competitive procurements in the future for this and related contracts for the Fish Barriers.
For about sixteen years, from 2000 to the present, Smlth·Root1 Inc. (SRI) has been awarded thirty seven
(37) contracts related to the Chicago Sanitary and Ship Canal Dispersal Barriers projects. This Includes ten (10) contracts related to the planning, design, and construction of barriers, Including 1 that was procured competitively, and twenty seven (27) contracts related to operation and maintenance of the barriers, including 1 that was procured competitively. Of the 27 contracts awarded to do operation and maintenance activities, fourteen (14) had a final contract value less than $15010001 four (4) had a final contract value between $150,000 and $500,000. Further, eight (8) contracts had a final contract value between $500,000 and $1,000,000, and only one, the competitively procured contract, has a final contract value greater than $15,000,000. These value of these contracts sums to slightly over $47M, which averages to not quite $3M per year over the past sixteen (16) years.
SRl's key personnel Include PhDs, scientists and engineers who have been Involved with the design and programming of the FBTCS, and who are also aware of the lessons learned with the design and Installation of the CSSC Barriers. As a direct result of Its experience under our barrier contracts, SRI has continued to develop and refine Its analytical models and techniques and method.s to Improve its technologies, specifically In the Great Lakes region, and directly on the invasive Asian Carp species.
As evidence of its highly specialized knowledge, SRI has a variety of patents related to electric fish barrier deterrents. This list Includes current and provisional patents to exhibit Its unique expertise.

In reference to FAR Subpart 6.302-1 (a) (2) (Iii) (A), to avoid Incurring a substantial duplication of cost that is not expected to be recovered through competition, the District must at this time contract with SRI to operate and maintain.the CSSC Barriers. Anothercontractor would have to start from the very beginnlhg to learn by investigation and experimentation how to maintain continuous and effective and safe operation and maintenance of the barriers.
the Corps obtaining sufficient Information for the Corps or other contractors to operate the barriers and maintain many, and maybe all, barrier systems. Compilation and delivery of the necessary data ls to be accomplished through the data deliverables to be requested In this proposed contract.
In the meantime, for a new contractor to learn how to operate and maintain the control system, without havlhg developed said system or having detailed documentation of It, would be the biggest challenge, In terms of both money and time. Without necessary Information, as well as hands~on.
training, any other firm would need to re-engineer the control systems. It would not be. simply a design effort for another party to develop .a similar Integration and control system; it would truly be a research and development effort. A typical .engineering firm would not do th ls type of work. Another competitive source would have to be willing to invest In the necessary up-front development. This Is a barrier to competition because there isn't a large national market for fish barriers (not many are built) and.the large entry cost involved in getting up to speed may not have a big return In terms of the number offuture projects that can be won. Therefore, the Government would likely have to fully pay for the research & development efforts undertaken to develop a competitor. It ls difficult to provide any type of cost estimate for what this would cost and any specific estimate would not have a high confidence level. However, the cost would surely exceed the estimated for obtaining the data deliverables from SRI. There is also no reason to believe that an Inexperienced contractor without full documentation information could operate and maihtalnthe existing barriers for less than the estimated cost forSRI of per six months.
In.reference to FAR 6.302~1 (a) (2) (iii) (B), uhacceptable delays would be encountered If this work were performed by another Contractor. As discussed lh Section 5.b above, SRI has not shared sufficiently detailed specifications to allow USACE to create a solicitation that could operate the system. Anoth.er contractor would have to spend a significant amount oftlme in order to fully understand and operate the
Revised CONTROL NO. LRC-JA-16-05
Fish Barrier Telemetry Control System (FBTCS} or develop their own system but that research and design effort would likely take several years. Hence, no other contractor could "ramp up" to learn how to operate and maintain the Barriers in the six to twelve months proposed for the interim follow-on contract.. In summary, even if another contractor was able to secure the control system, we cannot presume that they would be able to operate and maintain the control system so as to prevent a momentary breach, let alone a complete failure,
c. Impact: A significant delay on this contract would critically impact the project purpose. The CSSC Is a man-made waterway that connects the Chicago River to the Des Plaines River, creating the only continuous hydraulic connection between the Great Lakes basin and the Mississippi River basin.
Movement of invasive species of fish between these basins is a significant concern. Currently the biggest concern Is the potential movement of Bighead and Silver Carps, commonly referred.to as Asian Carp, from the Mississippi basin to the Great Lakes. These species have the potential to greatly reduce native fish populations in areas they occupy. There is significant concern about the impact they could have on the .commercial and sport fisheries of the Great Lakes.
During the spring and summer of 2015 fish monitoring detected smaller juvenile Silver Carp closer to the existing electric barriers, approximately 70 miles downstream, than ever before. This information placed increased emphasis on the need to continuously operate the CSSC Barrier system. Furthermore, if there iS a period of time that the CSSC Barriers do not provide continuous power In the water, the Chicago District must notify the Great Lakes a.nd Ohio River Division, USAGE HQ, the Office of the Assistant Secretary of the Army for Civil Works, the White House Council on Environmental Quality, and Great Lakes Stakeholders.
If the proposed contract was changed to a competitive procurement it would likely yield the same result of an award to SRI. SRI was the only bidder for the previous attempt to competitively advertise O&M of the CSSC Barriers (which resulted In W912P6-13-C-0001). Extra effort would have to be put into publicizing the project to attempt to draw out bidders. Also, given the specialized nature of the work, the solicitation process would have to include submittal of proposals and review by a selection board, rather than a low bid selection; These delays to the project' schedule are unacceptable.
In 2012 the Chicago District initiated an effort to attempt to create more transparent barrier control systems at the existing barriers in order to develop internal ability to develop and maintain the systems without a sole-source dependence on SRI. The team Involved includes multiple people from Corps Districts With expertise on the computer control systems used to operate Corps locks and the Utility Monitoring and Control System team of the U.S. Army Engineering and Control Center. This team Is designing the overall barrier building controls and equipment cooling system controls for Permanent Barrier I, which had been designed and installed by SRI In the existing barriers. However, they have not determined how to do controls for the pulse-generating system. The Chicago District is also working with SRI to ensure that SRI provides all form, fit ahd function data deliverables associated with the existing barriers via the inclusion.of data deliverable requests in this proposed contract. Therefore, although competition will be feasible in the future; it is unfeasible for enough lead-time to be realized to compete, this interim contract, which serves as an essential transition to a competitive contract(s).
6. EFFORTS TO OBTAIN COMPETITION:
a. Efforts To AVoldPerpetuating a Sole Source Environment: Based on Information In paragraph 51 competition for this action was not feasible at this time. In the District's efforts to avoid perpetuating a
Revised CONTROL NO. LRC-JA-16·06 sole source environment for this project, since the Inception of the Fish Barrier project, the District has promoted and provided competition to provide the most advantageous contracts for the government.
The last CSSC Barriers O&M contract was competltively advertised. Smith-Root was the only bidder for the previous attempt to competitively advertise this work (which resulted In W912P6-13-C-0001). The solicitation was posted with detailed as-bu lit drawing and all available operation and maintenance manuals. The documents included the following:
1. As-Built drawings for 2A, 2B, and Demo Barriers; 2. SRI O&M Manual for Demo Barrier (circa 2002);
3. SRI O&M Manual for Barrier 2A {updated 10/8/2012); 4. SRI O&M Manual for Barrier 2B (updated 1/16/2013)
In order to obtain future competition for work at the CSSC Barriers; the Chicago District held an Industry· Days event on 28 and 29 January 2016. Over 150 contractors attended this event. Feedback from this event Indicated that there Is definite interest among .other firms In providing services .at the barrlers, but also significant concern that companies other than SRI would have enough Information about the barrier systems to effectively operate and maintain the barriers. The Chicago District believes that obtaining the control system data deliverables to be requested in this proposed contract will provide the necessary lhformatlon to initiate true competition for O&M services. O&M services will be transitioned to competition as soon as practicable.
Our actions to continue to avoid perpetuating a sole source environment also Include .adding contract provisions, wherein SRI would be required to provide relevant technical data regarding the functionality of the electrical components, pulser systems for the barriers and FBTCS .. Currently, the District is in process of retrieving operational data oh certain features of the barrier system and wlll further that effort by obtaining the control system data deliverables to be requested in this contract.
b. Promoting SB Subcontracting Opportunities: Our efforts relating to promoting SB subcontracting opportunities will be to continue to encourage the proposed contractorto use other small businesses to the maximum extent practicable
7. ACTIONS TO INCREASE COMPETITION: On June 13, 2016this requirement was announced at the Government's point of entry, the 11Federal Business Opportunities" (FBO} website. Under the notice, the District publicized Its intent to sole source the proposed work to SRI. No responses resulted from that announcement by the response due date, June 29, 2016. To date, SRI has no authorized providers for O&M of their barrier systems. Therefore, competition for this procurement Is not feasible at pres, ent. However, the District will continue to market any related contracting opportunities to the fullest extent possible. Once the District has acquired a stronger knowledge base, supported primarily wlth significantly enhanced data received from SRI via this
, proposed contract, most or all procuremen~s for the CSSC Barriers will be competitive. The Corps of Engineers will also continue to stage regular Industry days and construction conferences to Invite comments and input from potential contractors.
8, MARKET RESEARCH: To ensure that market research efforts would provide comprehensive acquisition management Information, our search focused on identifying commercial sources of fish deterrence technology and electric fish barrier manufacturers, distributors and dealers, via published and on"line resources. Because SRI has their own unique design and, assoclated knowledge, there were no other producers of such technology or products. See description of our Industry Days, described above1 In paragraph 7.
Revised CONTROL NO~ LRC-JA·16-05
9. INTERESTED SOURCES: As required by FAR 5.201,anotice was published at FBO, informing all Interested parties of this intend.ed procurement. The notice perfod began on.13 June 2016 and ended on 29 June2016. Throughout the notlC:e period, and up to the date of this J&A1 there were no responses, for reasons described herein.
10. OTHER FACTORS:
a. Acquisition History: Presently, Smith~Root holds unique and Intimate knowledge of how to assemble the components into a system and precisely control and monitor the resulting Integrated pulse-generating system to ensure effective and safe O&M. As described herein, this knowledge is essential to the need to operate and maintain the barrier system without any failures.
b. Design Aspects:. SRI developed the pulse-generating control system, custom builds the circuit boards to control the operation of the system, wrote the source code for the.FBTCS and integrated the. electronic components of the fish barrier deterrent system. This makes direct competition in their specialty area very unattractive and no others .have chosen to develop competing technology.
Because direct competition has not been realized for the production of this particular equipment, there hence have been no firms to develop the necessary skills for the O&M of this fish barrier control system. No other firms have designed such systems, and likewlse no other firms have operation ormaintalned such systems. So, although this contract Is not for system deslgn1 It logically follows that since no other firm has designed these systems, there are as of yet no other firms who have been able to even begin.a !earning curve on such specialized systems.
c. Subcontracting Opportunities: The proposed contractor's business size is small; therefore, a SB Subcontracting Plan will not be required. However, SRI in the past has subcontracted some ofthe non~specialized portions of the required work to other small businesses. The District will continue to encourage the contractor to use other small businesses. to the maximum extent practicable.
