PERFORMANCE WORK STATEMENT
PERFORMANCE WORK STATEMENT (PWS)
FOR
Refrigerated Trailer Services
1.0 General: The SDARNG has a requirement for Refrigerated Trailer Services during the 2023 Golden Coyote Training Exercise.
1.1 Scope: The contractor shall provide all personnel, equipment, tools, materials, supervision, and quality control necessary, except as specified in Paragraph 3.0 as Government Furnished, to provide refrigerated trailer services, as defined in this PWS.
1.1.1 Objectives: The objective of this requirement is to establish and maintain un-interrupted temperature-controlled food transportation and storage capabilities at 4 remote locations leading up to, and throughout a 2 to 3-week military exercise.
1.2 Background: Golden Coyote is an annual training exercise hosted by the South Dakota National Guard every June. Exercise participants spend this time bivouacking in various locations throughout the Black Hills, and the ability to support field feeding is highly dependent upon refrigeration capabilities.
1.3 Period of Performance (PoP): The Period of Performance shall be 18 days:
FY 23: May 31-17 June 2023.
(Option year) FY 24: TBD (Approximately 29 May – 15 June 2024) – Delivery dates will be provided to the Contractor POC 30 days in advance if the option is exercised.
1.4 General Information:
1.4.1 Place and Performance of Services: Trailers are to be placed at Camp Rapid “No Later Than” 0900 on the 1st day and removed “No Earlier Than” 1600 on the Last Day.
Price is to include all delivery, pick-up and mileage charges, and repair or replacement for nonoperational refers throughout the scheduled period. Refers shall be 48-52 foot and capable of temp range from -10 to +40 degrees F. A schedule will be provided at time of award. The Government intends to pay for refrigerated trailer services only on dates listed in the schedule.
FY 23: Delivery Schedule:
3 trailers delivered on 31 May 23 returned 17 June 23 3 additional trailers delivered 2 June 23 returned 17 June 23
(Option Year) FY 24: Delivery Schedule:
The number of trailers and delivery dates are TBD (Approximately 6 trailers and Approximately 29 May – 15 June 2024) and will be provided to The Contractor 30 days in advance if the option is exercised.
1.4.1.1 Telework: Not applicable.
1.4.1.2 Unscheduled gate closures by the installation Security forces may occur at any time causing all personnel entering or exiting a closed installation to experience a delay.
This cannot be predicted or prevented. Contractors are not compensated for unexpected closures or delays. Vehicles operated by contractor personnel are subject to search pursuant to applicable regulations. Any moving violation of any applicable motor vehicle regulation may result in the termination of the contractor employee’s installation driving privileges.
1.4.1.3 The contractor’s employees shall become familiar with and obey the regulations of the installation including fire, traffic, safety, and security regulations while on the installation. Contractor employees should only enter restricted areas when required to do so and only upon prior approval. All contractor employees shall carry proper identification with them at all times and shall be subject to such checks as may be deemed necessary. The contractor shall ensure compliance with all regulations and orders of the installation, which may affect performance. The Government reserves the right to direct the removal of an employee from Government property or revoke access to Government systems for misconduct, security reasons, or any overt evidence of communicable disease. Removal of contractor employees for reasons stated above does not relieve the Contractor from responsibility for total performance of this contract.
1.4.2 Recognized Holidays: Juneteenth National Independence Day (June 19th) is a recognized United States (US) holiday; the contractor shall perform services on this day if it fails within the Period of Performance.
1.4.3 Quality Control (QC): The contractor shall develop and maintain an effective QC Plan (QCP) to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s QCP is the means by which it assures itself that its work complies with the requirements of the contract. As a minimum, the contractor shall be prepared to respond to calls or emails in a timely manner and have refrigerated trailers either repaired or replaced within 24 hours of notification of a defective service.
1.4.4 Quality Assurance (QA): The Government will evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the Government will do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and acceptable quality level(s) or defect rate(s).
1.4.5 Installation Access and Security Requirements. The contractor shall comply with all applicable installation/facility access and local security policies and procedures, which may be obtained from the Government POC. The contractor and all associated subcontractor employees shall provide all information required for background checks to meet installation access requirements to be accomplished by the installation Security Office. The contractor shall ensure compliance with all personal identity verification requirements as directed by Department of Defense (DoD), Headquarters Department of Army (HQDA) and/or local policy (see PWS 6.0). Should the Force Protection Condition (FPCON) change, the Government may require changes in contractor security matters or processes.
1.4.9 Contractor POC: The contactor shall designate a POC who shall ensure performance under this contract. The name of this person, and an alternate who shall act for the contractor when the POC is absent, shall be designated in writing to the KO.
The Contractor POC or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract. The Contractor POC shall work through the Government POC to resolve issues, receive technical instructions, and ensure adequate performance of services. The Contractor POC shall ensure that contractor employees do not perform any services outside the scope of the contract without an official modification issued by the KO. The Contractor POC shall ensure contractor employees understand that services performed outside the scope of the contract are performed wholly at the expense of the contractor.

This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract.
(c) Exceptions. This clause does not prohibit contractors from providing--
(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or
(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.
(d) Reporting requirement.
(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

52.222-53 EXEMPTION FROM APPLICATION OF THE SERVICE CONTRACT LABOR STANDARDS TO
CONTRACTS FOR CERTAIN SERVICES--REQUIREMENTS (MAY 2014)
(a) The services under this contract are offered and sold regularly to non-Governmental customers, and are provided by the Contractor to the general public in substantial quantities in the course of normal business operations.
(b) The contract services are furnished at prices that are, or are based on, established catalog or market prices. An “established catalog price” is a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or the Contractor, is either published or otherwise available for inspection by customers, and states prices at which sales currently, or were last, made to a significant number of buyers constituting the general public. An “established market price” is a current price, established in the usual course of ordinary and usual trade between buyers and sellers free to bargain, which can be substantiated from sources independent of the manufacturer or Contractor.
(c) Each service employee who will perform the services under the contract will spend only a small portion of his or her time (a monthly average of less than 20 percent of the available hours on an annualized basis, or less than 20 percent of available hours during the contract period if the contract period is less than a month) servicing the Government contract.
(d) The Contractor uses the same compensation (wage and fringe benefits) plan for all service employees performing work under the contract as the Contractor uses for these employees and for equivalent employees servicing commercial customers.
(e)(1) Except for services identified in FAR 22.1003-4(d)(1)(iv), the subcontractor for exempt services shall be selected for award based on other factors in addition to price or cost with the combination of other factors at least as important as price or cost; or
(2) A subcontract for exempt services shall be awarded on a sole source basis.
(f) The Contractor is responsible for compliance with all the conditions of this exemption by its subcontractors. The Contractor shall determine in advance, based on the nature of the subcontract requirements and knowledge of the practices of likely subcontractors, that all or nearly all likely subcontractors will meet the conditions in paragraphs
(a) through (d) of this clause. If the services are currently being performed under a subcontract, the Contractor shall consider the practices of the existing subcontractor in making a determination regarding the conditions in paragraphs
(a) through (d) of this clause. If the Contractor has reason to doubt the validity of the certification, the requirements of the Service Contract Labor Standards statute shall be included in the subcontract.
(g) If the Department of Labor determines that any conditions for exemption at paragraphs (a) through (e) of this clause have not been met, the exemption shall be deemed inapplicable, and the contract shall become subject to the Service Contract Labor Standards statute. In such case, the procedures in at 29 CFR 4.123(e)(2)(iii) and 29 CFR 4.5(c) will be followed.
(h) The Contractor shall include the substance of this clause, including this paragraph (h), in subcontracts for exempt services under this contract.
