About this file
This is a Sole Source Justification memorandum issued by the National Guard Bureau's U.S. Property and Fiscal Officer for Kansas on 07 July 2026.
The document justifies a sole source award for certified maintenance and repair services on two legacy Modula Vertical Lift Systems (VLSs) with serial numbers MX1220026 and MX1000047 located at Army Air Service Facility (AASF) #1 & 2. The award will be a firm-fixed-price purchase order. The justification cites FAR 12.102(a) as authority, establishing that only one source is reasonably available. Three primary rationales support the sole source determination: (1) the VLSs require proprietary diagnostic software, system keys, and firmware calibrations accessible only to factory-certified Modula technicians with restricted licensing; (2) Modula restricts the sale of critical internal replacement parts to certified dealers exclusively, and non-certified sources cannot source genuine parts without voiding safety certifications; and (3) the legacy nature of these machines requires specialized, advanced technician training provided exclusively by Modula. Market research conducted on 08 July 2026 identified 22 authorized Modula dealers nationwide, of which 6 were registered as small businesses on SAM.gov. However, the regional affiliate Bradford Systems Co was determined to lack qualified personnel for servicing legacy VLS machines, necessitating direct engagement with Modula Inc's senior technicians. The requirement will be posted on SAM.gov as an intent to sole source in compliance with FAR 5.201. Price will be evaluated against historical pricing for similar VLS repair services and the manufacturer's published commercial price list to ensure fair and reasonable pricing. Vernon L. Verschelden, Contracting Officer, signed the memorandum, with SSG James Sparkes listed as the point of contact.

MEMORANDUM FOR RECORD
SUBJECT: Sole Source Justification for Modula VLS Maintenance (Below SAT)
1. Requiring Activity: Army Air Service Facility (AASF) #1 & 2
2. Description of Action: Award of a firm-fixed-price purchase order for certified maintenance and repair of legacy Modula Vertical Lift Systems (VLSs), Serial Numbers #: MX1220026, MX1000047.
3. Authority Cited: RFO FAR 12.102(a) – Only one source reasonably available.
4. Rationale for Single Source:
• Proprietary Software & Diagnostics: The Modula VLSs require proprietary diagnostic software, system keys, and firmware calibrations that are restricted intellectual property of Modula. Only factory-certified Modula technicians possess the licensing required to access the machine's operating system to perform safe repairs on critical components (e.g., motors, inverters).
• Proprietary Parts Supply: Modula restricts the sale of critical internal replacement parts to certified dealers. Non-certified third parties cannot source genuine parts, which increases the performance risk to an unacceptable level and voids the safety certifications of the lifting equipment.
• Safety & Technical Expertise: The legacy nature of these specific machines requires specialized, advanced technician training provided exclusively by Modula.
5. Market Research: On 08 July 2026, the government confirmed Due to the propitiatory elements of this requirement open market solicitation is unlikely to result in qualified vendor capable of performing this requirement. small business participation is limited to a select few authorized vendors. On the manufacturer's website we were able to identify 22 Authorized Modula dealers in the United States. Of those 6 were identified as SAM.gov registered small business. { See accompanied authorized vendor list} The manufacturer (Modula Inc) assigns Services work to affiliate companies or regional offices. The local office assigned to our region is Bradford Systems Co, however through communications with both Bradford systems Co and Modula Inc it was determined that Bradford Systems Co lacks the qualified personnel needed to service our older legacy VLS machines. So, Due to this Modula Inc insists that they send their more senior qualified technicians to repair and service our machines. To comply with posting requirements found in FAR 5.201, this requirement will be posted on SAM.gov. This will be posted as an intent to sole source. The 6 identified small businesses authorized to deal Modula products and services operate under their granted authority, training and certifications. Soliciting quotes from the other small business in the authorized dealer network is unlikely to yield better results due to locality, available qualified technicians (specifically trained on legacy machines) and the assigned regional authority granted by Modula for operations.
6. Determination of Fair and Reasonable Price: Price will be evaluated against historical pricing for similar VLS repair services and the manufacturer's published commercial price list to ensure the government receives a fair and reasonable price.
