Control No: Selfridge 01-14

Justification and Approval for Other Than Full and Open Competition

1. Contracting Activity: 127 th

MSC, 43200 Maple Street, Bldg 105, Rm 16, Selfridge

ANG Base, MI 48045

2. Description of Action: Approval is being requested for a modification to increase the capacity of Contract Number W912JB-11-D-4000, PASS Schedule V, General Trades, Transportation and Logistics Services, for which the 4 th and final option period expires on 31 January 2016. This is a Firm Fixed Price (FFP), Single Award Task Order

Indefinite Delivery, Indefinite Quantity (IDIQ) contract with a Cost Reimbursable (CR)

Contract Line Item Number’s (CLIN’s) for travel and reimbursable expenses. The task orders are funded with O&M funds.

3. Description of Services: This contract provides General Trade, Transportation and

Logistics Support Services to the National Guard mission nationwide at the Major

Command (MAJCOM), Base, Post, or State office levels in the 50 states, 3 territories and the District of Columbia (i.e., the 54). The dollar value of the contract is

$80,000,000, which included 4 options. The value of the proposed modification is

$15,000,000.

4. Authority Cited: 10 U.S.C. 2304 (c)(1), as implemented by FAR 6.302-1, Only One

Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Reason for Authority Cited:

a. Contract W912JB-11-D-4000 was awarded through full and open competition on 1

Feb 11 to TSI Corporation for a base year and 4 one-year options. The contractor provides a full range of non-personal services to achieve maximum effectiveness and economy in operations in support of the National Guard.

b. The National Guard has a continuing requirement for these services. However, the maximum ceiling was reached/will be reached by mid-August 2014. Modifying the contract to increase the ceiling is the most advantageous method of fulfilling the

Government's need, price, and other factors considered as follows:

(1) Increasing the ceiling would provide uninterrupted support of Government requirements. An interruption would cause services to be procured under short term agreements; however, re-procurement f or a short period would undoubtedly reflect an increase in costs because of h igh start-up costs, personnel training, procuring equipment, travel expenses, etc., in awarding to a new contractor

(2) The projects planned to be accomplished will continue to be simple, of minor complexity in nature.

(3) The work required under the Performance Work Statement has not changed.

c. Increasing the ceiling of this contract is necessary to ensure no gaps in service during the pre-award phase of the new contract, which is currently being solicited under

W912JB-14-R-4011. Projected award date for the new contract is July 2015. Many of the services provided by TSI Corp. are mission essential and, in addition to the current state of world affairs and local Homeland Defense mission, the Government as well as national security could be harmed if a break in these services should occur.

Although the award of the follow on contract is expected in 2015, based on the history of this requirement and previous awards, it is highly likely a protest may ensue which will delay the start of performance

Additionally, some capacity (est.

less than $500,000) may be needed for modifications to task orders (for example when the

Government required more travel than originally anticipated). If additional capacity is not added, the contract will be unable to accommodate any task orders and modifications after approximately mid-August 2014. Based on 2014 and 2013 usage, the additional $15 M in capacity should be sufficient to allow for a continuation of services through July 2015 as each contracting office would continue to be limited to

$300,000 total capacity per calendar year.

6. Efforts to Obtain Competition: A notice of intent to increase the increase the ceiling by

$15M will be synopsized on Federal Business Opportunities (FEDBIZOPS) website as required by FAR Subpart 5.2. The sources sought for the successor contract was issued on 18 Jun 2014. The synopsis for the successor contract is anticipated to be released in late July 2014 as a Small Business Set-Aside with the solicitation released

30 days later.

7. Actions to Increase Competition: While competition is not being sought for this modification, the base contract was awarded through full and open competition as a SBSA, and received proposals. One award was made to TSI Corporation, 501 South Rancho

Drive, Suite I-58, Las Vegas, NV 89106. The follow on contract will also be awarded through full and open competition .

8. Market Research: Market research for this modification was not conducted; however, as part of the market research for the follow on contract, a sources sought synopsis was issued on 18 Jun 14 and responses were due on 10 July 14.

9. Interested Sources: All responsible parties that demonstrate interest in submitting a proposal for the follow on contract will be permitted to do so.

10. Other Facts:

ou=PKI, ou=USAF,

a. An inquiry to TSI Corp. has indicated that they are willing to continue performing these services if additional capacity is available. Re-solicitation of the requirements is not needed to determine reasonableness of the current prices due to extensive market research and economic analysis that were done prior to the award of this contract. In accordance with FAR 17.207 (d)(2) the current price is considered to be the

Government’s most advantageous offer, and is considered to be fair and reasonable. It is not possible to establish another contract vehicle capable of supporting this large requirement quicker than the path on which the 127 MSC currently follows. Upon successful award of the new Schedule V contract, this contract will not be utilized for any new task order awards.

b. Procurement History:

(1) W912JB-06-D-4016, awarded March 14, 2006. Period of Performance: March

24, 2006 - July 31, 2010. Competitive award. Although the contract with options was to expire in March 2011, there was high demand for contract services which resulted in reaching original contract capacity prior to the contract end date. Obstacles were encountered during the pre-award phase for the succeeding acquisition, which result in the delay of awarding the successor contract and utilizing almost all of the remaining capacity on the contract. The Small Business Administration’s (SBA) delay in making a determination on a pre-award size protest caused the delay.

(2) W912JB-10-D-4002, awarded May 21, 2010. Period of Performance: July 1, 2010 - June 1, 2011. Non-competitive, FAR 6.302-1. This sole source award was necessary to ensure no gap in service during the post award protest and a stay on the successor award and to provide the successor awardee adequate start up time to begin performance.
