Repair shall be defined as major or minor deficiencies identified by the Contractor or as specific work requested by the Government in a written Scope of Work. The Contractor shall perform work identified in this contract as reimbursable repair work in accordance with the scope of work issued by the Contracting Officer’s Representative. In such instances the Contracting Officer’s Representative (COR) will request the Contractor to provide him with a proposal for the reimbursable repair work and based upon a scope of work furnished to the contractor by the COR. Provided the Government determines that the estimate is fair and reasonable, the Contracting Officer’s Representative (COR) may approve the Contractor’s proposal for the work. If the job requirements change after the approval of the Contractor’s proposal, the COR may direct the Contractor to prepare either a new proposal for the whole job or a separate proposal for the changed conditions if they represent additional requirements and are separable from the original scope of work (do not affect the original order). Both the Government and the Contractor are responsible for identifying such changed conditions and in turn immediately notifying the other of the circumstances. The final determination of whether any circumstances constitute changed conditions rests with the Government. The Government shall not accept a circumstance as a changed condition which, in its judgment, should have been realized by the Contractor at the time the estimate was prepared. Relatedly, the Government may or may not notify the Contractor when it feels that a proposal does not include adequate resource or time requirements. Therefore, the contractor should not depend on this Government overview or either use it to supplement of replace his/her own managerial and technical expertise. Also, the Government shall not provide quantitative resource information to the Contractor under these circumstances but only advise the Contractor that the estimate effort is too low. In any event, by execution of this contract, the Contractor assumes all responsibility of satisfactorily completing all approved proposals issued by the Contracting Officer’s Representative (COR), irrespective of stated resource requirements or approval thereof by the Government. By approval of the Contractor’s proposal the Government does not warrant that the Contractor’s stated resource requirements are sufficient or otherwise adequate to execute the proposal.

The Contractor shall provide a written proposal based upon a scope of work furnished by the COR. Proposals shall include description of work to be accomplished and a detailed breakdown of labor, mileage and material costs. This detailed cost break down shall match the contract CLINs. The Contractor shall provide documentation (i.e. quotes, catalog sheets, etc.) to support all direct material costs.

C.5.4.3.2 ACCEPTING PROPOSALS

Provided the Government determines that the proposal is fair and reasonable, the Contracting Officer will prepare and issue a modification to the Contractor. The Contractor shall perform the work as specified in the reimbursable repairs (minor/major).

If the Government determines that the proposal provided is not fair and reasonable, the COR has the option to negotiate with the Contractor or choose to satisfy the work requirement through other contractual means.

C.5.4.3.3 CHANGES TO SCOPE OF WORK

If the job requirements change after work has commenced, the COR may direct the Contractor to prepare either a new proposal for the whole job or a separate proposal for the changed conditions if they represent additional requirements and are separable from the original scope of work (do not affect the original order). Both the Government and the Contractor are responsible for identifying such changed conditions and in turn immediately notifying the other of the circumstances. The final determination of whether any circumstances constitute changed conditions rests with the Government. The Government shall not accept a circumstance as a changed condition which, in its judgment, should have been realized by the Contractor at the time the proposal was prepared.

C.5.4.3.4 EQUIPMENT REPLACEMENT OR UPGRADE
