SECTION 00 21 16 - INSTRUCTIONS TO PROPOSERS
The following have been modified:
PROPOSAL SUBMISSION REQUIREMENTS
A. INSTRUCTIONS, CONDITIONS, AND NOTICE TO OFFERORS
1.0 PROPOSAL REQUIREMENTS OVERVIEW
1.1. General. Since the proposal will describe the capability of the Offeror to perform any resulting contract, it should be specific and complete in every detail. The proposal should be prepared simply and economically, providing a straight-forward, concise delineation of capabilities to satisfactorily perform the contract. The proposal should be practical, legible, clear, and coherent. It is the Offeror's responsibility to submit an adequately written proposal in sufficient detail to permit a complete and accurate evaluation, and the agency will not adapt its evaluation to match an Offeror's submission, nor will it go in search of information that an Offeror has omitted or failed adequately to present or organize. Offerors are cautioned that “parroting” of the non-price requirements or the work statement with such things as a statement of intent to perform does not reflect an adequate understanding of a requirement or a capability to perform.
1.2. This Request for Proposal (RFP) solicits work to furnish all plant, equipment, labor, transportation, fuel, lubricant, supplies and materials, and performing all operations in connection with moving earthen materials in the Clouter Creek North Cell Placement Area. Work will include, but not limited to the creation and deepening of drainage ditches, clearing of the site, minor repair of dikes, berms and ramps, and appurtenant items. The work is located in Berkeley County, South Carolina.
1.3. Proposal Submissions and the Lowest Price Technically Acceptable Source Selection Process. This process requires Offerors to submit technical and performance capability information for evaluation by the Government against the uniform baseline of minimum requirements identified in evaluation factors. Each of the factors will be evaluated on an “acceptable” or “unacceptable” basis in accordance with the evaluation criteria set out in this section. Price information will not be rated “acceptable” or “unacceptable” but will be evaluated in accordance with FAR Part 15.
1.4. The Government intends to award a firm fixed price contract and make an award without holding discussions with Offerors (except clarifications as described in FAR 15.306(a)). Therefore, Offerors should include their best terms and conditions (both price and technical) in the initial offer. Offerors should not assume that they will have an opportunity to participate in discussions or be asked to submit a revised offer. The Government reserves the right to conduct discussions if the Source Selection Authority (SSA) later determines them to be necessary. By submitting an offer in response to this solicitation, Offerors are agreeing to comply with all terms and conditions contained in the solicitation.
2.0 PROPOSAL SUBMISSION INSTRUCTIONS
2.1. Who May Submit: Any legally organized Offeror qualified and eligible to receive an award under applicable laws and regulations.
2.1.1 Contractor Team Arrangements.
2.1.1.1. Recognition of Contractor Teams. In accordance with FAR Subpart 9.6, it is Government policy to recognize the integrity and validity of contractor team arrangements. For a teaming arrangement to be recognized for purposes of source selection evaluation and the application of non-price factors and sub-factors, there must be full disclosure of the teaming arrangement and company relationships in the team's proposal. The proposal must include a narrative that explains the major or critical aspects of the work to be performed by each team member. For joint venture teams, the proposal must also include an agreement that has been or will be executed prior to award between/among all team members. In the case of prime-sub teams, the prime contractor remains fully responsible for contract performance, regardless of any team arrangement between the prime contractor and its subcontractors. However, regardless of whether a formal team arrangement is proposed or recognized, consistent with FAR 9.104, the Government may consider the responsibility of subcontractor team members when it may adversely affect the prospective prime contractor’s responsibility or when it is in the Government’s interest to do so.
2.1.1.2. Joint Venture Team Agreement. The team agreement submitted with the proposal will govern the performance of the work by the joint venture. The agreement must address the following items: identification of team members, a delineation of roles and responsibilities of team members, the duration of the agreement, and the percentages of the participants including the controlling party. Agreements should not be subject to substantive revision because the agreement will be part of the evaluation process. The timely submission of the executed teaming agreement prior to award shall be a precondition to a finding of responsibility.
2.1.1.3. Restriction on Substitution. Regardless of any provision to the contrary in a team or subcontract agreement, all members of a recognized team arrangement are bound to perform any resulting contract and options by means of the same team. There can be no substitution of team members except that, in the case of a prime-sub team arrangement, the Government may (in its sole discretion and without any obligation whatsoever), at the request of the prime, permit the substitution of a subcontractor with equivalent or greater capability for a subcontractor on the identified team. The failure of the Offeror to perform with one or more subcontractors on a recognized team may be grounds for termination for default.
2.2. General Proposal Submission Requirements. To assure timely and equitable evaluation of proposals, Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. The Offeror shall submit in the proposal all requested information specified in this section of the Request for Proposal (RFP) solicitation at or before the exact time specified. There will be no public opening of the proposals received as a result of this RFP. Failure to meet a requirement may result in an offer being ineligible for award. Copies of the RFP are available by INTERNET ACCESS ONLY. All RFP documents will be made available for viewing at the Beta.Sam.Gov website (https://beta.sam.gov). All Solicitation Amendments will be made available for viewing in Beta.Sam. It shall be the Offeror’s responsibility to check the Beta.Sam website for any Solicitation Amendments.
The Contracting Officer (KO) has determined there is a reasonable probability of adequate price competition in this acquisition. Upon examination of the initial offers, the KO will review this determination and if, in the KO's opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition, the KO determines that adequate price competition no longer exists; Offerors may be required to submit information to the extent necessary for the KO to determine the reasonableness and affordability of the price. The Government will evaluate all proposals pursuant to FAR 15.305(a). Offerors are advised that, pursuant to FAR 15.306, the Government reserves the right to eliminate any or all offers from consideration for award at any time prior to award of the contract. Therefore, each initial offer should contain the Offeror’s best terms from a technical and price standpoint. The Government reserves the right to discuss aspects of proposals with Offerors in the competitive range, if one is determined to be necessary, upon completion of the evaluation. Offerors are advised that the Government may make award without discussions, clarifications or any contact concerning the proposals received. Offerors shall not assume that they will be contacted or afforded an opportunity to clarify, discuss or revise their proposals.
If an Offeror believes that the requirements in these instructions contain an error, omission or are otherwise unsound, the Offeror shall immediately notify the Contracting Division in writing (e-mail is the preferred method) with supporting rationale. The Offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.
This Request for Proposal (RFP) does not commit the Government to reimburse any costs incurred in the preparation and submission of a proposal or for any other costs incurred by any firm submitting a proposal in response to this Solicitation. Issuance of this RFP does not constitute an award commitment on the part of the Government.
Proposals must set forth full, accurate and complete information as required by this RFP, including attachments, if applicable. The penalty for making false statements is prescribed in 18 U.S.C. § 1001.
Offerors are cautioned that “parroting” of the Technical requirements with a statement of intent to perform does not reflect an understanding of the requirement or capability to perform. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information shall be clearly marked.
2.2.1. Inquiries. Interested parties with technical inquiries shall submit their inquiries in writing via “Bidder Inquiry” in ProjNet at www.projnet.org\projnet. The bidder inquiry key is 83M66X-QFQ3NI. The Government reserves the right to decline addressing certain questions. Further, no questions, unless in the Government’s interest, will be answered any later than ten business days prior to the stated deadline for responses to this announcement. Simple questions and answers will be made via ProjNet. Official amendments to the RFP will be made on Beta.Sam (www.beta.sam.gov). 3.0 NON-PRICE EVALUATION FACTORS
3.1. FACTOR ONE - CORPORATE RELEVANT SPECIALIZED EXPERIENCE
3.1.1. Offerors shall submit only three (3) contracts completed or substantially completed (fully designed and at least 60% construction progress completed) during the past five (5) years, which are relevant to the requirements of this solicitation. If more than three (3) contracts are submitted, then only the first three (3) contracts will be evaluated. Relevant experience is defined as any construction contract of similar size, scope and complexity to the requirements of the solicitation with a value greater than $400,000. The description of each project shall indicate the Offeror's role in the execution of that project. Each project description shall include information regarding the methods of performance, timelines for performance, the complexity of the work, and the dollar value of the contract or subcontract. Offerors are encouraged to identify problems or unique issues encountered on these contracts or subcontracts and discuss both the corrective actions taken and the results achieved by the offeror. Examples provided are limited to contracts or subcontracts completed or substantially completed no later than five (5) years prior to the solicitation due date.
(1) Contract Descriptions. The offeror shall include the following information on all contracts listed for corporate relevant specialized experience in the following format:
(a) Contractor/Subcontractor place of performance, CAGE Code and DUNS number. If the work was performed as a subcontractor, also provide the name of the prime contractor and Point of Contact (POC) within the prime contractor organization (name, a current address, e-mail address, and telephone and fax numbers).

(h) Awarded price/cost.
(i) Final or projected final price/cost.
(j) Original delivery schedule, including dates of start and completion of work.
(k) Final, or projected final, delivery schedule, including dates of start and completion of work.
3.1.2. Offerors shall provide all of the information requested in and complete the form found at Tab H for each project submitted for Corporate Relevant Specialized Experience.
3.1.3. Recognized contractor team arrangements, are considered an arrangement in which (1) two or more companies form a partnership or joint venture to act as a potential prime contractor; or (2) a potential prime contractor agrees with one or more other companies to have them act as its subcontractors under a specified Government contract or acquisition program. If the Offeror is a joint venture, the Offeror must provide evidence of a binding teaming agreement or other contractual agreement, which creates legal responsibility on the part of all contractors in the joint venture and submit evidence or confirm that the J.V. submitted its paperwork to its local Small Business Administration Office for this specific requirement. If the Offeror proposes to utilize a “key subcontractor” as described in FAR 9.6, it is Government policy to recognize the integrity and validity of contractor team arrangements. The proposal must also include an agreement that has been or will be executed prior to award between/among all team members. The proposal and agreement must be consistent; substantive inconsistencies between the proposal and agreement may be construed against the offeror. In the case of prime-sub teams, the prime contractor remains fully responsible for contract performance, regardless of any team arrangement between the prime contractor and its subcontractors. However, consistent with FAR 9.104, the Government may consider the responsibility of subcontractor team members when it may adversely affect the prospective prime contractor’s responsibility or when it is in the Government’s interest to do so.
The team agreement submitted with the proposal will govern the performance of the work by the team. The agreement must address the following items: identification of team members, a full delineation of roles and responsibilities of team members, and the duration of the agreement. In the case of Joint Ventures or other partnerships seeking award to the team as a prime contractor, the agreement must indicate the percentages of the participants, in particular the percent of the controlling party. In the case of a prime-sub team, the agreement must reflect that the prime contractor is vested with control and responsibility for the daily management of the work, and that it remains responsible for contract performance, including those items allocated to a subcontractor on the team. Contractor teams should not submit an agreement in their proposal that is subject to substantive revision because the agreement will be part of the evaluation process. The timely submission of the executed teaming agreement prior to award shall be a precondition to a finding of responsibility. In the case of prime-sub teams, any resulting subcontract(s) may not deviate from the substantive provisions of the teaming agreement.
Regardless of any provision to the contrary in a team or subcontract agreement, all members of a recognized team arrangement are bound to perform any resulting contract and options by means of the same team. There can be no substitution of subcontractor team members except that, in the case of a prime-sub team arrangement, the Government may (in its sole discretion and without any obligation whatsoever), at the request of the prime, permit the substitution of a subcontractor with equivalent or greater capability for a subcontractor on the identified team. The failure of the Offeror to perform with one or more subcontractors on a recognized team may be grounds for termination for default. Note: Only a Contracting Officer can approve such a change after contract.
3.1.4. Where performance of a base contract and one or more options is relied upon by an offeror to meet any criterion under this Factor, the same base contract and contract option(s) will be evaluated for purposes of the remaining criteria for Corporate Relevant Specialized Experience (and Past Performance).
3.2. FACTOR TWO – PAST PERFORMANCE
3.2.1. Offerors shall provide past performance information for each project submitted for Factor One – Corporate Relevant Specialized Experience.
In addition to the information provided for Factor One – Corporate Relevant Specialized Experience (see Section 10.0, Tab H), offerors shall provide for each submitted project a copy of any interim and the final performance evaluations for the project from the Contractor Performance Assessment Reporting System (CPARS) – OR – by using the Past Performance Questionnaire (PPQ). The offeror may also provide any letters of appreciation or awards (see also Section 10.0, Tab I) received in response to any of the submitted projects. Copies of any CPARS evaluations shall be submitted directly for this Factor as the Government will not retrieve copies of CPARS evaluations on the contractor’s behalf. Submit either CPARS evaluations or PPQs, but not both.
For any projects that did not/do not meet original schedule or technical performance requirements, provide a brief explanation of the reason(s) for the shortcomings and any corrective action(s) taken to avoid recurrence.
3.2.2. Offerors shall provide a copy of any Cure Notices or Show Cause Letters received by the offeror for each submitted project and a description of any corrective action implemented by the offeror. The offerors shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.
3.2.3. Past Performance Questionnaire (PPQ). The PPQ included in the solicitation (Section 10.0, Tab I) is provided for the offeror and its team members to submit to the client for any project submitted under Factor 1 that does not have interim or final performance evaluations from the Contractor Performance Assessment Reporting System (CPARS). For any project that does not have interim or final performance evaluations from CPARS, submit completed PPQs with the proposal. If the offeror cannot obtain a completed PPQ from a client for a project(s) before proposal due date, then complete and submit the first page of the PPQ showing all contact and client info with the proposal. The Offeror shall provide detailed, current, accurate and complete past performance information in a timely manner. If the client requests, PPQs may be submitted directly to the Government's point of contact, via email at Evelyn Halliburton- Shannon, Contract Specialist (Evelyn.Halliburton-Shannon@usace.army.mil) NO LATER THAN 10 days prior to proposal closing date. Offerors shall not incorporate PPQs previously submitted for other RFPs by reference.
3.2.4. In addition to the above, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, PPQs submitted on prior RFPs, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of entities (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror's proposal, Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.
3.2.5. If the offeror is employing a recognized team arrangement, then Past Performance Information must be completed for each team member submitting one or more projects (performed individually or as part of the same team) for the purpose of meeting the Corporate Relevant Specialized Experience criteria. For reference and evaluation purposes the Offeror shall identify who will perform the major or critical aspects of the project.
3.2.6. The Government reserves the right to evaluate the past performance of any subcontractor identified in the offeror’s proposal as part of its assessment of the acceptability of that offeror’s proposal.
3.2.7 Regardless of the rating or evaluation terminology used in any past performance information, the Government will make an independent determination of the acceptability or non-acceptability of an offeror’s past performance based on the totality of information considered.
4. EVALUATION OF INDIVIDUAL NON-PRICE FACTORS
4.1. FACTOR ONE: CORPORATE RELEVANT SPECIALIZED EXPERIENCE. The Government will review each of the example projects provided by the Offeror to assess whether they meet the specified minimum criteria for this factor. Offerors providing at least the minimum number of projects each of which meets all of the minimum criteria will be rated ACCEPTABLE for this factor. Offerors failing to provide at least the minimum number of projects which individually meet all of the minimum criteria will be rated UNACCEPTABLE for this factor. The burden is on the offeror to establish in its proposal that the submitted projects clearly meet the minimum requirements. Offerors should not assume that there will be any additional opportunity to substantiate that their projects meet the criteria for Corporate Relevant Specialized Experience.
4.2. FACTOR TWO: OFFEROR PAST PERFORMANCE. The Government will evaluate and review the CPARS evaluations – OR – PPQs submitted, as well as other available past performance data for each of the submitted projects. The purpose is to determine how well the contractor performed on past contracts. Past Performance evaluation will not take into account the past performance information regarding predecessor companies. If both CPARS evaluations and PPQs are submitted for the same contract, only the CPARS will be evaluated.
4.2.1. The Government will evaluate past performance in terms of the elements listed below (see also Appendix D):
Quality of Construction. Based on information provided in the questionnaire and other information, the Government will assess the quality of the actual construction undertaken and the standards of workmanship exhibited by the Offeror’s team.
Schedule/Timeliness of Performance. The Government will evaluate all information available with respect to the Offeror completing past projects within the scheduled completion times.
Customer Satisfaction. The Government will evaluate all information available with respect to the Offeror’s past customer satisfaction, cooperation with customers, and interaction on past projects.
Management/Personnel/Labor. The Government will evaluate all information available with respect to the Offeror’s management of subcontractors on past projects.
Cost/Financial Management. The Government will evaluate all information available with respect to the Offeror ability to meet the terms and conditions within the contractually agreed price(s).
Safety Security. The Government will evaluate all information available with respect the Offeror ability to maintain an environment of safety and was the Offeror adhere to its approved safety plan.
General. The Government will evaluate all information available with respect the
Offeror ability to successfully respond to emergency and/or surge situations.
4.2.2. If there are any negative ratings (i.e. marginal, unacceptable, unsatisfactory, or would NOT recommend) in any elements provided for projects submitted under Factor One –Specialized Corporate Experience the proposal shall be rated Unacceptable for Factor Two. The Government reserves the right to determine an Offeror’s past performance to be Unacceptable if negative past performance information on relevant projects performed by the Offeror but not submitted in response to this solicitation is discovered in another Government database.
4.2.3. Other bases for an unacceptable rating for past performance. If there are any terminations for default for projects submitted in the proposal or for any relevant projects performed by the Offeror discovered in another Government database, the proposal would receive an overall rating of Unacceptable for this factor.
4.2.4 Contractor Team Arrangements Evaluation. Past Performance evaluation will be applied to all team members submitting one or more projects for the purpose of meeting the Corporate Relevant Specialized Experience criteria. However, there will be a single past performance rating for each offeror. Poor past performance by a member of a contractor team may mean that the offeror will be rated Unacceptable for this factor.
4.2.5 In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “ACCEPTABLE.”
4.2.6. The Government may contact sources other than those provided by the offeror for information with respect to past performance. These other sources may include other Government rating systems or databases, as well as telephone interviews or communications with Government personnel with personal knowledge of the Offeror’s performance capability.
5. NON-PRICE EVALUATION PROCESS
5.1 The SSA will select all or a minimum of the three (3) lowest-price proposals for technical review by the Source Selection Evaluation Board (SSEB). Proposal pricing will not be revealed to the SSEB. If none of the selected proposals are technically acceptable, then the SSA will select the next lowest-price proposal or proposals for technical review, and so on. Proposals not selected for technical review because of proposal pricing will not be further reviewed. Any debriefing of offerors whose proposals were not selected for technical review will reflect this approach and will not receive a technical review merely for the purpose of debriefing. While the intent is to award without discussions, if at any stage in this process it is determined to be necessary to conduct discussions, the SSA will determine the proposals to be included in the competitive range consistent with FAR 15.306(c).
5.2 Technical proposals will be evaluated consistent with the uniform evaluation procedure set forth in this section of the solicitation. The SSEB will conduct an in-depth review of each proposal against the factors established in the solicitation as follows:
5.2.1. All proposals received will be subjected to an initial screening by the Contracting Officer to determine whether proposals are complete and in accordance with the solicitation. Proposals that fail this initial screening process may be rejected and the offeror will be notified they are no longer eligible for further consideration.
5.2.2. Each member of the SSEB will independently evaluate all information provided in a proposal against the prescribed non-price factors. Once these individual evaluations are completed, the SSEB will assign a consensus rating for each evaluation factor. The SSEB will not consider any documents incorporated by reference, except as expressly allowed by this solicitation.
5.2.3. Past performance, as instructed above, shall be included in the Technical Proposal and evaluated by the SSEB.
5.2.4. The overall ACCEPTABLE/UNACCEPTABLE rating along with ratings on individual factors, to include all supporting documentation, will be provided to the Source Selection Authority.
5.3. Offerors are reminded that unsupported promises to comply with contractual requirements will not be sufficient. Proposals must not merely parrot back the contractual requirements, but rather provide substantive, understandable and realistic evidence to support promised performance.
6. NON-PRICE RATING
6.1. Proposals selected for technical review will be evaluated against the minimum requirements for each non-price evaluation factor based on the ratings and descriptions in the following tables:
Table A-1. Technical Acceptable/Unacceptable Ratings
Rating Description
ACCEPTABLE Proposal meets the requirements of the solicitation.
UNACCEPTABLE Proposal does not meet the requirements of the solicitation.
Table A-2. Past Performance Evaluation Ratings
Rating Description
ACCEPTABLE Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.
UNACCEPTABLE Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.
6.2. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “ACCEPTABLE.”
6.3. In order to receive an overall ACCEPTABLE rating, a proposal must receive an ACCEPTABLE rating on all non-price factors. A proposal receiving an UNACCEPTABLE on one or more non-price factors will receive an overall UNACCEPTABLE rating and be ineligible for award.
6.4. The final overall rating, along with ratings on individual factors, will be provided to the SSA and used in making the determination of which Offeror(s) is/are eligible for award.
7. PRICE EVALUATION.
7.1. Price will not be rated but will be evaluated as to its fair and reasonableness.
Pricing for the contract shall be completed and submitted on the Pricing Schedule shown at Section 00 10 00 – Solicitation, Contract Line Item Number (CLIN) Schedule of the solicitation.
7.2. The Government will perform a price analysis on all technical acceptable proposals received for the contract. Price analysis will be performed in accordance with FAR 15.404-1, to determine fairness and reasonableness as well as to assure an understanding of the work and ability to execute the contract at price proposed. The evaluation will determine the extent to which the price proposal is consistent with the requirements of the RFP. Historical price information, competitive price information, the Independent Government Estimate (IGE), or any other pricing tool as necessary will be utilized in making this determination. Offerors are advised that any offer wherein pricing is deemed unfair or unreasonable will be rendered ineligible for award.
7.3 The Government may reject a proposal if the prices proposed are materially unbalanced between line items or sub-line items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
8. BASIS FOR AWARD
8.1. Proposals must meet the criteria stated in the RFP in order to be eligible for award, to include responsiveness, responsibility, technical acceptability, and fair and reasonable pricing.
8.2. The Source Selection Authority, independently exercising prudent business judgment, will determine which Offeror, if any, will receive the contract award. Any such award will be made to that Offeror whose proposal is technically acceptable and has the lowest price that is determined fair and reasonable.
8.3. The Government reserves the right to reject…
