STATEMENT OF WORK
U. S. ARMY CORPS OF ENGINEERS (USACE) - SAVANNAH DISTRICT
STATEMENT OF WORK for Two (2) REAL PROPERTY APPRAISAL REPORTS
FOR THE FEDERAL ACQUISITION OF FEE SIMPLE INTEREST
Tract 1001 - 2.83 Acres Vacant Land, and Tract 1006 - 8.59 Acres with Four Commercial Buildings
Frierson Road, Adjacent to the North Gate of Shaw Air Force Base, Sumter County, South Carolina
1. APPRAISAL SERVICES REQUIRED and PURPOSE OF THE REPORTS.
a. Two separate appraisal reports for the purpose of estimating the Market Value (MV) of the total acquisition of the fee simple estate for each to be acquired from two different property owners by the Federal Government (Government). The conclusions from the appraisal reports shall be used in negotiating with property owners for acquisition and, if necessary, for filing condemnation assemblies with the Department of Justice (DOJ) for any property that cannot be purchased through direct negotiations.
b. Expert witness court testimony for trial are not a part of this Statement of Work.
2. PROJECT INFORMATION.
The property acquisition is a result of a Base Infrastructure Project. The North Gate will be moved northward, requiring the acquisition in fee simple of private properties abutting Frierson Road. Previous appraisal reports were completed on these two tracts and additional properties in 2009 and in 2012. Prior negotiations for purchase of these two properties were unsuccessful, and current appraisal reports are now required for these two remaining properties to be acquired for the Project.
3. DESCRIPTION OF ESTATE.
The fee simple title to the land described, subject, however, to existing easements for public roads and highways, public utilities, railroads and pipelines.
4. APPRAISER QUALIFICATIONS.
a. Appraiser of Record. The Appraiser of Record signing the reports shall possess a currently active and non-temporary Certified General Appraiser classification from the State of South Carolina.
b. The Appraiser of Record shall possess past and recent experience in litigation appraisal work and expert witness testimony.
c. The Appraiser of Record shall possess geographic competency for the market area and have the technical experience and competency in appraising properties of comparable complexity.
d. The Appraiser of Record shall inspect the properties, significantly contribute to the analyses and opinions rendered, and sign the reports.
5. CLIENT and INTENDED USERS USACE is the Client for the appraisal reports. Both USACE and DOJ are Intended Users of the appraisal reports.
6. SPECIFICATIONS FOR APPRAISAL REPORTS.
The appraisal reports prepared under this contract SHALL conform to the Uniform Appraisal Standards for Federal Land Acquisitions 2000 (the ‘UASFLA or ‘Yellow Book’, URL @ http://www.justice.gov/enrd/land-ack/Uniform-Appraisal-Standards.pdf), plus any Supplemental Standards included herein. The report shall contain at a minimum, but not necessarily in that order, the following items:
a. Title Page
b. Letter of Transmittal
c. Table of Contents
d. Summary of Salient Facts and Conclusions
e. Appraiser’s Certification in compliance with UASFLA
f. Statement of Assumptions and Limiting Conditions
The use of an uninstructed assumption or hypothetical condition that results in other than “as is” market value will invalidate the appraisal. Include only factors relating to the appraisal problem. Assumptions and limiting conditions that are speculative in nature are inappropriate. Do not include limiting conditions that significantly restrict the application of the appraisal.
g. Scope of the Appraisal
h. Purpose of the Appraisal, to include the Date of Valuation
i. Summary of Appraisal Problem
j. Property Rights and Interests to be Appraised List all reservations, outstanding rights, and any other encumbrances. For multiple parcel properties, list by appraised parcel.
k. Area, City and Neighborhood Data The use of boilerplate demographic and economic data is unnecessary and undesirable. Report only that data that is relevant to and directly impacts the market analysis for the subject property.
l. Property Data and Description
(1) Site(s): dimensions, size, topography, flood plain/zone, effect of encumbrances, access, road frontage, utilities, wetlands, and any other features that may affect value;
(2) Improvements;
(3) Assessed Values and Current Annual Tax Load;
(4) Zoning and any other Land Use and Environmental Restrictions or Guidelines having an impact on the highest and best use;
(5) Favorable or Unfavorable Factors for the Market;
(6) Use History;
http://www.justice.gov/enrd/land-ack/Uniform-Appraisal-Standards.pdf
(7) Photographs of Subject Property (showing the date and name of person taking photographs);
(8) Plats and Aerials as appropriate to graphically identify the property;
(9) Ten-year minimum Sales Reporting and Analysis and Property Use History (UASFLA requirement);
(10) Discussion/analysis of any options, offers to buy or to sell, and leases impacting the subject property.
m. Analysis of Highest and Best Use
(1) The highest and best use conclusion must be clearly supported by market evidence;
(2) If the highest and best use is for assemblage, describe and explain the relationship of the appraised properties to the property to which it would be joined;
(3) If speculation or investment is the highest and best use of the properties, describe and explain the interim and most probable ultimate use;
(4) When there is a claim that the highest and best use of a property is something other than the property’s existing use, the burden of proof is on the appraiser;
(5) Market value cannot be predicated upon potential uses that are speculative and conjectural;
(6) The appraiser's opinion of a reasonable probability of a zoning change must have a factual foundation. The appraisal report shall include a description of the investigation undertaken to determine the probability of rezoning. The stated rezoning conclusion shall be supported by facts surfaced in the research. A property cannot be valued as if it were already rezoned for a different use. The property must be valued only in light of the probability of obtaining a zoning change, and shall consider all costs and time involved to petition and obtain approval for a zoning change.
n. Value Estimate by Cost Approach, if applicable. If the Cost Approach is omitted, the market value for the vacant land must still be fully analyzed.
o. Value Estimate by Sales Comparison Approach
(1) Minimum of four (4) comparables including detailed comparable write-ups, to include statements of actual, desired or future uses by the Buyer after the date of sale, if available;
(2) Comparables selected should be of a similar highest and best use. A discussion of any differences in highest and best use between the subject and comparables should be included in the analysis.
(3) Comparables must be confirmed by a knowledgeable party to the transaction, with that party’s name and phone number listed in the report;
(4) Each comparable shall be discussed in relation to the subject property in the adjustment process (whether quantitative or qualitative), and all adjustments must be supported by clear, appropriate, and credible analyses based on documented market research;
(5) For qualitative comparison analyses, it is essential that the comparable sales utilized include both sales that are overall superior and overall inferior to the property being appraised;
(6) Include a sales adjustment chart summarizing the adjustments and showing the final adjusted sale prices and how the sales compare with the subject property.
p. Value Estimate by Income Capitalization Approach
(1) Minimum of four (4) transactional rental comparables; providing detailed rent comparable write-ups to include at a minimum the following:
(a) Lessor, Lessee, Property Address, space size, amenities (confidentiality requirements may preclude revealing some of this information);
(b) Identify whether new lease, renewal, or option year; state lease inception date for the comparable period being analyzed, along with initial lease date, lease term and options, rate, and escalations;
(c) Discuss any rent concessions (free rent, etc.) and Tenant Improvement (TI) Allowances paid for by the Lessor that could have influenced the reported comparable rent rate for the analyzed comparable rental period;
(d) Rent comparables must be confirmed by a knowledgeable party to the transaction, with that party’s name and phone number listed in the report;
(2) Each comparable should be discussed in relation to the subject property in the adjustment process, and all adjustments (whether quantitative or qualitative) must be supported by clear, appropriate, and credible analyses based on documented market research.
(3) Rent Listings can be used to augment the transactional rent comparable data.
(4) Capitalization and discount rates used in analyses shall be well reasoned and appropriate for the property type and supported rate shall be based on a reasonable expectation of return on the investment appropriate to the market and the property.
q. Correlation and Final Value Estimates
r. Exhibits and Addenda. Location Map for Subject and All Comparables, Comparable Data Photographs or Maps, Other pertinent exhibits. All photographs shall be identified as to the photographer and the date taken.
7. SPECIAL STIPULATIONS
These special stipulations should be followed for the appraisal report. UASFLA has reporting requirements not contained in Uniform Standards of Professional Appraisal Practice (USPAP), and these Special Stipulations highlight some of the more significant requirements.
a. Definition of Market Value. Only the following definition of market value shall be used from UASFLA, Section A-9., pp.13: “Market value is the amount in cash, or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of the appraisal, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property at the time of the appraisal.”
b. No Linkage To Exposure Time; and No Estimate of Marketing Time. UASFLA, Section A-9., pp.13 states: “Contrary to USPAP Standards Rule 1-2c, this definition of market value does not call for the estimate of value to be “linked” to a specific “exposure time” estimate, but merely that the property be exposed on the open market for a “reasonable” length of time, given the character of the property and its market. Therefore, the appraiser’s estimate of market value shall not be “linked” to a specific exposure time when conducting appraisals for federal land acquisition purposes under these Standards.”
“It is recognized that some appraisers’ client groups (e.g., relocation companies, mortgage lenders) may require appraisers to estimate a “marketing time” for the property under appraisal. However, such estimates are inappropriate for, and must not be included in, appraisal reports prepared for federal land acquisitions under these Standards. “The request to provide a reasonable marketing time opinion exceeds the normal information required for the conduct of the appraisal process and is, therefore, beyond the scope of the appraisal assignment under these Standards.”.”
c. Sales History. Include a 10-year record of all sales and, if the information is available, current listings and offers to buy or sell the property under appraisal. If no sale of the property has occurred in the past ten years, the appraiser shall report the last sale of the property, irrespective of date. The information to be reported shall include name of the seller, name of the buyer, date of sale, price, terms and conditions of sale, and the appraiser’s opinion as to whether the sale price represented market value a the time, and if not, the reasons for the appraiser’s conclusion. An unsupported statement that the sale did not represent market value, or was not an arms-length transaction, is unacceptable. It is recognized that the ten-year sale history required is a longer sales history than many other appraisal standards require. The reasoning for the extended sales history is discussed in Section B-5 of UASFLA.
d. Property Inspection and Owner Contact. In accordance with Public Law 91-646, the Appraiser is required to contact the property owner or representative and offer to accompany the owner or agent on a physical inspection of the property. A statement must be made in the report regarding contact and noting whether the owner or agent accepted or declined the offer for the mutual inspection. If after a reasonable effort the appraiser is unable to contact the owner, it will be necessary to inspect the subject property as best as possible and complete the report. The Government has obtained Rights of Entry from the property owner allowing access by Government contractors.
e. Definition of Highest and Best Use. Highest and Best Use is defined as “the highest and most profitable use for which property is adaptable and needed or likely to be needed in the near future.” Such use “is to be considered, not necessarily as the measure of value, but to the full extent that the prospect of demand for such use affects the market value while the property is privately held.” (UASFLA, Section B-3., pp. 34). That use should be analyzed as to what is physically possible, legally permissible, financially feasible, and maximally productive for the highest value.
f. Inspection of Comparable Sales and Rents. The Appraiser shall make an inspection of all the comparable sales and rents used in the analysis if geographically feasible, reasonable, and accessible.
g. Extraordinary Assumptions and Hypothetical Conditions. Unless otherwise noted in this Appraisal Guidance, UASFLA Section A-7. pp. 11 states: “The adoption of an uninstructed assumption, or hypothetical condition, that results in a valuation of other than the “AS IS” market value of the property appraised as of the effective date of the appraisal will, as a general rule, invalidate the appraisal for government acquisition purposes.”
h. Larger Parcel. Tract 1001 consists of two separate property tax parcels. Both are vacant tracts under the same ownership. Tract 1006 is an independent tract with no known adjoining properties under the same ownership. UASFLA Section A-14. pp.17 states: “Essential in the appraiser’s conclusion of highest and best use is the determination of the larger parcel. The appraiser must make a larger parcel determination in every appraisal conducted under these Standards, …. The appraiser’s analysis that led to the larger parcel determination and the determination itself must both be reported.”
i. Non-Economic Highest and Best Use. UASFLA Section A-14., page 18 last paragraph states: “The appraiser’s estimate of highest and best use must be an economic use. A noneconomic highest and best use, such as conservation, natural lands, preservation, or any use that requires the property to be withheld from economic production in perpetuity, is not a valid use upon which to estimate market value. Therefore, any appraisal based on such a non-economic highest and best use will not be approved for federal land acquisition purposes.”
j. Use of Sales to a Condemning Authority as Comparables. Use of sales to a condemning authority as comparables should be viewed as suspect from the outset. If using such sales, refer to UASFLA Sections B-18. Price Paid by a Governmental Entity for Similar Property., and D-9. Comparable Sales Requiring Extraordinary Verification and Treatment. for guidance and requirements.
k. Excess or Surplus Lands. Tract 1006 is situated with all the improvements clustered on the west end of the property, leaving additional land area to the east vacant. The report shall address the element of any contributory value, if any, of this excess or surplus land area.
8. DESCRIPTION OF PROPERTIES TO BE APPRAISED

b. Both tracts are located to the northwest of an airbase runway and are situated within an existing noise environment associated with aircraft operations. Noise levels are measured in the
Day-Night Average A-Weighted Sound Level (DNL) metric for describing the noise environment. The Department of Defense uses the DNL descriptor as the method to assess the amount of exposure to aircraft noise and predict community response to the various levels of exposure. The DNL values are shown as contour lines on a map contained in the addenda, and range from 70 to 85 decibels (dB) for the acquisition areas. This noise environment is an existing condition and will not change as a result of the project.

CLAUSES INCORPORATED BY FULL TEXT
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (APR 2014)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF
1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the
Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the
Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Lowest price quote
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
