QUESTIONS AND ANSWERS

LAKES AND DAMS PRE-PROPOSAL CONFERENCE

QUESTIONS/RESPONSES

1) Question: Example on slide 20, Demo of 10,000SF of carpet: shows NO materials or equipment, is this to include demolition tools and equipment? $0.75 per SF is way too low.

Response: The Means cost line item includes everything necessary to demo the carpet - small tools are left out of RS Means.

2) Question: What is the form for the Data Sheets and Past Performance Sheets?

Response: They can be found in Attachments 1-3, Tabs D, H, and I.

3) Question: Can we get a copy of the sign-in sheet Response: Yes.

4) Question: Is there a list of planned projects that this contract would support?

Response: No.

5) Question: Please explain Base Period only (pg 24).

Response: Base period of the contract is 3 years. Each option period is for a 1 year. Total contract period is for 5 years.

6) What are the minimum project numbers in the Factors 1, 2, 3?

Response: None, there are no set minimums.

7) Question: What is the amount of the Bid Bond?

Response: 20% or $3 million, whichever is less (52.228-1, Also see FAR Part 28)

8) Question: Please explain “Cost Estimating Order of Precedence”.

Response: In developing your cost estimates the preferred methods in order are: Square foot, Assemblies, Individual CSI Numbers

9) Question: A) What items are allowed in Field Office Overhead (FOOH)? B) Where do we get union rates?

Response: A) Project Manager (PM) and Construction Quality Control (CQC) Manager as well as, associated costs with the trailer, phone, etc. B) Upon initial set up of the project in the electronic version of RS Means the system allows you to select shop or union rates – select “Union Rates”.

Follow-up: Labor can’t be less than Davis-Bacon, Government will pay union rates.

10) Question: Is there a Davis-Bacon Wage Rate in effect for this project?

Response: Yes (Each separate Task Order will utilize the Davis-Bacon Wage Rate for the county, state and type of work being performed)

11) Question: Can more than one coefficient be submitted for one area (i.e. Work inside or on Russell Dam versus work near or on other structures than the Dam.)?

Response: No

12) Question: Will BIM be used on all task orders (i.e. Will BIM be required on all task orders requiring design under this contract including renovation and rehabilitation or will it be required for new design only)?

Response: This will be determined on each individual task order. It will greatly depend on customer requirements.

13) Question: Will the Government observe BIM neutrality or require a specific BIM software suite (i.e. Bentley)?

Response: The final format must be Micro Station. AutoCAD can be used if compatible and converted to Micro Station.

14) Question: Will the CCI be used?

Response: No.

15) Question: Please explain the “Lump Sum Pricing”?

Response: Lump Sum Pricing of Electrical, Mechanical, etc. will appear on the RFP Summary Sheet; however, the breakdowns must be submitted with each proposal and as back-up.

16) Question: 2.3.1.a, Taxes – Is the job tax exempt?

Response: Depends on the state.

17) Question: 2.3.1.a – Define “included” in the coefficient. As an example, it notes Bonds. Bonds are a factor of the overall subtotal price. How can it be included in the coefficient?

Response: No other items (e.g. markups, insurance, bond, etc.) can be added to the proposal.

You must find a way to account for this in your coefficient.

Follow-up: Bond required on Task Orders on $100k or more.

18) Question: Is there a specific area of experience that USACE is looking for? Is major Dam repair included?

Response: Only items list in the specific experience requirements (Minimum and Additional criteria). However, if you possess additional/unique experience feel free to include that work in your Data/Past Performance.

Follow-up: Not only will work be performed at the Lakes & Dams but, all structures associated w/ Lakes and Dams.

19) Question: 4.1.2.2.4 – Please confirm voltage on line item? Is it in “V”? Or is “KV” accurate?

Response: It should read: "Installation of 480 V - 231 KV class, 3 phase, switchgear and electrical apparatuses to include Sulfur Hexafluoride (SF6) breakers." (Amended)

20) Question: Rates of wages attachment is missing?

Response: Wage rates will vary based on task order.

21) Question: Is the “Lobbying Form” required to be turned in with the RFP response?

Response: Contractor is referring to the Disclosure Statement. This will be turned in with the proposal.

Follow-up: Disclosure statement to be turned in with Proposal.

22) Question: Section 01 08 00, Page 7, 7.8 Notes Liquidated Damages will be accessed. Liquidated Damages should only be accessed if performance does not meet the contract requirements.

Please clarify.

Response: Established per project. Contractor performance will be assessed every 30 days; if not on schedule a portion of their pay may be retained and if performance is not brought up to schedule the retained pay can be moved to LDs.

23) Question: Is there a current contract in place for this work? If so, please provide name and contact information.

Response: No.

24) Question: Confirm 8 projects in Factor #1 and #2, excludes the 5 projects in Factor #3?

Response: Yes.

25) Question: Estimate Design-Build percent of all work.

Response: Historically, a rough estimate would be about 20%.

26) Question: Advertisement for proposals infers that this will be civil work, understanding the work is at locations that are heavy civil projects, but the work is more “commercial construction” in nature, right?

Response: ‘Civil work’ was referring to the type of funding (civil funded). The projects may involve little commercial and construction.

27) Question: What items are not covered in the UPB that would be considered as “Non-Priced Items”? Can you give some examples?

Response: Wrought iron fence, Oil bus system, etc…

28) Question: Are the estimated capacities shown on page only examples? Are there actual projects planned for these installations?

Response: Yes, the estimated capacities are just examples. The project locations are unknown at this time.

2. COEFFICIENT

2.1 Unit Price Book: The Unit Price Book (UPB) is the R.S. Means Construction Cost Data book. The current year edition of the R.S. Means Construction Cost Data Book is hereby incorporated by reference and the edition current at the beginning of each calendar year will be incorporated into the contract for the duration of this contract including option periods. The Contractor shall use the electronic version of R. S. Means Building Professional’s Package which includes Building Construction Cost Data, Mechanical Cost Data, Plumbing Cost Data, Electric Cost Data and the Square Foot Cost. For renovation projects, the contractor shall use the Repair and Remodeling Cost Data. The Contractor may use the quarterly pricing updates to the R.S.

Means Construction Cost Data book. Contractor shall use Means Cost Works Estimator to prepare and submit task order proposals. These items may be obtained from the R.S. Means

Company at 1-800-334-3509 or www.rsmeans.com. Hereinafter, the Unit Price Book as described in this paragraph will be referred to as the UPB.

2.2. Coefficient: The Offeror’s coefficients shall be represented as “net” (e.g. 100%), a percentage “decrease from” (e.g. 95%) or “increase to” (e.g., 120%) to the UPB, without home office and field overhead and profit. The “Total Bare Costs” column in the UPB will be used.

The Contractor’s coefficient shall contain all allowable contractor costs EXCEPT PROFIT, HOME AND FIELD OFFICE OVERHEAD. Home Office Overhead will be set by this contract. Profit and field office overhead will be negotiated for each task order. Profit will be computed using the weighted guideline method specified in Specification Section 01 08 00.

2.3 Items not allowed to be used from the UPB:

2.3.1 Items Included in Coefficient: The following items from the UPB will not be paid separately and shall be included in the coefficient:

a. Cost Division 1 – General Requirements

• 01 21 16 – Allowances

• 01 21 61.10 – Taxes

• 01 31 13.30 – Insurance

• 01 31 13.80 – Mark-up

• 01 31 13.90 – Performance Bond

• 01 41 26 – Permits

• 01 74 13.200050 & 0100 - Daily Cleanup

2.3.2 The following items from the UPB WILL be negotiated:

a. Cost Division 1 – General Requirements

• 01 31 12.50 - Mark-up

• 01 31 13.60 – Overhead

The Contractor’s Home Office Overhead will be fixed as proposed on Schedule A.

2.4 Non-Priced Items. Items of work not covered in the UPB listed above, will be considered Non-Priced Items.

2.4.1. All proposed non-priced items shall be separately identified and priced. Proposed non-priced items must be documented by supporting information as specified below:

(a) A minimum of THREE competitive contractor quotes

(or) if requested and approved by the contracting officer, http://www.rsmeans.com/

(b) A complete breakout of material, labor, and other direct or indirect costs required to complete the specific item. Costs shall be segregated and proposed on a DA Form 5413-R, “Construction Cost Breakdown’, or other format approved by the contracting officer.

2.4.2. No area coefficient shall be used for non priced items. However, the Home Office Overhead rate fixed in the contract will be used and will not change. Non-priced items will be fully negotiated.

2.5. The Coefficient will apply for the three year base period and two option periods of the contract or up to the maximum capacity of $14,500,000.00.

2.6 For all task orders, the quantities for the individual items required shall be negotiated prior to Task Order award. The sum total prices of all items included in the task order will then be multiplied by the area coefficient factor, field office overhead, home office overhead, and profit to determine the total price of the task order. Since an area coefficient is used in lieu of the CCI (City Cost Index) contractor shall use the national average. As an example, if the cost of materials, equipment and labor from R.S. Means Building Construction Cost Data 2011 is $31,000.00, and the contractor’s area coefficient for Elberton, GA is 87.5%, the result would be a price of $27,125.00. If the contractor’s area coefficient is 125% and it is applied to the cost of $31,000.00 the sub-total for the task order cost would be $38,750.00. Then the field office overhead, home office overhead and profit is applied to the “Applied Coefficient Total” to determine the total price of the task order.

2.6.1 Example: Install 100 Doors

Quantity = 100 Quantity Unit = EA

Material Cost = $250.00/Door Total Material Cost = ($250.00 X 100) = $25,000.00

Labor Cost = $60.00/Door Total Labor Cost = ($60 X 100) = $6,000.00

Equipment Cost = $0/Door Total Equipment Cost = ($0 X 0) = $0

Total Bare Cost = Material Cost + Labor + Equipment

= $25,000.00 + $6,000.00 + $0 = $31,000

Next the area coefficient will be applied:

Lets assume the area coefficient is 87.5% then the Applied Coefficient total for the task order = $31,000.00 x 0.875 = $27,125.00. (Not including Field Office Overhead, Home Office Overhead and Prime Contractor Profit)

Field Office Overhead will be added to the Applied Coefficient total: For example if the FOOH = $5,500.00. The sub-total for Applied Coefficient + FOOH = $27,125 + $5,500 = $32,625.

Next Home Office Overhead and Profit will be applied to the sub-total.

- If area coefficient is 125% then the Applied Coefficient total = $31,000.00 x 1.25 = $38,750.00.

(Not including Field Office Overhead, Home Office Overhead and Prime Contractor Profit) Filed Office Overhead will be added to the Applied Coefficient total: For example if the FOOH = $5,000.00. The sub-total with Applied Coefficient + FOOH = $38,750 + $5,500 = $44,250.

Next Home Office Overhead and Profit will be applied to the sub-total.

2.7. Pricing Sub-Contract Work. Work to be performed by a sub-contractor shall be priced using the “TOTAL INCL O&P” column in UPB which includes the sub-contractor cost for profit and overhead. The appropriate coefficient will then be applied to the total of these costs.

2.8. Pricing Prime Contractor Work. Work to be performed by the prime contractor shall be priced using the “BARE COSTS TOTAL” column in the UPB. The appropriate coefficient will then be applied to the total of these costs.

2.9. Union Rates will be used for pricing Labor.

2.10 Modifications. Contractor shall use the UPB for all modifications.

2.11 Locations: See CLIN 0001 and paragraph 4.

3. HOME OFFICE OVERHEAD

3.1. Home Office Overhead shall be represented as a percentage increase to the Applied Coefficient Total. The proposed rate will apply to ALL task orders issued under this contract.

3.2. Offeror’s shall propose a Home Office Overhead rate for the three (3) year base period and the two 1 year option periods. The rates awarded will be locked-in for the life of the contract and will not change.

4. TASK ORDER PROPOSALS.

4.1 The contractor shall prepare a detailed proposal by identifying tasks, refining quantities of both prepriced and non-priced items, pricing non-priced items, developing performance times and preparing a completed proposal document for submission to the contracting officer. The contractor shall field verify all available as-builts as well as existing field conditions.

5. PRICE EVALUATION PROCEDURE

5.1. Coefficient Estimated Capacity Values are identified for each location in the following table.

The Estimated Capacity Value will be multiplied by the corresponding proposed coefficient to determine a total for each location. These Applied Coefficient Totals will then be multiplied by the Home Office Overhead Rate for the Base Period only. These Evaluated Totals will then be added together to obtain the total evaluated price for Schedule A.

5.2. The Home Office Overhead Rates proposed for Option Periods 1 and 2 WILL NOT be included in the evaluated price, but will be evaluated to ensure REASONABLENESS ONLY.

5.3. An EXAMPLE price evaluation chart for Schedule A follows:

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/services/contractingopportunities/sizestandardstopics/.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the rerepresentation required by paragraph (b) of this clause by validating or updating all its representations in the Online Representations and Certifications Application and its data in the Central Contractor Registration, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in ORCA, or does not have a representation in ORCA for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

The Contractor represents that it ( ) is, ( ) is not a small business concern under NAICS Code 236220- assigned to contract number TBD.

(See solicitation section 00010 for the complete scope of the anticipated contracts to be awarded under this RFP.)

1.2 The purpose of the Source Selection Plan is to establish a uniform evaluation procedure for the technical evaluation of proposals by the Source Selection Evaluation Board (SSEB) and the development of the Best Value Decision by the Source Selection Authority (SSA) using the Trade-Off Process (See Federal Acquisition Regulation 15.101-1). In as much as the proposal shall describe the capability of the Offeror to perform any resulting contract, and task orders issued there under, the proposal should be specific and complete in every detail as well as be prepared simply and economically, providing a straightforward and concise description of capabilities to satisfactorily perform the contract and task orders issued thereafter.

1.3 For the purposes of this solicitation, the Government will utilize a Price Performance Trade-off (PPT) Process. In the PPT process, interested Offerors submit certain specified performance and capability proposals in conjunction with price proposals for review and consideration by the Government. The Government will evaluate these performance capability proposals in accordance with the criteria described herein.

2. GENERAL INSTRUCTIONS.

In accordance with FAR Subpart 9.6, the Government will recognize the integrity and validity of contractor team arrangements; provided, the arrangements are identified and company relationships are fully disclosed in the offer. The Offeror shall identify the major or critical aspects of the requirement to be performed by those identified in the Contractor Team Arrangement. The submission must contain a narrative that clearly explains the relevance to a particular factor of information concerning a company that is part of a Contractor Team Arrangement. For SDOV set- aside procurements and awards to SDOV SBCs through full and open competition after a price evaluation preference in favor of qualified SDOV SBCs, a Joint Venture must comply with 13 CFR 126.616.

2.4 Notwithstanding the specific requirements of any other area of the RFP, information submitted about any company other than the Offeror, whether a predecessor company, affiliated company, subsidiary (including wholly owned subsidiaries), subcontractors that will perform major or critical aspects of this requirement, or other associated business, WILL NOT be evaluated for any factor unless the proposal contains a detailed narrative explaining why this submitted information is relevant to this acquisition.

The Government will consider the adequacy of this explanation in deciding the relevance and weight, if any, of the information to this procurement. Where information about a subcontractor is properly submitted and given significant weight during the evaluation, the failure of the Offeror to actually perform with that subcontractor may be grounds for termination for default.
