PERFORMANCE WORK STATEMENT

Professional services for analysis of surface water, groundwater, soil, sediment, and environmental samples for the U.S. Army Corps of Engineers, St. Paul District (Corps), St. Paul, Minnesota.

PART 1

GENERAL REQUIREMENTS

1.0 Character and Extent of Services

In performing the environmental analysis required under this contract, the Contractor shall provide all professional services necessary in receiving assignments, planning, and supervising work, checking work during progress, checking completed work, and reporting results in a timely manner.

The general procedural guide for assignment of work and performance of work under this contract is as follows:

a. A Task Order for each assignment will be issued in writing by the Contracting Officer and will include the type of sample matrix, the type of analyses and methods to be performed, the number of samples and required completion date.

b. Each proposed Task Order will be discussed by the Contractor and the Contracting Officer or his/her authorized representative as necessary to develop a mutual understanding of:

1) Type of sample matrix.

2) Type of analyses to be performed.

3) Number of samples to be analyzed.

4) Date samples are available for delivery to Contractor.

5) Completion date required by the Contracting Officer.

a) The Contractor must be capable of completing the testing and providing results within 30 calendar days from the date the samples are delivered.

c. If it becomes evident to the Contractor during performance of the work requested in a Task Order that the required completion data or any other requirement of the Task Order will not be met, the Contractor must furnish reasons for the problem and proposed remedial actions. Failure to meet established completion dates or other performance issues may result in the Government taking adverse actions, in accordance with contract clause 52.212-4.

d. Samples will be available for delivery to Contractor’s laboratory no later than the Thursday of a work week.

1) The Contractor shall deliver the required coolers, jars, labels, and Chain of Custody forms within five

(5) days from the execution of each Task Order. Deliveries should be sent to:

As specified in each Task Order, the Contractor shall supply appropriate sample containers for analyses.

2) Once the samples are collected, the Corps at its own expense, will either drop off the samples at the

Contractor’s laboratory in the supplied coolers filled with ice or ice packs, or ship overnight in a manner applicable with the holding time requirements as specified in the most current editions of “Standard Methods for the Examination of Water and Wastewater”, Section 1060:I, and/or “Test Methods for Evaluating Solid Wastes; U.S. EPA-SW 846.

1.1 Equipment and Supplies

The Contractor shall furnish all supplies necessary to perform the work required. Payment for use of these items is included in the unit prices of the Schedule.

1.2 Material to be Furnished to the Government Upon Completion of Task Orders.

Analytical results shall be on a form containing the Contractor’s letterhead, task order number, date samples were collected, and date samples were analyzed. A Quality Control Report shall be furnished to include all precision and accuracy data performed in conjunction with each individual Task Order. Each Task Order shall be performed using the industry’s highest level of quality control. The analytical results shall be supplied as an electronic deliverable, such as .pdf or in a database format such as MS Excel or equivalent for water quality work. Graphical or numerical instrument output for water quality parameters will not be required.

1.3 Release of Information

The Contractor shall not release any data, report or other material of any nature obtained or prepared under this contract without the specific written approval of the Contracting Officer.

PART 2

TECHNICAL REQUIREMENTS

2.0 Supervision and Inspection

a. Supervision of employees performing the required work shall be the Contractor’s responsibility. This is to include all supervision necessary in planning, organizing, and completing the work required in the contract.

All costs in connection with supervision are included in the contract unit prices listed in the Schedule.

b. The Contractor shall designate an individual to act as his/her authorized representative to receive all necessary work assignments. This individual must be completely familiar with both the general and technical requirements of this contract and be able to ensure full compliance with work assignments issued by the Contracting Officer. The authorized representative will function as the contact between the Contracting Officer or his/her authorized representative and the Contractor, and as such, must be available during normal working hours.

c. The Prime Contractor laboratory shall be capable of performing the requested analyses on water and solid samples during the life of this contract.

d. Environmental laboratory services are to be provided only by laboratories compliant with the most recently published version of the DoD Quality Systems Manual (QSM) and holding a current National Environmental Laboratory Accreditation Program (NELAP) accreditation for all appropriate fields-of-testing. As requested by the Contracting Officer, the laboratory shall submit the self-declaration forms (including supporting documentation), as well as information related to NELAP accreditation. Before testing services can be performed by the laboratory, the Contracting Officer will notify the candidate laboratory of the acceptability of the declaration and supporting documentation. Self-declaration, and provision of NELAP accreditation information is to be provided annually while supporting Corps’ contracts. The Contractor shall notify the Contracting Officer immediately of change in status of laboratory operations that may affect on-going compliance with these requirements. The Corps may, at any time, conduct audits (including requests for pertinent data or information) that support an environmental laboratory’s self-declaration of compliance with this policy. If the Contracting Officer finds the laboratory non-compliant; alternate, compliant laboratory services shall be utilized, until such time as compliance is again demonstrated.

2.1 Laboratory Requirements

a. General. Trained and experienced personnel, adequate facilities and equipment, and selection of appropriate analytical methods are required for all Task Orders issued under this contract.

b. Facilities. The laboratory shall be of a design which allows for a clean, well-organized workspace for the analyst assigned to the Task Order. Analysis areas must be arranged to eliminate cross contamination between individual analyses and/or other possible types of contamination. The laboratory must comply with Federal OSHA regulations. The laboratory shall be available for inspection by the Contracting Officer or his/her authorized representative during normal working hours to ensure that the above requirements are maintained. A laboratory inspection shall include examination of chain of custody procedures, laboratory analytical procedures, preventative maintenance, instrument calibration, quality control/quality assurance protocol, corrective actions, and data reduction, validation, and documentation. The inspection shall include documentation of Quality Systems Manual (QSM) compliance.

c. Methods. The laboratory shall maintain state certification throughout the duration of the contract for any method used. The certification shall be from the proper state accrediting agency of at least one of the following: Minnesota, Iowa, Wisconsin, or Illinois. Methods recommended for all required analysis are listed in the most current edition of “Standard Methods for the Examination of Water and Wastewater”, and/or “Test Methods for Evaluating Solid Wastes”, EPA SW-846. The method used should be QSM compliant. Any method used that is not in these references should:

1) be fully documented;

2) be tested by other laboratories;

3) be checked for interferences likely to be present in a sample matrix;

4) have a precision and accuracy verified by more than one laboratory; and

5) have prior written approval by the Contracting Officer.

d. The Contractor may use the test methods listed in the Test Price Schedule. If the Contractor does not have the capacity to perform one of the listed test methods, they may include an alternative method for a given contaminant. If intending to use an alternative test method, the Contractor quote must include the intended substitution along with a brief comparison between the test method listed in the Test Price Schedule and that of the method quoted. The comparison data shall include detection limits and any sample restrictions (pH, for example) or sample size (larger or same than volume/weight required).

e. Sample Holding Time Requirements. Sample holding times are listed in Table 1060:I of “Standard

Methods for the Examination of Water and Wastewater”, current edition, and/or in specific analysis methods listed in EPA SW-846.

f. Precision and Accuracy Requirements. The highest level of quality control shall be applied for each parameter within a Task Order. All costs in connection with this effort are to be included in the contract unit prices listed in the schedule. Precision data (duplicate analysis) must be within +/- 10% (plus or minus ten percent) of the concentrations reported, except at concentrations at or near the required detection limit for the particular parameter. Accuracy data (spikes and/or unknown concentrations) must have % (percent) recoveries between 90 and 110% (ninety and one hundred ten percent). If the precision and/or accuracy data fail to meet these requirements, re-analysis is required.

This solicitation is a Request for Quote (RFQ), intended to result in one firm-fixed price Indefinite Delivery Indefinite Quantity (IDIQ) contract. This solicitation is not an Invitation for Bid (IFB) or a Request for Proposal

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (DEC 2022) ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1002", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
