ST. PAUL DISTRICT, CORPS OF

ENGINEERS ST. PAUL, MINNESOTA

This is an indefinite delivery contract contemplating firm fixed‐priced negotiated task orders to assist the St. Paul District of the U.S. Army Corps of Engineers in the area of environmental studies, planning services, relocation work, and production of reports.

I. GENERAL: The Contractor, as an independent contractor and not as an agent of the Government, shall, in accordance with the terms and conditions more particularly set forth below, furnish all labor, management, facilities, supplies, equipment and material (other than those to be furnished by the Government as herein‐after provided), and do all things necessary for the performance of the work as set forth below. The Contractor shall furnish the required personnel, equipment, instruments, and transportation as necessary to accomplish the required services and furnish to the Government reports and other data together with supporting material developed during the period of service. During the prosecution of the work, the Contractor shall provide adequate supervision and quality control to insure the accuracy, quality, completeness, timeliness, and progress of the work.

II. LOCATION OF WORK: The majority of the work to be accomplished under this contract will be performed in connection with projects located within boundaries of the Mississippi Valley Division, ( including the St. Paul, Rock Island, St. Louis, Memphis, Vicksburg, and New Orleans Districts) of the U.S. Army Corps of Engineers. The Mississippi Valley Division encompasses much of the Midwest area surrounding the Mississippi River Valley and its tributaries. Larger tributaries including the Minnesota River in Minnesota, St. Croix River in Wisconsin and Minnesota, the Wisconsin and Chippewa Rivers in Wisconsin, the Illinois and Rock Rivers in Illinois, the Des Moines and Cedar Rivers in Iowa, the Missouri River in Missouri, and the main stem of the Mississippi River from Minnesota down to the Gulf of Mexico in Louisiana. Work may also be required in areas outside of the Mississippi River Basin, including the Red River of the North and Devils Lake North Dakota, as well as work in other Corps Districts outside of the Mississippi Valley Division.

III. WORK TO BE PERFORMED: The services to be accomplished include the full range of potential natural and social resource studies, relocations, publications and report writing with an emphasis on determination of adverse and beneficial impacts of construction activities on the social and natural environments. This work will be carried out on uplands, wetlands, lakes, reservoirs, small and large lotic environments, and rural and urban populations. Areas of desired expertise, in no particular order of importance, are:

A. Public involvement processes for large water resource development projects.

B. Geospatial data development and analysis.

C. Familiarity with Federal and State environmental laws and regulations (such as National Environmental Policy Act (NEPA), Clean Water Act, Endangered Species Act, and the National Historic Preservation Act) including knowledge and experience with documentation requirements under these laws and regulations; experience in coordinating with Federal, State and local agencies.

D. Collection and analysis of economic/social resource data from urban and rural settings.

E. Management and/or statistical evaluation of data collected for large complex projects and concise, clear presentation of results.

F. Surveys/Sampling Methods

(1) Experience in use of global positioning systems (GPS) equipment and integrating output with computer databases;

(2) Fishery and freshwater mussel sampling;

(3) Aquatic vegetation sampling techniques;

(4) Lake, reservoir and riverine water quality assessment methodologies;

(5) Aerial photograph interpretation of environmental features.

G. Habitat Evaluation Methodologies

(1) FWS (Fish & Wildlife Service) Instream Flow Incremental Methodology;

(2) FWS Habitat Evaluation Procedures;

(3) Wetland Delineation and Assessment.

(iv) Performing wetland functional assessments using Minnesota Routine Assessment Method (MNRAM) and other wetland functional assessment methodologies.

IV. PERIOD OF CONTRACT: The Government may place task orders for five years from the date of contract award (period of performance listed will adjust to actual date of award). The contractor shall complete the work and services required under the contract within the time negotiated and specified in each task order. No task order will be issued after expiration of this contract; however, nothing in this sentence precludes work under a given task order issued during the term of the contract from being completed after the contract has expired (but within the performance period stated in the task order). Note: Contract Clause No. 52.217‐8, Option to Extend Services, the Government may extend the contract for a period of up to six (6) additional months.

V. ORDERING:

A. All work required during the contract period will be specified in written task orders. While the Government reserves the right to issue task orders unilaterally in an exigent circumstance, the general process for issuing task orders will be as follows: the Government will issue a request for proposal (RFP) which will delineate the general scope of work, location of the work, character and extent of services, technical requirements which supplement or complement those contained in this Section C (Descriptions and Specifications), and time periods within which the work must be performed. No request for proposal shall be interpreted as a notice to proceed with the work unless specifically stated therein.

B. (1) Based on a provided scope of work issued under the general requirements of this Section C, the contractor shall submit to the Contracting Officer a technical proposal within the time frame specified in the request for proposal, along with any requested detailed pricing data, for negotiating each firm fixed‐price task order. Proposals shall strictly correspond to the hourly rates and labor categories contained in Section B (Supplies or Services and Prices) of this contract and shall include all costs necessary to perform the work (including "other costs" as specified below).

(2) Hourly Rates: The hourly rates in Section B constitutes compensation in full to the contractor for all costs necessary to perform the contract work, with the exception of “Other Costs” as defined in (3) below.

The hourly rates specified in the pricing schedules include, without limitation:

(i) All labor costs, including but not limited to, salaries, wages, fringe benefits, insurance, worker's compensation taxes, uniform allowance, and vacation and holiday pay. The rate for the GIS Specialist shall also include any specialized equipment and supplies necessary to complete the work for that labor category.

(ii) All home office, permanent field office or branch office costs, including but not limited to buildings, facilities, clerical, and administrative support, records and payrolls, office equipment such as personal computers, typewriters, laboratory facilities, durable laboratory equipment, field equipment and tools, and ordinary laboratory supplies such as solvents and glassware.

(iii) All overhead costs, indirect costs, markups, and profit.

(3) Other Costs: These costs are defined as per diem, mileage, transportation, boats, vehicles, specialty equipment, and costs of reproducing final reports for submission to the Corps, which are not included in the base hourly rates. Rates for per diem may not exceed those established in the Joint Travel Regulations (JTR) for the locality concerned and the mileage rate may not exceed the Government rate for private vehicles used at the convenience of the Government. All costs associated with travel, such as per diem, mileage, and transportation, shall be calculated using the issuing Corps District office as the starting and return point. Costs will be paid for travel from the issuing Corps District office to the location where the work is taking place. No costs will be paid for contractor staff to travel to the issuing Corps District office.

All "other costs" shall be separately priced and identified in each proposal. No overhead, indirect costs, or markups will be included or paid on these costs.

(4) Any subcontracting that requires the use of the labor classifications specified in Section B of the contract shall be negotiated and performed at the rate awarded in the contract for that labor classification. See also Individuals Performing the Work below.

C. Negotiations: Each task order will be negotiated and may include discussions between the contractor and the Government to develop a mutual understanding of the scope of work including:

(1) The type and extent of work;

(2) Existing data availability;

(3) The end product and other submittal requirements;

(4) Schedule of work and required completion date;

(5) A fair and reasonable price to perform the work.

D. Upon completion of negotiations in which both parties have reached agreement, the Contracting Officer will issue a written task order (which may be by facsimile). The contractor shall not proceed with any work prior to receipt of a fully executed task order. In the event the Government and contractor fail to arrive at a mutually agreeable price, the Government may, at its option, issue the order unilaterally.

VI. NOTICE TO PROCEED. The issuance of the task order will be the notice to proceed for that order. No separate notice to proceed will be issued.

VII. INDIVIDUALS PERFORMING THE WORK. Except for the following positions (lab tech, field tech, word processor, sociologist, public outreach, botanist, planner, historian, forester, and GIS specialist), the contractor shall perform the contract work using those individuals identified in its proposal (project manager, economist, wetland biologist, wildlife biologist, fisheries biologist, mussel specialist, and water quality specialist). The individuals identified in the proposal for a particular scientific or technical discipline shall perform the contract work relating to that discipline. Changes, additions, or substitutions must be submitted and approved by the Contracting Officer in writing prior to that individual performing work under the contract. Any request for changes, additions, or substitutions of personnel will be approved in writing based on the evaluation factors, criteria, and methodology used in the source selection. In the event that the contractor cannot produce a comparable substitute for one of the evaluated categories, the Government may make a downward adjustment in the contract price or terminate the contract.

VIII. SUBMITTALS. Narrative portions of studies and submittals must be done on or be compatible with Microsoft Word. GIS (geographic information system) information shall be submitted in Arc/Info format. All computations, computer printouts, field data, photographs, charts, graphs, and other backup information shall be put in folders and annotated so as to be clearly understood by technical reviewers. This material shall be provided to the Contracting Officer on or before the established task order completion / delivery date.

In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:
