1. EFFECTIVE MAY 31, 1998, ALL CONTRACTORS MUST REGISTER WITH THE DEFENSE CENTRAL CONTRACTOR REGISTRATION (CCR) IN ORDER TO RECEIVE ANY CONTRACT AWARD. (other than those made via the Government credit card program). Contractors may register on line at www.ccr.gov

2. All Quantities are estimated except where unit is given as "EA" (EACH) or "LS" (LUMP SUM).

3. The apparent low offer may be requested to provide the following information as soon as possible after bid opening:

a. A Financial Statement, to include a balance sheet and income statement, and

b. A Bank Certification of Financial Capability (line of credit).

This information will be treated as confidential. The financial statements should be not over 60 days old. If over 60 days old, a certification should be attached stating that the financial condition of the firm is substantially the same or, if not the same, the changes that have taken place.

4. All extensions of the unit prices shown will be subject to verification by the Government. In case of a discrepancy between the unit price and the extension, the unit price will govern.

5. NOTICE TO LARGE BUSINESS: The U.S. Army Corps of Engineers, St. Paul District, is committed to participation of Small Business, Small Disadvantaged Business and Women-Owned Small Business in the performance of work under this solicitation and resultant contract.

Your attention is directed to the solicitation clauses 52.219-8 entitled "Utilization of Small Business Concerns", 52.219-9 entitled "Small Business Subcontracting Plan," and 252.219-7003 entitled "Small, Small Disadvantaged and Women-Owned Small Business Subcontracting Plan (DOD Contracts)".

If you are a large business and the apparent low bidder with a bid exceeding $1,000,000, submission of a Subcontracting Plan in accordance with above clauses will be required. The Contracting Officer will review the plan using the following goals to assure that it represents your best efforts to maximize subcontracting opportunities. Award will not be made without the submission of the Subcontracting Plan with the original proposal and the Subcontracting Plan is approved by the Contracting Officer.

The following subcontracting goals are informational only and not legally binding but are considered reasonable and achievable during the resultant contract from this solicitation. The goals expressed in percent of total planned subcontracting dollars are:

Small Business 70.0% Small Disadvantaged Business 6.2% Women-Owned Small Business 7.0% HUBZone Small Business 9.8% Service-Disabled Veteran-Owned Small Business 3.0% Subcontract Reporting (SF 294 & SF 295) 100.0%

6. The original bid/proposal and any modifications thereto must be complete as to all the items on the schedule.

7. Unbalanced Offers. The Government may reject as unresponsive any offer that is materially unbalanced between contract line item numbers or sub-items on the bidding schedule. A offer is materially unbalanced when it is based on prices which are significantly less than cost for some work and prices which are overstated, in relation to cost, for other work. A materially unbalanced offer may be rejected if the Contracting Officer has a reasonable doubt as to whether the offer will result in the lowest overall cost to the government even though it may be the low evaluated offer. Additionally, an offer that is so unbalanced so as to be tantamount to an advance payment will be rejected even if acceptance of the offer would result in the lowest overall cost to the Government.

8. Any prospective offeror desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it in writing in accordance with Section 00 10 00, Contract Clause "Explanation To Prospective Bidders", not later than 10 days prior to receipt of proposals. Questions can be faxed to (651) 290-5706, attention to Bill Hurley-CT. Questions received after the deadline may not be answered prior to closing.

9. Proposals shall be submitted (See Block 13 on the SF1442 for the closing date and time) as follows:

(1) In person at the USACE St, Paul District Office on the 6th Floor or

(2) Via expedited mail—Fed Ex etc. to: US Army Corps of Engineers, St. Paul District

190 Fifth Street East, Suite 400 Attn: Contracting Division – Bill Hurley St. Paul, MN 55101-1638

10. The addresses, phone numbers, and Internet address(es) (if available) for references cited in these specifications are listed in the Unified Facilities Guide Specifications (UFGS) 01 42 00 SOURCES FOR REFERENCE PUBLICATIONS. UFGS 01 42 00 is available under Publications on the TECHINFO page of the Corps of Engineers Huntsville District internet site at: http://www.hnd.usace.army.mil/.

11. Any forthcoming amendments will only be announced and posted on web site www.fbo.gov .

12. Bid/Proposal Bonds

a. This solicitation requires each offeror to submit an acceptable bid guarantee along with its offer (see clause 52.228-1). The Contracting Officer has the authority and responsibility to determine whether the bid bond and its accompanying documentation clearly show that the person(s) executing the bid bond on behalf of the surety has the authority to unequivocally bind the bonding company.

b. One acceptable form of bid guarantee is a bid bond. If a bid bond is used, it must be accompanied by a signed and dated power-of-attorney. If a signed and dated power-of-attorney does not accompany the bid bond, the bid must be rejected as non-responsive. Please note that a non-responsive bid may not be corrected after bid opening to make it responsive – the bid must be rejected. The power-of-attorney must be issued by the surety (the Treasury Department-approved bonding company, not the insurance agency writing the bond).

c. Original powers-of-attorney and photocopies or facsimiles of original, otherwise valid, powers-of-attorney provide sufficient evidence of authority to bind the surety. Questions concerning the authenticity or enforceability of a power-of-attorney may be resolved by the Contracting Officer, often in consultation with the surety, after the bid opening.

d. This bid note does not provide bidders with an all-inclusive checklist for submitting an acceptable bid bond

– rather, it provides some information regarding recent changes to the Federal Acquisition Regulation regarding the validity of powers-of-attorney. The revised regulation may be found at FAR 28.101-3.

e. The revised regulations described in this bid note are effective for solicitations issued after September 30, 2005.

13. For purposes of the clause entitled “52.219-4 -- Notice of Price Evaluation Preference for HUBZone Small Business Concerns (Jan 1999)”, the term “otherwise successful offer” means the lowest responsive bid from a responsible bidder prior to the application of any evaluation preference required by this clause.

14. The solicitation clause FAR 52.219-4 expressed that Small Disadvantaged Business (SDB) firms would receive both the HUBZone and SDB evaluation preference adjustments (See FAR clause 52.219-23). Guidance from the Office of the Under Secretary of Defense provides that DOD contracting activities, including the Department of the Army, shall suspend the use of price evaluation adjustments for SDB businesses in DOD Acquisitions, as prescribed in FAR subpart 19.11. Therefore the clause 52.219-23 is not contained in this solicitation and no SDB evaluation preference adjustment will be utilized.

15. In order to be considered for contract award, offerors shall complete all proposal matrices contained in Section 00 10 00, Clause 52.215-4005, “Preparation and Evaluation of Proposals”. Any proposal not containing all required matrices may not be considered. The matrix forms will be available as a Microsoft Word (.doc) document to all interested offerors during the solicitation period.

16. This solicitation my result in one contract for Lock 6 being awarded to one offeror, one contract for Lock 7 being awarded to a second offeror, or a single contract for Lock 6 and Lock 7 being awarded to a single offeror.

Offerors must sumbit only one proposal. The proposal must be for only Lock 6, only Lock 7, or for both Lock 6 and Lock 7. Instructions for proposals are more thoroughly described in Clause 52.215-4005.

17. Contract Clause 52.203-13 in Section 00 70 00 will only pertain to contracts that exceed $5 million.

18. Throughout the solicitation documentation, the slots being constructed are referred to as “stoplog slots” or as “bulkhead slots.” Both terms are interchangeable and refer to the same item – the stoplog slot to be constructed.

52.215-1 INSTRUCTIONS TO OFFERORS--COMPETITIVE

ACQUISITION (JAN 2004)

(a) Definitions. As used in this provision--

“Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer's discretion, result in the offeror being allowed to revise its proposal.

“In writing or written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

“Proposal modification” is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

“Time”, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals. (1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror.

Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal must show--

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror's behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, or revision, of proposals.

(i) Offerors are responsible for submitting proposals, and any modifications, or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall--

(1) Mark the title page with the following legend: This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed--in whole or in part--for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

(f) Contract award. (1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government's interest.

(3) The Government may waive informalities and minor irregularities in proposals received.

(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(5) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.

(6) The Government reserves the right to make multiple awards if, after considering the additional administrative costs, it is in the Government's best interest to do so.

(7) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

(8) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(9) If a cost realism analysis is performed, cost realism may be considered by the source selection authority in evaluating performance or schedule risk.

(10) A written award or acceptance of proposal mailed or otherwise furnished to the successful offeror within the time specified in the proposal shall result in a binding contract without further action by either party.

(11) If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(i) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.

(ii) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

(iii) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.

(iv) A summary of the rationale for award.

(v) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.

(vi) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

52.215-4005 Preparation and Evaluation of Proposals (Construction)

Proposal Requirements

(A) All proposals shall be submitted in two parts, a Technical Proposal and a Price Proposal. Your submittal must include a one-sided original and three copies of the Technical Proposal, and a one-sided original and one copy of the Price Proposal. The Price Proposal shall be sealed in a single, labeled package, separate from the Technical Proposal.

(B) All pages containing text shall be consecutively numbered, type-written on 8-1/2x11 inch paper with margins of at least one inch, and created using a font no smaller than 12. Proposals shall not be permanently bound (in order to facilitate incorporation of portions of the proposal into the final contract document if necessary).

(C) The format used for the areas and factors below shall be strictly adhered to. All responses in the offeror’s package shall clearly indicate the applicable Evaluation Area (Part I, II, III, or IV) and Section, if applicable.

(D) It is the offeror’s responsibility to insure the completeness of the proposal. The evaluation panel for the Government may evaluate solely on the information provided in the initial proposal and will not assume that an offeror possesses any capability that is not specifically identified in the proposal.

(E) Only one technical proposal will be evaluated for each offeror. Alternate methods of accomplishing the work required by this solicitation will not be evaluated.

(F) An offeror that wishes to submit a proposal for Lock 6 work must propose on all items that pertain to the Lock 6 work (CLINs 0001 through 0009). An offeror that wishes to submit a proposal for Lock 7 work must propose on all items that pertain to the Lock 7 work (CLINs 0010 through 0018). An offeror that wishes to submit a proposal for both Lock 6 and Lock 7 work must propose on all items in this solicitation (CLINs 0001 through 0018). Award of the work for Lock 6 will be on an “All or None” basis. Award of the work for Lock 7 will be on an “All or None” basis. Award will be made to the lowest priced, technically acceptable proposal for each Lock. Each evaluation factor and each sub-factor must be found to be technically acceptable in order for the proposal to be found technically acceptable. Proposals will not be ranked.

Please Note: Missing, incomplete, or ambiguous information could result in a rating of “unacceptable.” The evaluation factors and significant subfactors are listed below. It is intended that proposals be evaluated, and award made, without discussions with the offerors (other than communications conducted for purpose of minor clarification(s)), unless discussions are determined to be necessary. Failure to submit mandatory information for a factor or subfactor, indicated by the word shall, will result in a rating of “unacceptable” for that factor or subfactor, and the offeror will be ineligible for award unless the Contracting Officer decides to hold discussions, and includes the offeror in the competitive range. Requested information, indicated by the word should, is not mandatory, but missing, incomplete, or ambiguous information may result in a rating of “unacceptable” for that factor or subfactor.

Offers that do not propose to perform all of the work required for either Lock 6 or Lock 7, as outlined in paragraph (F) above, will not be considered.

(G) The offerors should note that the work will be awarded to the offeror, or combination of offerors, that provides the best overall aggregate cost to the Government. The offers will be evaluated as outlined below with the potential of one contract for Lock 6 being awarded to one offeror, one contract for Lock 7 being awarded to a second offeror, or a single contract for Lock 6 and Lock 7 being awarded to a single offeror.

Offerors must submit only one proposal. The proposal must be for only Lock 6, only Lock 7, or for both Lock 6 and Lock 7. If an offeror submits a proposal for Lock 6 and Lock 7, the offeror must check and initial the appropriate statement at the end of the offer schedule.

(H) While the Government intends to award contracts for both Lock 6 and Lock 7, it reserves the right to award a contract for Lock 6 alone, Lock 7 alone, or no contract at all if circumstances dictate. For instance, if the Government anticipates that sufficient funds will not be available to complete the work at both Lock 6 and Lock 7 during the winter of 2009/2010, the Government may award a contract for just one lock or no contract at all. In the event of an anticipated funding shortfall, the Government considers the work at Lock 6 to have priority over the work at Lock 7. However, in the event that no technically acceptable offers are received for Lock 6 or the prices for Lock 6 are unreasonable, the government may award a contract for Lock 7 alone.

EVALUATION FACTORS.

The evaluation factors and significant sub-factors are listed below. It is intended that proposals be evaluated, and award made, without discussions with the offerors (other than discussions conducted for the purpose of minor clarification[s]), unless discussions are determined to be necessary. Technical evaluation factors – Methodology, Execution & Management Plan (Part 1); Key Personnel (Part II); Relevant Project Experience (Part III); and Past Performance (Part IV) – will be evaluated first.

Pricing Proposal Part I-Pricing will be evaluated last.

a. Technical Proposal Part I: Methodology, Execution & Management Plan

Methodology will be evaluated because the project involves cutting concrete in close proximity to a conduit that carries water to and from the lock, and the contractor must be capable of managing and controlling leakage into the dewatered area. In some cases leakage may be reasonably anticipated, for example where concrete removals are adjacent to a monolith joint. In other cases, unforeseen conditions may exist that need special attention. It is imperative that the method used to cut the concrete does not in any way damage or crack the existing concrete that will remain between the bulkhead slots and conduit. There are several methods of performing the work, some of which may pose a danger, or an unacceptable risk of damage to the concrete surrounding the bulkhead slot to the conduit because they transfer energy through the concrete.

Some methods pose minimal danger, with acceptable risk that the remaining concrete will not be damaged.

Offerors shall attach a complete, detailed, and feasible narrative description of their proposed methodology, plan of action, field management, and schedule to accomplish the work for the entire contract. The description shall include, at a minimum:

i. A description of the methodology demonstrating that the offeror has the necessary equipment, marine plant and expertise to safely cut concrete with no residual effects. Any proposed method involving high vibration, blasting, expansive agents, and/or transfer of excessive energy into the concrete will be unacceptable.

ii. A contingency plan to deal with water seepage or flow going from the emptying and filling conduit area into the dewatered areas.

iii. Work progression bar charts of the construction schedule (or work execution plan), listing all significant project components, and their interrelation to each other. At a minimum, these shall include:

(a) Installation of the dewatering system (b)Concrete removal

(c) Placement of the recess inserts and concrete

(d) Replacement of the downstream miter gate anchorages

iv. A clear description of the activities and schedule that will be used to complete the items by the completion dates stated in Section 00 70 00, clause 52.211-10 Alt 1.

v. A diagram and a narrative description of the field management organization (see the key personnel section) and staffing the offeror will use to execute this project, addressing organization, staffing qualification, key personnel, management techniques, and rapid response to changes. Diagrams shall demonstrate the lines of authority and supervision, including who will directly manage and control the labor force and all other aspects of the work performed under this contract on a daily basis. The narrative shall address how the offeror can mobilize labor, material, and equipment resources, and execute the project.

vi. A description of the anticipated coordination with private entities and government agencies, with respect to shop drawing preparation and material procurement and delivery.
