ADDENDUM TO FAR 52.212-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES

Submission of Price Quote – Contractor shall submit the following in 1 copy:

1. Signed and dated Standard Form 1449 (Solicitation / Contract / Order for Commercial Items).

3. Completed schedule (pricing information) for all line items listed in the solicitation / amendments.

5. Professional Qualifications. The Contractor shall provide resumes of the Principal Investigator and crew leader(s) to demonstrate their capabilities to successfully complete all phases of identified work. The Secretary of the Interior’s “Standards and Guidelines for Archaeology and Historic Preservation” shall be followed in determining qualifications for the Conservator, Principal Investigator, and Crew Leader positions, i.e. 48 FR 44738- 44739. In addition, the Conservator shall be an expert in the field of Rock Imagery, and have at least 10 years of experience conducting Rock Imagery documentation and Rock Imagery conservation projects (including graffiti removal) in the Pacific Northwest. The Conservator shall also have demonstrated experience working and consulting with Plateau tribes.

BASIS FOR AWARD

The Government will award one contract resulting from this solicitation in accordance with FAR 13.106 to the responsible offeror meeting or exceeding all solicitation requirements and representing the best value based on price.

KO STATEMENT

Only a warranted Contracting Officer (either a Contracting Officer or an Administrative Contracting Officer (ACO)), acting within their appointed limits, has the authority to issue modifications or otherwise change the terms and conditions of this contract. If an individual other than the Contracting Officer attempts to make changes to the terms and conditions of this contract, you shall not proceed with the change and shall immediately notify the Contracting Officer. PERFORMANCE WORK STATEMENT

Graffiti Removal at the Ice Harbor Indian Memorial, Walla Walla County, Washington

1. Project Background and Purpose. The Ice Harbor Indian Memorial (Memorial) is a National Register of Historic Places (NRHP) eligible historic property located within lands managed by the U.S. Army Corps of Engineers, Walla Walla District (USACE) at Ice Harbor Lock and Dam, in Walla Walla County, Washington.

The Memorial is located above the dam and features a low concrete wall, seating, and rocky, desert landscaping. A large boulder with petroglyph and pictograph images (rock imagery) is featured as the centerpiece. The boulder was relocated from a rock imagery site, 45WW00043 circa 1965. The rock imagery is the primary element making the Memorial eligible for listing in the NRHP. The memorial is not only archaeologically significant but is also of great importance to several regional Tribes, including the Confederated Tribes of the Umatilla Indian Reservation (CTUIR), the Confederated Tribes and Bands of the Yakama Nation, the Confederated Tribes of the Colville Reservation, the Nez Perce Tribe, and the Wanapum Band. The rock imagery was formally recorded in May 2004 by archaeologists from the CTUIR Cultural Resources Protection Program and conservator Claire Dean.

In March 2024, pink spray-painted graffiti was observed on the Memorial by USACE personnel. On May 15, 2024, the memorial was visited by Conservator Claire Dean, who documented the graffiti and provided recommendations for graffiti removal methodology (Dean 2024).

The purpose of this contract is to:

Partially remove graffiti from the rock imagery panel. The graffiti will not be removed where it overlies the pictograph and petroglyph images. The graffiti will be removed using chemical and air abrasive methods.

Prepare a report summarizing the graffiti removal methodology and showing before and after photos

2. Project Location. The Memorial is located on federal land managed by the USACE at Ice Harbor Lock and Dam Operating Project. The Memorial is located within one mile of the dam (less than five-minute drive), and accessible by paved road.

3. Statement of Contractor Services. The Contractor shall provide all personnel, equipment, tools, materials, supervision, and other items and services necessary to document the rock imagery panel and remove the graffiti in a way that will not harm the rock imagery.

The Contractor shall, at a minimum perform the following tasks under the scope of this contract:

3.1 Pre-Field Activities: The Contractor shall perform the following pre-field tasks.

3.1.1. Literature Review. Review all site records and previous reports regarding the Memorial.

3.1.2. General Work Schedule. The Contractor shall submit a schedule (i.e., dates and duration) of all the graffiti removal activities to be conducted during the project. The Contractor will submit the schedule to the Contracting Officer’s Representative (COR) within thirty (30) days of contract award.

3.1.3. Pre-work Meeting. The Contractor shall arrange a mutual date and time for a pre-work meeting with the COR prior to the start of field work. The Pre-work Meeting will occur no later than sixty (60) days after contract award. The purpose of the pre-work meeting will be to clarify tasks and methods and to minimize issues/problems that might arise over the course of the contract. The contractor at this time will discuss Rock Imagery documentation methods that were proposed in the original contract (including camera type, file storage, and use of D-Stretch), and crew qualifications. The contractor will provide names, approximate quantities of chemicals needed, and disposal methods.

3.1.4. Notification. Five (5) days prior to the start of fieldwork, the Contractor shall notify the COR of the proposed date for the start of fieldwork. The Contractor shall notify the COR the day fieldwork is finished. The Contractor shall provide a quarterly written statement of work accomplished during the prior three months. This report shall be submitted quarterly until the submission of the final deliverables.

3.2 Field Activities. The Contractor shall perform the following field tasks:

3.2.1. Pre-cleaning treatment documentation. The Conservator will document the rock imagery panel prior to treatment. The Contractor will photograph the panel from different angles in order to determine the location of rock imagery. The Contractor will also use DStretch, or similar photo-enhancing software to document existing and previously unrecognized imagery. The Contractor will use this information to determine where graffiti removal activities will take place and note other areas where the graffiti overlaps with rock imagery and the removal will not be attempted.

3.2.2. Graffiti Removal. The Contractor will remove the spray paint in areas adjacent to the images, but not areas that overlap with the images. As some of the graffiti will remain in place, this will create a dappled appearance, but will not further disturb the imagery. The Contractor conducting the removal will be led by a Conservator, specializing in rock imagery. Chemical removal using solvents, in combination with mechanical cleaning (using a low-pressure air abrasive system) is the removal method proposed. Only partial or spot removal would be implemented, as graffiti would not be removed where it overlaps with rock images. The removal methodology is discussed in Dean 2024 and is available upon request to a qualified conservator meeting the Secretary of the Interiors' Standards for Historic Preservation. Any waste generated will be disposed of in accordance with local, state, and federal regulations.

3.2.3. Post-Treatment documentation. The Contractor will photographically document the area post-treatment. The Contractor will assess the different removal methods, noting which ones worked the best under varying conditions (rock face type, removal precision, graffiti type, and other factors).

3.3 Draft and Final Report. The Contractor will prepare a summary report, including a discussion of the graffiti and its location relative to the imagery, graffiti removal process, results, and recommendations for future work at the Memorial.

The following policies will be adhered to when preparing the summary report.

The cover of the report shall state the USACE contract number The Report front matter shall contain an executive summary that explains the nature of the work, when it took place, and who was involved in completing the work. Additionally, this executive summary shall contain the following disclaimer: “Any statements of policy or legal interpretation made by the author are not necessarily binding upon the U.S. Army Corps of Engineers or the Bonneville Power Administration, and do not necessarily represent the opinions of either agency.”

At a minimum, the report will contain an introduction, project description and purpose, methods, results, management recommendations, references cited. The appendix shall include the photographic index.

The report should be formatted on letter size (8.5 by 11 inch) paper, with a 1.25 inch binding margin on the left side, 0.75 inch on right side, 1 inch at the top and 1 inch at the bottom. Larger graphics may be submitted on 11 by 17 inch paper.

The draft report shall be fully edited and reviewed for required content prior to submission to the USACE. The Government shall review the document and provide written comments within sixty

(60) calendar days of receipt. The Government’s comments shall be submitted by the COR. The Government reserves the right to have the report reviewed by other qualified individuals and to include their comments as part of the Government’s.

One (1) electronic copy of the draft report and appendices shall be submitted. One (1) electronic copy of the report in MS Word and Adobe pdf formats shall be submitted using email or a secure file transfer site (DoD SAFE).

3.3.3 Final Report. After receipt of the Government’s comments on the draft summary report, the Contractor shall provide the following final deliverables:

The final report and attachments incorporating the Government’s comments shall be submitted within thirty (30) days of the Contractor’s receipt of the Government’s comments. One (1) electronic copy of the report in MS Word and Adobe pdf formats will be submitted using a secure file transfer site (DoD SAFE).

One (1) electronic copy of photos taken during the documentation and graffiti removal.

Note: All generated material shall be property of the United States.

4.0 Coordination. Close coordination shall be maintained between the Contractor and the COR to insure that the Government’s best interest is served. The Contractor shall provide a quarterly written statement of work accomplished during the prior three months. This report shall be submitted quarterly until the submission of the final deliverables. Progress reports may be submitted to the COR by e-mail.

5.0 Professional Qualifications. 6.0 Equipment, Materials and Supplies. The Contractor shall furnish all “standard-to-the-industry” Equipment, materials and supplies necessary to perform the work, including but not limited to the following:

Field vehicle All field equipment necessary for successful site documentation (cameras, paperwork, Dstretch or similar, etc.)

All field materials necessary for successful graffiti removal using chemical and air abrasive methods All computer hardware, software, and supplies required for recording, mapping, drafting, and delivery of assigned task products (e.g. Dstretch or similar)

7.0 Conditions.

7.1 Agreement. Award of this contract shall establish a binding agreement that tasks shall be completed according to the scope of work requirements and delivered within the established schedule. Failure to execute all contract tasks may serve as grounds for contract termination.

7.2 Responsibility. The Government assumes no responsibility for any undertaking or representations made by any of its officers or agents during or prior to the execution of tasks, unless: (1) such understandings or representations are expressly stated in the contract; and (2) the contract expressly provides that the responsibility therefore it is assumed by the Government. Any representations made in the contract, but not expressly stated and for which liability is not expressly assumed by the Government, is understood to be for the general information of the Contractor only.

7.3 Contractor Responsibility. The Contractor shall take every means necessary to ensure that all assigned personnel review and fully understand the scope and requirements of each task in this contract to insure timely and cost effective completion of work.

7.4 Accuracy of Work. It is understood that the Contractor realizes the work under this award must be accomplished with thoroughness and skill and meet professional standards as outlined in the Secretary of Interior’s Standards and Guidelines for Federal Agency Historic Preservation Programs. Products submitted and found to be deficient shall be returned to the Contractor for correction at no additional expense to the Government.

7.5 Right-of-Entry. The Contractor has the right to enter and conduct necessary site documentation and graffiti removal activities at and next to the Site, subject to existing access, safety, and security requirements, as appropriate.

7.6 Compliance with Applicable Laws. The Contractor is responsible for assuring employees strictly observe and comply with the laws of the United States and other governing bodies during fieldwork. This includes, but not limited to, the inspection and any operation of vehicles and equipment, and the licensing and certification of personnel operating vehicles or equipment. In the case of two laws/regulations governing the same situation, the more specific of the two shall apply.

8.0 Government Furnished Materials and Services.

8.1 Information. It shall be the Contractor’s responsibility to identify and request needed information and to procure the site form, prior monitoring forms, and cultural resources files.

8.2 Pre-Work Meeting. A pre-work meeting will be arranged and scheduled by the Government and the Contractor prior to the start of work.

8.3 Equipment. The Government will provide no equipment.

8.4 Inspections. The Government will conduct periodic field inspections and consultations with the Contractor.

If work performed by the Contractor is found to be in error, incomplete, or unsatisfactory, the Contractor shall be liable for all costs in connection with correcting such errors.

8.5 Reviews. The Government will conduct a review of the draft report for scope of work compliance and notify the Contractor of the results. The Government reserves the right to reject inaccurate and substandard work. If work performed by Contractor is found to be in error, incomplete, or otherwise unsatisfactory, the Contractor shall be liable for all costs in connection with correcting such errors. Payment for deficient products will be withheld pending resolution of apparent deficiencies.

9.0 Schedule and deliverables.

9.1 Execution. Prior to contract award, the Contractor will identify if they need modification to the Schedule.

All task products shall be delivered to the COR no later than the close of business on the delivery date specified below:

Pre-Fieldwork Activities within 60 days after award Field work within 240 days after award Draft Report within 275 days after award Final Report within 365 days after award

9.2 Delays. If it becomes apparent that the delivery date cannot be met, the Contractor shall immediately telephone the Contracting Officer (KO) or COR to discuss the reason for the delay and confirm same by letter, fax, or e-mail, accompanied by a request for exemption or extension.

9.3 Deferrals. Exemptions or extensions to the agreed delivery date must be approved in writing by the COR upon receipt of a written request from the Contractor providing justification for delays. The request must be submitted no later than 10 (10) working days (i.e., two (2) weeks) prior to the negotiated completion date. Failure to advise the KO or COR of delay in work may be cause for contract termination.

9.4 Deliveries. Unless otherwise specified in individual tasks or alternate instructions by the KO or COR, all product deliveries shall be addressed to the COR. Deliveries shall be accompanied by a letter or shipping form, containing contract award number, listing of materials being transmitted, date, and proper signature. All costs of deliveries shall be borne by the Contractor.

10.0 Security

10.1. General security requirements and guidance: The security requirements described below apply to all contract personnel (including employees of the prime Contractor (“Contractor”) and all subcontractor employees) supporting the performance requirements of this contract. The Contractor is responsible for compliance with these security requirements. Questions regarding security matters shall be addressed to the designated Government representative (e.g., Contracting Officer Representative (COR), Requiring Activity (RA) representative, or Contracting Officer (if a COR or other RA representative is not appointed)).

Contract personnel are critical to the overall security and safety of US Army Corps of Engineers (USACE) installations, facilities and activities, and security awareness training contributes to those efforts. The Department of Defense (DoD) and Army security training requirements specified below, if applicable, are performance requirements; all applicable contract personnel shall complete initial training within 30 days of contract award or the date new contract personnel begin performance on the contract. Within five business days from the completion of training, the Contractor shall provide written documentation (e.g., email or memorandum) to the Government representative. The documentation shall include the names of contract personnel trained and which training they completed; the Contractor shall maintain training records as part of their contract files and be prepared to provide copies of training certificates to the Government representative.

Contractor personnel and vehicles are subject to search when entering federal installations. Additionally, all contract personnel shall comply with Force Protection Condition (FPCON) measures, Random Antiterrorism Measures (commonly referred to as “RAMs”), and Health Protection Condition (HPCON) measures. The Contractor is responsible for meeting performance requirements during elevated FPCON and/or HPCON levels in accordance with applicable RA plans and procedures --this includes identifying mission essential and non-mission essential personnel. In addition to the changes otherwise authorized by the changes clause of this contract, should the FPCON or HPCON levels at any individual facility or installation change, the Government may implement security changes that affect contract personnel. The Contractor shall ensure all contract personnel are aware of their security responsibilities, including any site-specific requirements identified in local policies or procedures.

10.2. Physical security and access control requirements: All contract personnel requiring physical access to a federal installation or facility shall comply with the access control procedures of that location. Contract personnel requiring unescorted access to meet contract performance requirements on a DoD installation in the US shall be vetted by the installation/facility Provost Marshal/Directorate of Emergency Services/Security Office using the National Crime Information Center-Interstate Identification Index (commonly referred to as “NCIC-III”) and Terrorist Screening Database (commonly referred to as “TSDB”). Contract personnel shall comply with all personal identity verification requirements specified in installation/facility policies and procedures. Contract personnel who do not meet requirements for unescorted access to USACE facilities shall coordinate escorted access with the Government representative, as needed. Contract personnel who receive keys, access cards, or lock combinations that provide access to government-owned property shall comply with key and lock control procedures of the RA.

10.3. Pre-screen candidates using E-Verify Program: Contractors shall comply with the requirements set forth in FAR clause 52.222-54 Employment Eligibility Verification and FAR Subpart 22.18 in using the E-Verify Program at (https://www.e-verify.gov/) (website subject to change) to meet the contract employment eligibility requirements. Contractors are encouraged to cooperate with Federal and State agencies responsible for enforcing labor requirements to include eligibility for employment under United States immigration laws in accordance with FAR 22.102-1(i). An initial list of verified/eligible candidates shall be provided to the COR no later than three business days after the initial contract award. When contracts are with individuals, the individuals will be required to complete a Form I-9, Employment Eligibility Verification, and submit it to the Contracting Officer to become part of the official contract file.

REPRESENTATION (NOV 2015)

(a) Definitions. Inverted domestic corporation and subsidiary have the meaning given in the clause of this contract entitled Prohibition on Contracting with Inverted Domestic Corporations (52.209-10).

(b) Government agencies are not permitted to use appropriated (or otherwise made available) funds for contracts with either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation, unless the exception at 9.108-2(b) applies or the requirement is waived in accordance with the procedures at 9.108-4.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern--

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.

"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13

CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR 124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

"Women-owned small business (WOSB) concern eligible under the WOSB Program" (in accordance with 13 CFR part 127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300.

(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.

(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov. After reviewing SAM information, the Offeror verifies by submission of this offer that the representations and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications--Commercial Products and Commercial Services, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard(s)…
