Section A - Solicitation/Contract Form

EXECUTIVE SUMMARY

A.1 Objective. This contract is to provide all personnel, equipment, tools, materials, supervision, non-personal services, and other items necessary to procure, install, service and maintain Electronic Security Systems (ESS). ESS can include the incorporation of physical security and force protection measures, and Automated Control Systems to include building automation systems, fire alarm systems, life safety systems, chemical/biological/radiological detection/response systems, mass notification systems, and other related electronic systems. The North American Industry Classification System (NAICS) code for these services is 541512, Computer Systems Design Services.

A.2 Contract Type. The U.S. Army Engineering and Support Center, Huntsville intends to award an Indefinite Delivery/Indefinite Quantity (IDIQ) type contract(s) to both other than small and small businesses. The Government intends to award a contract or contracts resulting from this solicitation to all qualifying offerors as stated in FAR 15.304(c)(1)(ii). This requirement will be competed on an unrestricted basis and will result in Multiple Award Task Order Contract (MATOC). The total programmatic capacity for the MATOC is $675 Million for services. All services under this MATOC will be obtained through performance-based firm fixed price (FFP) task orders (TO).

A.3 Contract Term. Contracts will have a base period of thirty six (36) months with two twenty-four (24) month option periods. There is no guarantee that the option will be exercised on any or all of the awarded contracts. The Government reserves the right to make staggered awards. Later awarded contracts will have an initial period of performance that will be less than the full three year base period in duration and will end on the same date as all other contractors which receive a basic MATOC award. The Option period will be the same for all awardees.

The Government may extend the ordering period in accordance with terms in FAR 52.217-8, Option to Extend Services. The evaluated rates in effect during the second option period will remain in effect during any extensions executed under the stated clauses; not to exceed six months.

A.4 The Government may extend the term of the contract in FAR 52.217-9, Option to Extend the Term of the Contract. The Government shall provide a written notice to the Contractor within 30 calendar days before the expiration of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

A.5 Contract Ordering. Task orders will be awarded against the IDIQ contracts using the fair opportunity procedures pursuant to FAR PART 16.5. Each Order exceeding $3,000.00 will be awarded on a competitive basis in accordance with FAR 16.505 and DFARS 216.505-70(c), unless an exception described in FAR 16.505 (b)(2)(i) through (iv) or DFARS 216.505-70(b)(1) applies. The Government is under no obligation to issue any orders against this contract in excess of the minimum obligation of $1,000.00. In addition to, or in lieu of mailing an order, the Contracting Officer may issue an order orally, by facsimile or by electronic commerce methods, at his/her discretion.

A.6 Contract Capacity. The estimated maximum contract capacity is $675,000,000.00 over a period of seven years (if the options are exercised) for this acquisition. The Contracting Officer will ensure price is evaluated at the task order level. Values provided under the Contract Line Item Numbers (CLIN) represent the estimated capacity only and the Government reserves the right to move capacity between CLINs and performance periods as necessary. Section B within this solicitation will remain blank and will be completed in its entirety at time of contract award by the Contracting Officer.

A.7 Wage Determinations. Approximately 90% of the individual task orders to be issued under this contract are for services as defined by FAR 37.101 and are subject to the Service Contract Act (See FAR 52.222-41). In the event that individual service task orders contain more than incidental, segregable construction effort, the Davis-Bacon Act (See FAR 52.222-6) will apply to the construction portion in accordance with FAR 22.402. Less than 10% of the individual task orders to be issued under this contract will include construction as defined by FAR 36 and are subject to the Davis-Bacon Act (See FAR 52.222-

6). Individual task orders will be identified as either “service” (subject to Service Contract Act) or “construction” (subject to Davis-Bacon provisions) or “both” as applicable. Wage Decisions/Determinations for the geographic area where the awarded work is to be performed will be incorporated by reference in individual task order. However, Defense Base Act (DBA) insurance requirements will be included in task orders performed overseas, when required. A copy of the decision/determination is available at www.sam.gov. The labor rates in effect at the time a task order is awarded will remain in effect through completion of the project, unless modified due to an increase in the Department of Labor wage rates.

A.8 Minimum Obligation. The Government’s minimum obligation for each awardee shall be $1,000.00 and extends throughout the period of performance of the Indefinite Delivery Contract. Funding for this minimum guarantee will be obligated on the first task order, issued at the time of award of the base contract. This is the minimum ordering amount; not a minimum payment. Payment under the subsequent task order award(s) in an amount meeting/exceeding the minimum guarantee satisfies the minimum guarantee. The initial task order may then be deobligated and closed.

A.9 Contract On-Ramps/Off-Ramps. In an effort to increase competition, the CEHNC Contracting Officer may evaluate the market every 12 - 18 months throughout the life of the MATOC to determine if it is in the Government’s best interest to open a contract “On-Ramp” or “Off-Ramp”. During a contract “On-Ramp” the Government will accept and evaluate new proposals with the intention of adding additional contractors to the MATOC pool, to refresh the pool’s competition. These proposals shall be subject to the same proposal instructions and evaluation procedures as contained in the original solicitation. In accordance with FAR 15.304(c)(1)(ii), price shall not be evaluated for award of a base contract, and award will be made to all qualifying offerors during on-ramping; therefore, price competition shall be at the task order level among all current MATOC contractors An “Off-Ramp” is defined as the process of removing a Contractor from the MATOC pool. During a contract “Off-Ramp,” the Contracting Officer will not exercise an option. The contract file will be documented to show the Contracting Officer’s decision not to exercise an option. For example, the Contracting Officer may elect to allow a contractor’s term to expire rather than exercise the contractor’s option due to unsatisfactory performance on task orders under the MATOC.

Alternatively, contractors can request to be placed in a dormant status if they are knowingly unable to propose for a period of time. A contractor who is in dormant status cannot be “Off-Ramped. During a contract “Off-Ramp”, the Contracting Officer will not exercise an option. The contract file should be documented to show the Contracting Officer decision not to exercise an option. Alternatively, Contractors can request to be placed in a dormant status if they are knowingly unable to propose for a period of time.

A contractor who is in dormant status cannot be “Off-Ramped”.

The solicitation will explain the “On-Ramp”/”Off-Ramp” process and notify offerors that on-ramping additional contractors may occur at any time during the life of the MATOC, and that the determination to utilize the on-ramping process rests solely with the Government. Competition for inclusion in the MATOC pool via on-ramping will be sought, promoted, and sustained by querying SAM, synopsizing proposed actions, and posting the solicitation in the Government- wide point of entry website (https://sam.gov).

The terms and conditions of any resulting awards will be materially identical to the existing version of the contract. The period of performance term for any new awards will be coterminous with the existing term for all other contractors. Immediately upon on-ramping, the contractor will be eligible to submit a proposal in response to any task order solicitation and receive task order awards with the same rights and obligations as any other contractor.

Dormant Status. Due to extenuating circumstances (not related to performance), contractors that do not propose can request to be placed in a dormant status. Contractors in dormant status cannot compete in new task order solicitations; however, they may continue to work on awarded task orders. Dormant status is granted for a defined finite time period, after which it will lift and the contractor will be expected to compete.

Competition for inclusion in the MATOC pool will be sought, promoted, and sustained by querying the System of Award Management (SAM), synopsizing proposed actions, and posting the solicitation in the Government-wide point of entry website (https://sam.gov/).

A.9 The U.S. Army Engineering and Support Center, Huntsville is the only authorized ordering office and no other agency can make changes to the Base Contract. Other USACE offices, upon authorization from the US Army Engineering and Support Center, may be delegated this authority, in which case, an advance written notice will be given to the contractors. The U.S. Army Engineering and Support Center may also transfer task orders to other USACE offices for administration. Only a warranted Contracting Officer acting within their delegated limits has the authority to issue modifications or otherwise change the terms and conditions of this contract. If an individual other than the Contracting Officer attempts to make changes to the terms and conditions of this contract you shall not proceed with the change and shall immediately notify the Contracting Officer.

1.6.1 Corporate Quality Control and Surveillance Program: Contractor shall develop, document, and implement an effective quality control and surveillance program for this contract to ensure services are performed IAW this PWS. This program shall be documented in a Corporate Quality Control Plan (QCP) and shall be submitted within 30 calendar days after base contract award for the Contracting Officer (KO) or Contracting Officers Representative (COR) review and approval.

The QCP shall describe the quality control program, organization, inspection procedures, recordkeeping, reports and formats, performance standards, and other information as required to demonstrate compliance with the contract. The QCP must also ensure procedures are developed and implemented to identify, prevent, and ensure non-recurrence of defective services. At a minimum, Contractor shall develop quality control procedures that address the areas identified in Technical Exhibit 1, “Performance Requirements Summary”.
