CLAUSES INCORPORATED BY FULL TEXT
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.
Additional copies will be issued for a fee.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

If a product listed in the CID has been discontinued or is no longer available, the Contractor shall provide a currently available product that is equal in terms of essential salient characteristics to the product in the CID.
In accordance with FAR 52.211-6, the Government has elected to use brand names and specific products in an effort to assist the Contractor in the bidding of this project. The brand names and products specified are being used to establish a minimum quality level for various items and products. The Government does not intend or imply that by providing vendors’ or manufacturers’ names in the specification that subject products or items are the only items that will be acceptable to the Government. All products and items, whether named or not named, must clearly meet the salient characteristics of the specifications identified.
Quoters must be registered in the System for Award Management (SAM) with their DUNS Number. To complete this registration, go to the SAM website at https://www.sam.gov. When proposing as a joint venture, all members of the joint venture shall sign the SF1449 unless a written agreement by the joint venture is furnished with the proposal designating one firm with the authority to bind the other member(s) of the joint venture. In addition, a copy of the joint venture agreement shall be submitted with the proposal in Volume 4. Failure to comply with the foregoing requirements may eliminate the proposal from further consideration. The joint venture shall include a copy of its SBA approval of the joint venture arrangement, if applicable. 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
A. BASIS FOR AWARD
This procurement is being conducted under FAR 12. The Government will select the quotes that show the best value solution to the Government using the trade-off method in terms of Technical Capabilities, Past Performance and Price. Technical Capabilities is the most important factor, Past Performance is second most important and Price is the third most important. The Quoter’s performance capability (as measured by the non-price factors) is more important than Price. However, the degree of importance of price as a factor could become greater depending upon the equality of the quotes for other factors evaluated.
The Government reserves the right to hold exchanges with quoters to clear up quote details and request quote adjustments if needed, and may also determine to make no award. Unless expressly noted otherwise in these Instructions to Quoters, any failure by a Quoter to assent to all of the material terms of the RFQ and/or comply with all of the requirements contained in these Instructions to Quoters shall result in rejection of the Quoter’s quote for technical unacceptability. Therefore, the Quoter’s initial quote should contain the Quoter’s best terms from a price and non-price standpoint.
B. FACTORS TO BE EVALUATED
Awards will be made to the quoters whose quotes are most advantageous to the Government based upon an integrated assessment of the evaluation factors and elements described below.
*Elements will be evaluated but will not be given a separate adjectival rating
FACTOR I: TECHNICAL CAPABILITIES
(a) Schedule
(b) Management Plan / Narrative
(c) Furniture Illustration Sheets
(d) Products Technical Data

FACTOR II: PAST PERFORMANCE
FACTOR III: PRICE – Pricing will not be an adjectivally rated criterion, but will be evaluated in accordance with FAR 15.404-1(b) and FAR 15.404-1(c) to ensure that the final agreed to price is fair and reasonable. In accordance with FAR 9.104-1, the contracting officer shall use the SF 1449 and Required Responsibility Information to make a responsibility determination for award to the prospective contractor.
C. EVALUATION APPROACH
All quotes shall be subject to evaluation by the Source Selection Team (SST).
FACTOR I: TECHNICAL CAPABILITIES
Quoters must demonstrate technical capability and proficiency in satisfying the supplies and services requirements as defined in the Performance Work Statement (PWS). The technical information shall not make reference to price data. The technical information shall, at a minimum, contain the information specified below.
(a) Schedule
Milestones shall include, at a minimum, the milestones listed in the PWS. Schedule shall be expressed in the number of calendar days after award. The minimum duration listed in the PWS for Government approval of the final work plan is mandatory and shall not be changed by the Quoter. The Quoter shall include a narrative explaining how they will achieve the quoted schedule. Quotes with earlier installation completion dates may be rated higher. Earlier dates must be explained as realistic to be given credit, and an unrealistic schedule will be downgraded accordingly. The Government will incorporate the selected Quoter’s schedule into the contract.
(b) Management Plan / Narrative
Quoters shall submit a complete Management Plan that includes all of the detailed requirements defined in Section 3 of the Performance Work Statement (PWS). The Management Plan shall completely address the Quoter’s plans for managing this project and their capability and proficiency in providing management and installation services and requirements listed in the PWS. The narrative shall include the quoter’s plan for delivery of the products as defined in Section 5 of the PWS. The Quoter’s Management Plan shall identify their Key Personnel, as specified in Section
4.2.1 of the PWS, including names and addresses, telephone numbers, email addresses, and contractor or CTA team member affiliation. The Quoter shall provide resumes or narratives detailing the qualifications and relevant experience and expertise for each of these Key Personnel per the requirements in the PWS in the Management Plan.
The Quoter’s Management Plan and Key Personnel qualifications will be evaluated by the Government under this factor prior to award. The selected Quoter’s Management Plan and Key Personnel will be incorporated into the order as an attachment upon award.
The narrative shall also identify all product lines and manufacturers to be included for consideration under this solicitation. The quoter shall provide sufficient discussion to clearly illustrate the ability of the products to comply with all product requirements in Section 4 of the PWS and in the CID. Products must meet all salient characteristics as defined in the PWS and CID.
(c) Furniture Illustration Sheets
Quoters shall provide a clearly organized and annotated presentation of the required products by JSN number in the solicitation. The presentation of the proposed products shall be presented in the same order as the CID and in a format that clearly reflects the product, the series, the dimensions, fabrics and finishes, and all features as required in the CID. If the quoted items are the same as the items specified in the CID, and all quoted fabrics and finishes are the same as those listed in the CID, then Furniture Illustration Sheets are not required in this quote. Instead, the quoter shall provide a narrative that states which products are being provided that are identical to the CID.
(d) Product Technical Data
Quoters must submit product technical data for all of the product lines and products that are being included in the quote. If the quoted items are the same as the items specified in the CID, this technical information is not required.
Note: Product brochures, without more complete technical information, do not meet this requirement. Product brochures are not required or desired. Product technical data must clearly reflect the product, the series, the dimensions, the finishes, and all features as required in the CID. These documents must address all of the technical product requirements in the PWS and CID. If these documents include preprinted legends that deviate from the terms of this RFQ, such as "Products and prices subject to change without notice," then the Quoters must include a statement in the quotes that any such preprinted legends will not be effective for this procurement.
(e) Artwork
The Quoter shall provide a clearly organized and annotated presentation of the proposed images by item number in the solicitation. The presentation of the proposed images shall be in a format that clearly reflects the image proposed, along with photographer’s name, title of the proposed image, image size and finished frame size and orientation and location as required in the Artwork Product Listing. Bidders shall use the Annotated Presentation Template as a basis for layout to accomplish this portion of the submittal requirement. The Quoter’s Annotated Presentation shall be provided in both hard copy and in PDF electronic file format. Review of the proposed images within the Annotated Presentation shall not require online access in order to review and evaluate images. All Proposed images shall be cross referenced between the bidder’s Annotated Presentation and the Artwork Product Listing spreadsheets for continuity.
The images listed in the Artwork Product Listing are the specified images for this solicitation. However, if for any reason, the specified images contained in this solicitation are unavailable due to being discontinued or being out of print, Quoter shall state the reason for unavailability. Failure to quote the reason for substitution shall be considered non-compliant.
If the specified images are unavailable, Quoter shall proposed a similar image based on the information contained in the Artwork Product Listing and shall be reflected in the Quoter’s corrected Artwork Product Listing. DO NOT quote cropped images or cropped framing materials that violate the required specifications. Quote per the salient characteristics of the requirement as stated in the solicitation documents. Any alternative proposed images will be evaluated based on subject matter, coloration, style, and size of each required image per the requirements of the PWS and as identified and defined in the Artwork Product Listing.
The Quoter shall provide complete manufacturers technical specifications for the proposed frame material along with one (1) physical sample to demonstrate compliance with the requirement as noted in the PWS. Physical sample shall include examples of all elements of the framing system in a “layed-up” fashion and secured with the back of the physical sample and shall be removable for inspection in order to demonstrate all components of the system to include clear acrylic glazing, matting, image, and image backing materials. Technical specifications shall reflect the proposed item’s inherent characteristics specific to this solicitation and as evidenced by the proposed frame supplier’s printed catalogs and/or printed online information. A restatement of the project requirements for this item does not constitute or replace printed manufacturer specifications in attempt to demonstrate compliance.
Quoters shall not submit more than one (1) proposed frame solution. The proposed frame shall reflect a single solution only to satisfy the requirements as outlined in the PWS. The submitted physical samples shall be no larger than 6” in length and width. Physical frame samples shall be clearly labeled and cross referenced to the requirements of this solicitation.
In addition, Quoter shall provide cross-sectional and plan view line drawings of the proposed framing solution in order to clearly demonstrate compliance and understanding of the requirement. Cross sectional and line drawings shall also include indications and notations for the proposed placement of mounting hardware.
The Quoter shall provide complete manufacturers technical specifications for the proposed mat materials, image backing materials, clear sheeting protection, and proposed security mounting systems. Technical specifications shall reflect the proposed item’s inherent characteristics specific to this solicitation and as evidenced by the proposed supplier’s printed catalogs and/or printed online information. A restatement of the project requirements for this item does not constitute or replace printed manufacturer specifications in attempt to demonstrate compliance.
If brochures or cut sheets include preprinted legends that deviate from the terms of this RFQ, such as "Products and prices subject to change without notice," then the Quoter must include a statement in the quotes that any such preprinted legends will not be effective for this procurement.
FACTOR II: PAST PERFORMANCE
Quoters shall provide documentation of past performance on previously completed projects that are relevant to this solicitation. Quoters will be evaluated either relevant or non-relevant for each project. A “completed project” is a project for which all installation has been accepted by the customer. The quote shall include documentation for three (3) to five (5) projects. Previous projects shall include projects completed within the past 36 months of the date of this solicitation. Substantive considerations include quality; schedule/timeliness of performance; customer satisfaction; management/personnel/labor; cost/financial management; safety/security; and general considerations (see the PPQ below). Relevant projects shall be projects executed for medical facilities, of similar size, scope, and contract amount; using the same or similar products as described in the CID; and including work plan/design services, standard and extended installation services, and project management services. If the Quoter submits more than five (5) references, then the Government will only review and consider the first five projects. Past performance information for each project must include a point of contact (name, company or agency name, phone number, and email address), contract number, contract type, dollar value, date of award, performance period, and a brief narrative describing the nature and complexity of the work. The Quoter shall also describe their effort in the project and its relevance to this solicitation. Quoters should identify any significant problems encountered on the identified contracts and the contractor's corrective actions. If no such problems were encountered, the Quoter should make a statement to this effect for each project. If no recent/relevant performance record is available or if the quoter’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the quoter will be given an “Unknown Confidence” assessment rating.
Quoters shall provide the Past Performance Questionnaire (PPQ), included in this solicitation at the end of this document, to the customer point of contact for each referenced past-performance project. Quoters shall request that the customer point of contact complete the PPQ and submit it to the Government. Ensure correct phone numbers and email addresses are provided for the client point of contact. Quoters should follow-up with clients/references to ensure timely submittal of questionnaires. Completed PPQs should be submitted with directly to the Government’s point of contact, Brandalyn Fox, via email at Brandaly.l.fox@usace.army.mil and CEHNC-CT-IO&T-IMF- QUOTE@usace.army.mil. Quoters may submit PPQs that were previously submitted for other RFQs as long as the referenced projects were completed within the last 36 months. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation. Questionnaires are requested no later than 4 P.M. CST on 09 September 2016 and will only be accepted via email.
When determining the overall performance confidence assessment for an quoter, the Government may take into consideration the following areas: demonstrated record of compliance of products, services, documents, and related deliverables to specification requirements and standards of good workmanship; demonstrated effectiveness of project management (to include use and control of small businesses and subcontractors); demonstrated timeliness of performance for services and product deliverables; and demonstrated commitment to customer satisfaction and business-like concern for its customers’ interest. The Government will evaluate performance ratings by the customer (e.g. Past Performance Questionnaires).
The quoter is cautioned that in conducting the performance risk assessment, the Government may use data provided in the quoter's proposal in addition to data obtained from other sources. The Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the quoter’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the quoter. Since the Government may not necessarily obtain information on all of the listed contract references and/or may not contact all of the identified POCs provided by the quoter, it is required for the quoter to explain the relevance of the data provided. In the event that adverse past performance information is obtained from other sources, and the agency conducts either discussions or communications with the particular quoter as defined in FAR 15.306, the quoter if otherwise competitive for award will have the opportunity to respond to any adverse information received which it had not had a previous opportunity to comment.

For travel costs, Quoters shall provide separate backup data to identify travel costs for each person / function, number of trips, point of origin and destination for each trip, and all related travel costs by category (e.g., airfare, car rental, per diem, etc.). This backup data may be provided by completing the “travel” tab of the 11LSIM001B_PriceQuoteInfo.xlsx or may be provided in a format of the quoter’s choosing. Travel costs for any subcontractors should be included in the subcontract quote. All travel cost rates shall be quoted in accordance with the Joint Travel Regulations.
