Request for Information

Master Blanket Purchase Agreement, Title Services

Q1. What is the due date?

A1. The solicitation closes on 14 April 2020 as stated in Block 8 of the solicitation.

Please see amendment 1 in Block 8.

Q2. The three parcels listed on the bid sheet are these the only three parcels the bid is in reference to?

A2. No, the three parcels relate to the sample project in the technical portion of the evaluation criteria located in the Instructions to Offerors portion of the solicitation.

Q3. Will title insurance be issued on each transaction?

A3. Not necessarily. In some cases the Government may request a search and commitment but will not purchase the property, and therefore would not require closing services or a title policy. Title insurance is generally required if the property is acquired.

The particular services ordered by the Government on this BPA will depend on the particular needs of the transaction.

Q4. The three sample properties that you included on the bid sheet are extremely complex, in order to obtain a firm price I need to have access to the courthouse. Due to the COVID-19 crisis can we delay the due date until the courthouse is open to the public?

A4. Due to the COVID-19 State of Emergency, it is recognizes that most courthouses are not physically accessible. However, many have title and lien information available online. Please check if the courthouse information is available online. Also, please see amendment #1, as the solicitation has been extended.

Q5. I have handled numerous government right away projects in MD, PA, VA and DC in the past five years, I have handled thousands of searches for right away projects the bid pricing that you are requesting is different than any of the other projects that I have worked on:

a. the prior projects I have worked on have separate prices for residential versus a commercial searches is it possible to establish this system on this proposal?

b. The prior projects also have a complex component on the commercial searches, in case we are required to handle a complex search. If a complex commercial search is required, we are then allowed to request additional fees with an explanation as to why we are requesting this.

A5.

a. We have no plans to institute separate pricing for residential vs. commercial searches. Refer to 2016 DOJ Regulations in the Performance Work Statement, paragraph #8.

b. The contractor‘s quote should include all estimated pricing at the time of submittal. Each BPA call will be a firm fixed price contract.

Q6. I have done searches that cost me $25,000 just in abstract fees. Is there a procedure in place that would protect a small business if a search exceeds the bid amount?

A6. The contractor’s quote should include all estimated pricing at the time of submittal.

Q7. If a search needs to go back more than 60 years, can the title company collect on additional fees?

A7. The contractor’s quote should include all fees and title evidence necessary to comply with the USDOJ title regulations referenced in the RFQ.

Q8. Can the due date be extended due to the coronavirus crisis?

A8. Please see the answer to Question #1.

Q9. The proposal states the search is due within 30 days. Normally this timeframe is acceptable. But in rare cases we may need additional time. I believe the three samples you gave in the bid will require additional time. Will your office approve extensions for complex commercial searches?

A9. Please see the answer to Question #1.

Q10. Title insurance rates are filed within each state. They differ with each state. On the bid schedule 4, 5, and 6 request premiums. Since premiums are based on filed rates with each state, we can only say that “title insurance will be based on filed rates of the states the properties are located in” is this an acceptable answer for 4, 5, and 6?

A10. Rates should be based upon each state that the work is being requested per the sample BPA. All lines items should include the costs per the bid schedule Q11. Bid schedule number 3, closing/final title question. Your office is to provide the deed and closing sheet. Is the closing sheet the settlement sheet? Will you have everything ready for us to close and we will just have to handle the closing?

A11. Yes

Q12. Please advise what your role in the closing would be and clearly advise what our role in the closing would be.

A12. Please refer to the PWS, Paragraph #24.

We will provide the deed, our closing documents, and the check. The contractors would be responsible for the attending the closing, obtaining appropriate documents and signatures and the disbursement of funds.

Q13. Please confirm that all searches are to be 60 years.

A13. Refer to the Performance Work Statement, Paragraph 8.

Q14. Question on bid schedule #3, what reporting fees will the title companies be responsible for? I assume this does not include any clerk fees or transfer taxes since the title deed should include exemption language. Please confirm this is just the price to prepare reporting to send to the courts.

A14. The Contractor is responsible for all the fees in relation to CLIN 0003.

Q15. In the thousands of right away transactions i’ve handled for PennDOT, VDOT, DDOT and MDOT the title search pricing is based per tax id number. Page 1 of the PWS number 4a states that the state will need to search each contiguous land of identical ownership. Please confirm that only means that it must be the same deed, the same chain of title, same owner for 60 years. And, that if any of the above differs, then separate searches will be acquired and paid for.

A15. If USACE requests a search for a tract that includes multiple chains of title and vested in either multiple owners or a single owner with multiple chains of title on various parcels, each chain of title is a separate acquisition. Each acquisition needs a title search and commitment and, if purchased, each acquisition will require a title insurance policy. In the event there is a common owner for multiple parcels, USACE may single closing for that owner.

Q16. Please confirm we are only hired to do a land record search only and issue a title commitment based on the title search.

A16. Not Confirmed. Please provide all requested information per PWS and sample

BPA.

Q17. In order to be considered in the bid, do i have to provide all of the services requested in the Offer?

A17. Yes and see answer to Question #16

Q18. Do we still need to provide a full application and proposal to qualify for this project

A18. Please follow the submission requirements in the Instruction to Offerors.

Q19. Is this Solicitation only for the 10 PA properties listed (Havertown PCP Superfund Site) on page 19 of the Solicitation? The scope of work says it includes many States (including MD, DC, and VA, which we are licensed), but the list only includes PA.

A19. No, the properties listed in the sample solicitation is for the sample portion of the technical evaluation; however, the other states are for future title searches that may be required under the Master Agreement.

Q20. In Volume II, Factor 2 Past Performance page 7 - Many of our clients have been impacted by the COVID-19 pandemic. Will USACE allow an extension beyond 4/14 to receive client’s responses to reference questionnaires for bidders who submitted client reference requests in a timely manner and submitted the main proposal on time?

A20. The solicitation closes on 14 April 2020 as stated in Block 8 of the solicitation.

Q21. In the Performance Work Statement, Part 1, Work to Be Done on page 18 - Does the vendor have the option of performing remote closings?

A21. During normal operations in-person closings are required. During the COVID-19 State of Emergency it is recognized that it may not be possible to conduct in-person closings in all circumstances. We may allow for remote closings if permitted in the jurisdiction with the property in question and only during the State of Emergency for that jurisdiction. These decisions will be made on a case by case basis.

Q22. In the Performance Work Statement, Part 1, Notification of Work to Be Done –

*Will USACE provide copies of any prior title reports in its possession to the vendor receiving title work orders for a particular parcel or set of parcels?

*What is the average timing expected for 1) responding to BPA quotes and 2) completion of orders? Does timing vary by project size/scope?

A22. No, we would not have prior title reports. Under normal circumstances, we typically give to 2-3 weeks on a case by case basis. Yes, the timing would vary by project size/scope.

Q23. In the Performance Work Statement, Part 1, Quantity of Work on page 18 - What are any known total and partial land acquisition plans in this district by state? What is anticipated budget for title services in this district for FY 2020, 2021, and 2022?

A23. Projects and budgets vary year to year. USACE acquires interest in real property for civil and military purposes, for DoD and other Federal Agencies, and occasionally for State Governments in our area of responsibility. These requirements are not known in the aggregate, in advance.

Q24. Are there any incumbent title service vendors currently on contract with USACE Baltimore District?

A24. Although this is a not new requirement, there is not currently an incumbent on a BPA for these services in the Baltimore District.
