Short Description of Requirement: Rental of Refrigerated trailers in accordance with attachment 1ELIN sheet inside of the highlighted area’s of attachment 2.

Type of Contract: The resulting contract from this Request for Proposal (RFP) will be a Single Award Indefinite Delivery/Indefinite Quantity (IDIQ) type contract with Firm Fixed Price (FFP) Task Orders. One award will be made from this solicitation.

Maximum Contract Value: The maximum contract value is $1,200,000.00 for the entire contract period.

Minimum Guaranteed Amount: The minimum guaranteed amount is $10,000.00 for the entire contract period or the first task order awarded.

The Government’s intent to award without discussions, per FAR provision 52.212-1(g), offerors are cautioned to examine this solicitation in its entirety and to ensure that their proposal contains all necessary information, provides all required documentation, and is complete in all respects. However, the Government reserves the right to conduct discussions, if determined necessary. 413th Regional Contracting Office Refrigerated Trailer Indefinite Quantity Contract

Scope

Following common commercial practice provide & move 40’ refrigerated trailers (with supplied dry/perishable cargo picked up at task order specified locations) to locations dictated by task orders based on the CLIN (Excel) sheet attached. All planned requirements will be in support of Army Personnel in locations close to major locations in Alaska. Common examples of task order’s locations include delivering & transporting tailers to & from Fort Wainwright & Yukon Training area, Joint Base Elmendorf Richardson, Ft Greely & Donnelly Training Area.

General Requirements

Business Relations All ordering activities will be executed by the contract officer. The contract shall be able to coordinate finer details with point of contract clearly stated in the task order award. The contractor shall manage timeliness, completeness, quality & problem identification. The contractor shall provide corrective action plans, pricing, timely identification of issues, and effective management of subcontractors. The contractor shall seek to ensure customer satisfaction and professional and ethical behavior of all contractor personnel.

Personnel Administration The contractor shall provide the following management and support as required. The contractor shall provide for employees during designated Government non-work days or other periods where Government offices are closed due to weather or security conditions. The contractor shall maintain the currency of their employees by providing initial and refresher training as required to meet contract requirements. The contractor shall make necessary travel arrangements for employees. The contractor shall provide necessary infrastructure to support contract tasks. The contactor shall provide administrative support to employees in a timely fashion (time keeping, leave processing, pay, emergency needs). Contractor personnel’s conduct shall not reflect discredit upon the government. The contractor shall ensure that personnel present a professional appearance. The contractor’s employees shall observe and comply with all local policies and procedures concerning fire, safety, environmental protection, sanitation, security, and possession of firearms or other lethal or illegal weapons or substance. The contractor is responsible for ensuring that any contractor employee providing duties under this contract conduct themselves and perform services in a professional, safe, and responsible manner.

Subcontract Management The contactor shall be responsible for any subcontract management necessary to integrate work performed on this requirement and shall be responsible and accountable for subcontractor performance on this requirement. The prime contractor will manage work distribution to ensure there are no Organizational Conflict of Interest (OCI) considerations.

Contractor Personnel, Disciplines, and Specialties The contractor shall accomplish the assigned work by employing and utilizing qualified personnel with appropriate combinations of education, training, and experience. The contractor shall match personnel skills to the work or task with a minimum of under/over employment of resources. The Contractor shall provide the necessary resources and infrastructure to manage, perform, and administer the contract.

Location of Hours of Work Locations will be specified at the task order level. See General Requirements & Attachment Two Map of General Areas for other details. Operations have the potential of running 24 hours a day, 7 days a week. However, most deliveries will occur during commercial business hours.

Performance Requirements The following section specifics the Performance Objectives and Performance Elements for the contract.

The Contractor shall provide mechanically sound 40’ refrigerated trailers & movement for those trailers within the area designated by the task order.

Performance Standards

a) Standard: minimum 40’ refrigerated trailer as specified by user AQL: serviceable;

b) Standard: variable temperature for cargo.

AQL: serviceable; maintain user selected temperature

c) Standard: clean, sanitary and free of debris.

AQL: IAW TB MED-530 Tri-Service Food Code

d) Standard: diesel powered coolant unit AQL: diesel fuel only.

e) Standard: Delivered at temperature prescribed by user.

AQL: +/- 3 degrees F at delivery time.

f) Standard: Provide oil drip pan for each refrigeration unit.

AQL: Minimum of one (1) drip pan per unit to prevent environmental ground contamination; minimum drip pan capacity of 10 gallons; secondary containment to dispose of Petroleum’s, oils and lubricants

g) Standard: Operational at -50 degrees.

AQL: Items are kept at user selected temperature.

The Contractor shall deliver and retrieve refrigerated trailers from designated grid locations within service areas.

Performance Standards

a) Standard: delivered to general address, 8 digit grid coordinates or as instructed by the task order point of contact (on finer details dependent i.e. recent snow fall).

AQL: within 100 meters of designated location

Reposition trailers on order Performance Standards

a) Standard: reposition to new location within the service area

AQL: as specified in task order & within 24 hours of notification for changes

The Contactor shall conduct Maintenance and Service for refrigerated trailers.

a) Standard: Provide scheduled and unscheduled maintenance AQL: 24-hour emergency response to include weekends and holidays; 8-hour response to malfunction

b) Standard: Joint Pre-Inspection Conducted AQL: serviceable; correct delivery location; Contractor present until inspection completed

c) Standard: Joint Post-Inspection Conducted AQL: As-delivered Condition with normal deprecation; Contractor present until inspection completed

The Contactor shall have unescorted Government installation access for all personnel.

a) Standard: unescorted access to delivery locations AQL: 100% of the time

Special Requirements The following sections, security and safety contain additional performance requirements for contract execution.

Security and Safety Contractors should have valid commercial driver’s license, can only enter the installation for official business and must conform to each installation’s force protections levels. Only essential personnel required to make a delivery are authorized (i.e. driver and escort). Hand held cell phone use is prohibited on all Government installations while driving. Refrigerated trailer must remain secured (locked during transport. Marijuana is strictly prohibited on any Government installation. Contractor personnel are prohibited from transporting firearms onto Government installations.

Security The Contractor shall follow installation procedures as required by the Provost Marshall’s Office (PMO). The contractor shall comply with requirements of electronic or web-based system for vehicle and personnel passes in order to gain unfettered access to the installation. Any identification provided by the installation shall be surrendered to the PMO upon completion or termination of the contract or 24 hours upon termination of an individual’s employment. The Contractor shall ensure personnel and company vehicles are identifiable with name tags and signs. Contractor employees are subject to investigative background checks.

AT Level I training All contractor employees, to include subcontractor employees, requiring access Army installations, facilities and controlled access areas shall compete AT Level I awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer, if a COR is not assigned, with 30 calendar days after completion of training by all employees and subcontractor personal. Access and general protection/security policy and procedures.

Contractor and all associated sub-contractors employees shall provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office.

Contractor Workforce must comply with all personal identity verification requirements (FA clause 52.204-9, Personal Identity Verification of Contract or Personnel) as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

For contractors that do not require Common Access Card (CAC), but require access to a Department of Defense (DoD) facility or installation Contractor and all associated sub-contractors employees shall comply with adjudication standards and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB) (Arm Directive 2014-05/AR 190- 13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative), or at a OCONUS locations, in accordance with status of forces agreements and other theater regulations.

iWATCH Training The contractor and all associated sub-contractors shall brief all employees on the local iWATCH program (training standards provided by the requiring activity ATO). This local developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR. This training shall be completed within 14 calendar days of contract award and within 14 calendar days of new employees commencing performance with the results reported to COR NLT 14 calendar days after contract award.

For contracts that require OPSEC Training Per AR 530-1 Operations Security the contractor employees must complete Level I OPSEC Awareness training. New employees must be trained within 30 calendar days of their reporting for duty and annually thereafter.

Threat Awareness Reporting Program

For all contractors with security clearances. Per AR 381-12 Threat Awareness and Reporting Program (TARP), contractor employees must receive annual TARP training by a CI agent or other trainer as specified in 4.1.1.3.

Safety Contractor Compliance: The contractor and its subcontractors shall comply with Public Law 91- 596 (Occupational Safety and Health Act ((OSHA)) and the Environmental, Safety, and Occupational Health (ESOH) (DODD 4715.1E). These requirements shall be incorporated into the contractor’s safety and health program. The DoD participates in the OSHA Voluntary Protection Program (VPP). Contractor personnel performing services on a DoD installation shall participate in the local VPP. Information on the VPP is available at http://www.osha.gov/dcsp/vpp/index.html.

Inspection and Acceptance: Inspection and acceptance will be at the location specified on each ordering accordance with attachment one. The designated Contracting Officer’s Representative (COR) will act as the representative of the Contracting Officer for purposes of inspection and acceptance of services to ensure compliance with the terms, conditions, and specifications of the subject contract. The COR has no authority to make any changes to the terms and conditions of the contract.

Quality Control Plan (QCP): The contractor shall develop and maintain an effective QCP to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s QCP is the means by which the contractor assures that their work complies with the requirements of the contract. The contractor’s QCP shall be provided to the Contracting Officer and Contracting Officer Representative within 30 days after contract award. After acceptance of the QCP, the contractor shall receive the Contracting Officer’s acceptance in writing of any proposed change to his/her QC system.

Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

Mishap Notification and Investigation: The contractor and its subcontractors (if applicable) shall promptly report pertinent facts regarding mishaps involving Government property damage or injury to Government personnel and to cooperate in any resulting safety investigation. The contractor shall notify ( via telephone) the cognizant contracting officer, the contacting officer’s representative, and/or other applicable members within four (4) hours of all mishaps or incidents.

The Government person notified by the contractor will in-turn notify the Safety office.

Contractor notifications made after duty hours shall be reported to the appropriate installation Command Post. If requested by the cognizant contracting officer, the contracting officer’s representative, and/or the cognizant program manager, the contractor shall immediately secure the mishap scene/damaged property and impound pertinent maintenance and training records until released by the investigating safety office. If the Government investigates the mishap, the contractor and subcontractors shall cooperate fully and assist the Government personnel until the investigation is completed.

Quality Assurance Surveillance Plan (QASP) The government shall monitor the Contractor’s performance under this Contract & Task Orders in accordance with the Government’s QASP.

Government Key Personnel:

Contracting Officer (KO): The KO is the only person with the authority to: (1) enter into, administer, and or terminate contracts; (2) make related determinations and findings on behalf of the government; and (3) legally bind the government. The KO shall ensure that the contractor receives impartial, fair, and equitable treatment under this contract. The KO shall determine and document the final assessment of the contractor's performance in the government’s past performance tracking system.

Contracting Officer’s Representative (COR): The COR is authorized to perform the following functions: (1) assure that the contractor performs the technical requirements of the contract; (2) perform inspections necessary in connection with contract performance; (3) maintain written and oral communications with the contractor concerning technical aspects of the contract; (4) monitor contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; (5) coordinate availability of government furnished property; and (6) provide site entry of contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the contract and any resulting task order.

Contract Specialist (KS): The KS performs assigned pre-award functions, and assigned post-award functions related to the administration of contracts.

Deliverables The Contractor shall provide deliverables as described in subsequent task orders. Deliverables shall be specified by the government.

CONTRACT DATA

General: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to provide refrigerated trailers as defined in this Performance Work Statement except for those items specified as government furnished. The contractor shall perform to the standards in this contract. The trailers required under this contract include rental, delivery, set-up, pickup, and relocation. Contractor shall perform the required services in accordance with the specifications in this Performance Work Statement, and all local, state and federal laws and regulations. The equipment to be provided under this contract shall be of standard configuration available in the commercial marketplace.

When a task order request comes from the requiring activity the contract specialist will reach out to the offeror. The offeror & contract specialist will team to fit the requirement into the established Attachement One ELIN Document.

The contract officer will award a task order based on the teaming effort of the offeror & contract specialist. The awarded task order will have a single unit of measure (“job” for instance) & the total price reflexive the ELIN Excel Document (attachment one). The offeror shall provide fueled, running at specified temperature, clean & serviceable condition trailers at the time & location specified on the task order. The offeror shall provide simple movements for the refrigerated trailers based on the ELIN Excel document specified in the task order. Small amounts of time waiting for cargo to loaded/unloaded should be anticipated. After the trailer is moved to the final location, days will usually past before an action is needed. The Government will be responsible to keeping the trailer in tidy order while in custody to include keeping it free of garbage, fueling the cooler motor fuel tank with diesel, check the oil if deemed necessary at item inspection upon delivery.

A reposition is defined as picking the trailer up at one location & moving to another location within the same area.

Example: moving from the freight facility on FT Wainwright to the Yukon Training Area or vice versa. If the trailer is to move from the Donelly Training Area to Ft Wainwright (one area to another) one pick up in Donelly Training Area would be awarded & one delivery to the Ft. Wainwright area. Movements between Joint Base Elmindorf Richardson & either the Ft. Greely area or the Ft. Wainwirght area are seperatly priced through 024 & 025 of Attachement One ELIN document.

ELIN’s 0008, 016, 026 will be handled on a monthly bases as a result of monthly documentation turned in to the Contracting Officers Representative as part of the deliverables detipted in the Preforance Work Statement in the Deliverables section.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that--

(1) It is [ ] is not [ ] a corporation that has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability; and

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(i) Price

a. Complete the attached ELIN Excel document by adding a quantity of one & providing an offered price as part of the Excel form. Complete all option years along with the base. The form will total automatically. Do not complete damages numbers 008, 016 or 026 as these amounts will be based on facts & professional estimates completed on a monthly bases by the offeror. Please, refer to Attachment 2 for a visual representation of Attachment 1. The location on the map are the most frquently used. Any part inside the shaded area is availible for order award;

(ii) technical capability of the item offered to meet the Government requirement;

a. Provide details & evidence that the offeror can accomplish the task orders. Details/evidence may include but is not limited to: How will the work be accomplished? Local company? Subcontracting?

How will equipment be obtained for performance? After business hours contact? What plan does the offeror have to utilize as mobilize as many as 20 40’ refrigerated trailers in Alaska? “Using local resources” or something in line with that explanation should be avoided. Get specific.

b. As part of its proposal, offerors shall provide a description of its quality control/inspection system, which shall cover the tasks specified in the Performance Work Statement and shall include specifics of the areas to be inspected (on both a scheduled and unscheduled basis), frequency of the inspections, and the title and organizational placement of the inspectors. The inspection system shall also identify methods for identifying and preventing deficiencies in the quality of product to be performed and shall address the process for ensuring non-recurrence of defective systems.

(iii) past performance

Due to the Excel document, interested offerors shall inquire from chirsotpher.e.taylor30.civ@army.mil for a dropbox to place offical proposals into (through DoD SAFE). Proposals will NOT be accepted through email.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before the solicitation response date.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND

COMMERCIAL SERVICES (MAY 2024)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

"Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB) concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127, and the concern is certified by SBA or an approved third-party certifier in accordance with 13 CFR 127.300. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation" means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business (SDVOSB) concern" means a small business concern—

(1)(i) Not less than 51 percent of which is owned and controlled by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran; or

(2) A small business concern eligible under the SDVOSB Program in accordance with 13 CFR part 128 (see subpart 19.14).

(3) Service-disabled veteran, as used in this definition, means a veteran as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16), and who is registered in the Beneficiary Identification and Records Locator Subsystem, or successor system that is maintained by the Department of Veterans Affairs' Veterans Benefits Administration, as a service-disabled veteran.

"Service-disabled veteran-owned small business (SDVOSB) concern eligible under the SDVOSB Program" means an SDVOSB concern that--

(1) Effective January 1, 2024, is designated in the System for Award Management (SAM) as certified by the Small Business Administration (SBA) in accordance with 13 CFR 128.300; or

(2) Has represented that it is an SDVOSB concern in SAM and submitted a complete application for certification to SBA on or before December 31, 2023.

"Service-disabled veteran-owned small business (SDVOSB) Program" means a program that authorizes contracting officers to limit competition, including award on a sole-source basis, to SDVOSB concerns eligible under the SDVOSB Program.

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1001", means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding the threshold at 13 CFR 124.104(c)(2) after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13 CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

"Subsidiary" means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern--

(1) Not less than 51 percent of which is owned and controlled by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

"Women-owned small business concern" means a small business concern--

(1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least 51 percent of the stock…
