52.222-52 EXEMPTION FROM APPLICATION OF THE SERVICE CONTRACT LABOR STANDARDS TO

CONTRACTS FOR CERTAIN SERVICES--CERTIFICATION (MAY 2014)

(a) The offeror shall check the following certification:

CERTIFICATION

The offeror ( ___ ) does ( ___ ) does not certify that--

(1) The services under the contract are offered and sold regularly to non-Governmental customers, and are provided by the offeror (or subcontractor in the case of an exempt subcontract) to the general public in substantial quantities in the course of normal business operations;

(2) The contract services are furnished at prices that are, or are based on, established catalog or market prices. An “established catalog price” is a price included in a catalog, price list, schedule, or other form that is regularly maintained by the manufacturer or the offeror, is either published or otherwise available for inspection by customers, and states prices at which sales currently, or were last, made to a significant number of buyers constituting the general public. (4) The offeror uses the same compensation (wage and fringe benefits) plan for all service employees performing work under the contract as the offeror uses for these employees and for equivalent employees servicing commercial customers.

(b) Certification by the offeror as to its compliance with respect to the contract also constitutes its certification as to compliance by its subcontractor if it subcontracts out the exempt services. If the offeror certifies to the conditions in paragraph (a) of this provision, and the Contracting Officer determines in accordance with FAR 22.1003-4(d)(3) that the Service Contract Labor Standards statute--

(1) Will not apply to this offeror, then the Service Contract Labor Standards clause in this solicitation will not be included in any resultant contract to this offeror; or

(2) Will apply to this offeror, then the clause at FAR 52.222-53, Exemption from Application of the Service Contract Labor Standards to Contracts for Certain Services--Requirements, in this solicitation will not be included in any resultant contract awarded to this offer, and the offeror may be provided an opportunity to submit a new offer on that basis.

(c) If the offeror does not certify to the conditions in paragraph (a) of this provision--

(1) The clause of this solicitation at 52.222-53, Exemption from Application of the Service Contract Labor Standards to Contracts for Certain Services--Requirements, will not be included in any resultant contract to this offeror; and

(2) The offeror shall notify the Contracting Officer as soon as possible if the Contracting Officer did not attach a Service Contract Labor Standards wage determination to the solicitation.

PHASE 1 OF 2 PHASE SELECTION PROCEDURES

1. SCOPE OF WORK

The scope of this request for proposal (RFP) includes all work required for Design-Build Construction in Support of POL Facilities – Infrastructure for Various locations in the United States (CONUS, Alaska, and Hawaii) and outlying areas. In Phase 1 of 2 Phase Selection Procedures a maximum of six (6) of the most highly qualified firms will be selected by the Government to participate in Phase 2 of this solicitation. This solicitation is a open to both large and small business participants. In Phase 2 of this solicitation, the Government intends to award a target of four (4) Firm-Fixed Price, Indefinite Delivery Indefinite Quantity (IDIQ) contracts under one Multiple Award Task Order Contract (MATOC) in support of the Petroleum, Oil and Lubricants – Mandatory Center of Expertise (POL- MCX). The work shall be in accordance with Request for Proposal documents issued within this solicitation.

1.1. GENERAL DESCRIPTION OF WORK

The purpose of this MATOC is to provide design-build and construction services in support of sustainability, restoration, modernization (SRM) and design-build construction of DoD Fuels Infrastructure within the United States (CONUS, Alaska, and Hawaii) and outlying areas. The scope of work for this acquisition includes, but is not limited to: replacement of aging fuel infrastructure and/or components, repair of storage tanks and containment areas, POL system upgrades and maintenance (modernization), facility demolition, construction of fuels support facilities, regulatory compliance, and design to support the construction work projects for primary customer, Defense Logistics Agency (DLA). As requirements develop, Requests for Proposals (RFPs) for projects will be issued under individual Task Orders.

The majority of the work to be performed under these contracts is necessary due to the age of the infrastructure, absence of maintenance, and safety/environmental regulatory compliance requirements for the imperative and successful operation of the POL facilities. The DoD petroleum infrastructure consists largely of real property facilities and supporting infrastructure which transfer, receive, store, and dispense petroleum products in support of day-to-day, training and operational missions across the globe. Petroleum products are typically transferred by rail, pipeline and truck. Storage is accomplished by bulk storage (tank farms) or operational storage tanks.

Dispensing is from operational storage or dispensing points into vehicles, mobile tanks, refueling vehicles or aircraft/equipment refueling points.

The total value of all task orders awarded under this MATOC will not exceed $150,000,000. The minimum guarantee amount for each contract will be $2,500.00. Task orders will be Firm Fixed Price (FFP) and generally within the value range of approximately $2,000,000.00 or above. Orders will follow the ordering procedures in Paragraph 1.3 below.

1.2. TYPES OF PROJECTS

Work anticipated under this MATOC includes design and construction work identified in Table 1 - SPECIALIZED WORK for POL fuel storage complexes, or portions thereof, in support of fuel distribution systems. Task order projects will include fuel system design services, inspection services and other services needed to complete each task order construction project. Task orders may include incidental excavation and proper disposal of POL contaminated soils. Broader mitigation efforts would not be executed under this MATOC. The majority of the task orders will be design-build, with a minor amount being design-bid-build task orders.

Where a project task order includes installation or modification of a control system, such as tank gauging equipment, fuel dispensing management systems, pump control systems, HVAC controls, fire alarm systems, etcetera, the designs completed and the equipment provided shall be in accordance with current cyber security requirements applicable, based upon the security controls required for the system categorization.

All work will be accomplished in compliance with Military Fuel Standards, UFC 3-460-01, DoD, American Petroleum Institute (API), state and federal regulations.

Table 1 – SPECIALIZED WORK

a. Construction, maintenance, repair and demolition of POL facilities and infrastructure, to include design. Facilities and infrastructure include facilities in direct support of the fuel receipt, pipeline, storage, transfer, containment, laboratory testing, POL operations, quality control, equipment, and dispensing systems

b. Tank rehabilitation. Work consists of construction, repairing, replacing, and upgrading coatings, worn components, corrosion, and deficiency to the tank systems necessary to make the tank fully functional for support of mission requirements. Components typically include valves, pumps, piping, controls, dikes/berms, structural components (shell/tank bottom), life safety, and fire safety systems.

c. Tank cleaning prior to inspection and upgrades. Work includes cleaning to remove residual fuel products, water/sludge removal, and preparation of tank for inspection.

d. Repairs and Emergency Inspections Only. This includes POL facility inspections to determine condition. The inspection report documents current conditions and requirements for servicing, repairs, and upgrades.

THE OFFEROR SHALL BE REGISTERED FOR NAICS CODE 237120 AT A MINIMUM BY THE DATE

PHASE 1 PROPOSALS ARE DUE.

1.3. ON-RAMP PROCEDURES

Reference Section 00 73 00, paragraph 1.6 ON-RAMP PROCEDURES.

2. SELECTION PROCEDURE OVERVIEW

In Phase 1 of the two phase selection procedure, Offerors submit certain specified performance capability proposals, demonstrating their capability to successfully execute task orders under a contract resulting from this solicitation. The Government will evaluate the qualifications submitted in Phase 1 of 2 Selection Procedures and will invite a maximum of six (6) of the most highly qualified Offerors to compete in Phase 2 for award of the

MATOC.

Offerors must submit a complete Phase 1 proposal to be considered for Phase 2. PHASE 1 DOES NOT INVOLVE

PRICING SUBMISSION.

Prior to Phase 2, an amendment will be issued to only the selected Offerors from Phase 1 inviting them to submit Phase 2 technical and price proposals for consideration. The amendment will request additional information needed to complete the submission of Phase 2 proposals. In Phase 2, the Source Selection Authority and Contracting Officer’s intent is to award a target of four (4) contracts under this MATOC to the Offerors whose proposal offers the best value to the Government. DO NOT SUBMIT ANY PHASE 2 DOCUMENTS DURING PHASE 1.

Offerors must submit a complete Phase 2 proposal to be considered for award. Failure to submit a complete proposal may result in the entire proposal being rejected.

3. PHASE 1 PROPOSAL FACTORS IN PHASE 2

The Phase 1 evaluations will be carried forward into the Phase 2 evaluation. There is no separate submission of Phase 1 information required or allowed for Phase 2. The Government will incorporate the Phase 1 individual factor ratings, underlying narratives, etc. when evaluating the Phase 2 proposals to determine the proposals which provides the best value to the Government.

4. GENERAL PROPOSAL SUBMISSION INSTRUCTIONS

This solicitation is unrestricted and is open to all potential Offerors.

Offerors formally organized as Design/Build (DB) entities, or design firms and construction contractors that have formed a teaming arrangement specifically for this contract, or any other interested party may submit proposals. All Offerors must be registered in the System for Award Management (SAM) in the same manner as they are proposing for this solicitation (i.e. a single entity proposing as a Joint Venture must be registered as a Joint Venture).

The North American Industry Classification System code for this project is 237120, with a size standard for Small Business of $39.5 million dollars.

In order to effectively and equitably evaluate all proposals, the Contracting Officer must receive information sufficiently detailed to clearly describe the proposal. There will be no public proposal opening. All proposals submitted will become, upon receipt, the property of the U.S. Government and will not be returned. After evaluation of proposals, any extra copies of the proposals deemed unnecessary by the government will be destroyed.

The original will be retained for the official contract file. In addition, extra copies of the awardees’ proposal will be submitted to the Field and Areas Offices in support of their contract administration functions.

4.1. SUBMISSION INSTRUCTIONS

8. BASIS FOR AWARD

The agency will use Two-phase Design-Build Selection Procedures authorized by FAR 36.301.

The Phase 1 selection will be based on evaluation of technical factors and past performance. There are three non-price factors in Phase 1: Factor 1 – Previous Experience, Factor 2 – Past Performance, and Factor 3 – Technical/Management Approach. Price will not be considered during Phase 1. Only those Offerors who submitted the most highly rated proposals in Phase 1 will be invited to submit a proposal for Phase 2, and they will be the only Offerors eligible to compete in Phase 2.

In Phase 2, the Government intends to evaluate proposals and award a contract without conducting discussions with Offerors. However, in the event the Source Selection Authority (SSA)/Procuring Contracting Officer (PCO) concludes conducting discussions is in the best interest of the Government, the Contracting Officer will establish a competitive range. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. Therefore, the Offerors initial proposal should contain the Offeror’s best terms from a price and technical standpoint.

A sample project may be used to meet price competition requirements for this unrestricted Multiple Award Task Order Contract (MATOC) in Phase 2.

9. RELATIVE IMPORTANCE OF EVALUATION FACTORS

Evaluation Factors are listed below in descending order of importance:

Factor 1: Previous Experience Factor 2: Past Performance Factor 3: Technical/Management Approach Factor 4: Key Personnel (Phase 2 Only) Factor 5: Technical Approach for the Sample Project (Phase 2 Only) Factor 6: Small Business Participation Plan (Phase 2 Only) Factor 7: Cost/Price Proposal for the Sample Project (Phase 2 Only)

All Evaluation Factors other than cost or price, when combined, are significantly more important than cost or price.

Proposals will be evaluated using the Best Value-Tradeoff process as identified in FAR 15.101-1.

10. SOURCE SELECTION PROCESS

All offers received in response to this solicitation will be evaluated in accordance with FAR Part 15.3, DoD Source Selection procedures, and Army Source Selection Supplement. The principal objective of this process is to select responsible Offerors who submit the offers that are the Best Value to the Government. The process is designed to ensure the impartial, equitable, and comprehensive evaluation of all technically acceptable, responsible proposals received in response to this particular solicitation.

11. TECHNICAL RATING

The evaluation ratings for Technical Factors 1, 3, 4, and 5 will be on an adjectival basis in conjunction with a narrative composed of the discussion of the particular strengths, weaknesses, and deficiencies of the proposal. The SST will use a combined technical/risk rating system that includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical ratings. Combined technical/risk evaluations shall utilize the combined technical/risk ratings listed in Table 2. The Combined technical/risk ratings will be used to evaluate Phase 1 – Factor 1 Previous Experience, Phase 1 – Factor 3 Technical/Management Approach, Phase 2 – Factor 4 Key Personnel and Phase 2 – Factor 5 Technical Approach to the Sample Project. The evaluation rating that will be used for Phase 1 - Factor 2 Past Performance is described in Paragraph 12 below. The evaluation rating that will be used for Phase 2 – Factor 6 Small Business Participation Plan is described in Paragraph 13 below.

Table 2: Combined Technical/Risk Ratings

Color Rating Description

Blue Outstanding Proposal indicates and exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

12. PAST PERFORMANCE RATING

The past performance evaluation factor assesses the degree of confidence the Government has in an Offeror’s ability to supply products and services that meet users’ needs, based on a demonstrated record of performance. The past performance evaluation results in an assessment of the Offeror’s probability of meeting the solicitation requirements. The past performance evaluation considers each Offeror's demonstrated recent and relevant record of performance in supplying products and services that meet the contract’s requirements. One performance confidence assessment rating is assigned for each Offeror after evaluating the Offeror's recent past performance, focusing on performance that is relevant to the contract requirements. There are two aspects to the past performance evaluation, Relevancy and Contractor Performance, which are described below:

a. Relevancy. The first aspect of the past performance evaluation is to determine how relevant a recent effort accomplished by the Offeror is to the effort to be acquired through the source selection. Recent is defined as past performance on contracts that had a construction completion date within six (6) years of the date that Phase 1 proposals are due. Relevancy is defined as similarity of items stated within this solicitation such as: types of projects, dollar value, contract type, and customer(s). With respect to relevancy, more relevant past performance will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment. Relevancy is not a separate proposal rating but is used to develop an overall Past Performance Confidence Assessment. The four levels of relevancy ratings are:

Adjectival Rating Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

b. Contractor Performance. The second aspect of the past performance evaluation is to determine how well the contractor performed on the contracts. The past performance evaluation performed in support of a current source selection does not establish, create, or change the existing record and history of the Offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the Offeror performed those past contracts.
