(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF1449, letterhead stationary, or as otherwise specified in the solicitation. Offers must be submitted electronically, unless other arrangements have been made. Send completed offers to Tina Keimig at tina.l.keimig@usace.army.mil and Dean Matuszewski dean.p.matuszewski@usace.army.mil. The proposal shall consist of one (1) pdf document not to exceed 25 pages.
The price worksheet will not count towards the 25 page limit. The Government may not review any additional pages after 25. As a minimum, offers must include with their proposal:
(1) The solicitation number;
(2) The name, address, federal tax identification, email, and telephone number of the offeror;
(3) Names, title, email, and telephone number of persons authorize to negotiate and sign the proposal;\
(4) All required technical, past performance, and price factor information stated in FAR 52.212-2, Evaluation – Commercial Items;
(5) A statement specifying agreement will all terms, conditions and provisions included in the solicitation.
Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration;
(6) Acknowledgement of Solicitation Amendments, if applicable;

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 90 calendar days from 52.21the date specified for receipt of offers.
(m) Questions. All questions pertaining to this combined synopsis and solicitation shall be in writing, directed to the attention of Tina Keimig at tina.l.keimig@usace.army.mil and Dean Matuszewski at dean.p.matuszewski@usace.army.mil All questions shall be submitted not later than seven (7) calendar days prior to the proposal due date, in order to ensure adequate time is allotted for form an appropriate response and if needed, amend the solicitation. Offerors are requested to review the solicitation in its entirety for answers to questions, prior to submitting a new question.
(n) Insurance Required (FAR 52.228-5): In accordance with FAR 28.307-2, “Liability,” the contractor shall procure the following minimum insurance:

And, when contract performance involves use of vessels, the Contracting Officer shall require, as determined by the agency, vessel collision liability and protection and indemnity insurance. The contractor is responsible for contacting the state for compliance with its workman’s compensation laws.
(o) State and Local Taxes:
The U.S. Army Corps of Engineers is exempt from paying state and local taxes per Title 4 United States Code 104-
107. The U.S. Army Corps of Engineers Tax ID Number is 62-1642142. Contractors performing services for the U.S. Army Corps of Engineers are not exempt from state and local taxes in transactions with vendors, suppliers or subcontractors.
52.212-2 ADDENDUM; EVALUATION--COMMERCIAL ITEMS
(a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will the best value to the Government. Quotations will be evaluated using the following factors:
ACCEPTANCE OF QUOTE. Acceptance and evaluation of quote will be based on “Best Value.” Best Value will be determined based on the following items:
a. Workforce: Provide a list of personnel that will be performing the work to include their qualifications/janitorial experience.
b. Past Performance: Provide a minimum of one recent reference for the same or similar service you provided for a government agency or a non-government firm to include purchase/contract number and the name and telephone number for the point of contact at the referenced agency or firm.
c. Price: Total price should include everything required to meet the specifications. Please note that the U.S. Army Corps of Engineers is a tax exempt agency.
Workforce, and Past Performance, when combined, are of equal importance to cost and price.
(b) Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
For the purpose of the award of the contract, the Government intends to evaluate the option to extend services, provided under FAR 52.217-8, as follows:
The evaluation will consider the possibility that the option can be exercised at any time, and can be exercised in increments of one to six months, but for no more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all quotations relative to each other, and will not affect the ranking of proposals based on price, unless, after reviewing the quotations, the Government determines that there is a basis for finding otherwise. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

2. GENERAL.
1.1. SCOPE OF WORK. The Contractor shall provide all labor, supervision, materials and equipment to perform janitorial services at the Tri-Lake Project Office and Maintenance Building and immediate area in accordance with the specifications of this contract. The Contractor shall perform this work on Wednesday of each week between 5:00 pm and 10:00 pm. The day of work is subject to change at the discretion of the Government Representative in the event that a federal holiday lands on Wednesday. The Government Representative shall give the Contractor a list of all applicable federal holidays at the pre-work meeting. In any case, the Contractor shall work one day each week at the described locations. All services shall be completed as scheduled unless otherwise specified or authorized in advance by the Government Representative.
1.2. LOCATION OF WORK. The location of the services covered by this contract will be at the Tri-
Lakes
Project Office and Maintenance Building and immediate areas as specified in this contract. The office and maintenance building are located ½ mile south of the C-470/Wadsworth Interchange. Access is through the US Army Corps of Engineers entrance opposite of Deer Creek Canyon Road at the Deer Creek Canyon Road/Wadsworth interchange. The office is located at the top of the hill and the maintenance building is located further north on the same road within the maintenance yard.
1.3. PRE-QUOTE SITE VISIT. It is highly recommended that individuals who plan to return a quote make an on-site visit to inspect the facility prior to submitting a quote.
1.4. ACCEPTANCE OF QUOTE. Acceptance and evaluation of quote will be based on “Best Value.”

1.5 BUILDING AND SITE SECURITY REQUIREMENTS:
a. Prior to commencing work the Contractor and contractor staff will be required to undergo background checks with a local law enforcement agency. Contractor is responsible for scheduling and paying for background checks and submitting them to the Operations Project Manager. The Operations Project Manager will review the background checks and at his discretion, determine if the contractor or his staff can work at the site.
b. Keys to the buildings and lock gates will be provided to the contractor. The contractor will sign for the keys and cannot copy or duplicate the keys. Loss of the keys shall immediately be reported to Carl Voss (Key Control Officer) and the contractor will be required to reimburse the government for any expenses the government incurs to re-secure the site. Contractor shall verify after completion of work that building is secure, all doors and gates are locked.
c. Contractor will also notify the Government Representative the following day of any unusual activities noted during his work hours at the facility.
1.6 Identification of Contractor Employees: Contractors and subcontractors are required to wear their company ID and may be required to wear Government supplied badges.
2. PREWORK CONFERENCE: After award, but prior to commencement of work, the Contractor shall contact the Operations Project Manager to arrange a mutually agreeable time to meet at the Project Office for the purpose of discussing and developing a mutual understanding of the requirements and details of the work. The contractor will tour the site with the Government Representative to discuss the specific work items and quality of performance issues.
3. DOCUMENTS AND CORRESPONDENCE: After award, all documents and related correspondence shall be routed through Operations Project Manager at the Project Office.
4. WORKMANSHIP:
a. Category A: Category A services will be required in facilities of high public exposure. Such areas or buildings often form the visitor's "first impression" of the Corps of Engineers, and janitorial services will be inspected against a very rigid standard. Precise description is difficult, but contractors may associate
Category A work with military "spit and polish", where very few defects will be permitted (TRI- LAKES VISITORS INFORMATION CENTER LOBBY AREA and RESTROOMS).
b. Category B: Category B services will be inspected against the standard of cleanliness that could reasonably be expected to exist in a well maintained office area and a well maintained maintenance facility on a day to day basis. This shall not be construed to indicate that unsatisfactory services will be tolerated, but rather, to distinguish Category B services (OFFICES / MAINTENANCE BULD.), from the higher standard of Category A.
c. In order to assure that the required services are performed in strict accordance with Category A and B
(above), the Contractor shall designate, in writing, a responsible member of each work crew who shall serve as the contact for matters involving quality and performance or nonperformance of the work assigned to that crew. The employee designated in accordance with the above requirement shall be qualified and fully competent with full authority to act for, and on behalf of, the Contractor as necessary to insure that the work described herein is performed in accordance with the specifications contained herein. The Contractor shall furnish the above written designation to the Contracting Officer's Representative (COR) at the project no later than the first day of work. The designation shall include the name(s), address(s) and telephone number(s) of the responsible individual(s). The Contracting Officer reserves the right to disapprove any individual whom the Contracting Officer considers to be incompetent to perform the required work. Such disapproval will be given to the Contractor by written notice, and the Contracting Officer's decision shall be final.
d. All contractor personnel shall be fully clothed at all times while performing these services. "Fully clothed" shall be deemed to mean that a sleeved shirt (or T-shirt), trousers and shoes shall be worn at all times.
Clothing shall be clean and neat in appearance. Contractor personnel shall utilize tact, diplomacy and courtesy at all times during contact with the public.
e. NOTE: Equipment breakdown shall not relieve the Contractor of the responsibility of performing the work as specified. It shall be the responsibility of the Contractor to assure that he has, or can obtain on short notice, sufficient backup equipment to continue the services as specified without interruption in the event of mechanical failure of his primary equipment.
f. To assist the visiting public in reclaiming lost articles, all property left by visitors and found during cleanup operations shall be turned in to Government Representative. Any evidence of vandalism, instances of facilities not operating properly or facilities in need of repair shall be reported to Government Representative.
5. PERFORMANCE:
a. Buildings and fixtures; e.g., floor, carpet, baseboards, door trim, furniture, etc., shall not be scratched or disfigured by tools utilized in cleaning. Furniture and other items moved during cleaning shall be returned to their proper locations. Upon completion, rooms shall appear orderly and well cared for.
b. Care shall be taken to insure that no staining of floor, baseboards, walls, furniture or wood work, results from water or chemicals used in performance of services.
c. Janitorial service is directly related to public health and sanitation; therefore, it is essential that all facilities be serviced as specified. In the event that an area or items within a facility are missed or not properly cleaned, the Contractor agrees to return and re-clean the area or affected items immediately upon receipt of such notice from the Contracting Officer or an authorized representative.
d. The Contractor shall participate in an inspection of cleaning with Government Representative upon the request of the Government Representative to determine if performance standards have been met. This shall be done at 7:30 am on working days and other times agreeable to both the Contractor and Government Representative.
e. If it becomes apparent to the Government during the Contractor's performance that the required services are unsatisfactory or may not be completed within the time required herein, the Contracting Officer may require the Contractor to provide additional labor and equipment at no additional cost to the Government.
Such direction will be issued to insure that required services will be satisfactorily completed within the time frame specified.
f. The Contractor shall establish a work schedule within the times set forth in DELIVERIES OR PERFORMANCE section indicating the hours during which services shall be performed on a regular basis. The schedule shall be submitted in writing to the COR for his approval no later than the first day of work. Changes in the approved schedule shall be submitted for approval of the COR prior to implementation.
g. The Contractor shall be required to date and leave the completed CONTRACTOR’S DAILY
WORKSHEET(S) for daily, weekly, bi-weekly, monthly, quarterly, semi-annually, and annual duties performed upon completion of said duties.
6. PROTECTION OF EXISTING STRUCTURES, EQUIPMENT, UTILITIES, AND WORK.
a. Protect all existing structures, utilities, or work of any kind against damage.
b. Allow only persons directly involved with accomplishment of the Contractor's operations at the site.
c. Damages resulting from Contractor's failure to comply with above requirements shall be promptly repaired/replaced at the expense of the contractor.
d. The Contractor shall notify the Government Representative immediately of damage to government and private property and injury to any person resulting from his/her operations. Also, the Contractor shall advise the COR immediately of damage to government facilities due to vandalism or other any other cause.
7. SAFETY.
a. The Contractor shall place emphasis on safety on all phases of operations.
b.. The Contractor shall meet with all employees prior to commencement of this contract to fully discuss the contract safety program.
c. The Contractor shall adhere to EM 385-1-1 Safety and Health Requirements Manual. A copy is available at the project office.
d. The Contractor shall maintain an accurate record of occupational disease concerns and all accidents.
These shall be reported to Government Representative within 24 hours.
9. SUBCONTRACTING.
No contract shall be made by the Contractor with any other party for furnishing any of the work or services of the contract without written approval of the Contracting Officer. This provision does not apply to contracts of employment between the Contractor and their employees.
DELIVERIES OR PERFORMANCE
1. EFFECTIVE DATE OF THIS INSTRUMENT:
a. This Contract (or Purchase Order) shall be effective on 1 July 2020 (or date of award, if later), and shall remain in full force and effect through 30 June 2021.
b. Effective dates for option years, (if exercised) shall be from.
1st Option year: July 1, 2021 through June 30, 2022.
2nd Option year: July 1, 2022 through June 30, 2023.
3rd Option year: July 1, 2023 through June 31, 2024.
4th Option year: July 1, 2024 through June 31, 2025.
c. The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 60 days.
2. PERIOD OF REQUIRED SERVICES:
a. Services shall be performed in accordance with the schedules shown below for the period of 1 July 2020 through 30 June 2021.
b. All cleaning services shall be performed any time between the nonduty office hours of 5:00 p.m. and
10:00 p.m., at such times and in such manner not to interfere with office operations, as directed by the Operations Project Manager.
c. Cleaning services shall be performed as follows:
(1) Weekly duties: On Wednesday, during the period of 1 July 2020 through 30 June 2021.
(2) Every-other-week duties: On every other Wednesday.
(3) Monthly duties: 1st week of each month.
(4) Quarterly duties: 1st month of each quarter.
(5) Semi-annual duties: During July and March.
(6) Annual duties: During March.
NOTES: Services shall be performed on another (mutually agreeable) day of the week when a Federal holiday falls on a scheduled work day. Quarterly, semiannually and annually performed services shall be scheduled with the Operations Project Manager prior to performing services.
d. All work shall be accomplished within the time frame specified above. Services rendered outside of the time periods specified will not be compensated unless specifically approved in writing by the Contracting Officer or his authorized representative.

CONSUMABLE ITEMS/FURNISHED EQUIPMENT AND SUPPLIES

b. All equipment, materials and supplies shall be approved by the Operations Project Manager, prior to initial use.
c. The Contractor shall furnish to the Operations Project Manager a telephone number attended during normal business hours (8 a.m. – 4:30 p.m.) to which calls concerning performance or other contractual matters can be placed. For the purpose of time and date, a message will be deemed delivered to the Contractor at such time it is delivered to the number provided by the Contractor.
CONTRACT ADMINISTRATION DATA
PAYMENT:
Payment will be made by the Disbursing Officer, U.S, Army Engineer District, Omaha, Nebraska, in accordance with the Prompt Payment Act (Public Law 100-496). Under the terms of this contract, invoices are to be submitted in quadruplicate to the:

2. WITHHOLDING:
a. NOTE: Payment will not be made for work not performed.
c. In the event of unsatisfactory performance of specified work, the Contractor may be directed to re-perform the unsatisfactory services at no additional cost to the Government. Failure of the Contractor to perform the work as specified, or to reperform the work as directed, will result in withholding of payment for the portion(s) of the work not accomplished. Amounts to be withheld will be determined by prorating the amount of services satisfactorily performed against the amount of services required.
3. PERFORMANCE BY THIRD PARTY OR GOVERNMENT PERSONNEL:
In addition to the above remedies for non-performance, the Government reserves the right to cause the specified work to be performed by a third party or Government forces and the costs incurred will be levied against the Contractor. Any time Government forces are used because of the Contractor's non-performance, the cost levied against the Contractor will include all direct costs associated with the performance of the specified work plus the loss of efficiency to the Government's productivity experienced by the Government where utilized Government forces are not otherwise available to perform their normal duties. Such inefficiencies are determined as the direct cost to the Government for substitution of Government forces removed from their normal duties computed on an hourly basis at the applicable wage rate. Government forces will be used only when time is of the essence and the interests of the Government would not be served by securing a third party to perform specified work.
4. SUB-CONTRACTING:
No contract shall be made by the Contractor with any other party for furnishing any of the work or services herein contracted without the approval of the Contracting Officer's Representative. This provision does not apply to contracts of employment between the Contractor and his personnel.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAR 2020)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.
(a) Definitions. As used in this provision --
“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.
“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”--
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”--
(1) Means a small business concern--
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned--
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.
The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern--
(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern--
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
(b) (1) Annual Representations and Certifications. Any changes provided by the Offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications in SAM.
(2) The offeror has completed the annual representations and certifications electronically in SAM accessed through http://www.sam.gov.
