SUBJECT: Solicitation No. W9127N-16-R-0078; John Day Dam Station Service Transformer Replacement.

NOTICE TO LARGE BUSINESS FIRMS

Please see FAR Clauses 52.219-8, “Utilization of Small Business Concerns (Jul 2013)” and 52.219-9, "Small Business Subcontracting Plan (Jul 2013).” Large business concerns submitting offers of $650,000 or more for supplies or services or $1,500,000 for construction are required to submit a subcontracting plan as part of their proposal. The plan must express goals in terms of percentages of total planned subcontracting dollars and must be comparable to the dollar commitments in the small business participation plan, if applicable.

DEFINITIONS:

Subcontract means any agreement (other than one involving an employer-employee relationship) entered into by a Government prime contractor or subcontractor calling for supplies and/or services required for performance of the contract, contract modification, or subcontract.

Small Business Concern means a concern, including its affiliates that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria and size standards in FAR 19.102. Such a concern is “not dominant in its field of operation” when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged.

Floor is the term the U.S. Army Corps of Engineers uses to replace goal. It represents the minimum level for small business performance.

Electronic Subcontracting Reporting System (eSRS) means the Government wide, electronic, web-based system for small business subcontracting program reporting. The eSRS is located at http://www.esrs.gov.

The following floors are considered reasonable and achievable during the performance of the contract resulting from this solicitation and are included for information purposes. Final floors will be negotiated prior to contract award, and subcontracting plan will then become a material part of the contract.

a. 20% of the total contract value will be placed with all small business concerns. For the purpose of this subcontracting plan, Small Disadvantaged Business (SDB), Women-owned Small Business (WOSB), HUBZone Small Business, Veteran-owned Small Business, and Service Disabled Veteran-owned Small Business concerns are subsets of small business concerns.

b. 5% of the total contract value will be placed with small disadvantaged business concerns or Historically Black Colleges and Universities or Minority Institutions. To be considered a small disadvantaged business concern, business must be certified by the Small Business Administration in addition to meeting the definition under FAR Clause 52.219-8(c)(3).

c. 3% of the total contract value will be placed with small women-owned business concerns. Women-owned business concerns may meet the definition of a small disadvantaged business. If so, it will also be considered a subset of a small disadvantaged business concern.

REPLY TO

ATTENTION OF

d. 2% of the total contract value will be placed with HUBZone small business concerns. To be considered a HUBZone small business concern, business must be certified by the U.S. Small Business Administration in addition to meeting the definition under FAR Clause 52.219-8(c)(3).

e. 2% of the total contract value will be placed with Service Disabled Veteran-owned small business concerns.

f. 5% of the total contract value will be placed with Veteran-owned small business concerns.

Floors included in any proposed plan should be at least equal to the recommended floors. If lesser floors are proposed, include an explanation for how those floors and the overall plan represent best efforts to comply with the policy outlined in the contract clauses.

The proposed subcontracting plan must address how the offeror will maximize subcontracting opportunities within the small business communities of the project location. Demonstrated outreach efforts through conference attendance, use of SAM.gov, and corporate support of the Small Business Program Liaison Officer and Small Business Program must be addressed in the proposed subcontracting plan.

Subcontracting plans will be evaluated using Appendix DD to the Army Federal Acquisition Regulation Supplement (AFARS) 5119.705-4(d) to determine the offeror’s ability to carry out the terms and conditions set forth in the contract clauses. If discussions during this review raise doubts regarding intentions or ability to comply with contractual obligations, it could result in disqualification for award. Failure to receive a subcontracting plan rating of Acceptable could jeopardize the offeror’s selection for contract award.

A sample subcontracting plan format, which can be used as a guide, is attached. Use of this format is not mandatory and does not guarantee acceptance. It is recommended that subcontracting plans reflect, at minimum, what is described in the attached sample.

Should you have any questions or need assistance in developing a subcontracting plan please call Carol McIntyre at

(503) 808-4602.

Sincerely, Contracting Officer Enclosure

00100-1

EVALUATION PROCESS

A. General.

(1) The acquisition is being conducted using full and open competition. The Government intends to award a single, firm-fixed price contract to the responsible offeror whose proposal represents the best value to the Government after evaluation in accordance with the factors in the solicitation. Offerors shall submit a technical proposal and a price proposal. The evaluation results of the technical and price proposals will determine an awardee. All evaluation factors other than price are approximately equal in importance to one another. All evaluation factors other than price, when combined, are significantly more important than price.

(2) The Government intends to make an award without discussions but reserves the right to conduct discussions should discussions prove to be necessary or advantageous to the Government. Because the Government does not intend to hold discussions, offerors are encouraged to include their best pricing in their initial proposal.

(3) In the context of this proposal, “offeror” refers to the proposed prime contractor. A major subcontractor is defined as one who will be providing critical elements (i.e., the station service transformers, on-load tap changer and transformer ancillaries) or whose subcontract is for more than 25% of the total proposed price.

(4) Information submitted about any company other than the offeror, whether an affiliated company, major subcontractor, or other associated business, may not be given much weight unless the proposal contains evidence that the offeror has submitted a written commitment from the other business entity to perform a portion of the work.

(5) All proposals received will stand alone and be considered complete and final. The evaluation board will not consider any information or data incorporated by reference or otherwise referred to. The successful offeror will be selected solely on the basis of the evaluation factors set forth below. Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors.

Elaborate proposals, color brochures, and other excesses are discouraged.

(6) Joint Ventures (JV). A joint venture is defined as follows: a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliance,” which are not recognized as bona fide joint ventures for the purposes of this solicitation. A company that is part of a joint venture shall submit a legally binding joint venture agreement. Joint ventures shall include a copy of the legal joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity.

(7) The Government recognizes that completion of a project is often a team effort. Thus, offerors are required to submit experience and past performance information for major subcontractors to help demonstrate that the team they select to perform this project has a satisfactory record of experience and past performance. Per FAR 15.305(a)(2)(iv), in the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.

(8) Small Business Participation Plan (All Offerors). All Offerors (both large and small businesses) are required to complete a Small Business Participation Proposal. Offerors should propose the level of participation of small businesses (as a small business prime and/or small business subcontractors) in the performance of the acquisition relative to the objectives/goals set forth in the evaluation of this area. Small Business Participation Plan is a non-price factor of equal importance to other non-price factors. See Attachment B.

(9) Subcontracting Plan (Large Businesses Only). Proposals from large businesses, as defined by the North American Industry Classification System (NAICS) code, will be rated on the extent to which Small Businesses (SBs), Veteran-Owned Small Businesses (VOSBs), Service-Disabled Veteran-Owned Small Businesses (SDVOSBs), HUBZone Small Businesses, Small Disadvantaged Businesses (SDBs), and Woman-Owned Small

00100-2

Businesses (WOSBs) would be utilized in the performance of this proposed contract. The plan must include realistic goals and demonstrate a track record of consistently meeting those goals in order to be acceptable. The Subcontracting Plan will be evaluated as acceptable or unacceptable. Award cannot be made before a firm provides an acceptable subcontracting plan.

B. Evaluation Ratings.

All non-price factors other than Factor 2, Past Performance, shall be rated using the combined technical/risk method desdribed below and the risk descriptions set forth below.

Combined Technical/Risk Rating Method

Color Rating

Adjectival Rating Description

Blue Outstanding Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Purple Good Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Green Acceptable Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Yellow Marginal Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Red Unacceptable Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

Technical Risk Descriptions

Adjectival Rating Description Low Proposal may contain weakness(es) which have little potential to cause disruption of schedule, increased cost or degradation of performance.

Normal contractor effort and normal Government monitoring will likely be able to overcome any difficulties.

Moderate Proposal contains a significant weakness or combination of weaknesses which may potentially cause disruption of schedule, increased cost or degradation of performance. Special contractor emphasis and close Government monitoring will likely be able to overcome difficulties.

High Proposal contains a significant weakness or combination of weaknesses which is likely to cause significant disruption of schedule, increased cost or degradation of performance. Is unlikely to overcome any difficulties, even with special contractor emphasis and close Government monitoring.

Unacceptable Proposal contains a material failure or a combination of significant weaknesses that increases the risk of unsuccessful performance to an unacceptable level.

C. Definitions.

Deficiency. A material failure of a proposal to meet a Government requirement or a combination of weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. See FAR 15.001.

00100-3

Strength. An aspect of an offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Significant Strength. An aspect of an offeror's proposal that has appreciable merit or appreciably exceeds specified performance or capability requirements in a way that will be appreciably advantageous to the Government during contract performance.

Weakness. A flaw in the proposal that increases the risk of unsuccessful contract performance. See FAR 15.001.

Significant Weakness. In the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance. See FAR 15.001.

EVALUATION FACTORS

Volume I – Technical (Non-Price) Submission Requirements and Evaluation Method

FACTOR 1 –Experience

Sub-factor 1 (TAB 1): Transformer Manufacturer Experience

Submission Requirements:

Specific Project Experience. Starting with the most recent projects and working backward, provide the following project information demonstrating the proposed transformer manufacturer’s most relevant experience designing and manufacturing Class I power transformers 500 kVA or larger. The offeror shall submit a maximum of 5 projects.

Submit information for each project on Attachment D, Transformer Manufacturer Experience Form

Evaluation Method:

The proposed transformer manufacturer’s quantity of experience designing and manufacturing Class I power transformers 500 kVA or larger will be evaluated. Experience designing and manufacturing transformers comparable to the transformer design requirements in the specifications will be more highly rated.

Sub-factor 2 (TAB 2): Installation Contractor Experience

Submission Requirements:

Provide project information for up to three (3) projects completed or substantially completed* in the past 10 years demonstrating the proposed installation contractor’s experience installing Class I and II power transformers installation projects.

Submit information for each project on Attachment E, Installation Contractor’s Experience Form.

*Substantially completed is defined as having completed more than 75% of the project work at the time of proposal submission.

Evaluation Method:

The Government will review the submitted projects to evaluate the extent of the proposed installation contractor’s recent experience installing power transformers on projects that are similar in size, scope, and complexity to the work being solicited by this RFP.

00100-4

The Government intends to give greater weight to projects that demonstrate experience in the following areas:

a. Retrofitting transformers inside a powerhouse.

b. Installing oil-filled transformers.

c. Connecting transformers to bus duct connections.

d. Connecting transformers to fresh water cooling systems.

FACTOR 2 (TAB 3) – Past Performance

Submission Requirements

The offeror should provide past performance information for each project listed by the offeror under Factor 1, Sub-factor 2– Installation Contractor Experience, performed by the installation contractor.

Recent and relevant projects are those projects completed or substantially completed* in the past 10 years that are comparable in size, scope, and complexity with the project contemplated by this solicitation.

*Substantially completed is defined as having completed more than 75% of the project work at the time of proposal submission.

The offeror may also provide past performance information on up to four (4) other relevant projects.

This may include PPQs or CPARS/CCASS evaluation information.

If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, it shall be submitted with the proposal. Do not submit a PPQ when a completed CPARS is available. Completed PPQs should be submitted with your proposal if a CPARS is not available. If the offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the offeror should complete and submit with the proposal the first page of the PPQ (Attachment A), which will provide contract and client information for the respective project(s). Offerors should follow-up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Ryan S. Shoemaker, via email at Ryan.S.Shoemaker2@usace.army.mil prior to proposal closing date. The offeror shall instruct the clients to refer to the solicitation number in the subject line. The PPQs are Source Selection materials. All successfully submitted PPQs will receive an e-mail confirmation upon receipt. If the offeror does not receive the confirmation, it is their responsibility to follow up to ensure the government has received the information.

Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted past performance information in the past performance evaluation.

Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror.

In addition to the above, the Government may review other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the PPIRS, including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), FAPIIS, telephone interviews with organizations familiar with the offeror’s performance, Government personnel with personal knowledge of the offeror’s performance capability, and any other known sources not provided by the offeror.

00100-5

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate, and complete past performance information rests with the Offeror.

Evaluation Method:

The Government seeks a contractor who maintains a strong commitment to customer satisfaction and superior performance. It is the offeror’s responsibility to affirmatively document these qualities in his technical proposal. In doing so, be mindful that “past performance” and “past experience” are not identical. Past experience measures what you have done and how many times, or for how long, you have done it. Past performance, however, measures how well you have performed.

There are two aspects to the past performance evaluation. Evaluators will first review each project submitted to determine how relevant the project is to the work being solicited by this RFP. The second aspect of the past performance evaluation is to determine how well the offeror performed on those projects.

A final Performance Confidence Assessment Rating will be given for this factor based on the assessment of recent and relevant past performance information and the assessment of the quality of past performance on prior contract efforts.

With respect to relevancy, more relevant past performance will typically be a stronger predictor of future success and have more influence on the past performance confidence assessment than past performance of lesser relevance.

Relevancy will be determined based on how closely the past performance effort involved similarity of scope and magnitude of effort, dollar value, and complexities this solicitation requires.

There are four levels of relevancy as shown in the table below.

Adjectival Rating Description Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

The SSEB will review the past performance information and determine the quality and usefulness as it applies to performance confidence assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings using the tTable below, focusing on performance that is relevant to the contract requirements.

Adjectival Rating Description Substantial Confidence Based on the offeror’s recent/relevant performance record, the

Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

00100-6

Neutral Confidence No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

If any performance issues are identified, the Government will consider the number, type and severity of the problems and effectiveness of corrective actions taken.

In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror will not be evaluated favorably or unfavorably on past performance, and therefore may receive an “Unknown Confidence” rating.

FACTOR 3 (TAB 4) – Work Plan

Submission Requirements:

1. Gantt Chart. Submit a project schedule in Gantt chart format using the critical path method (MS Project or Primavera software). At a minimum, the schedule shall include the following activities for each transformer:

Design, review, and approval Manufacturing and factory test Transportation Site mobilization Removal and disposal of each transformer Panel board installation Transformer installation, testing, and commissioning As-builts, O&M Manuals, closeout Critical path Identify who (prime or subcontractor) is doing the work

2. Narrative. The Gantt chart shall be accompanied with a narrative addressing how the Offeror will maintain and accomplish the project schedule. The schedule narrative shall describe: critical path, site constraints, risks, uncertainties, anticipated problem areas or delaying factors and their impact, proposed corrective actions and contingency plans to meet project milestones and other factors that demonstrate the ability to accomplish the schedule.

Evaluation Method:

The Government will evaluate the schedule and narrative for thoroughness and to determine how well the offeror understands the work, contingencies that may arise and how to deal with them, site constraints, and whether they provide a realistic approach to complete the work on time. Note: Failure to include all of

00100-7 the minimum activities (listed above) in the Gantt Chart will result in an Unacceptable rating for this factor.

FACTOR 4 (TAB 5) – Small Business Participation Plan

The purpose of this criterion is to evaluate the amount of work to be performed by small businesses as prime or subcontractors in relation to the total value of the project, as well as the types of work small businesses will be performing, and the offeror’s past performance complying with contract requirements contained in clauses FAR 52.219-8, Utilization of Small Business Concerns, and FAR 52.219-9, Small Business Subcontracting Plan.

Submission Requirements:

1. All offerors (both large and small businesses) shall submit the Small Business Participation Plan (SBPP) template found at Attachment B. A mandatory minimum Total Small Business Participation goal of 20% of the total contract value (through small business participation from small-, small disadvantaged-, HUB Zone-, service disabled vet-, vet-, or woman-owned small businesses) is required based on the nature of the work for this project. The offeror should articulate how small businesses will participate through performance as either a small business prime or as a subcontractor, as well as demonstrating their past performance in complying with requirements of the clauses FAR 52.219-8, Utilization of Small Business Concerns, and 52.219-9, Small Business Subcontracting Plan.

2. Offerors are required to submit information that can be verified on at least three projects that demonstrate the degree (both by dollar and by percent of total contract value) to which the contractor utilized small business firms in performing the project. For small business offerors, consideration will be given to self-performance if a small business for that project, as well as for providing subcontracting opportunities to small businesses—as is the policy of the government.
