About this file

This document is a Justification and Approval (J&A) for Other Than Full and Open Competition for a modular facility lease extension at MacDill Air Force Base in Florida. The U.S. Army Corps of Engineers (USACE), Mobile District, seeks to extend the existing contract with KOMAN Construction LLC for seven additional one-year lease options for a temporary facility supporting the Military Information Support Operations (MISO) II. The current contract (W9127820C0015) was originally awarded on 10 April 2020 under the Small Business Administration's 8(a) program and is set to expire on 14 December 2025.

The lease extension is necessary because the permanent military construction (MILCON) project to replace the modular facility is still in the planning stages. The two-story modular facility provides approximately 15,000 square feet of administrative office space for 160 government employees, with a Sensitive Compartmented Information Facility (SCIF) and specialized meeting spaces. The Secretary of the Air Force approved an additional seven years of use, bringing the total facility usage to 12 years. The extension is justified by the lack of alternative secure spaces at MacDill AFB, potential significant disruption to mission operations, and the estimated high costs of relocating and re-procuring a similar facility. The total contract value will increase from the original amount, with funding coming from United States Special Operations Command (USSOCOM) Operation and Maintenance (O&M) funds.

Justification and Approval For

Other Than Full and Open Competition

1. Contracting Activity: U.S. Army Corps of Engineers (USACE), Mobile District, 100 Canal Street, Mobile, Alabama 36602.

2. Description of Action: Approval is requested for an out-of-scope modification to extend the period of performance by seven years for firm fixed price contract W9127820C0015 for a Modular Facility Lease to support the Military Information Support Operations (MISO) II at MacDill Air Force Base (AFB), Florida. The contract is currently funded with United States Special Operations Command (USSOCOM) Operation and Maintenance (O&M) funding. Fiscal Year (FY) 2026 USSOCOM O&M funds are available for the first year of the extended period of performance requested by this Justification. Exercise of the additional six requested option years will be dependent upon availability of USSOCOM O&M funding that is current at the time the options are exercised.

Contractor: KOMAN Construction LLC (KOMAN) Cage Code: 7K6A5 Address: 2700 Gambell St, Suite 401, Anchorage, AK 99503-2833

3. Description of Supplies/Services: The modular facility supports Special Operations Command (SOCOM) Military Information Support Operation (MISO) mission at MacDill AFB, Florida by providing office space for displaced MISO II employees while construction of new facilities is in the programing stages. To accommodate this, temporary facilities were required to provide working space for the warfighter. The temporary leased facility consists of a two-story structure assembled from modular trailers that provides approximately 15,000 SF of administrative office space that houses up to 160 government employees for the MISO II. The original contract awarded to KOMAN provided for onsite construction of the modular facility and a base year and four one-year option lease periods that began 15 December 2020. The Option Year 4 period ends 14 December 2025, but the new permanent facility is not complete.

Therefore, the need for a temporary lease facility continues. In accordance with Department of the Air Force Guidance Memorandum to Department of the Air Force Instruction 32-1020 (Sep 2022), 14 years is the maximum allowable duration of use for Relocatable Facilities (RLFs) with Secretary of the Air Force (SAF) approval. An SAF memorandum dated 25 September 2024 approved an additional seven years, for a total of 12 years. The requested modification will extend the period of performance by incorporating seven additional one-year lease options, with the first of these, Option Year 5, beginning 15 December 2025, and the final, Option year 11, ending 14 December 2032. The estimated cost for the seven-year extension is as detailed below. The total contract value is increasing from $6,411,627.25 to

Period of Performance Monthly Estimate Annual Estimate Option Year 5 12/15/2025-12/14/2026 Option Year 6 12/15/2025-12/14/2027

Option Year 7 12/15/2025-12/14/2028 Option Year 8 12/15/2025-12/14/2029 Option Year 9 12/15/2025-12/14/2030 Option Year 10 12/15/2025-12/14/2031 Option Year 11 12/15/2025-12/14/2032 Total Estimate

4. Authority Cited: 10 USC 3204(a)(1) as implemented by FAR 6.302-1(a)(2), allows that when the supplies or services required by the agency are available from only one responsible source, or, for DoD, from only one or a limited number of responsible sources, and no other type of supplies or services will satisfy agency requirements, full and open competition need not be provided for. 10 U.S.C. 3204(b)(B), as implemented by FAR 6.302-1(a)(2)(iii), further provides that services may be deemed to be available only from the original source in the case of a follow-on contract for the continued provision of highly specialized services when it is likely that award to any other source would result in - (A) Substantial duplication of cost to the Government that is not expected to be recovered through competition, or (B) Unacceptable delays in fulfilling the agency’s requirements. Both subparagraphs (A) and (B) apply to this contractual action.

5. Reason for Authority Cited:

a. Background: This leased facility houses displaced MISO II employees while a future MILCON construction project to provide a new permanent facility in support of the SOCOM MISO mission is in planning. Once the new MILCON construction project is completed, this leased modular facility will be removed from the site. The significant cost associated with the future MILCON construction project has created programming challenges in determining the appropriate year of design and construction and identifying the funding source. The possibility of transferring the future MILCON project to MacDill Air Force Base as an Air Force project, which would then be added to the Air Force Program schedule, is also being considered. Contract number W9127820C0015 was awarded on 20 April 2020 as a sole source requirement under the Small Business Administration (SBA) 8(a) Business Development (BD) Program to KOMAN to provide the installation of a modular facility with a base one-year lease and four one-year lease options.

b. The current contract expires 14 December 2025; however, the military construction project to replace this modular facility is still in the planning stage.

KOMAN graduated the 8(a) program on 06 August 2025 and is no longer eligible for new 8(a) contract awards. CESAM has petitioned SBA to release the requirement from the 8(a) program. Failure to remain with the current contractor would create a significant logistical dilemma across MacDill AFB. The customer would be required to unexpectedly relocate tenants around the AFB, for an unknown amount of time, with no feasible location to put them. Due to the congestion and user requirements of secure facilities there is a shortage of available space across MacDill AFB.

c. Justification: The Government requires an immediate facility to house 160 Government personnel that are working across various critical projects for MacDill AFB. The existing modular facility is already on site provided by KOMAN under the current expiring contract. KOMAN is the only responsible source who can meet the Government’s minimum needs for an immediate facility without significant disruption. Award to any other source would result in both unacceptable delays and substantial duplication of costs that would not be recovered by competition based on the following:

1) An award to another contractor would disrupt operations at MacDill AFB for 14 months (two months for KOMAN to tear down the current RLF, and a minimum of 8-12 months for a new contractor to construct the new RLF). Market research conducted by contacting other contractors ( providing facilities at MacDill AFB and Tyndall AFB confirmed that there are still supply chain issues resulting from Covid and longer lead times for certain components, such as electrical panels and A/C units, which delay the manufacturing process.

2) There is limited space for temporary facilities on the AFB. Therefore, a facility of this size would have to be removed before a replacement facility could be installed in its location. The existing facility is owned by KOMAN. Therefore, they are the only available source capable of leasing the existing facility remaining to the Government. There are no other means of fulfilling this requirement, on a competitive or non-competitive basis, without causing substantial harm to the Government, SOCOM, the Air Force customer, and the mission by requiring the relocation of 160 personnel and the financial impact of re-procurement costs to include mobilization and de-mobilization. A 14-month displacement would disrupt MISO’s daily continuous support operations. MISO II has the only Sensitive Compartmented Information Facility (SCIF) that is large enough to accommodate all the Command requirements which encompasses the entirety of the second floor. MISO II has a training classroom that facilitates the training needs of all the Commands within the Joint Military Web-Operations Center (JMWC). MISO II contains a large conference room capable of facilitating top secret video teleconferencing requirements that all the Commands utilize.

There is no space available in any of the remaining facilities that can facilitate the specialty needs and workspace required. Relocating the MISO II Personnel to a new or retrofitted facility would be challenging given the technical requirements including creating or retrofitting secure spaces. Therefore, KOMAN is the only responsible source who can meet the Government’s minimum need of immediately having facilities available and ready for use.

3) It is further determined that a procurement to any other contractor would result in a substantial duplication of cost to include the setup and dismantling of a second facility. Any procurement with another contractor would require the Government to expend for KOMAN to dismantle the current RLF and an additional estimated for the installation and removal of a new RLF, which was the original cost for KOMAN to provide the RLF. The total cost to reprocure this contract would be approximately for the additional set up and tear down of buildings and is not expected to be recovered in competition. In addition to the to get a new modular facility on site, there would be additional costs of the rental period which are expected to match the costs to award to

KOMAN.

d. Feasible Alternatives:

1) Reprocure the requirement by soliciting for a replacement facility/lease through the 8(a) process. This alternative is rejected because it would not satisfy the government's requirement for an immediate facility. The tenant would need to vacate the current facility, and there is no alternate location available to house these critical mission functions until such time as a new facility and lease can be established. SOCOM conducted feasibility studies to include investigating existing space on MacDill AFB, purchasing modular facilities, leasing modular facilities and leasing off-base facilities.

The most feasible alternative was the leasing of the modular facility.

Additionally, the current facility would have to be removed in its entirety at the expiration of the contract on 14 December 2025. As further detailed in paragraph b. Justification above, the limited space on MacDill AFB does not allow for a new replacement facility to be placed until the existing facility is removed.

2) USACE purchases the KOMAN-owned modular facility and procures a new contract for the maintenance of the facility and its removal when the facility is no longer needed. Purchasing the modular facility offers a cost-effective solution but is not feasible for this Air Force customer for multiple reasons.

i. First, Air Force Civil Engineer Center (AFCEC) does not support the purchase of temporary facilities per Department of the Air Force Guidance Memorandum (DAFGM) to Department of the Air Force Instruction (DAFI) 32-1020 (DAFI32-1020_DAFGM2022-01, 8.3.1) because an RLF is used as a tool for meeting a temporary facility requirement and not a solution to an enduring facility requirement, nor does the AFB have a place to locate the RLF when construction has been completed.

ii. Second, RLFs may be used to satisfy facility requirements for response to disaster relief (DAFI32-1020_DAFGM2022-01, 8.4.2) and in advance of a future facility solution (a programmed MILCON or renovation project, personnel relocation, etc.)

(DAFI32-1020_DAFGM2022-01, 8.4.3). In this case, the RLF was procured to house personnel due to a future facility solution.

Therefore, the RLF may be retained in use only until construction of the permanent facility is complete.

iii. Finally, the continued operation and maintenance of the relocatable facilities is not feasible because in accordance with DoD policy, an RLF is a piece of general equipment used as a facility on a temporary basis and is specifically designed and constructed to be readily erected, disassembled, transported, stored and re-used.

(DAFI32-1020_DAFGM2022-01, 8.2).

3) USACE leases an Off-Base facility and relocates the current tenants. While this alternative was considered, it was rejected due to the following reasons:

i. A USACE Mobile District Supervisory Realty Specialist confirmed that it would take approximately six months to solicit for and execute a new lease for a facility of this size. However, leasing a new facility was not an option because the Commander HQ USSOCOM directed the location of the temporary facility be located within close proximity to the HQ USSOCOM compound.

ii. In accordance with Executive Order 14222 "Implementing the President's Department of Government Efficiency Cost Efficiency Initiative”, the Office of the Secretary of Defense (OSD) intends to reduce administrative and warehousing lease cost by 30%. As such, all new government leases require OSD approval which would delay the process for leasing new a new facility.

iii. The AFB is located in the Tampa, FL area which does not have this type of commercial office space available, without significant modifications to meet the facility security requirements. Any commercial space would have to be modified to meet the secure space requirements of the mission. Additionally, any space located off the AFB would hinder the collaboration and decision making that the proximity of a facility located on the AFB would provide.

iv. This alternative would displace the current tenants until a new facility could be located and leased, as the current facility would have to be removed at the expiration of the contract on 14 December 2025.

e. Impact: This facility houses up to 160 Government personnel working across various projects for MISO. Currently, the MISO mission has no space to relocate on MacDill AFB because each of those spaces would be required to be transformed into secure spaces, and MacDill AFB does not have enough SCIF space. If the Government had to remove the current facilities through another contractor, it would result in non-recoverable costs to the Government of approximately which is the difference between the cost of extending the period of performance of the current contract by seven years and de-mobilizing the current facility and reprocuring a new facility with a new contractor, and an estimated 14 months of downtime. If this J&A is not approved, the customer would be displaced with no feasible place to relocate. This displacement would create various communication, organizational and logistical issues impacting daily operations in support of all geographical combatant commands and necessitate an unplanned, large-scale realignment of the logistical arrangements within MISO and the composition/location of MISO personnel. Any interruption to MISO operations would negatively impact continuous daily operations in support of all geographic combatant commands. Maintaining the effective operations of this modular facility is essential to maintain global operations in the interest of national security.

6. Efforts to Obtain Competition: In accordance with FAR 5.201, FAR 5.207, and DFARS PGI 206.302-1(d), Special Notice W9127825L0014 was published at SAM.gov on 20 March 2025 with a response date of 04 April 2025. The Notice stated the Government’s intent to extend the current contract to continue the lease of the current facility to the owner of the building so the current tenant will not have to be removed and displaced until a contract can be awarded to another contractor, which will allow the Government to ensure continuity of services for this customer without risking delays to the military construction projects this facility currently supports. In addition, the Notice requested interested parties to identify their interest and capability to respond to this requirement. Only one response was received from an 8(a) firm, which did not discuss their capability to perform this specific requirement. The only information provided was a standard brochure with a capability statement that they had been involved in construction for over 25 years with projects ranging from small concrete jobs to complete build outs.

1) Effective Competition: This requirement was in the 8(a) program, but the contractor has graduated from the program. The small business dynamic search indicates 160 vendors in the 8(a) program that hold the NAICS this award was made under and five of those mention modular facilities. Additionally, we have multiple similar projects being performed by 8(a) contractors in this region. This indicates there would be effective competition for this requirement.

2) Subcontracting Competition: Pursuant to FAR 19.705-2(a), the Contracting Officer has determined that a subcontracting plan is not required for this out-of-scope modification.

The original contract W9127820C0015 was awarded to Koman Construction, LLC while the firm was an active participant in the Small Business Administration's 8(a) program.

As such, in accordance with FAR 19.702(a)(1), a subcontracting plan was not required at the time of the initial award. Koman Construction LLC has since graduated from the 8(a) program and now qualifies as a large business under NAICS code 531120.

While limited subcontracting opportunities are anticipated, primarily related to traditional building maintenance and repair, Koman Construction LLC will be encouraged to compete these opportunities to the maximum extent possible amongst small businesses.

The core requirements of this contract are currently performed by Koman Construction LLC and a small business sub-contractor Alpha-Omega Communications LLC.

7. Actions to Increase Competition: Based on the discussion at paragraph 5(b), there are no possible actions to be taken to increase competition for subsequent acquisitions because this requirement will not be re-procured. Once the new facility is complete, leased facilities will no longer be needed. It is anticipated that the brick-and-mortar buildings needed to house the occupants in these trailers will be complete by the end of this seven-year lease extension.

8. Market Research: Special Notice W9127825L0014 was posted to SAM.gov on 20 March 2025 with a response date of 04 April 2025, which stated the Government’s intent to extend the current contract and to determine if any interested parties were available to perform the requirements of this J&A. Only one response was received which was a standard brochure with a capability statement that the contractor had been involved in construction for over 25 years with projects ranging from small concrete jobs to complete build outs. There was no discussion included regarding the contractor’s capability to perform this requirement. In addition, SOCOM conducted feasibility studies to include investigating existing space on MacDill AFB, purchasing modular facilities, leasing modular facilities and leasing off-base facilities, and it was determined that the most feasible alternative was the leasing of the modular facility.

9. Interested Sources: Based on the market research results, no other qualified sources, other than KOMAN, have expressed interest in this action.

10. Other Facts: Discuss any other facts supporting the use of other than full and open competition, such as the following:

a. Procurement history:

(1) Contract number and date of the last award: W9127820C0015 awarded on 10 April 2020.

(2) Competitive status of this action: This action was an 8(a) sole source award.

b. Other facts: N/A

Approval

Based on the foregoing justification, I hereby approve the modification/extension of the lease and dismantle/removal of modular facility from KOMAN Construction LLC on an other than full and open competition basis pursuant to 10 U.S.C. 3204(c)(1) in the estimated amount of

The approval is subject to availability of funds, and provided that the services and property herein described have otherwise been authorized for acquisition.
