ADDENDUM TO FAR 52.212-4
1. Fair Labor Standards Act Amendment (MAY 74) Notwithstanding any other provision of this task order, the minimum wage payment shall be specified by P.L.
93-259 or the applicable Service Contract Act (SCA) Wage Determination (WD) Rate, if any, whichever is greater.
2. Applicable Wage Determination (s) The following U.S. Department of Labor Wage Determination (s) is (are) applicable to this procurement: (a copy of each Determination is incorporated herein and made a part hereof).

3. Statement of Equivalent Rates for Federal Hires
In accordance with FAR Clause 52.222-42 “Statement of Equivalent Rates for Federal Hires,” in compliance with the Service Contract Act of 1965, as amended, and the regulations of the Secretary of Labor (29 CFR Part 4), this clause identifies the classes of service employees expected to be employed under the task order and states the wages and fringe benefits payable to each if they were employed by the contracting agency subject to the provisions of 5 U.S.C. 5341 or 5332. This is incorporated into this contract by reference by FAR Clause 52.212- 5 “Contract Terms and Conditions Required to Implement Statutes or Executive Orders – Commercial Items,” the following information is furnished:

4. Contractual Authority No written or oral statements of any person whosoever other than the Contracting Officer will, in any manner or degree, modify or otherwise affect the terms of this contract. The Contracting Officer is the only person authorized to approve changes in any of the requirements under this contract, and notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the Contracting Officer.
5. Regulation
The site of the contracted work is on a military reservation, and rules and regulations issued by the Commander, Presidio of Monterey, or other appropriate commanders, covering fire, safety, sanitation, severe weather requirements, admission to installation/facility and conduct of operations shall be observed by the Contractor and his employees.
6. Permits, Taxes, Licenses, Ordinances, and Regulations Contractor shall obtain all necessary permits, give all notices, pay all license fees and taxes, comply with all Federal, state, municipal, county, and local Board of Health ordinances, rules and regulations applicable to the business carried on under this task order, and are responsible for all applicable state sales and use taxes.
7. Proof of Insurance
At all times during performance, the Contractor shall maintain with the Contracting Officer either:
a. A current Certificate of Insurance (COI) showing at least the insurance required as per your base contract and providing for a firm 30 day written notice to the Contracting Officer by the Insurance Company prior to cancellation or any material change in policy coverage. The statement that "failure to provide such notice relieves the insurance company of any liability" shall not be written into the COI.
b. A Certificate of Compliance, executed by an officer of the Contractor's firm, certifying that the firm will comply with the insurance requirements stated in this task order at all times during performance of this task order. (A Certificate of Compliance will be provided to the Contracting Officer upon task order award.)
1. A Certificate of Insurance from the Contractor's insurance company or a Certificate of Compliance shall be furnished to the Contracting Officer ten (10) calendar days prior to task order performance.
2. Failure to maintain the required coverage may result in termination of the task order.
8. Identification of Contractor Employees
a. Identification of contract employees. The Contractor shall provide each employee an identification (ID) badge on the task order start date or on employment start date. The ID badge shall be made of a nonmetallic material.
The badge shall be easily readable and include: employee name; company name; functional areas of assignment;
security clearance, if applicable; and color photograph. The Contracting Officer or his/her designee shall approve the ID badge template before task order start date.
b. Contractor personnel shall wear the ID badge at all times when performing work under the task order to include attending Government meetings and conferences, unless otherwise specified in the task order. Each Contractor employee shall wear the ID badge in a conspicuous place on the front of the exterior clothing and above the waist except when safety or health reasons prohibit such placement.
c. Contractor personnel shall identify themselves verbally as a Contractor when answering Government telephones, attending conferences and when providing training or support to a training course.
d. When Contractor personnel send e-mail messages to Government personnel while performing this task order, the e-mail address shall include the company name together with the person’s name.
e. When it is necessary for Contractor personnel to have a user address on a Government computer, the Government shall ensure that person’s e-mail address includes the name of the company and indicates “contractor.”
9. Utilizing Electronic Mail When contractor personnel send e-mail messages to Government personnel while performing on this contract, the contractor’s e-mail address shall include the company name together with the person’s name.
When it is necessary for contractor personnel to have a user address on a Government computer, the Government shall ensure that person’s e-mail address includes the name of their company.
Work Force: The successful offeror shall not hire persons not legally residing in the United States of America.
10.Government Rights The Government will have unlimited rights to all documents/ materials/equipment and software produced under this Contract. All documents/ materials/equipment and software, to include the source codes of any software, produced under this requirement shall be Government owned and are the property of the Government with all rights and privileges of ownership/copyright belonging exclusively to the Government. These documents/ materials/equipment and software may not be used or sold by the Contractor without written permission from the Contracting Officer. All materials supplied to the Government shall be the sole property of the Government and may not be used for any other purpose. This right does not abrogate any other Government rights.
11. Standards of Conduct- Working on Govenment Installation
a. Employee Standards of Conduct Contractor personnel shall comply with standards imposed by the AR; and POM policy memos, directives, laws and regulations. Upon receipt of allegations or other indications of misconduct or conduct that reflects negatively on the Army or POM involving contractor personnel, the contractor will be notified and will be required to investigate the matter fully and provide corrective actions to the Contracting Officer and COR. The contractor shall not employ or provide any person whose performance of work would constitute a conflict of interest or an appearance of impropriety, within the meaning of the Standards of Ethical Conduct (5 Code of Federal Regulations (CFR) Part 2635). The Contractor is responsible for the conduct of its personnel and shall take prompt, reasonable, and appropriate disciplinary action against personnel for misconduct, malfeasance, misfeasance or nonfeasance. The removal or barring of a contractor employee from a site shall not relieve the contractor of its obligation to perform all work contained in this contract. Contractor personnel will be denied access to or removed and barred from sites when their presence is determined by competent authority to be detrimental to security, to the health, welfare, or well-being of persons, or to the accomplishment of work. The Government expressly reserves the right to remove and bar a contractor employee whose activity, on or off site, endangers persons or property, or whose presence on site presents an unacceptable risk to safety or security. If an employee is removed or barred from post, the Contracting Officer shall advise the contractor of the reason(s).
b. The Contractor will be responsible for maintaining satisfactory standards of employee competency, conduct, appearance, and integrity. The Contractor is also responsible for ensuring that its personnel and those of its subcontractor(s) do not disturb papers on desks, open desk drawers or cabinets, use Government telephones, except as authorized, or otherwise jeopardize the security and the privacy of Government personnel, its clientele, and the contents and property of the federal building(s) in which the task work is performed. Each employee or supervisor of the Contractor is expected to adhere to standards of behavior that reflect credit on themselves, their employer, and the Federal Government.
c. The Contractor will be responsible for taking such disciplinary action, including suspension without pay or removal from the worksite, with respect to its personnel, as may be necessary to enforce those standards.
d. Where applicable, the requirements of this clause shall be expressly incorporated into subcontract(s) and shall be applicable to all subcontractor personnel who may perform recurring services or work at the federal building and grounds of this task.
e. The Contracting Officer retains the right to permanently remove any employee of the Contractor from performing duties assigned under this contract at the federal building should the employee's performance so warrant. The Government will request the Contractor to immediately remove any employee of the Contractor from the federal building/work-site should it be determined by the Contracting Officer that the individual employee of the Contractor is "unsuitable" for security reasons or for otherwise being found to be unfit for performing his assigned duty at a federal building. The following areas (not all-inclusive) are considered justification for requesting the Contractor to immediately remove an employee from a federal building/work site:
f. Neglect of assigned duty and refusing to render assistance or cooperate in upholding the integrity of the security programs at the worksite;
g. Falsification or unlawful concealment, removal, mutilation, or destruction of any official documents or records, or concealment of material facts by willful omissions from official documents or records;
h. Disorderly conduct, use of abusive or offensive language, quarreling, intimidation by words or actions, or fighting; participation in disruptive activities which interfere with the normal and efficient operations of the Government;
i. Theft, vandalism, immoral conduct, or any other criminal actions;
j. Selling, consuming, or being under the influence of intoxicants, drugs, or controlled substances which produce similar effects;
k. Improper use of official authority or credentials, as a supervisor or employee of the Contractor;
l. Violation of agency and Contractor security procedures and regulations; and (viii) Violation of the rules and regulations governing federal public buildings and grounds, set forth in 41 CFR Subpart 101-20.3, “Conduct on Federal Property”.
m. Following a recommendation from an agency program official or security officer, the Contracting Officer shall make all determinations regarding the removal of any employee of the Contractor from and denial/termination of clearance and access to the federal building worksite for non-performance, misconduct, or failure to abide by all laws and regulations. The Contracting Officer will verbally inform the Contractor about the employee, followed by a written confirmation or determination. Specific reasons for the removal of an employee will be provided to the
Contractor in writing. In the event of a dispute, the Contracting Officer will make a final determination. Upon a determination of the Contracting Officer that an employee of the Contractor be removed from or denied access to a federal building worksite, the employee's clearance and access to the federal building shall be immediately revoked or otherwise terminated. Furthermore, if applicable, the building pass and/or other access device(s) previously given to the employee shall be immediately surrendered, returned, or delivered to the security officer of the federal building.
n. The Contractor’s employees shall not be permitted to carry firearms, knives or other lethal weapons while on Presidio of Monterey.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.
As part of price evaluation, the Government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding six (6) months of the Offeror's final option period price to the Offeror's total price. Offerors are required only to price the base and option periods. Offerors shall not submit a price for the potential six month extension of services period. The Government may choose to exercise the Extension of Services at the end of any performance period (base or option periods), utilizing the rates of that performance period by giving written notice within 30 days.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days;
provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 29 August 2020.
52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)
(a) Definitions. As used in this clause--
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.
(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts--
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:
