NOTES:

1. Offerors shall submit any questions regarding this Request For Quote (RFQ) solicitation in writing to the contract specialist. Questions shall be received by the contracting officer no later than 11:00 am Eastern Time (ET) on 08 December 2021 to allow a written response. No remarks or written responses to questions by government personnel shall change or qualify any of the terms or conditions of this RFQ. The RFQ may only be changed by a formal written amendment issued by Mission and Installation Contracting Command (MICC) Fort Knox, Kentucky.

2. All offerors wishing to do business with the government shall possess a valid DUNS number and shall be registered in the System for Award Management (SAM). Contractors can register online at https://www.sam.gov/SAM/. Offeror's SAM registration must be active in order to be eligible for award. Quotes containing a name and address (Block 17a of SF1449) different from that registered in SAM may be deemed ineligible for award.

3. Facsimile quotes and amendments will not be accepted. Quotes shall be emailed to the contract specialist at darrell.e.may.civ@army.mil. All quotes shall be submitted so as to reach the MICC- Fort Knox no later than the date and time specified for receipt (see block 8 on the SF 1449, or the latest issued amendment).

4. Quote Submittal Instructions. Offerors shall submit with its quote all information required under the section titled “QUOTE FORMAT AND CONTENT.” Failure to submit the required documents will render the quote noncompliant and the quote will not be considered.

5. Amendments: All amendments will be posted to SAM website (https://sam.gov/). It is the offeror's responsibility to acknowledge all amendments.

6. In accordance with (IAW) FAR Part 13.106-2(b)(4), price and past performance will be reviewed to determine award. A satisfactory performance record will be determined as defined by FAR Part 9.104-3(b). The contracting officer’s knowledge of previous experience with the supply or service being acquired; the Government-wide Federal Awardee Performance and Integrity Information System (FAPIIS) website; the Contractor Performance Assessment Reporting System (CPARS) website; and any other reasonable basis will be considered in determining satisfactory past performance (FAR 13.106-2(3)(ii)).

7. To initiate implementation of the Section 889(a)(1)(B) Prohibition on Contracting with Entities Using

Certain Telecommunications and Video Surveillance Services or Equipment Clauses, this RFQ includes the following FAR provisions, 52.204-24 and 52.204-26 and FAR clause, 52.204-25. Offerors shall complete and return FAR 52.204-26 with their quote submission.

The Government anticipates the award of a Firm Fixed Price (FFP) Contract for the period of performance 1 January 2022, or date of contract award, whichever is later, through 31 December 2022 with four one-year option periods.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within the current contract period.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within the current contract period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five

52.232-36 PAYMENT BY THIRD PARTY (MAY 2014)

(a) General.

(1) Except as provided in paragraph (a)(2) of this clause, the Contractor agrees to accept payments due under this contract, through payment by a third party in lieu of payment directly from the Government, in accordance with the terms of this clause. The third party and, if applicable, the particular Governmentwide commercial purchase card to be used are identified elsewhere in this contract.

(2) The Governmentwide commercial purchase card is not authorized as a method of payment during any period the System for Award Management (SAM) indicates that the Contractor has delinquent debt that is subject to collection under the Treasury Offset Program (TOP). Information on TOP is available at http://fms.treas.gov/debt/index.html.

If the SAM subsequently indicates that the Contractor no longer has delinquent debt, the Contractor may request the Contracting Officer to authorize payment by Governmentwide commercial purchase card.

(b) Contractor payment request.

(1) Except as provided in paragraph (b)(2) of this clause, the Contractor shall make payment requests through a charge to the Government account with the third party, at the time and for the amount due in accordance with those clauses of this contract that authorize the Contractor to submit invoices, contract financing requests, other payment requests, or as provided in other clauses providing for payment to the Contractor.

(2) When the Contracting Officer has notified the Contractor that the Governmentwide commercial purchase card is no longer an authorized method of payment, the Contractor shall make such payment requests in accordance with instructions provided by the Contracting Officer during the period when the purchase card is not authorized.

(c) Payment. The Contractor and the third party shall agree that payments due under this contract shall be made upon submittal of payment requests to the third party in accordance with the terms and conditions of an agreement between the Contractor, the Contractor's financial agent (if any), and the third party and its agents (if any). No payment shall be due the Contractor until such agreement is made. Payments made or due by the third party under this clause are not payments made by the Government and are not subject to the Prompt Payment Act or any implementation thereof in this contract.

(d) Documentation. Documentation of each charge against the Government's account shall be provided to the Contracting Officer upon request.

(e) Assignment of claims. Notwithstanding any other provision of this contract, if any payment is made under this clause, then no payment under this contract shall be assigned under the provisions of the assignment of claims terms of this contract or the Assignment of Claims Act of 1940 (31 U.S.C. 3727, 41 U.S.C. 6305).

(f) Other payment terms. The other payment terms of this contract shall govern the content and submission of payment requests. If any clause requires information or documents in or with the payment request, that is not provided in the third party agreement referenced in paragraph (c) of this clause, the Contractor shall obtain instructions from the Contracting Officer before submitting such a payment request.

PERFORMANCE WORK STATEMENT (PWS)

PROVIDE BOXED MEALS FOR

KNOXVILLE

MILITARY ENTRANCE PROCESSING STATION (MEPS)

PART 1

GENERAL

1.1. The contractor shall provide boxed meals, as specified herein, for the Armed Forces applicants processing at the Knoxville Military Entrance Processing Station (MEPS). The Knoxville MEPS is located at 710 Locust Street Suite# 600, Knoxville, Tennessee, 37922.

1.1.1. The performance standards are specified in this PWS and shall be for preparing meals in a state/local licensed facility or restaurant, transporting and serving boxed meals to the MEPS applicants, when called for by the contracting officer (KO), or his/her authorized representative.

1.1.2. In accordance with FAR 52.219-14 the contractor may subcontract performance of this contract. See PWS 5.1 for minimum requirements for sources of food and food establishments. If performance of this contract is subcontracted, the contractor shall provide notification of the subcontractor (name and address of the subcontractor) at proposal submission and after contract award. After contract award the contractor shall provide written notification of subcontractor changes within 10 days to the COR/KO.

1.2. In accordance with (IAW) Army Regulation (AR) 40-657, all food delivered and/or served on a military installation must be provided by a sanitarily approved source. To be considered a sanitarily approved source, the food preparation facility must pass a Veterinary Service Food Protection Audit.

1.2.1. All establishments and distributors furnishing subsistence items under this contract are subject to sanitation approval and surveillance as deemed appropriate by the military medical service or by other Federal agencies recognized by the military medical service. The government does not intend to accept any subsistence products, manufactured, processed, or stored in a facility which fails to maintain acceptable levels of food safety and food defense, is operating under such unsanitary conditions as may lead to product contamination or adulteration constituting a health hazard, or which has not been listed in an appropriate government directory as a sanitarily approved establishment when required. The contractor shall inform the KO immediately upon notification that its facility is no longer sanitarily approved. The government may require the contractor to provide boxed meals from an alternate sanitarily approved facility until such time as the primary facility regains its approval status. The contractor shall inform the KO when the sanitary approval status is regained.

1.3. All contractor employees, to include subcontractor employees, requiring access to government installations, facilities and/or controlled access areas shall complete the training listed in paragraphs 1.4.1 through 1.4.3 below.

Upon completion of training, the contractor shall submit to the contracting officer’s representative (COR) a certificate (where a certificate is provided) or the name of each affected employee who has completed training. All training will be made available at the following website: https://www.mepcom.army.mil/Home/Contractors/.

1.3.1. Antiterrorism AT Level I Training. All contractor employees, to include subcontractor employees, requiring access to Army installations, facilities and controlled access areas, and support United States Military Entrance Processing Command USMEPCOM mission on-site or remotely shall complete AT Level I awareness training within 20 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the KO, if a COR is not assigned, within seven calendar days after completion of training by all employees and subcontractor personnel. 1.3.2. IWATCH training. The contractor and all associated sub-contractors shall brief all employees on the local iWATCH program (training standards provided by the requiring activity antiterrorism officer ATO. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR. This training shall be completed within twenty calendar days of contract award and within forty calendar days of new employees commencing performance with the results reported to the COR no later than (NLT) seven calendar days after contract award.

1.3.3. Operation Security (OPSEC) Training. Per AR 530-1 Operations Security, the contractor employees must complete Level I OPSEC Awareness training. New employees must be trained within 30 calendar days of their reporting for duty and annually thereafter.

1.4. All contractor employees, to include subcontractor employees, requiring access to government installations, facilities, and/or controlled access areas shall comply with applicable installation, facility, and area commander installation/facility access and local security policies and procedures as provided by the COR. The contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services, or Security Office.

Contractor workforce shall comply with all identity verification requirements as directed by DoD, Headquarters.

Department of the Army and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract awarded hereunder, should the Force Protection Condition at any individual facility or installation change, the government may require changes in the contractor security matters or processes.

1.5. For contractors that do not require Common Access Card but require access to a DoD facility or installation.

Contractor and all associated subcontractor employees shall comply with adjudication standards and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (Army Directive 2014-05/AR 190-13); applicable installation, facility and area commander installation and facility access and local security policies and procedures (provided by Government representative).

PART 2

DEFINITIONS

2.1. Acceptance. The act of an authorized representative of the government by which the government approves specific services as partial or complete performance of the contract.

2.2. Armed Forces Applicant. An individual voluntarily applying for entrance into the Armed Forces, Coast Guard or any other Government Agency.

2.3. Contracting Officer (KO). A person duly appointed with authority to enter into and administer contracts on behalf of the government.

2.4. Legal Public Holidays as established pursuant to 5 U.S.C. 6103(a):

If a holiday falls on a Saturday, the preceding Friday is the observed day. If a holiday falls on a Sunday, the next Monday is the observed day. The MEPS will normally be closed on holidays, but applicants will normally require meals and lodging on holidays to process at the MEPS on the following day. There are approximately five training days per year. The contractor will be notified in advance of the specific dates as no meals will be required on those dates.

2.5. Boxed Meal. A meal served during the time period stated in PWS part 5.17.

2.6. Military Entrance Processing Station (MEPS). Military activity responsible for administering aptitude tests, medical examinations, and administrative processing of Armed Forces applicants.

2.7. Mission Day Meal. A second meal for applicants processing late into early evening or night at the MEPS on an Extended Hours Processing Day commonly referred to as mission day.

2.8. Quality Assurance. Those actions taken by the government to check goods or services to determine that they meet the requirements of the contract.

2.9. Quality Control. Actions taken by a contractor to control the production of goods or services so that they will meet the requirements of the contract.

2.10. United States Military Entrance Processing Command (USMEPCOM). Major command responsible for administering the operation of MEPS.

2.11. Contracting Officer’s Representative (COR). The duly appointed authorized representative of the KO, acting within his/her written authority.

PART 3

GOVERNMENT-FURNISHED PROPERTY

3.1. The government will make available the following: dining area, tables, chairs, recyclable when applicable and waste receptacles. The government will provide no additional equipment for use by the contractor in performance of this contract.

3.2. The government will make no alterations to the existing facilities. Any alterations required by the contractor shall be made at the contractor’s expense. Written approval must be obtained from the KO, the MEPS Commander, and the building manager prior to altering government facilities. The contractor shall restore altered government facilities to their original appearance and condition at the completion of the contract.

PART 4

CONTRACTOR-FURNISHED PROPERTY

4.1. The contractor shall furnish all food, facilities, furniture, equipment, supplies, management, supervision and labor required for the performance of this contract, except that specifically identified as government-furnished property in Part 3.

PART 5

FOOD SPECIFICATIONS AND SPECIFIC TASKS

5.1. The contractor shall provide services every Monday through Friday, excluding legal holidays and training days scheduled by the MEPS, as well as a maximum of 28 Saturdays annually, for a total estimated 264 days per year.

Extra meals (i.e. mission day meals) may also be required on as many as two of the processing days per month for applicants processing late into the afternoon or evening. The government will provide the contractor with the annual operations schedule prior to contract start and upon change. The government will notify the contractor in advance when services are not required on a scheduled Saturday.

5.1.1. Extended Hours Processing Days. On these days, commonly referred to as mission days, the MEPS require additional meals for applicants processing into the late evening hours at the MEPS location. MEPS will determine the number of meals they will require for applicants processing late and add them to the regular boxed meal order.

5.1.2. The number of meals provided during a previous 12-month period is provided for information only at technical exhibit 2.

5.2. The COR, MEPS Commander, MEPS medical officer, designated representatives, or any other person designated in writing by the KO will inspect the facilities where meals are prepared to ensure that state and local health, sanitation, and fire prevention standards are being maintained and that meals are being furnished IAW contract specifications. Such inspections will be conducted at unannounced times. The contractor shall ensure facilities are available for inspections.

5.3. The contractor shall maintain a program of self-inspection, acceptable to the government, to ensure compliance with this contract.
