Travel costs in support of CLIN 0001. Actual and allowable travel costs arereimbursable up to the Not-To-Exceed (NTE) amount. NTE amounts will be specified at the TO level when required. All travel will be preapproved by the Contracting Officer or Contracting Officer Representative (COR). Authorized travel expenses will be reimbursed consistently with generally accepted accounting principles, cost accounting standards, and Federal Acquisition Regulation (FAR) 31.205-46, Travel costs. There shall be no Profit/Fee added to Travel costs. Estimated NTE Costs: $9,550,000.00.

To:

The NTE amount shall be inclusive of the contractor's G&A/Handling Fee. There shall be no Profit/Fee added to Travel costs. Estimated NTE Costs: $9,550,000.00.

The following have been modified:

SCHEDULE B ADDENDUM

B.1.1. This is an indefinite-delivery indefinite-quantity, firm-fixed price (FFP) contract with cost reimbursable CLINs for travel and other direct costs (ODCs) only, in accordance with Federal Acquisition Regulation (FAR) 16.504, Indefinite-quantity contracts. Note: Cost Reimbursable clauses and provisions provided in this request for proposals (RFP) pertain only to the cost reimbursable CLINs as described in this paragraph.

B.1.2. Individual orders issued under the basic contract will be on a FFP basis. The acquisition of services will be done on a FFP basis whereby the contractor is performing services that meet requirements defined in the PWS that can be objectively measured.

B.1.3. The Government is obligated to purchase, from the contractor, a minimum amount of $5,000.00 in services under this contract over the contract ordering period. This is the minimum guarantee for the contract. Please note this minimum guarantee applies to the contract; refer to FAR clause 52.216-19 for the minimum amount required for an order.

B.1.4. The maximum program ceiling amount of this contract is $201,800,000.00. This is the maximum value limitation of all orders placed over the life of the Cyber Capability Development Integration Directorate (C-CDID) Multiple Award Indefinite Delivery, Indefinite Quantity (MA IDIQ) Contract. Please note this maximum program ceiling value applies to the aggregate of the MA IDIQ contracts; refer to FAR clause 52.216-19 for the maximum amount for an order.

B.1.5. The SF 33 Section B normally completed and included with an offer shall be submitted as part of the pricing workbook at Attachment 5 instead. Attachment 5 includes a tab labeled ‘Section B’ for Offerors to complete and submit this required information.

B.2. Applicable Definitions:

B.2.1. Direct Travel and ODCs: Government estimates for Travel and ODCs have been established for administrative purposes only and do not represent actual or potential requirements. Requirements for travel and ODCs shall be specified in individual TOs. The offeror shall not change the Government estimates provided for Reimbursable Travel and ODCs.

B.2.2. Reimbursable Travel: Authorized travel expenses will be reimbursed consistent with generally accepted accounting principles, cost accounting standards, and Federal Acquisition Regulation (FAR) 31.205-46. Fee or profit on travel expenses is not an allowable reimbursement. CLIN 0002, Travel, NTE amount for the 5-Year Ordering Period is $9,550,000.

B.2.3. Reimbursable ODCs-Material: Authorized ODCs for materials will be reimbursed consistent with generally accepted accounting principles, cost accounting standards, and FAR 31.205-26. Reasonable and allocable material handling costs may be included in the charge for direct materials to the extent they are clearly excluded from the hourly labor rate. Fee or profit on ODC Materials is not an allowable reimbursement. CLIN 0003, Other Direct Cost, NTE amount for the 5-Year Ordering Period is $10,000,000.

B.2.4. Not-to-Exceed (NTE). NTE amounts set forth in the contract(s) and resulting task orders (TOs) shall be construed to include any associated indirect cost rates. This amount may be increased/decreased only by the Contracting Officer under a modification to the contract/TOs for Cost CLINs. There are no minimums nor maximums for this item.

SECTION I - CONTRACT CLAUSES

The following have been added by full text:

252.219-7009 SECTION 8(A) DIRECT AWARD (OCT 2018)

(a) This contract is issued as a direct award between the contracting office and the 8(a) Contractor pursuant to the Partnership Agreement between the Small Business Administration (SBA) and the Department of Defense.

Accordingly, the SBA, even if not identified in Section A of this contract, is the prime contractor and retains responsibility for 8(a) certification, for 8(a) eligibility determinations and related issues, and for providing counseling and assistance to the 8(a) Contractor under the 8(a) Program. The cognizant SBA district office is:

(b) The contracting office is responsible for administering the contract and for taking any action on behalf of the Government under the terms and conditions of the contract; provided that the contracting office shall give advance notice to the SBA before it issues a final notice terminating performance, either in whole or in part, under the contract. The contracting office also shall coordinate with the SBA prior to processing any novation agreement. The contracting office may assign contract administration functions to a contract administration office.

(c) The 8(a) Contractor agrees that it will notify the Contracting Officer, simultaneous with its notification to the SBA (as required by SBA’s 8(a) regulations at 13 CFR 124.515), when the owner or owners upon whom 8(a) eligibility is based plan to relinquish ownership or control of the concern. Consistent with section 407 of Public Law 100-656, transfer of ownership or control shall result in termination of the contract for convenience, unless the SBA waives the requirement for termination prior to the actual relinquishing of ownership and control.

252.222-7999 COMBATING RACE AND SEX STEREOTYPING (DEVIATION 2021-O0001) (NOV 2020)

(a) Definitions. As used in this clause—

"Race or sex scapegoating" means assigning fault, blame, or bias to a race or sex, or to members of a race or sex because of their race or sex.

"Race or sex stereotyping" means ascribing character traits, values, moral and ethical codes, privileges, status, or beliefs to a race or sex, or to an individual because of his or her race or sex.

(b) Exemptions. The exemptions that apply to Executive Order (E.O.) 11246 (see FAR 22.807) also apply to E.O. 13950 and the requirements of this clause.

(c) Compliance with E.O. 13950, Combating Race and Sex Stereotyping. Unless exempted under paragraph (b) of this clause, the Contractor shall not use any workplace training that inculcates in its employees any form of race or sex stereotyping or any form of race or sex scapegoating, including the concepts that—

(1) One race or sex is inherently superior to another race or sex;

(2) An individual, by virtue of his or her race or sex, is inherently racist, sexist, or oppressive, whether consciously or unconsciously;

(3) An individual should be discriminated against or receive adverse treatment solely or partly because of his or her race or sex;

(4) Members of one race or sex cannot and should not attempt to treat others without respect to race or sex;

(5) An individual’s moral character is necessarily determined by his or her race or sex;

(6) An individual, by virtue of his or her race or sex, bears responsibility for actions committed in the past by other members of the same race or sex;

(7) Any individual should feel discomfort, guilt, anguish, or any other form of psychological distress on account of his or her race or sex; or

(8) Meritocracy or traits such as a hard work ethic are racist or sexist, or were created by a particular race to oppress another race.

(d) Notice. The Contractor shall send, to each labor union or representative of workers with which it has a collective bargaining agreement or other contract or understanding, the notice provided below advising the labor union or workers’ representative of the Contractor’s commitments under this clause, and post copies of the notice in conspicuous places available to employees and applicants for employment.

NOTICE E.O. 13950, Combating Race and Sex Stereotyping Employers Holding Federal Contracts or Subcontracts

Contractors shall not use any workplace training that inculcates in its employees any form of race or sex stereotyping or any form of race or sex scapegoating, including the following concepts that—

(1) One race or sex is inherently superior to another race or sex;

(2) An individual, by virtue of his or her race or sex, is inherently racist, sexist, or oppressive, whether consciously or unconsciously;

(3) An individual should be discriminated against or receive adverse treatment solely or partly because of his or her race or sex;

For use in this notice—

"Race or sex scapegoating" means assigning fault, blame, or bias to a race or sex, or to members of a race or sex because of their race or sex; and

"Race or sex stereotyping" means ascribing character traits, values, moral and ethical codes, privileges, status, or beliefs to a race or sex, or to an individual because of his or her race or sex.

Any person who believes a contractor has violated its nondiscrimination or affirmative action obligations under this notice should immediately contact the Office of Federal Contract Compliance Programs (OFCCP) Complaint Hotline to Combat

Race and Sex Stereotyping at 202-343-2008 or via email at OFCCPComplaintHotline@dol.gov.

(e) Noncompliance. In the event it is determined that the Contractor is not in compliance with this clause or any rule, regulation, or order of the Secretary of Labor, this contract may be canceled, terminated, or suspended in whole or in part, and the Contractor may be declared ineligible for further Government contracts, under the procedures authorized in E.O.

11246, as amended. In addition, sanctions may be imposed and remedies invoked against the Contractor as provided in E.O. 11246, as amended; in the rules, regulations, and orders of the Secretary of Labor; or as otherwise provided by law.

(f) Subcontracts. (1) The Contractor shall include the substance of this clause, including this paragraph (f), in all subcontracts that exceed $10,000 and are not exempted by the rules, regulations, or orders of the Secretary of Labor issued under E.O. 11246, as amended, so that these terms and conditions will be binding upon each subcontractor.

(2) The Contractor shall take such action with respect to any subcontract as the Director of OFCCP may direct as a means of enforcing these terms and conditions, including sanctions for noncompliance, provided, that if the Contractor becomes involved in, or is threatened with, litigation with a subcontractor as a result of such direction, the Contractor may request the United States to enter into the litigation to protect the interests of the United States.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS TO OFFERORS

L.1 Proposal Submittal and Inquiries:

L.1.1. All offerors are required to submit proposals prior to the closing date and time identified in block 9 on the SF 33 in accordance with the instructions provided below. All the requirements specified in the solicitation are mandatory. By submitting a proposal, the Offeror is representing that its firm is capable and committed to performing all the requirements specified in the solicitation.

L.1.2. Electronic submissions via email is the only acceptable submission method. Facsimile and/or paper submissions will not be accepted. Subject line of emailed proposals shall include the solicitation number and company name. Proposals may be submitted in more than one email but shall be titled appropriately (e.g. Email 1 of 2, Email 2 of 2, etc). It is the Offeror’s responsibility to ensure submissions are received in a timely manner.

Attachments included in emails should not contain a period (.) in its title as the document may be stripped during transmittal. The maximum size of any email shall not exceed 20 megabytes. Offerors are encouraged to add Delivery and Read receipts to emails, and/or follow up with the individuals below to ensure the Government’s receipt of proposals. The Government will not accept proposals via Zipfile format. Offeror’s shall perform a virus check prior to proposal submitted to ensure Offerors’ submittals shall be free of viruses, Trojans, spyware, and other malicious code for which appropriate detection and removal/ quarantine software exists.

L.1.3. Submissions shall be sent to the points of contacts listed below. The points of contact responsible for receiving proposal submissions, supplying additional information and answering all inquiries are the Contract Specialists and Contracting Officer. L.1.4. Questions.

L.1.4.1. All questions regarding this solicitation and its attachments shall be submitted in writing via email by 11 AM ET on Wednesday, November 25, 2020. All questions shall identify the Government source document its page and paragraph number. Offerors shall submit all Questions in one consolidated document. The Government discourages multiple submissions of questions from a single offeror. Questions must be sent to the email addresses provided in paragraph L.1.3.

L.1.4.2. The Government will practice discretion over the appropriateness of questions. The Government will not provide responses to questions that would reveal a potential Offeror’s confidential business strategy, technical solution, or any information that is considered unique to a particular Offeror. The Government reserves the right not to respond to any questions received concerning this solicitation after the questions receipt date above. Accordingly, offerors are encouraged to carefully review all solicitation requirements and submit questions to the Government as early as possible.

L.2. General Instructions:

L.2.1. This procurement will be solicited using restricted competition procedures (Total 8(a) Set-Aside) and will be conducted using formal source selection (negotiated) procedures as delineated in FAR Subpart 15.3, Source Selection. Offers will be evaluated using the criteria under Section M - Evaluation Factors for Award, Noncompliance with the Request for Proposal (RFP) requirements may hinder the Government's ability to properly evaluate the proposal and may result in elimination of the proposal from further consideration for contract award.

L.2.2. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate “fill-in” blocks and certifications) may be considered not in compliance with the material requirements of the solicitation and ineligible for award.

L.2.3. The Offer. The submission of the documentation specified below will constitute the offeror's acceptance of the terms and conditions of the RFP, concurrence with the PWS, and the proposed contract type. Any exceptions to the terms and conditions outlined in these documents will be identified in accordance with the instructions provided in para L.4.1.1.

L.2.4. These instructions prescribe the format for the proposal and describe the approach for the development and presentation of proposal data. They are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of proposals.

L.2.5. If an offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer in writing with supporting rationale. The offeror is reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

L.2.6. RESERVED.

L.2.7. All referenced documents for this solicitation are available on the Government Point of Entry website at https://beta.sam.gov/. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

L.2.8. Debriefings. The Contracting Officer will promptly notify offerors of any decision to exclude them from the competitive range, whereupon the offeror may request and receive a debriefing in accordance with FAR 15.505. The Contracting Officer will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Upon such notification, unsuccessful offerors may request and receive a debriefing.

Offerors desiring debriefing must make their request in accordance with the requirements of FAR 15.505 or 15.506, as applicable.

L.2.9. Period for Acceptance of Offerors. The Offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers. Should the Government open discussions the acceptance period may be extended.

L.2.10. Proposal Narrative Content. The Government does not seek Offeror proposals that restate or closely mimic requirements described in the PWS or Evaluation Criteria. A statement of intent to perform does not reflect understanding of the requirements or capability to perform. Asserted capability and/or intent to meet the requirements shall be supported by detailed descriptions of approach.

L.2.11. Upon receipt of proposals and subsequent revisions the contracting office will review them for compliance with Section L submission requirements or Discussion response instructions, if discussions are opened. A proposal may be determined not in compliance with the material requirements of the solicitation when (1) any proposal volume is not compliant with Section L submission requirements or Discussion instructions or (2) Volume II-IV content is not compliant with paragraph L.2.10 above.

L.3. Proposal Preparation Instructions:

L.3.1. Offeror’s proposal shall consist of four (4) separate volumes. Proposals that do not follow the required volume content may be rejected as not in compliance with the material requirements of the solicitation and, thus, be ineligible for award. This information shall be provided in the format below:

L.3.2. Offeror’s proposal shall be organized as depicted in Table L.1 below.

L.3.3. Cover Sheet. Each volume shall contain a cover sheet clearly identifying the volume number, title, solicitation number, date, the Offeror's name, DUNS number, Cage Code, and Business Size.

L.3.4. Page Dimensions. All pages of an Offeror’s proposal shall meet these page dimension requirements. A page dimension is 8 ½” x 11” and shall use a 1” margin on the top and bottom and ¾” side margin. Page dimensions do not apply to Offeror’s proposal Volume IV, Tab C – Attachment 5, Pricing Workbook. Any page larger than the specified dimension will be counted as multiple pages when page counts are limited by Table L.1.

L.3.5. Text Requirements. Proposal text shall be single spaced and use black font (Black font requirement does not apply to tables, graphics, headings, subheadings, photos, etc., Company stationary, or logos). Proposal text shall be in a 12-point font size and no less than 8-point size for illustrations, graphics, figures, exhibits, and tables.

L.3.6. Page Numbering. All pages within a Volume shall be numbered in consecutive order and identify the Volume and Tab, if applicable (for example, “Vol. I – Tab A - page 1 of 20”). The Government may exercise its discretion in counting pages when a proposal has a page numbering ambiguity.

L.3.7. Page Marking. Each proposal page shall apply appropriate markings including those prescribed in accordance with FAR 52.215-1(e), Restriction on Disclosure and Use of Data.

L.3.8. Cross-referencing. Cross references shall be used to preclude unnecessary duplication of data between sections of a Volume. Offerors may generally not cross-reference between Volumes.

L.3.9. Page Limits. The Offeror’s proposal shall comply with the page limits described in Table 1 above. Should a tab or volume’s page limit be exceeded, the pages that exceed the limit shall not be read or evaluated.

L.3.9.1. The page limit includes appendices, charts, graphs, diagrams, tables, photographs, embedded documents, drawings, etc. Pages will be counted if they contain any other information, i.e., diagrams, extraneous data, etc.

L.3.9.2. The following page content does not count towards a Volume’s page limit: covers for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, list of tables and drawings, cross references matrices, signed teaming agreements, Contractor Performance Assessment Reports (CPARs), Consent Letters, and Client Authorization Letters. Pages marked “This page intentionally left blank” will not count towards page limits.

L.3.10. Labeling. Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Titling/labeling shall be used to identify sections, which are for informational purposes only and will not be evaluated.

L.3.11. Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, with a definition for each. This glossary is for informational purposes only and will not be evaluated. This may be provided in the Table of Contents.

L.3.12. Changes. The Government will not accept any changes to the contactor’s proposal after the date for receipt of offers (See FAR 15.208, Submission, modification, revision, and withdrawal of proposals for further information regarding late proposals).

L.3.13. File Naming. File names should be “Company Name – Volume # – Initial Submission”. File name of later submissions (if necessary), shall be “Company Name – Volume # – Revision X.”

L.3.14. If Discussions become necessary, page limitations may be placed on responses to Evaluation Notice (EN).

The specified page limits for EN responses will be identified in Discussions cover letters that informs Offerors that Discussions are open and include ENs.

L.4. Proposal Content

L.4.1. Volume I – GENERAL. The General Volume shall be organized as follows and contain the identified information. Failure to follow the below preparation instructions may cause your proposal to be deemed unacceptable by the Government.

L.4.1.1. TAB B, Exceptions/Assumptions/ Deviations (if required) – If the offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the offeror shall clearly identify the applicable Volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception, making assumptions which differ from the Government’s, or deviating from the Solicitation requirements, may render the offer ineligible for award.

L.4.1.1.1. Exception Definition: Objection to solicitation content. Offerors shall provide the solicitation document, page number, paragraph number, and narrative for individual solicitation content the Offeror finds objectionable.

L.4.1.1.2 Assumption Definition: Offeror’s facts used to address solicitation requirements. Offerors shall provide the solicitation document, page number, paragraph number, and narrative that describes why Offeror considers the facts used to make assumptions were necessary to develop its proposal.

L.4.1.1.3 Deviation Definition: Offeror departs from solicitation requirements. Offerors shall provide the solicitation document, page number, paragraph number, and narrative that describes why Offeror determined it was necessary to deviate from a solicitation requirement.

L.4.1.2. RESERVED.

L.4.1.3. TAB C, Completed SF 33 Cover page - Offerors are required to submit a fully completed SF 33 Cover page upon submission. The Offeror is cautioned that the SF 33 cover page must contain an original signature in block 17 of the form (electronic signature is acceptable). The Offeror shall acknowledge any amendments to the RFP in accordance with the instructions on the SF 33 Cover page with Section L, FAR 52.215-1 (b), Instruction to Offerors—Competitive Acquisition. The Offeror shall provide the name, title and telephone number of the company representative with the authority to make decisions with respect to your proposal, negotiate with the Government, and who can obligate your company contractually.

L.4.1.4. TAB D, Section K (Representation, Certifications, and Other Statements of Offerors) – The Offeror shall ensure that Section K is submitted thoroughly completed with all blocks in each certification/representation completed.

L.4.1.5. TAB E, Organizational and Consultant Conflict of Interest (OCI) – The Offeror shall disclose all organizational and/or personal conflicts of interest to the Contracting Officer as soon as possible so that potential conflicts can be analyzed in accordance with FAR Subpart 9.5.

L.4.1.6. TAB F, Subcontractor Information. The Offeror shall disclose all teaming partners/subcontractors the Offeror proposes using for performance of services. The Offeror shall provide the following information for all proposed teaming partners/subcontractors: Company Name, address, CAGE Code, DUNS number, and business size and socio-economic status. If Offeror is submitting as an 8(a) Joint Venture, the Certification of Compliance required in 13 CFR 124.513(j) shall be provided in this TAB.

L.4.1.7. TAB G, Adherence to DD Form 254. The Offeror shall state its Level of Facility Clearance (FCL) and any other information required by Attachment 2, DD Form 254, Contract Security Classification Specification. In accordance with PWS para 4.2, the contractor shall possess and maintain a TOP SECRET facility clearance from the Defense Security Service (DSS). If the Offeror does not have the appropriate FCL at time of proposal submission or a certified statement from DSS that the FCL will be granted prior to the ordering period beginning, the proposal will not be evaluated and the Offeror will be excluded from the competitive range determination, if discussions are held, or will not be considered for award if the Government makes award from initial proposal submission.

L.4.2. Volume II – MISSION CAPABILITY/RISK (Factors 1 – 2) L.4.2.1 The Mission Capability/Risk Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims in the Offeror’s proposal. Legibility, clarity, and coherence are very important. The Offeror’s submission will be evaluated against the Mission Capability factors identified below and defined in Section M, Evaluation Factors for Award. Proposals shall not contain classified information.

L.4.2.2. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors simply providing general statements or paraphrasing /parroting the PWS in whole or in any part shall result in a rating of unacceptable as it does not adequately demonstrate the Offeror’s approach and capability to perform the requirements identified in the performance work statement. Statements that the offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable.

Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror's proposal. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired. Volume II shall not include any pricing information.

L.4.2.3. The Mission Capability/Risk Volume shall, at a minimum, be prepared in a format consistent with the Performance Work Statement (PWS) and the evaluation criteria for award set forth Section M of this solicitation.

The Volume shall be prepared in an orderly format and in sufficient detail to enable the Government to make a thorough evaluation of the contractor’s technical competence and ability to comply with the contract task requirements specified in the PWS.
