Control No: 18-19
1. (U) Contracting Activity: United States Army Contracting Command - Warren (ACC-WRN) Intelligence and Security Command (INSCOM), 2055 Boulders Road, Charlottesville, VA 22911 .
2. (U) Description of Action: The ACC-WRN (INSCOM), National Ground Intelligence Center (NGIC) Group intends to award a new sole source Indefinite Delivery, Indefinite Quantity (IDIQ) contract to SRC, Inc. (SRC) (CAGE: 28541 ), 7502 Round Pond Rd., North Syracuse, NY 13212-2558 (formerly Syracuse Research Corporation), a 501 (c)(3) not-for-profit corporation, to provide analysis, production , and process support for NGIC's Electronic Warfare Integrated Reprogramming (EWIR) Intelligence Mission Data (IMO) program. The contract will be a Cost Plus Fixed Fee (CPFF) contract with a five year ordering period. Individual task orders will utilize Operations and Maintenance (O&M), Aircraft Procurement, Army (APA), Other Procurement, Army (OPA), and Research, Development, Test, and Evaluation (RDT&E) funds, as applicable and in accordance with fiscal law.
3. (U) Description of Services:
a. (U) The required services include all-source intelligence research, data transfer and administration, EWIR database system (EWIRDB) initialization, comprehensive EWIRDB system update, continuous lifecycle EWIRDB system production, intelligence support to procurement and acquisition programs, parametric review of intelligence data, electronic intelligence database maintenance, and project management. The resulting contract effort will support NGIC's EWIR IMO analysis, production, and process support program. The contracting effort will enable the Technical Electronic Intelligence (TechELINT) Branch (IANG-STS-TE) at NGIC to satisfy electronic warfare operational and acquisition requirements mandated by the Joint Chiefs of Staff and the formal tasking issued by the Defense Intelligence Agency (DIA), Joint Staff, and numerous developmental weapons programs.
b. (U) This contract is for highly specialized, mission-critical EWIR support services to meet EWIR production requirements. The contractor shall be tasked to perform EWIR production , an on-going effort that encompasses the contractor's analysis of all-source intelligence information and electronic intelligence (ELI NT} intercept data, the derivation of threat system assessments and identification of signal parameters, and the publication of validated system and signal information in the EWIRDB.
c.
d. (U) EWIRDB also incorporates a unique suite of Government off the Shelf (GOTS) user and producer tools, including the Joint Analytic Data Editor (JADE), the EWIRDB Toolkit, and the Opana Toolkit. Contractor analysts shall be required to have immediate expert-level knowledge of these tools in order to meet NGIC's ever growing demand for EWIR production.
e. (U) The IDIQ ordering period will be five years. The estimated total value for all task orders placed on this contract is projected to be $33,282,000.
4. (U) Authority Cited: The statutory authority permitting other than full and open competition in 1 O U.S.C. 2304(c)(1) as implemented by Federal Acquisition Regulation (FAR) 6.302-1 (a)(2)(iii)(A) and (B), "Only one responsible source and no other supplies or services will satisfy agency requirements."
5. (U) Reason for Authority Cited:
a. (U) Pursuant to FAR 6.302-1 (a)(2)(iii) , "services may be deemed to be available only from the original source in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that award to any other source would result in--
(A) (U) Substantial duplication of cost to the Government that is not expected to be recovered through competition, or
(8) (U) Unacceptable delays in fulfilling the agency's requirements. (See 10 U.S.C.
2304 (d)(1 )(B).)" b.

6. (U) Efforts to Obtain Competition:
a. (U) In Septem~er 2015. February 2017, August 2017, and February 2018, NGIC searched for other possible providers by researching the companies that have sent representatives to annual EWIR and other IMO-related conferences and working groups, as well as those listed on the General Services Administration 's (GSA) professional engineering services schedule; by searching the internet for companies that might be capable of providing EWIR-related services; and by interviewing the Contracting Officer's Representatives, analysts, and managers at other EWIR producing organizations. No other vendor was found that could meet the Government's requirements to produce comprehensive high-fidelity NGES EWIR weapon system characterizations.
b. (U) Subcontracting competition: All of the services that were provided under the prior two contracts for the EWIR requirement were provided by SRC employees and no subcontracting costs were ever proposed. However, clauses FAR 52.219-9 and DFARS 252.219-7003 will be included in the request for proposal and the resulting contract, requiring SRC to submit a Small Business Subcontracting Plan.
7. (U) Actions to Increase Competition:
a.
c. (U//FOUO) NGIC continues to petition the EWIR Program Manager and Executive Agent to establish a formal training pipeline to produce qualified Government or contractor EWIR analysts. In 2012, the EWIR Executive Agent conducted initial studies into developing what would have ·become a six month EWIR analyst training curriculum, but the project was cancelled when it was assessed to be too expensive. An effort to revive this program is ongoing , pending the allocation of resources by Office of the Under Secretary of Defense for Intelligence (OUSD(I)) to the EWIR Program Manager, but no detailed plan has yet been proposed. NGIC will continue to research , monitor, and attempt to cultivate an interest in EWIR production among potential candidate vendors.
8. (U) Market Research: The requirement office, with assistance from the contracting office , conducted formal market research in September 2015. The contract was not awarded in the original anticipated fiscal year 2016 (FY16) timeframe, so the requirement office conducted market research again in February 2017 and yet again in August 2017. The contract was not awarded in the anticipated FY17 timeframe, so market research was again conducted in February 2018 with the same results each time: SRC, Inc. was the only qualified respondent to a total of three sources sought Requests for Information (RFI) , and SRC, Inc., is the only contractor that performs both radar engineering assessment and SIGINT analysis in an integrated process that produces the fused , high-fidelity threat models required for NGIC EWIR production .
9. (U) Interested Sources: Market research , to include three sources sought notices, supported the determination that no adequate competition from alternative vendors exists. Two companies in total responded to the sources sought notices: CACI , Inc., submitted a response as part of an INSCOM Global Intell igence Services (GISS) IDIQ specific RFI that was assessed as not technically acceptable, in September 2015. SRC, Inc., submitted the only other (and only technically acceptable) responses, including the only response to the February 2018 Sources Sought posted to www.fbo .gov. To date, no other sources have written to express an interest in this requirement, since before contract W911W5-11-D-0002 was awarded (SRC was the sole respondent to the W911W5-11 -D-0002 solicitation). A poll of other companies expected to show interest revealed that none of the companies polled wished to pursue bidding on the effort. The notice required by FAR 5.201 will be posted and any proposals received will be considered.
10. (U) Other Facts:
a. (U) Procurement History:
(1) (U) The proposed IDIQ that is the subject of this J&A was originally to have been awarded in FY17. ACC-WRN (INSCOM) was unable to award the contract by the end of FY17, necessitating the award of a one year interim contract (W911W5-17-C- 0002). The original FY17 IDIQ was approved to be awarded on an other than full and open basis using the authority FAR 6.302-1 , "Only one responsible source and no other supplies or services will satisfy agency requirements."
(2) (U) Contract numbers and dates of the last several awards for EWIR production support (note: Syracuse Research Corporation formally changed its name to SRC, Inc. in 2010. Research Associates of Syracuse was acquired by/merged with Syracuse Research Corporation in 1993):

b. (U/IFOUO) Increase in Contracted Effort. The contract procurement history shows an increasing trend in contracting out EWIR production support. These increased expenditures do not represent the combining of previously separate contract projects, but stem directly from new and greater EWIR production demands. This trend of increased procurement of EWIR production is occurring within all of the EWIR producing agencies, and will likely continue unless significant new numbers of Government analysts are hired and trained . The factors driving these increased efforts are:
