52.212-1 ADDENDUM

52.212-1 (Addendum) Instructions to Offerors – Commercial Items (Deveation 2018-O0018) (JUN 2020)

A. GENERAL

1. This acquisition will be conducted utilizing the procedures of FAR Part 12 and FAR Subpart 13.5.

2. The Offer. The submission of the documentation specified below will constitute the offeror's acceptance of the terms and conditions of the RFP and concurrence with the Performance Work Statement and contract type.

Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government's ability to properly evaluate the proposal and may result in the proposal’s elimination from further consideration for contract award.

3. The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

4. All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at https://www.fbo.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

2. Offerors are urged and expected to inspect the site where the work will be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable, and to attend the pre-proposal conference. The purpose of this site visit and the conference is to eliminate any possible misunderstandings of the terms of the solicitation. Remarks and explanations at the conference shall not qualify the terms of the solicitation and specifications. Unless the solicitation is amended in writing, it will remain unchanged.

3. In no event shall failure to inspect the site constitute grounds for a claim or adjustment after contract award.

4. To gain access to The Waste Water Treatment Plant, Take I-5 exit 119 and head North for 150-200 ft on Dupont/ Steilacoom Rd. Turn right to stay on Dupont/ Steilacoom Rd for 2.2 miles. TOTAL _____________________

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

The Government intends to award a single contract to the offeror that is deemed responsible in accordance with FAR Subpart 9.1, whose proposal conforms to the solicitation, and whose proposal represents the lowest-priced offer with an Acceptable rating for the Technical Experience factor.

The following factors will be used to evaluate offers:

Technical:

(a) The Government will evaluate the Offeror’s Technical competence.

(b) The Government will evaluate up to three (3) past technical experience.

Technical Experience Ratings

Rating Description Acceptable Proposal clearly meets the minimum requirements of the solicitation Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation

Price:

(a) The Government will not score or rate Offeror’s price proposals. Proposed prices will be evaluated for reasonableness and balance. To be eligible for award, an Offeror’s technical experience must be rated “Acceptable,” the total price proposed must be determined reasonable, and all CLINs must be determined balanced, unless the Government determines that the lack of balance does not pose an unacceptable risk to the Government. Offerors are cautioned against submitting an offer that contains unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of price analysis techniques. Offers that are determined to be unbalanced may be rejected if the lack of balance poses a significant risk to the Government.

(b) Price analysis will be performed on the total proposed amount. The existence of adequate price competition is expected to support a determination of reasonableness; however, other price analysis techniques may be used to further validate price reasonableness.

(c) The Government will evaluate its option to extend services (FAR Clause 52.217-8) by adding one-half of the Offeror’s proposed price to the total proposed amount. Thus, the Offeror’s total price for the purpose of evaluation will include the 9 month contract term and one half of the 9 month contract term. Offerors will not propose a cost for the six-month period. The extension of services clause will be exercised only if necessary, utilizing the negotiated rates of the preceding period.

Evaluation of the option(s) shall not obligate the Government to exercise the option(s).

(End of provision)

52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $50, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor -

(1) Any order for a single item in excess of $74,000;

(2) Any order for a combination of items in excess of $74,000; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 30 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

(End of clause)

52.216-21 Requirements. (OCT 1995) -- ALTERNATE I (APR 1984)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government's requirements do not result in orders in the quantities described as "estimated" or "maximum" in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. Subject to any limitations in the Delivery-Order Limitations clause or elsewhere in this contract, the Contractor shall furnish to the Government all supplies or services specified in the Schedule and called for by orders issued in accordance with the Ordering clause. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(c) The estimated quantities are not the total requirements of the Government activity specified in the Schedule, but are estimates of requirements in excess of the quantities that the activity may itself furnish within its own capabilities. Except as this contract otherwise provides, the Government shall order from the Contractor all of that activity's requirements for supplies and services specified in the Schedule that exceed the quantities that the activity may itself furnish within its own capabilities.

(d) The Government is not required to purchase from the Contractor requirements in excess of any limit on total orders under this contract.

(e) If the Government urgently requires delivery of any quantity of an item before the earliest date that delivery may be specified under this contract, and if the Contractor will not accept an order providing for the accelerated delivery, the Government may acquire the urgently required goods or services from another source.

(f) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after: 30 September 2021
