NOTES

1.System for Award Management (SAM). In accordance with FAR 4.1102, Offerors must be registered in the SAM database in order to be eligible for contract award. No award will be made to an Offeror not registered. Registration can be accomplished at https://www.sam.gov/portal/public/SAM. Registration in this database must be kept current.

2.Annual Representations and Certifications. In accordance with FAR 4.1201, Offerors shall complete electronic annual representations and certifications within SAM as part of required registration. Registration can be accomplished at https://www.sam.gov/portal/public/SAM

3.Questions. Questions regarding this solicitation shall be submitted in writing to the Contracting Officer at least 3 calendar days prior to the closing date. Questions submitted after this time will be answered at the discretion of the Contracting Officer. The Contracting Officer for this action is Michelle Fike. Email: Michelle.L.Fike.civ@mail.mil.

4.Award without discussions. The Government intends to award without discussions; therefore Offerors should submit their best prices in their initial offer. In accordance with FAR 52.212-2, Evaluation-Commercial Items, Offerors must submit the technical information and past performance information requested in order for the Government to determine technical acceptability.

5.Amendments. The Offeror shall submit to the Contracting Officer signed copies of all amendments issued to this solicitation. Failure to comply may cause your proposal to be rejected.

6.Payment. Payment for this action will be made by Electronic Funds Transfer (EFT) through the Defense Finance and Accounting Services (DFAS) using Wide Area Work Flow (WAWF). See DFARS 252.232-7006 for more information.

7.Period for Acceptance of Offers. The Offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers.

8.Type of Contract. This is a Firm Fixed Price Requirements type contract. All quantities are estimated and individual delivery orders will be issued citing specific quantities and delivery dates.

Payment will be made on actual quantities delivered.

9.Proposals. Proposals shall be signed by an authorized individual in accordance with FAR 4.102, Contractor’s Signature. Failure to comply may cause your proposal to be rejected.

Offerors should mark each page of their proposal as “Proprietary Information” if they want it treated as Proprietary Information under the Procurement Integrity Act.

10.FOB Destination. Unless otherwise stated in this solicitation, Offerors shall provide FOB Destination prices.

11.The vendor must provide proof their water bottler is listed on the approved source list located in the Worldwide Directory of Sanitarily Approved Food Establishments for Armed Forces Procurement in order to be eligible to compete for this award.

12.AMC-Level Protest Program: Prior to submitting an agency protest, it is preferable that you first attempt to resolve your concerns with the responsible contracting officer. However, you may also file a protest to the Headquarters (HQ), Army Materiel Command (AMC). The HQ AMC-Level Protest Program is intended to encourage interested parties to seek resolution of their concerns within AMC as an Alternative Dispute Resolution forum, rather than filing a protest with the General Accountability Office (GAO), or other external forum. Contract award or performance is suspended during the protest to the same extent, and within the same time periods, as if filed at the GAO. The AMC protest decision goal is to resolve protests within 35 calendar days from filing. To be timely, protests must be filed within the periods specified in Federal Acquisition Regulation 33.103. If you want to file a protest under the HQ AMC-Level Protest Program, the protest must request resolution under that program and be sent to the address below.

LETTERKENNY MUNITIONS CENTER

PURCHASE DESCRIPTION FOR

WATER DELIVERY SERVICE

1. REQUIREMENTS: Due to poor water quality and lead contamination, Letterkenny Munitions Center (LEMC) has the requirement for five-gallon bottles of purified water be delivered to building 3315 on an as needed basis.

1.1 SPECIFICATIONS:

1.1.1 Purified Bottled Water: The contractor shall furnish all personnel, equipment, and supplies, to provide five-gallon bottles of purified water to LEMC, building 3315, only replacing empty bottles with full bottles. No bottle deposit shall be paid under this contract. Contractor shall rotate bottles when delivering to ensure the stock is properly rotated. The Contractor is not responsible for replacing any bottles on any coolers.

1.1.2. Scheduling: Contractor shall be responsible for the development of a delivery schedule on a frequency that will ensure the bottles are not empty. The schedule shall be submitted to the Technical Point of Contact (TPOC) for quality and quantity assurance purposes at the beginning of the contract period of performance. If changes to the schedule are needed the TPOC shall be notified at least a day in advance of the schedule change and a new schedule shall be submitted before the change occurs.

1.1.3.Phase In / Phase Out Periods: To minimize any decreases in productivity and to prevent possible negative impacts on additional services, the contractor shall have personnel on board, during the 14 day phase in/ phase out periods. During the phase in period, the contractor shall become familiar with performance requirements in order to commence full performance of services on the contract start date.

2.SPECIAL INFORMATION: Delivery tickets or delivery worksheet shall be provided to the POC in building 3315 on the day of delivery and shall further be emailed to the TPOC within 2 business days of delivery. Delivery tickets or a delivery worksheet shall include, but not limited to, date, building number, quantity of bottles delivered, quantity of bottles returned, comments, along with the signature block of the building POC. Authorized POC for building 3315 will be provided at the time of award. Labeling requirements shall follow the Pennsylvania Code Section 109.1007 Labeling requirements for bottled water systems, vended water systems and retail water facilities, see http://www.pacode.com/secure/data/025/chapter109/s109.1007.html.

3.PERIOD of PERFORMANCE:

Base year of 12 months plus 4 12-month option years. Period of Performance is identifed in the solicitation and resulting contract.

4.PRESERVATION, PACKAGING AND DELIVERY: The contractor shall provide delivery services to building 3315, between the hours of 0700 and 1500 on Monday through Thursday, and Friday with TPOC authorization, except on recognized US holidays or when the Government facility/installation is closed due to local or national emergencies, administrative closings, or similar Government-directed facility/installation closings. Performance shall be at LEMC building 3315. The contractor shall at all times maintain an adequate work force for the uninterrupted performance of all tasks defined herein when the Government facility/installation is not closed for the above reasons. When hiring personnel, the contractor shall keep in mind that the stability and continuity of the work force are essential.

5.SECURITY, SAFETY, and FIRE PREVENTION: The contractor shall comply with LEAD P 385-4, Requirements for Security, Safety, and Fire Prevention for Contractors Performing work on or deliveries within Letterkenny Army Depot/Letterkenny Munitions Center. The contractor must identify all employees in advance to the government TPOC, so all security measures may be completed in advance of any delivery. The contractor will provide the dates of birth, places of birth, social security numbers and other information as necessary to gain access to LEMC. Contractor vehicles will have their company logo affixed to both sides of their vehicle if that vehicle needs to enter the ammunition storage area. Vehicle and equipment will have a fully charged 10BC rated fire extinguisher affixed inside of the vehicle, and/or to the piece of motorized equipment that is being introduced in to the ammunition storage area.

6.HOURS OF WORK: All work shall be performed between the hours of 0700 (7:00 AM) and 1500 (3:00 PM), Monday through Thursday, with the exclusion of the federal holidays below.

The contractor shall not perform services on these days:

6.1 When an observed holiday falls on a Tuesday or Thursday, the Depot regularly schedules a closure on the corresponding Monday or Friday. If the holiday fall on Saturday, the preceding Friday will be observed. If the holiday falls on Sunday, the following Monday will be observed.

7.FINAL ACCEPTANCE: Final acceptance shall be contingent upon successful completion of all requirements of this purchase description.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Lowest price, technically acceptable.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO FAR 52.212-2, BASIS OF AWARD:

A. General Information:

1. The basis of award will be the Lowest Priced, Technically Acceptable offer. Offerors must receive a rating of acceptable in all factors/subfactors in order for their overall proposal to be determined Technically Acceptable.

2. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, and technical requirements.

3. The Government intends to make award without discussions, unless the Contracting Officer determines that discussions are necessary. Offerors should provide their most favorable prices in their initial offers.

B. Non-Price Evaluation Factors and Subfactors:

1. Factor 1- Technical: The vendor must provide proof the water bottler is listed on the approved source list located in the Worldwide Directory of Sanitarily Approved Food Establishments for Armed Forces Procurement in order to be eligible to compete for this award.

2. Factor 2- Past Performance:

The Offerors shall provide three (3) relevant and recent Government or private sector projects completed within the past three (3) years that demonstrates the ability to perform the requirements in this solicitation. The Offeror shall identify the contract title, contract number, dollar value, client name and address, location of work, point of contact with phone number and email address, and an explanation of how each project is related to the work requirements of this solicitation

Price Evaluation Factor. Offerors shall complete the pricing information with pricing for each Contract Line Item Number (CLIN), including all Option Years.

D. Proposals will be evaluated initially independently of the price to determine the Offeror’s past performance record. Offerors’ past performance information will receive an overall rating based on the following:

Acceptable. The offeror has completed three relevant and recent Government or private sector projects within the past three years.

Unacceptable: The offeror has not completed three relevant and recent Government or private sector projects within the past three years.

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.

Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms.
