(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 30 August 2021 through 29 August 2024.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when--

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or

(3) If sent electronically, the Government either--

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

CORROSION, IMPACT, AND ABRASION RESISTANT COATING OF

EXPEDITIONARY FIELD KITCHEN (EFK) WING WALLS

1. General:

1.1 Scope: The contractor shall provide all personnel, equipment, tools, materials, supervision, quality control and other items and non-personal services necessary to perform the task of spraying a corrosion, impact, and abrasion resistant coating on the inside of Expeditionary Field Kitchen (EFK) and Containerized Kitchen (CK) wing walls as defined in this PWS, except as specified in Paragraph 3.0 as Government Furnished. The contractor shall perform to the standards in this contract.

1.2 Background: The current reset procedure for the EFK require application of a corrosion, impact, and abrasion resistant coating to internal surfaces of the wing walls in effort to maintain structural integrity and guard against environmental degradation. LEAD does not have the capability to perform this work nor sufficient volume of work to establish this capability in-house. There is, therefore, a need to have a commercial contractor with proper equipment and training apply a corrosion, impact, and abrasion resistant coating to internal surfaces of the EFK wing walls.

1.3 Period of Performance (POP): The Period of Performance shall be one Base Year of 12 months and two 12-month option years. The Period of Performance reads as follows:

General Information:

1.3.4 Quality Control (QC): The contractor shall develop and maintain an effective QC program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s QC program is the means by which it assures itself that its work complies with the requirements of the contract. As a minimum, the contractor shall develop QC procedures that address the areas identified in Technical Exhibit 1, Performance Requirements Summary.

1.3.5 Quality Assurance (QA): The Government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan (QASP). This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and acceptable quality level(s) (defect rate(s)).

1.3.6 Observed Holidays: The requested service shall not be performed on the observed dates for the holidays listed in this paragraph. The observed date for each holiday can be found at the following web site:

1.3.7 Place and Performance of Services: The contractor shall provide pickup and drop off of EFK wing walls between the hours of 07:00 and 15:00 on Monday through Friday, except on recognized US holidays or when the Government facility/installation is closed due to local or national emergencies, administrative closings, or similar Government-directed facility/installation closings. Pick up and drop off shall be from Building 33 Door 12. If needed, LEAD will provide a forklift and operator for side loading and unloading of wing walls from a flatbed truck/trailer or similar only. No assistance form LEAD will be provided for loading of rear entry or van body trucks/trailers. The contractor shall complete the service within 5 business days of service request. Performance shall be at the contractor’s facility. The contractor shall at all times maintain an adequate work force for the uninterrupted performance of all tasks defined within this PWS when the Government facility/installation is not closed for the above reasons. When hiring personnel, the contractor shall keep in mind that the stability and continuity of the work force are essential.

1.3.8 Safety and Environmental: The contractor shall conduct operations in accordance with applicable safety and environmental laws, regulations and standards. The Government will not be responsible for contractor operations not carried out in accordance with applicable safety and environmental laws, regulations and standards. Any surcharges related to safety or environmental compliance requirements must be included in the contractor’s per-item price.

1.3.9 Security Requirements: Contractor and all associated sub-contractor’s employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Risk Management. Contractor workforce shall comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. Should the Force Protection Condition (FPCON) change, the Government may require changes in contractor security matters or processes.

1.3.9.1 Physical Security: The contractor shall safeguard all Government property provided for contractor use.

At the close of each work period, Government equipment and materials shall be secured.

1.3.9.2 AT Level I training: All contractor employees, to include subcontractor employees, requiring access to Army installations, facilities and controlled access areas shall complete AT Level I Awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee to the COR or to the contracting officer, if a COR is not assigned, within 30 calendar days after completion of training by all employees and subcontractor personnel. 1.3.9.3 iWATCH Training: The contractor and all associated sub-contractors with an area of performance within an Army-controlled installation, facilities or area shall brief all employees on the local iWATCH program.

This local developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the COR or contracting officer. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance. The contractor shall report completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer, if a COR is not assigned, within 15 calendar days after completion of training. iWATCH training is available on the Letterkenny Army Depot homepage – www.lead.army.mil.

1.3.9.4 OPSEC Training: Per AR 530-1, Operations Security, new contractor employees and associated sub-contractor employees shall complete Level I OPSEC training within 30 calendar days of their reporting for duty and annually thereafter. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee, to the COR or to the contracting officer, if a COR is not assigned, within 15 calendar days after completion of training. Level 1 OPSEC training is available on the Letterkenny Army Depot homepage – www.lead.army.mil.

1.3.10 Conservation of Utilities: The contractor shall instruct employees in utilities conservation practices. The contractor shall operate under conditions that preclude the waste of utilities, which include turning off the water faucets or valves after using the required amount.

1.3.11 Special Qualifications: The contractor must ensure all employees performing the spray application of corrosion, impact, and abrasion resistant coating are trained and certified on equipment and materials used, in accordance with manufactures recommendations.

1.3.12 Post Award Conference/Periodic Progress Meetings: The contractor agrees to attend any post award conference convened by the KO in accordance with Federal Acquisition Regulations Subpart 42.5. The KO, Contracting Officer’s Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contactor’s performance. At these meetings, the Contracting Officer will apprise the contractor of how the Government views the contractor’s performance and the contractor shall apprise the Government of problems, if any, being experienced The contractor shall resolve outstanding issues raised by the Government. Contractor attendance at these meetings shall be at no additional cost to the Government.

1.3.13 Contract Manager (CM): The contractor shall provide a CM who shall ensure performance under this contract. The name of this person, and an alternate who shall act for the contractor when the CM is absent, shall be designated in writing to the KO. The CM or alternate shall have full authority to act for the contractor on all contract matters relating to daily operation of this contract.

1.3.14 Identification of Contractor Employees: All contact personnel attending meetings, or working in other situations where their contractor status is not obvious to third parties, are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. The contractor shall also ensure that all documents or reports produced by contractor personnel are suitably marked as contractor products or that contractor participation is appropriately disclosed. All contractor employees performing work on depot will stop at the Wisconsin Gate and obtain visitor badges prior to performing service related to EFKs/CKs.

1.3.15 Organizational Conflicts of Interest (OCI): The contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent OCIs, as defined in FAR Subpart 9.5.

The contractor shall notify the KO immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the KO to avoid or mitigate any such OCI.

The contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the KO and in the event the KO unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the KO may affect other remedies as he or she deems necessary, including prohibiting the contractor from participation in subsequent contracted requirements which may be affected by the OCI.

2. Definitions and Acronyms:

2.1.1 CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

2.1.2 CONTRACTING OFFICER (KO). A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

2.1.3 CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government designated by the KO to monitor contractor performance. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.4 DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

2.1.5 DELIVERABLE. Anything that can be physically delivered and includes non-manufactured things such as meeting minutes or reports.

2.1.6 KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.7 PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.

2.1.8 QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.1.9 QUALITY ASSURANCE SURVEILLANCE PLAN (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

2.1.10 QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.1.11 SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

2.1.12 WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.

2.1.13 WORK WEEK. Monday through Friday, unless specified otherwise.

3. Government Furnished Property, Material, Equipment and Services (GFP/M/E/S): The Government will provide the facilities, equipment, materials, and/or services listed below:

3.1 Material: EFK wing walls must be picked up from Letterkenny Army Depot. All furnished material (wing wall) shall be returned to the Government following application of the corrosion, impact, and abrasion resistant coating.

4. Contractor Furnished Property, Materials, Equipment (CFP/M/E):

4.1 General: Except for those items specifically stated to be Government-Furnished in Paragraph 3.0, the contractor shall furnish everything required to perform these services as indicated in Paragraph 1.1.

5. Requirements:

5.1 General: EFK wing walls require application of a corrosion, impact, and abrasion resistant coating to internal surfaces in effort to maintain structural integrity and guard against environmental degradation. The application of the coating shall comply with the following guidelines:

5.1.1 Execution Time:

5.1.1.1 The contractor shall begin the job by picking up the EFK wing wall from Building 33 Door 12 within 2 business days of work request.

5.1.1.2 The contractor shall complete the job by returning the EFK wing wall to Building 33 Door 12 within 5 business days of original work request.

5.1.2 Physical Data: EFK wing walls have dimensions of approximately 22 ft long x 8 ft wide, and weight of approximately 880 lbs prior to coating application.

5.1.3 Precondition of EFK Wing Walls:

5.1.3.1 LEAD will prepare EFK wing walls with primer (zinc rich primer).

5.1.4 Coating Characteristics: The applied corrosion, impact, and abrasion resistant coating (Rhino Linings Tuff Grip or equal) shall exhibit or exceed the following characteristics:

5.1.4.1 Two-component, 100% solids (no VOCs, no solvents), exothermic, rapid curing, elastomeric polyurethane/polyurea hybrid lining.

5.1.4.2 Spray-on application creating a monolithic, seamless lining conforming to shape and size of the EFK wing wall.

5.1.4.3 Suitable for application to metal substrate prepared with zinc rich primer.

5.1.4.4 Excellent protection for corrosion resistance, impact, and abrasion.

5.1.4.5 Excellent weather resistance.

5.1.4.6 Good chemical resistance.

5.1.4.7 Elastomeric properties allowing application to surfaces subject to vibration, expansion, contraction, movement, flexing, impact, and abrasion.

5.1.4.8 Stable performance from -40° F (-40° C) to 175° F (79.4° C) once cured.

5.1.4.9 Able to withstand light vehicular and foot traffic.

5.1.4.10 Maximum additional weight of 50 lbs per wing wall due to product application at or above minimum required thickness. Contractor shall consider wing wall interior a “no wear” area when determining minimum required thickness.

5.1.4.11 Compressive strength of 800 psi or greater per ASTM D-695-96 (1/8 in thick test specimen).

5.1.4.12 Taber Abrasion Resistance of 15 mg loss/1000 cycles or less per ASTM D-4060 with CS17 Wheel and 1000 grams weight.

5.1.4.13 Tear Resistance of 200 pli or greater per ASTM D-624 with Die C (1/8 in thick test specimen).

5.1.4.14 Ross Flex of 0% crack growth/50,000 cycles per ASTM FIA-308.

5.1.4.15 Water Absorption of 1.6% or less per ASTM D-570.

5.1.5 Application Areas: Corrosion, impact, and abrasion resistant coating shall be applied to EFK wing walls as shown in Figure 1, Figure 2, and the following outline:

5.1.5.1 Inside surfaces of the wing wall to include all stiffeners, brackets, and the inside face of boundary angle.

5.1.5.2 The top face of wing wall boundary angle, and exterior wing wall surfaces shall not be coated.

5.1.6 Warranty:

5.1.7 The contractor shall provide a workmanship warranty guarding against product and application defects such as cracking, bubbling, delamination, required application areas found uncoated, and similar.

(a) In addition to any other warranties in this contract, the Contractor warrants, except as provided in paragraph (i) of this clause, that work performed under this contract conforms to the contract requirements and is free of any defect in equipment, material, or design furnished, or workmanship performed by the Contractor or any subcontractor or supplier at any tier.

(b) This warranty shall continue for a period of 90 days from the date of final acceptance of the work. If the Government takes possession of any part of the work before final acceptance, this warranty shall continue for a period of 90 days from the date the Government takes possession.

(c) The Contractor shall remedy at the Contractor’s expense any failure to conform, or any defect. In addition, the Contractor shall remedy at the Contractor’s expense any damage to Government-owned or controlled real or personal property, when that damage is the result of-

(1) The Contractor’s failure to conform to contract requirements; or

(2) Any defect of equipment, material, workmanship, or design furnished.

(d) The Contractor shall restore any work damaged in fulfilling the terms and conditions of this clause. The Contractor’s warranty with respect to work repaired or replaced will run for 1 year from the date of repair or replacement.

(e) The Contracting Officer shall notify the Contractor, in writing, within a reasonable time after the discovery of any failure, defect, or damage.

(f) If the Contractor fails to remedy any failure, defect, or damage within a reasonable time after receipt of notice, the Government shall have the right to replace, repair, or otherwise remedy the failure, defect, or damage at the Contractor’s expense.

(g) With respect to all warranties, express or implied, from subcontractors, manufacturers, or suppliers for work performed and materials furnished under this contract, the Contractor shall-

(1) Obtain all warranties that would be given in normal commercial practice;

(2) Require all warranties to be executed, in writing, for the benefit of the Government, if directed by the Contracting Officer; and

(3) Enforce all warranties for the benefit of the Government, if directed by the Contracting Officer.

(h) In the event the Contractor’s warranty under paragraph (b) of this clause has expired, the Government may bring suit at its expense to enforce a subcontractor’s, manufacturer’s, or supplier’s warranty.

(i) Unless a defect is caused by the negligence of the Contractor or subcontractor or supplier at any tier, the Contractor shall not be liable for the repair of any defects of material or design furnished by the Government nor for the repair of any damage that results from any defect in Government-furnished material or design.

(j) This warranty shall not limit the Government’s rights under the Inspection and Acceptance clause of this contract with respect to latent defects, gross mistakes, or fraud.

5.1.8 Warranty repairs made by the contractor shall be at no additional cost to the government.

5.2 CONTRACTOR MANAGEMENT REPORTING (CMR): The Office of the Assistant Secretary of the Army (Manpower & Reserve Affairs) operates and maintains a secure Army data collection site where the Contractor shall report ALL Contractor manpower (including subcontractor manpower) required for performance of this contract.

The required information includes: (1) Contracting Office, KO, Contracting Officer’s Technical Representative (COTR) or also known as the Contracting Officer’s Representative (COR); (2) Contract number, including task and delivery order number; (3) Beginning and ending dates covered by reporting period; (4) Contractor's name, address, phone number, e-mail address, identity of Contractor employee entering data; (5) Estimated direct labor hours (including sub-Contractors); (6) Estimated direct labor dollars paid this reporting period (including sub-Contractors); (7) Total payments (including sub-Contractors); (8) Predominant Federal Service Code (FSC) reflecting services provided by Contractor (and separate predominant FSC for each sub- Contractor if different); (9) Estimated data collection cost; (10) Organizational title associated with the Unit Identification Code (UIC) for the Army Requiring Activity (the Army Requiring Activity is responsible for providing the Contractor with its UIC for the purposes of reporting this information); (11) Locations where Contractor and sub-Contractors perform the work (specified by zip code in the United States and nearest city, country, when in an overseas location, using standardized nomenclature provided on website); (12) Presence of deployment or contingency contract language; and (13) Number of Contractor and sub-Contractor employees deployed in theater this reporting period (by country). As part of its submission, the Contractor shall provide the estimated total cost (if any) incurred to comply with this reporting requirement. Reporting period shall be the period of performance not to exceed 12 months ending September 30 of each government fiscal year and must be reported by 31 October of each calendar year. Contractors may use a direct XML data transfer to the database server or fill in the fields on the website. The XML direct transfer is a format for transferring files from a Contractor’s system to the secure website without the need for separate data entries for each required data element at the website. The specific formats for the XML direct transfer may be downloaded from the website.
