The following have been modified:
52.212-1 ADDENDUM
PROPOSAL SUBMISSION (Addendum to FAR 52.212-1)
Addenda to 52.212-1(b), Submission of Proposals. The paragraph is tailored as follows:
Paragraph (b), the second sentence is deleted and replaced with the following: “Proposals must be submitted on the SF 1449 and accompanied by all requested items elsewhere specified in the solicitation.
Paragraph (b) (10) is deleted and replaced by information required to be submitted in Volume III of the proposal.
Addenda to 52.212-1(c), Period for Acceptance of Proposals. The paragraph is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of proposals.”
Addenda to 52.212-1(e), Multiple Proposals. This paragraph is deleted in its entirety.
Addenda to 52.212-1(g), the following paragraph is added to the end of the current paragraph as follows: "After evaluating proposals, if discussions are deemed necessary, the contracting officer may determine that the number of most highly rated proposals that might otherwise be included in the competitive range exceeds the number at which an efficient competition can be conducted. In this event, the contracting officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals."
Addenda to 52.212-1 (m) Organizational Conflict of Interest. For those offerors planning to engage in a teaming arrangement or to use subcontractors, a conflict of interest may be created if a company is identified as a prime offeror, teaming partner/subcontractor, or as a member of a Joint Venture on more than one proposal. Each participating company shall only submit one proposal. If the contracting officer concludes during proposal evaluation that a potential conflict of interest exists because one or more companies have participated in more than one proposal as a prime offeror, teaming partner/subcontractor, or as a member of a Joint Venture, the contracting officer reserves the right to require a conflict of interest mitigation plan from the prime offerors of those proposals.
If an offeror fails to submit a plan, or submits an inadequate plan, the offeror may not be considered.

The compensation plan will be evaluated to ensure the proposed compensation packages are sufficient to attract and retain quality professional HCPs. Compensation plans that include compensation to HCPs that reflect an inappropriate risk of being able to recruit and retain quality HCPs will be adversely evaluated and may constitute sufficient cause to justify rejection of the proposal.
(g). There are no “predecessor contracts” as this term is used in FAR 52.222-46(b).
52.212-2 ADDENDUM
BASIS FOR AWARD (Addendum to FAR 52.212-2).

The United States Government (USG) intends to award a contract to the Offeror deemed responsible in accordance with (IAW) the FAR, whose proposal conforms to the Request for Proposal’s (RFP’s) requirements and is judged to represent the best value to the USG. Best value is defined as those most advantageous offers, price and other factors considered, that are consistent with the USG’s stated evaluation criteria, in order of importance. This may result in award being made to higher-rated, higher-priced Offeror, where the KO determines that the benefits (Technical and/or Past/Present Performance) submitted by the Offeror outweighs the cost difference. Contract will be awarded as stated above with appropriate consideration given to the three evaluation factors: (Factor 1) Technical Capability, (Factor 2) Performance Risk (Past and Present Performance) and (Factor 3) Price. All Technical Capability Sub-factors are equally important. The Technical Capability factor is more important than the Present and Past Performance factor. When combined, (Factor 1) Technical Capability and (Factor 2) Present and Past Performance, are significantly more important than (Factor 3) Price. To receive consideration for award, a rating of no less than “Acceptable” must be achieved on all sub-factors to receive an overall rating of acceptable for the technical factor. For Performance Risk factor, the Past and Present Performance must first meet Recency and Relevancy, to be further evaluated for Quality of Performance. To receive consideration for award, a rating of no less than “Satisfactory Confidence” must be received on the Performance Risk factor. A rating of “Unknown Confidence” will be neither treated favorably or unfavorably and shall be considered for award. To receive consideration for award, the proposed price on (Factor 3) Price shall be considered fair and reasonable.
Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being ineligible for award.
Offerors must clearly identify any exception to the solicitation terms and conditions and must provide complete supporting rationale. The Government reserves the right to determine any such exceptions unacceptable.
C. FACTORS AND SUBFACTORS TO BE EVALUATED
All proposals will be subject to evaluation by a team of USG personnel. Offerors must ensure all information pertaining to the factor or sub-factor is addressed in that particular portion of the proposal. Offerors are cautioned that only the information included for each factor/sub-factor will be evaluated. For example, only information included in the section labeled “Technical Approach” will be evaluated for Technical Approach. If technical approach information is included elsewhere in the proposal, it will not be evaluated as part of the Technical Approach sub-factor.
The following evaluation factors and subfactors will be used to evaluate each proposal: Award will be made to the offeror whose proposal is most advantageous to the Government based upon an integrated assessment of the evaluation factors and subfactors described below. The Government reserves the right to make award based upon the Cost/Price factor in the event that the Technical and Past Performance evaluation results of all the offerors proposals are substantially the same.
The following evaluation factors will be set forth in the solicitation:
Factor 1: The Technical Capability factor is further divided into the following subfactors:
Subfactor 1A – Technical Approach Subfactor 1B – Staffing Plan Subfactor 1C – Management Capability and Experience Subfactor 1D – Transition-In Plan
Evaluation of the offeror’s proposal shall address each Technical subfactor as it applies to the Performance Work Statement (PWS). A detailed explanation of the criteria for the evaluation is set forth in the “Evaluation
Approach”, Paragraph C of this section. During evaluation of each proposal, the Government will assign an overall adjectival rating to Factor 1, an adjectival rating to each Technical subfactor and write a narrative evaluation reflecting the identified findings.
Factor 2: Performance Risk (Past and Present Performance): Each offeror’s past performance will be reviewed to determine relevancy and confidence assessment.
Factor 3: Price: The resulting award will be a Firm-Fixed-Price contract.
D. EVALUATION APPROACH
***A phased approach will be utilized to evaluate responsive proposals. Factor 2 – Performance Risk (Past and Present Performance) will be evaluated in the first phase; Factor 1 - Technical Approach will be evaluated second; and, Factor 3 – Price will be evaluated last. Offerors must receive a confidence rating of “Substantial”, “Satisfactory” or “Unknown Confidence” in order to move on to the Technical evaluation phase. If performance risk (past and present performance) does not meet the criteria described in this paragraph, the proposal will be removed from further consideration.
All proposals shall be evaluated by the Source Selection Evaluation Board (SSEB).
1. The overarching evaluation approach for all factors and subfactors is as follows:
a. Adequacy of Response. The proposal will be evaluated to determine whether the offeror’s methods and approach have adequately and completely considered, defined, and satisfied the requirements specified in the RFP. The proposal will be evaluated to determine the extent to which each requirement has been addressed in the proposal in accordance with the proposal submission section of the RFP.
b. Feasibility of Approach. The proposal will be evaluated to determine the extent to which the proposed approach is workable and the end results achievable. The proposal will be evaluated to determine the extent to which successful performance is contingent upon proven devices and techniques. The proposal will be evaluated to determine the extent to which the offeror is expected to be able to successfully complete the proposed tasks and technical requirements within the required schedule.
Each proposal received will be evaluated with the criteria outlined in the solicitation for the purpose of assessing the proposal and the offeror’s ability to perform the prospective contract successfully. The Technical Capability factor will be assigned an adjectival rating using the combined technical/risk ratings. The Performance Risk (Present and Past Performance) factor will be rated on the basis of “recent” past performance information, relevancy rating, quality assessment, and a subsequent performance confidence assessment rating. The Price factor will be evaluated to establish reasonableness of the otherwise successful offeror’s price and will not receive an evaluation rating. The Government will award a single contract resulting from this solicitation to the technically acceptable, responsible offeror whose proposal, conforming to the solicitation, offers the best value to the Government.
Volume II, Factor 1 - Technical Capability.
2. The Technical factor is divided into the following subfactors:

In accordance with the Army Source Selection Supplement (AS3), Section 3.1, the Army methodology for evaluating Technical Approach and Related Risk is the Combined Technical/Risk Rating, (see Table 1 below). This methodology considers risk, in conjunction with the strengths, weaknesses, significant weaknesses, uncertainties, and deficiencies in determining technical ratings.
1. Factor 2 – Performance Risk (Present and Past Performance). The Government will evaluate the offeror’s record of Present and Past Performance to ascertain the probability of successfully performing the required efforts of the PWS.
a. The Government will focus its inquiries on the offeror’s (and any major subcontractors’) record of performance as it relates to all solicitation requirements, including cost, schedule, performance and management of subcontractors. Major subcontractors are defined as members of an offeror’s overall team who are expected to at least 25 percent or more of the proposed effort. A significant achievement, problem, or lack of relevant data in any element of the work can become an important consideration in the evaluation process. Therefore, offerors will be reminded to include the most recent and relevant efforts (within the past three years) in their proposal. Absent any recent and relevant past performance history or when the performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be assigned an “unknown confidence rating” and its proposal will not be evaluated either favorably or unfavorably on past performance. In other words, an “unknown confidence” rating, by itself, represents neutrality, and has no relative meaning. However, in a comparative analysis, a “Substantial Confidence” or “Satisfactory Confidence” present and past performance rating is worth more than an “Unknown l Confidence” present and past performance rating.

b. Offerors shall submit present and past performance information for up to three Government and/or commercial contracts for the prime offeror and each major subcontractor in performance or awarded during the past three years, from the issue date of this RFP, which are relevant to the efforts required by this RFP.

"The word “contract,” as defined herein, for the purpose of present and past performance submissions under this solicitation, includes Firm Fixed Priced contracts and individual task orders issued off of IDIQ contracts, but does not include blanket purchase agreements or basic ordering agreements. The three contracts may include efforts performed by the prime and any major subcontractor(s) projected to perform on any resultant contract. Only those subcontractors that meet the definition of a major subcontractor, as defined as performing at least 25% of any resultant contract arising from this RFP, will be used in the offeror’s present and past performance assessment. The Government may consider a wide array of information from a variety of sources, but is not compelled to rely on all of the information available.
c. The Performance Risk (Present and Past Performance) factor considers each offeror’s demonstrated recent and relevant record of performance in providing services that meet the contract requirements.
There are four aspects to the present and past performance evaluation: recency, relevancy, quality, and…
