Control Number: 16-HRCO-451
For Official Use Only (See FAR 2.101 and 3.104-4)
(25 February 2016)
Sole Source Justification and Approval Under FAR 13.501
1. Contracting Activity: Health Readiness Contracting Office (Provisional) (HRCO (P)) U.S. Army Medical Command (USAMEDCOM), 2199 Storage Street, Building 4197, Suite 68, Joint Base San Antonio (JBSA) Fort Sam Houston, Texas 78234-5074.
2. Description of Action: The HRCO(P) request approval to award a personal services sole source Firm Fixed Price (FFP), Purchase Order (Interim Contract) for four months to the incumbent provider, Catalyst Professional Services, Inc. (herein referred to as Catalyst) for health care providers and health care assistants for medical readiness surge processing and screening services, to include, but not limited to, support with Behavioral Health (BH) patients, mild Traumatic Brain Injury (TBI) patients, the Integrated Disability Evaluation System (IDES), and to back-fill government health care providers. An interim contract will allow the government time to evaluate proposals received in response to the solicitation, award the follow on contract and implement the transitional period. The type of funds to be used is FY16 Defense Health Program (DHP). The estimated share and ceiling arrangements, and profit or fee are not applicable to this acquisition.
3. Description of Supplies/Services:
a. These interim services are necessary to ensure the continuity of operations of essential daily operations currently accomplished at various Regional Health Command
– Atlantic (Provisional) (RHC-A (P)) military treatment facilities (MTFs).
b. The health care providers (HCPs) and assistants shall assist the RHC-A (P) and MTFs under its command in the performance of a variety of health care services, which include, but are not limited to: Soldier Readiness Processing (SRP), Pre-Deployment Health Assessment (PDHA), and Post-Deployment Health Re-Assessment (PDHRA).
The contractor shall provide medical services at multiple sites as designated by the
RHC-A (P).
c. The estimated value of this proposed action is $1,152,457.17 for a 4-month period of performance from 01 August 2016 through 30 November 2016. The clause at 52.217-8, Option to Extend Services, will be included in the contract. This option may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months, from 01 December 2016 – 31 May 2016. The total option period shall reflect the total price, $2,881,142.93 if performance were extended a full six months. The price per month of any extension of performance less than a full six months will be one-sixth of the Total option amount.
Medical Surge Services at various RHC-A(P) MTFs
(See FAR 2.101 and 3.104-4)
4. Authority Cited: The statutory authority permitting other than full and open competition 41 United States Code 1901 as implemented in Federal Acquisition Regulation (FAR) 13.501(a)(1)(ii), sole source (including brand name) under the authority of the simplified procedures for certain commercial items.
5. Reason for Authority Cited: This purchase order will extend the services an additional four months to allow the government time to complete the award and implement the 60-day transition period.
a. There is a current contract in place for these services through contract number contract W91YTZ-15-P-0419, which will expire on 31 July 2016. The original contract for these services through contract number W81K04-14-D-0003, expired on 28-Sep-15. A purchase order was issued to the incumbent contractor, Catalyst, extended the period of performance from 28 September 2015 through 31 January 2016. An extension of services was exercised by the Government which further extended the period of performance to 31 July 2016. The government is in the process of procuring the required services with solicitation W81K04-15-R-0005. Due to unforeseen delays (i.e., lengthy discussion with offerors), there is not adequate time to award the follow-on contract and allow for a 60-day transition period.
b. It is not feasible to solicit an interim contract with any source other than Catalyst, the incumbent contractor. Catalyst possesses the unique qualifications to instantly perform the continuation of these services given that Catalyst already has the required resources and trained manpower, and has completed all in-processing requirements for their employees, thus requiring no transition efforts to continue performing these services. Furthermore, a delay in continuation of services will negatively impact the requiring activity’s mission of providing access to care for BH and TBI patients as well as supporting programs created to support our Soldiers deploying and returning from theater, such as IDES, SRP, PDHA, and PDHRA. The Government would suffer serious injury if award of this interim contract is delayed. Only Catalyst can satisfy these mission critical services without causing unacceptable delays or disruption of services.
c. The period of performance on the current contract will expire on 31 July 2016.
The proposed 4-month interim contract will need to be awarded by 30 July 2016 in order to continue current level of services until a competitive new contract can be completed.
It is estimated that it will take approximately 2 additional months to complete the follow on award due to the receipt of revised proposals which were due on 22 June 2015 and reevaluation of those revisions by the Source Selection Evaluation Board. In addition, it is estimated that it will take an additional 2 months of transition time in order for a new contractor to complete the recruitment and placement process and for the various
(See FAR 2.101 and 3.104-4)
Government MTF to complete their portion of the privileging process that is required for the contract service providers to start performance on a new contract. It is estimated to take 14 - 30 days for Credentialing such as privileged access to Government Resources (IAW BBP 06-PR-M-0003) for the RHC-A (P) region. As such, Catalyst is the only responsible contractor with the required and qualified personnel who have already been privileged at all the required locations that will be ready to start performance on 01 August 2016.
6. Efforts to Obtain Competition:
a. No other efforts are being made to obtain competition as only one responsible source Catalyst is capable of meeting the minimum requirements prior to the expiration of the current contract.
b. Subcontracting Competition. The current requirement is for personal services therefore, the contracting Officer had determined that a subcontracting plan is not required per the exemptions at FAR 19.702(b) (1) and FAR 19.702(b) (2).
7. Actions to Increase Competition: A sources sought and notice of the Government’s intent to award a sole source contract was publicized on FedBizOpps (FBO) on 12 Jul 2016. Catalyst Professional was the sole vendor that expressed interest and compliance with the terms and conditions as noted in the announcement.
An interim contract is needed due to lenghthy discussions withofferors for the follow-on procurement. A 4-month interim contract will allow for a 60-day transition period following discussions.
8. Market Research: As described in paragraph 7 above, market research, in accordance with FAR Part 10, was conducted by synopsizing the requirement seeking sources from industry advertising that any quotes, proposals, or capability statements received by the stated response time will be considered as well as notifying industry of the Government’s intent to award a sole source contract to the incumbent. Based on the contracting officer’s personal knowledge of recently awarded Medical Surge contracts, other contractors are capable of providing similar services if there were adequate time to compete the requirement and allow for a reasonable transition period.
However, it is not feasible to competitively solicit and evaluate proposals, and make an award on or about 31 July 2016. Catalyst Professional Services Inc. has the existing management and support structure, resources, and demonstrated experience to perform these services.
9. Interested Sources: To date, no other sources have written to express an interest.
The notices required by FAR 5.201 of our intent to award a sole-source contract for this
(See FAR 2.101 and 3.104-4) requirement was published in FBO and any quotes, proposals, or capability statements received would be considered.
10. Other Facts:
a. Procurement history.
(1) A sole-source interim contract is in place for these services through contract number contract W91YTZ-15-P-0419, which will expire on 31 July 2016. The original Indefinite Delivery Indefinite Quantity (IDIQ) contract for these services through contract number W81K04-08-D-0024, expired on 28 March 2014. This contract had a maximum ceiling value of $60,000,000,00 million and a performance period of 29 September 2008 through 28 September 2013 with the authority of FAR 52.217-8 extending performances until 28 March 2014. Following the original contract, the Government awarded contract number W81K04 14-D-0003, which expired 28 September 2015. Contract W81K04 14- D-0003 had a maximum ceiling value of $26,000,000.00 million and performance period of 29 March 2014 through 28 March 2015 with the authority of FAR 52.217-8 extending performances until 28 September 2015. This IDIQ contract served as the first contract awarded after the prior contract W81K04-08-D-0024. A sole-source purchase order was issued to the incumbent contractor, Catalyst Professional Services, Inc. (herein referred to as Catalyst), extended the period of performance from 28 September 2015 through 31 January 2016 at a value of $1,531,977.85. An extension of services was exercised by the Government which further extended the period of performance to 31 July 2016. The estimated value of this action is $2.8 million for the maximum 6 month extension allowable under FAR Clause 52.217-8 with a performance period of 1 February 2016 through 31 July 2016. There are no provisions under the current Purchase Order for any option to extend services beyond 31 July 2016
(2) Competitive Status of These Actions. The government is in the process of procuring the required services with solicitation W81K04-15-R-0005 to be awarded within ninety (90) days barring any unforeseen challenges.
(3) Authority previously used for less than full and open competition. The statutory authority permitting other than full and open competition 41 U.S.C. 1901 as implemented by FAR 13.5—Procurement of services as required by one source utilizing simplified acquisition procedures.
(4) Summary of previous use of J&A. The current contract was awarded sole source to Catalyst through contract number W91YTZ-15-P-0419 expires on 31 July 2016. The previous contract was awarded based on adequate competition. It was the Government’s intent to also accomplish the follow-on contract on the basis of adequate competition; however as the result of the limited availability of appropriate Army resources, i.e. unforeseen staffing shortages coupled with an increased contract
(See FAR 2.101 and 3.104-4) workload due to the end of the Government fiscal year, there have been major delays in the acquisition process impacting the scheduled contract award date of 29 September 2015, which would have allowed a sufficient transitional timeframe for services to continue.
(5) If prior award accomplished by full and open competition, a detailed explanation of the changed circumstances. Not Applicable
(6) Explanation of unusual patterns revealed by history, e.g., several consecutive, urgent buys. Not Applicable.
(7) If J&A was previously used for this requirement, describe circumstances for justification & any significant changes. See paragraph 10(a) (4). Summary of previous use of J&A.
