FAR Part 6 Justification and Approval for Other than Full and Open Competition

1. Contracting Activity: Army Geospatial Center (AGC), Contracting Office

2. Description of Action: The Army Geospatial Center requests a Firm Fixed Price (FFP) contract with GATR Technologies in Huntsville, AL. Operations and Maintenance funds will be used in support of this requirement. This is a new requirement.

3. Description of Supplies: The Army Geospatial Center requires spare antenna parts for the GATR TRAC antenna that supports the Remote Ground Terminal (RGT) System.

These parts include:

one GATR TRAC 2.4m Antenna and RF components one GATR TRAC Pedestal with Support Arms one GATR TRAC Outdoor Equipment Enclosure

The Army Geospatial Center has the option to purchase parts including:

one GATR TRAC X-Band Feed Kit one GATR TRAC High Data Rate Receiver

The CLIN and estimates are outlined in the Table 2 below.

CLIN Component Estimate 001 One GATR TRAC 2.4m Antenna and RF Components $103,944.73

002 One GATR TRAC Pedestal with Support Arms $204,001.83

003 One GATR TRAC Outdoor Equipment Enclosure $157,501.83

4. Authority Cited: 10 U.S.C. 2304(c)(1), as implemented by Federal Acquisition Regulation (FAR) 6.302-1(a)(2)(iii)(A), Only one responsible source and no other supplies or services will satisfy agency requirements specifically FAR 6.302-1(a)(2)(iii)(A) ) substantial duplication of cost to the Government that is not expected to be recovered through competition.

5. Reason for Authority Cited: As described at FAR 6.302-1(a)(2)(iii)(A) substantial duplication of cost to the Government that is not expected to be recovered through competition. Selection of a different vendor would result in a tremendous loss of past and present investments in hardware and integration. Transitioning to another supplier would introduce duplicative costs detailed in the succeeding paragraphs, which are expected to save zero dollars through competition. Costs would include:

1. Development of parts to function with GATR TRAC antenna

2. Integration of antenna parts with the Remote Ground Terminal System

1. Development of parts to function with GATR TRAC antenna. This cost includes the development costs to produce an antenna that meets the specific requirements of the RGT system including the antenna must be able to be checked on commercial airline and track low Earth orbiting satellites. It also includes to cost to purchase the items needed to develop this antenna. Table 3 below summarizes the cost for development of parts to function with GATR TRAC antenna.

Without a sole source award to GATR Technologies for these spares, the Government would incur duplicative costs. Parts and/or antennas purchased from outside GATR technologies would require integration into the antenna and the RGT system. The integration of a new antenna would cost over $1.1 million. This estimate is based on engineering hours necessary on efforts previously executed to develop antennas throughout the history of the RGT program as well as research into the open commercial market as illustrated in Tables 1 through 7. In addition, the Government would incur a cost for purchasing the antenna itself, which the Government already owns estimated at a cost of $865,000. This estimate is based on research into the commercial markets as well as historical acquisition data. The Technical Data Package (TDP) is not available because any competitive offer would require a new proprietary solution.

6. Efforts to Obtain Competition: In accordance with FAR 5.201 this action was synopsized on the Federal Business Opportunities (FBO) website.

a. Effective Competition: Because this is a sole source action, effective competition is not applicable.

b. Subcontracting Competition: Third party vendors are not authorized to sell GATR

TRAC equipment, and due to the proprietary nature of GATR TRAC’s equipment they are not authorized to provide maintenance nor engineering support, thus limiting competition.

7. Actions to Increase Competition: AGC recognizes that competition is important to the Government and this Agency is going to take the following steps to affirmatively encourage and increase competition in future requirements:

a. Attend conferences/exhibitions, reviewing trade journals, conducting internet research and through open discussion with industry and geospatial experts, as well as through FBO.

b. Address the current Contractor with the feasibility of having distributors and allowing those distributors to deal with the Government on their products and

c. Address the current Contractor to make the GATR TRAC antenna and the spare parts available on their current General Supply Administration (GSA) schedule.

d. Continually surveying the market for comparable GATR TRAC antenna and spare parts that AGC requires to determine whether another manufacturer has emerged that could meet all of AGC’s antenna and spare parts requirements.

8. Market Research: In accordance with Defense Federal Acquisition Regulation Supplement (DFARS) 205.205-71, DFARS 206.302-1(d), and DFARS Procedures, Guidance and Information (PGI) 206.302-1(d), a Request for Information (RFI) with the intention to sole source was posted to the Federal Business Opportunities (FBO) website to research industry’s interest in this procurement on 18 August 2017, closing 05 September 2017. This resulted in no other sources expressing an interest.

Overall, market research showed that there are other antenna providers available in the open market. However, none of these sources were able to provide spare parts that would be compatible with the unique and proprietary GATR TRAC antenna.

Market research was conducted via the various methods including government databases, industry days and events, and previous acquisition history. These methods are discussed below.

AGC employees have searched government databases and sources for these spare parts including the GSA Schedule 70 in early June 2017. This showed the availability from GATR Technologies.

These parts and antennas available were not compatible with the GATR TRAC antenna because of its uniqueness. The GATR TRAC was designed specifically to meet RGT system requirements which include the antenna must be transportable via commercial airline checked luggage, must be a tracking antenna, and must be X-band receive only. Therefore, the spare parts that will need to be purchased will have to come directly from GATR Technologies.

AGC employees have also attended numerous industry events including GEOINT Symposium 2017 and the Small Satellite Conference hosted by Space Dynamics Lab August 2016 in Logan, Utah.

These conferences have proved there are other satellites available, but no parts that are compatible with the GATR TRAC antenna.

The Army Geospatial Center (AGC) previously acquired a complete GATR antenna through Spiral 5 of the Remote Ground Terminal (RGT). The main developer of the RGT System, MDA Information Systems, worked with GATR Technologies to develop the GATR TRAC antenna to meet the requirements of the RGT System. This antenna was officially delivered and integrated into the RGT System within Spiral. The antenna is now a fully functional part of the RGT which will transition to operational use with the Program of Record (PoR) Distributed Common Ground System-Army (DCGS-A). The GATR TRAC antenna is now a fully functional antenna that will require spare parts and operational support from a second antenna in garrison. This technology is proprietary to GATR Technologies.

Due to the aforementioned information, the Government has determined that the spare parts needed to work with the GATR TRAC antenna can only be purchased through GATR Technologies and are not currently available on their GSA schedule.

9. Interested Sources: To date, no other sources have written to express interest in the acquisition. Notices required by FAR 5.201 have been published and any bids or proposals received shall be considered.
