In accordance with FAR 6.303, the contracting agency is required to prepare a sole source justification using the format at FAR 6.303-2, as provided below.

(2) Nature and/or description of the action being approved.

The purpose of this document is to obtain necessary approvals for a DIVAS Micro hardware System acquisition in accordance with FAR 6.302-1 (a)(2)(ii). Competition is limited to only one responsible source/manufacturer (Aware Digital) and no other supplies or services will satisfy agency requirements.

The procurement strategy is to issue an open market Request for Quote through FedBizOpps in accordance with FAR Part 12 Acquisition of Commercial Items.

(3) A description of the supplies or services required to meet the agency’s needs (including the estimated value).

DESCRIPTION & QUANTITY

DIVAS Micro Hardware System

1. DIVAS Micro Hardware System - 5 Device Camera/Encoder Kit (Quantity: 7)

All-In-One DIVAS Platform. Meets MIL-STD 1472 @ System weight of 35Lbs for Single Man Lift.

Includes:

- 1 x Ruggedized computer system, Intel Core i7 960, LTO5 drive, DVD Writer, Dedicated Graphics Card headphones.

- 4 x POE IP Cameras and microphones

- 1 x POE Analog Video Encoder

- Travel Case for computer system

- Equipment case for cameras, encoders and accessories.

- Tripods, microphones, recording kit with all associated cables.

2. DIVAS-MICRO - System Software License. (Quantity: 7)

Base software license package for up to 5 direct connect video devices. 5 Device License. Expandable for IP cameras. Can be upgraded. Allows full recording, LTO5 on-board archiving and storage management. Requires one VDL per camera or encoder. Permanent License. Does not include yearly software maintenance.

3. DIVAS-MICRO - External Storage Expansion Module. External Raid. (Quantity: 7)

Array, 8 bay hotswap system featuring Raid6, 8 x 2TB enterprise hard drives, esata cable, Push Buttons and LCD Display Panel for setup and status, pelican case custom foam insert. Dimensions are 146 x 302 x 290mm.

4. DIVAS-MICRO - Storage Management Module for DIVAS Micro and AIO units. One license per unit. Allows external and internal storage selection management and encryption management for separated storage configurations.

10 U.S.C. 2304(c)(1) authorizes the Department of Defense (DoD) to contract without full and open competition under certain circumstances. For this acquisition, other than full and open competition is permitted per FAR 6.302-1 (a)(2)(ii).

(5) A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited.

The Digital Interrogation Video Archive System (DIVAS) is a Congressionally mandated requirement to maintain audio-video records of “strategic” interrogations specified in the Section 1080 of Public Law 111-84, the National Defense Authorization Act for Fiscal Year 2010, 28 Oct 09. The requirement is further delineated by the Office of the Under Secretary of Defense for Intelligence (USD(I)) Directive Type Memorandum 09-031, “Videotaping or Otherwise Electronically Department of Defense,” 10 May 10, which placed the responsibility on Department of Army to execute this program, now referred to as Digital Interrogation Video Archive System (DIVAS).

The contract is a one-time buy to provide the Army G2 with the pre-stage capability to record & archive strategic level interrogations anywhere, anytime, in any environment. The seven (7) systems are required for 24/7 capability to conduct worldwide deployments. This is in addition to the existing (3) fixed-site locations. These systems provide the same capabilities as the main DIVAS systems already deployed OCONUS.

The system produces protected recordings of archival quality complaint with National Archives and Records Administration requirements and compatible with the DIVAS Central Control Point (CCP) and Repository operated by the USAINSCOM Investigative Records Repository, at Ft. Meade, MD.

In regards to the software, Video Guardian I is uniquely designed and developed by Aware Digital. Their programmers developed and maintain the software, respond to trouble reports and issue updates on an as needed basis. They also own all of the rights to Video Guardian.

The hardware is a mix of COTS, modified COTS and includes some items that are uniquely built and developed by Aware Digital. For example, all of the items in the DIVAS Micro Accessory Kit, IP Cameras, Encoder, Microphones, Tripods, headphones and cables are all COTS items. The computer is modified COTS, it has been specially configured with the necessary hard drives to provide the 4 TBs of storage, a single LTO-5 Tape unit and input/output boards to handle the IP cameras, encoder and barcode reader. Finally, the DIVAS Micro Dust Cover and Protection System Option was specially designed and built by Aware Digital.

Lastly, Aware Digital also performs integration and testing to ensure the hardware elements were capable of working together and then insure that the software performs the necessary operations to control the hardware and that the operator was able to perform the required inputs necessary for DIVAS operations.

(6) A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.2 and, if not, which exception under 5.202 applies.

The J&A will be posted on FedBizOpps in accordance with FAR 6.305.

(7) A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable.

The Government cost estimate is $XXX,XXX.XX with a delivery date of 31 December 2012.

In determining a fair and reasonable price, the Contracting Officer will evaluate a more detailed breakdown from a formal Independent Government Cost Estimate (IGCE). The detailed estimate will provide the estimated price of the same or similar items as the item to be purchased that is identified above. The estimated price will be compared to established pricing on other Government contracts, such as the General Services Administration’s (GSA) Federal

Supply Schedule (FSS) for the same or similar items. Additionally, price comparisons will also be accomplished from as many other sources as possible, including commercially as well as any Government-Wide Acquisition Contracts

(GWAC).

These products are available from one authorized reseller. Based on market research, it is anticipated that open market pricing will be fair and reasonable.

By leveraging AGC’s current use of the Aware Digital, Inc. product and services, along with open market price comparison of the COTS items that comprise Aware Digital’s video system, the contracting officer is confident in obtaining the best value for AGC.

(8) A description of the market research conducted (see Part 10) and the results or a statement of the reason market research was not conducted.

In 2009, the United States Army Intelligence and Security Command (INSCOM) Technology Application Division (TAD), solicited input from vendors to address the problem of recording, securing, transporting, and archiving audio/video tapes at strategic level interrogations sites. At that time, Aware Digital was selected as the sole source for the development of a secure audio/video, archiving system to be used in strategic interrogations to meet the Congressional mandate. Based on the proprietary nature of the software and hardware, there is no other vendor that can replace Aware Digital products at the interrogation sites without a 3-6 developmental month lead time. These seven (7) systems are required now to meet Army operational contingency needs.

Although Aware Digital is the sole source distributor of the DIVAS system, an RFQ was posted on CHESS IAW Army ordering procedures. Based on the RFQ posted to CHESS, a waiver was issued by CHESS for the sole source purchase of the 7 DIVAS micro systems.

Availability and pricing information was sought from: CHESS and Open Market Vendors.

Market research was conducted for the purpose of seeking as many potential sources as possible. Aware Digital, Inc.

is the sole manufacturer and provider of the micro computer systems, and there are not multiple distributors with the required hardware/software/maintenance and support available on the open market. The J&A will be posted on FedBizOpps in accordance with FAR 6.305.
