| (b) The TDP itself is not secret and therefore an offeror does not need to possess a Facility Clearance (FCL) to receive the TDP. An offeror is required to possess an FCL to access the secret reference. The secret reference is required to properly quote and execute the contract. | 9 | Synopsis | What is the FAR requirements for subcontracting with Large Businesses when a contract is awarded as a small business set-aside? |
Specifically, can you direct me to the FAR guidance or answer which of the below is correct?
(1) a small business concern that is awarded a small business set aside contract may NOT subcontact any portion of the award to a large busines; and
(2) the small business concern absolutely CAN subcontact to a large business as long as the subcontract is less than 50% of the award value.
| FAR 52.219-14, "Limitations on Subcontracting," provides the regulation which states under 52.219-14(c)(2) that, for supplies, the concern shall perform work for at least 50% of the cost of manufacturing the supplies, not including the cost of materials. DEVIATION 2019-O0003 applies to this clause which introduced the concert of a "Similarly Situated Entity". A Similarly Situated Entity is defined as a first-tier subcontractor, including an independent contractor, that has the same small business program status as that which qualified the prime contractor for the award and that is considered small for the NAICS code the prime contractor assigned to the subcontract the subcontractor will perform.. Class Deviation 2019-O0003(e)(2) states, "Supplies (other than procurement from a non-manufacturer of such supplies), it [the Offeror/Contractor] will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count toward the 50 percent subcontract amount that cannot be exceeded. In conclusion, a small business concern may subcontract with a Large Business, but the total value of all subcontracts with other than similarly situated entities shall NOT be greater than 50% of the prime contract value. | 10/16/19 | 10/23/19 | |||

(2) OR, is it possible that the “Receipt of Order” (for Production kits) could come prior to FAI approval? In this case it is possible for production kits to be required prior to 480 days after contract award.
(3) Regarding “90 Kits per month”: Does this mean 90 kits of a combination of unspecified kit types, or 90 kits of each type (5 types, 450 total) per month?
