Section SF 1449 - CONTINUATION SHEET
SOLICITATION / CONTRACT FORM
A.1 DESCRIPTION OF THE ACTION
This requirement is for a Firm Fixed-Price, Commercial, Blanket Purchase Agreement (BPA) primarily for the supply of toner (e.g., ink) and parts with required maintenance and/or repair.
A.2 BPA CEILING VALUE
A.2.1 The ceiling value of this BPA is set at $5 Million.
A.3 SCOPE OF THE BPA
The BPA covers the maintenance and repair of any printer or MFD used by the Detroit Arsenal, its Depots and Arsenals, and its tenant organizations. The contractor will be responsible for maintaining and repairing the following MFD and desktop (network) printer manufacturers: Canon, Dell, Hewlett-Packard (HP), Konica Minolta, Lexmark, Ricoh, Sharp, and Xerox. Models that are currently used by the Detroit Arsenal, its Depots and Arsenals, and its tenant organizations include those listed in Attachment 0002. Important to note, the scope of the BPA may include manufactures and models other than those listed in paragraph H.1.5.1 and Attachment 0002 as the printer and MFD industry is likely to evolve over the next five years.
A.4 SOLICITATION STRUCTURE
A.4.1 The Government will utilize North American Industry Classification System (NAICS) code 333316, Photographic and Photocopying Equipment Manufacturing for the BPA solicitation and resultant Agreement, as it encompasses the effort likely to account for the greatest percentage of contract value. This NAICS code, 333316, will also be used for all BPA Calls issued against the BPA.
In accordance with 13 CFR 121.404(a)(1)(i), the offeror's size status will be determined at the time initial proposals for the BPA are submitted. If a business is small at the time it submits its proposal for the BPA, the business remains small for each BPA Call issued against the BPA unless the Contracting Officer requests a new size certification in connection with a specific BPA call. The contracting officer reserves the right to request a size certification in connection with any specific BPA call issued against the BPA.
A.4.3 System for Award Management (SAM), Size Standards, and NAICS Codes
Failure to register in SAM for the corresponding NAICS code identified in paragraph A.4.1 prior to submitting a proposal against the BPA may preclude an award being made to your company. If the offeror is comprised of multiple teammates, each concern in the Contractor Teaming Arrangement (CTA) shall be registered in SAM for the type of work it does and shall meet the small business size standard for the corresponding NAICS code identified in paragraph A.4.1.
A.4.4 Evaluation of Proposals
The Government will make an award to the offeror who represents the best value in accordance with FAR 8.404. The Government will assess the proposed ceiling prices in the General BPA Pricing workbook (Attachment 0001) and the total evaluated price from the representative BPA Call 0001 workbook (Attachment 0002) using one or more of the price analysis techniques and procedures identified in FAR 15.404-1 to determine reasonableness of the proposed prices to accomplish the solicitation requirements.
Award will be made to the lowest responsible offeror.
The Government will evaluate all offerors responding to the BPA solicitation using a representative BPA Call (Attachment 0002). This representative BPA Call is intended to be demonstrative of the type of work that may be awarded under this BPA in the future.
The Government reserves the right to make an award against this representative BPA Call on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.
A.5 CONTRACTING TEAMING ARRANGEMENTS (CTAs)
The Government encourages the use of CTAs for any contractor who does not have the capability in and of themselves to perform the entire scope of this BPA. The CTA membership arrangements shall be identified and the company relationships fully disclosed in the offeror’s proposal. A copy of the agreement establishing the CTA shall contain the signatures of all members of the CTA, along with the schedule contract numbers of each CTA member, and the percentage/type of work each CTA member will likely perform. The Government will maintain privity of contract with each CTA member.
A single CTA member should lead the arrangement from an invoicing perspective;
multiple invoices are not preferred.
A.6 NUMBER AWARDS ANTICIPATED
The Government intends to award one BPA in response to this solicitation.
A.7 BPA PERFORMANCE PERIOD
A.7.1 The BPA will be structured with one 12-month base period and four 12-month option periods. Prior to exercising the option years, the Government will review the BPA in accordance with FAR 8.405-3(e).
STATEMENT OF WORK
Statement of Work (SOW)
PART I
General Information
C.1. GENERAL: This requirement is for a Firm Fixed-Price, Commercial, Blanket Purchase Agreement (BPA) with one 12-month Base Year and four, 12-month Option Years primarily for the supply of toner (e.g., ink) and consumable supplies. Ancillary to this requirement is an occasional repair or preventative maintenance inspection to mitigate the time the machine(s) are inoperable.
C.1.1. Description of Requirements/Introduction: The Contractor shall provide all English speaking personnel and management, equipment, tools, supplies, materials, transportation, and any other items and maintenance necessary to perform the functions of this SOW. The Contractor shall provide all required aspects of operational and maintenance support including emergency repair. The contractor is responsible for maintaining and repairing printer(s) and MFD(s) covered by H.1.5.1.
C.1.2. Background: Detroit Arsenal has a systemic problem of a recurring requirement for identical printer/MFD procurement instruments and methods for the supply of toner, parts, and maintenance. This has caused an excessive administrative burden. To address this requirement adequately and efficiently, ACC-WRN determined that establishing a Supply BPA against current GSA Federal Supply Schedule contracts is the most appropriate action.
C.1.3. Objective: Establish a single-award supply BPA where the contractor shall provide toner, parts, and required maintenance and/or repair for all printer(s) and MFD(s). The exact number of printers and MFDs the contractor is responsible for will fluctuate during the entire performance period, as BPA calls are awarded.
C.1.4. Scope: The contractor shall provide toner and parts with required maintenance and/or repair for the places of performance listed in C.1.6.3.
C.1.5. BPA Period of Performance: 12-month Base Year with 4 12-month Option Years.

SPECIAL CONTRACT REQUIREMENTS
H.1 ISSUANCE OF BPA CALL REQUIREMENTS
The following ordering procedures apply to all BPA calls issued against the BPA. The Government, through a BPA call, will acquire any supplies or services needed to perform work against the scope of this BPA.
H.1.1 Authority to Place a Task Order:
The BPA will only be used by Detroit Arsenal, its Depots and Arsenals, and its tenant organizations at the locations identified in C.1.6.3 above. No delegation authority will be granted to other contracting offices outside of ACC-WRN.
H.1.2 Types Of BPA Calls:
All BPA calls placed against this BPA will be Firm-Fixed-Price.
H.1.3 Unauthorized Work:
The contractor shall only commence work after the BPA call has been awarded by the contracting officer.
H.1.4 Task Order Funding:
Funding will be authorized and obligated at the BPA call level.
H.1.5 Scope of the BPA Call:
H.1.5.1 The contractor, as an independent contractor and not as an agent or employee of the Government, shall furnish to the Government all necessary labor, services, and materials required to accomplish the work efforts as specified in the fully executed BPA call. All tasks to be performed at the BPA call level shall be within the scope of the BPA. The Government is only liable for work authorized under the terms and conditions stated in the BPA call.
H.1.5.1 The BPA covers the maintenance and repair of any printer or MFD used by the Detroit Arsenal and its tenant organizations. The contractor will be responsible for maintaining and repairing the following printer/MFD manufacturers: Canon, Dell, Hewlett-Packard (HP), Konica Minolta, Lexmark, Ricoh, Sharp, and Xerox. Models that are currently used by the Detroit Arsenal and its tenant organizations include those listed in Attachment 0002. Important to note, the scope of the BPA may include manufactures and models other than those listed in paragraph H.1.5.1 and Attachment 0002 as the printer and MFD industry is likely to evolve over the next five years.
H.2 BPA CALL PRICING
H.2.1 BPA calls will be priced by the Government using the prices proposed, evaluated, and awarded in the contractor’s General BPA Pricing (Attachment 0001) workbook.
The prices in the workbook are all inclusive of labor, travel, materials, consumable supplies (excluding staples and paper), repair parts, and any indirect rates and profit.
H.2.1.1 BPA calls may be priced on either a per page basis, or an unlimited basis (meaning: the Government can make as many impressions per month, at the awarded FFP). Attachment 0001 covers both options. The Government will decide which pricing structure is most advantageous to the Government, based on the scope and magnitude of the BPA call.
H.2.1.2 The Government will determine the monthly Print Volume based on the monthly demand anticipated by each customer’s Printer/MFD.
H.2.1.2.1 In order to determine the price to maintain and repair each MFD covered by the BPA call, the Government will take the total number of monthly impressions planned, and multiply it against the price per page in order to derive a monthly price per MFD. The monthly price per MFD will then be multiplied against the number of months the contractor will be responsible for maintaining and repairing the MFD. A single BPA call will likely support several MFDs. The Government intends to group the MFDs into as few CLINs as administratively possible at the BPA call level.
H.2.1.3 The Government will pay for overages for each impression it exceeds on an annual basis. Overages will NOT be determined based on impressions exceeded in a given month, as there will likely be periods of overruns or underruns over the course of the CLIN performance period. Overages will be determined on a per customer basis.
If a single customer has several MFDs on a CLIN, the total annual impressions for each MFD added together equals the maximum annual impressions for a CLIN. Overages will apply for this CLIN when impressions exceed the CLIN annual impression total. Each CLIN will have a maximum annual impression total for black & white impressions and for color impressions.
For example, CLIN 0001 has 3 MFDs and each MFD has an annual black and white total of 10,000 impressions. The individual annual black and white impressions added together is 30,000 impressions. If the number of impressions exceeds 30,000 impressions, then the government will pay for overages.
H.2.1.4 The contractor shall assume that all equipment added to this BPA has been actively maintained by an Authorized Service Organization (ASO) or Original Equipment Manufacturer. At its own expense, the contractor may inspect and assess each machine when added to a BPA call. If both parties mutually agree that repairs are required after inspection, the Government may utilize this procurement instrument to procure the repair parts or may procure the parts via some other means (such as through a Government Purchase Card). If procured through this BPA, the Government will perform a price analysis on all repair parts in order to determine price reasonableness.
H.2.1.5 The contracting officer will comply with FAR 8.404(d) (DEVIATION) when placing orders against the awarded BPA.
H.3 TOTAL SATISFACTION GUARANTEE
H.3.1 So long as the Government has complied with all terms of use of the printer/MFD, the contractor shall provide a “like for like” replacement at no additional cost to the Government if the machine fails to adequately operate. A “like for like” replacement shall be similar in terms of total number of impressions and segment classification.
H.4 WORK ON A GOVERNMENT FACILITY
In performing work under this contract on a Government facility, the contractor shall:
H.4.1 Conform to the specific safety requirements established by this contract and task orders issued hereunder;
H.4.2 Observe all rules and regulations issued by the installation Commanding Officer, if applicable, pertaining to occupational safety, fire, safety, working conditions, sanitation, severe weather, and admission to the installation;
H.4.3 Establish a safety and health program in accordance with Occupational Safety and Health Standards (OSHA) standards 29 CFR 1910 and 1926. The contractor shall use local supplements, regulations and policy, and national consensus standards, as changed or amended, when applicable;
H.4.4 Take all reasonable steps, safety protection, and precautions to prevent accidents and preserve the life and health of Government and contractor personnel during performance under this contract or task orders issued hereunder;
H.4.5 Provide and enforce the use of all required Personal Protective Equipment (PPE), as prescribed in the applicable OSHA Standard, if specified for use in task orders issued hereunder. The contractor shall disclose the areas which require the wearing or use of PPE and/or clothing to its employees through the use of signs;
H.4.6 Obtain all necessary security and access credentials for new contractor employees prior to the reporting date if working on a Government installation. Copies of completed security documents and any supporting material (copies of court dispositions, etc.) are to be hand-carried to the Security Office by the new employee after obtaining an access badge. All documents shall be presented to obtain an appropriate contractor’s security badge. Upon completion and/or termination of a contract employee’s employment, the contractor shall ensure all security ID badges (i.e., contractor’s badge and common access card (CAC)), car decals, and any other property of the Government is returned to the Government POC for appropriate disposition. Additionally, privately owned vehicles belonging to contractor personnel are subject to search pursuant to applicable regulations. The award of this MA IDIQ contract does not authorize access to any military installation. Any violation of an installation regulation or of state or federal statute may result in the termination of the privilege to enter the military installation. The contractor is responsible for any costs associated with replacing an employee that is barred from a Government installation.
H.4.7 Obtain approval from the Government prior to using any radioactive or radiation-emitting material(s) and item(s), if specified for use in task orders issued hereunder.
H.5 CONTRACTOR PERFORMANCE ASSESSMENT REPORT (CPAR) AND CPARS
H.5.1 The contractor shall access the CPARS website via http://www.cpars.gov/.
H.5.2 A CPAR is required when a contract/task order meets the established dollar threshold for its business sector as defined in AFARS 5142.1502-90(a). However, the PCO may require a CPAR valued below those thresholds. Additionally, a CPAR is required in all instances of termination or partial termination for default or cause immediately upon notification to the contractor, regardless of the dollar value of the contract or task order. The contracting office and/or the Government POC may provide relative information to the PCO regarding the contractor's performance to include the following areas: Technical (Quality of Product or Services); Schedule; Cost Control;
Management (Responsiveness, Subcontract Management, Program Management or Other Management); and Management of Key Personnel (for Services and Information Technology Business Sectors). The assessment/review will be accomplished through CPARS. The completed evaluations will not be released to anyone other than Government personnel and the contractor whose performance is being evaluated.
Within the time specified in the individual task order, the contractor shall provide the PCO with the name of the person who will be responsible for accepting or disputing the CPARS created by the Government.
H.5.3 An interim CPAR is required for new task orders meeting the thresholds identified in AFARS 5142.1502-90(a) and that have a period of performance greater than 365 calendar days. Interim CPARS are also required every 12 months throughout the entire period of performance of the task order up to the final report. Additionally, an interim CPAR is also required upon a significant change within the agency, provided that a minimum of six months of performance has occurred, such as a change in program or project management responsibility or a transfer of a contract to a different contracting activity.
H.5.4 A final CPAR will be completed by the Government upon task order completion.
Final reports are to be prepared on all contracts meeting the thresholds established in AFARS 5142.1502-90(a) with a period of performance of less than 365 calendar days but no more than 18 months. The final CPAR will only address information on the period of performance since the last CPAR.
H.6 FREQUENCY OF ORDERING
H.6.1. The Detroit Arsenal, its Depots and Arsenals, and its tenant organizations currently have approximately 250 printers/MFDs needing toner, consumable supplies, and maintenance. The majority of these printers/MFDs will be awarded as part of the representative BPA Call 0001 (Attachment 0002). The Government expects to remain in the ballpark of 250 printers/MFDs (±100 printers/MFDs) over the life of this BPA.
