*** End of Narrative A0000 ***
1. Army Contracting Command - Rock Island (ACC-RI) has a requirement for Army Cloud Computing Enterprise Transformation (ACCENT). The
ACCENT requirements are to provide commercial cloud solutions for eligible Army enterprise applications. The Army is moving designated
Information Technology applications, systems, and associated data to the commercial cloud. ACCENT will be used to allow Army application and mission owners to obtain cloud transition support services and commercial cloud hosting services in any combination. The solicitation will result in multiple Basic Ordering Agreements (BOAs). The ACCENT BOA will be the Armys preferred source used by all
Army commands and organizations requiring commercial cloud services.
a. The BOAs will be valid for a three-year ordering period and will be reviewed for changes and on ramped annually. On ramped indicates adding additional BOA holders by evaluating the new submissions by the same process used in this solicitation.
b. The estimated cumulative contract maximum for all Task Orders for all BOAs will be $247,700,000.00.
c. The execution of a BOA does not guarantee that the Government will place future contracts or orders with the contractor. There is no guaranteed minimum for BOA holders.
2. The Government (USG) will evaluate proposals using the two step execution process outlined below.
STEP 1 BOA EXECUTION:
a. The USG will execute no-cost BOAs to offerors whose proposals in response to solicitation, W52P1J-16-R-0194, are found to meet all the criteria stated in Section M.
i. No pricing information is requested at this time. The BOA execution will not evaluate any prices. Pricing will be determined at the
Task Order level based on competition, or as otherwise identified in the Task Order Request (TOR).
ii. This solicitation includes provisions and clauses that will apply to future Task Order (TO) requirements as they are applicable. The
TOR will provide all required provisions and clauses applicable to that specific requirement. The clauses listed in the BOA are listed as potential clauses for the TO contracts. No requirements are awarded with execution of a BOA.
iii. Only ACC-RI is authorized to execute, modify, and undertake annual review of BOAs resulting from this solicitation.
iv. The TO awards will be decentralized. Only Army activities are authorized to execute orders under BOAs resulting from this solicitation.
STEP 2 TASK ORDER COMPETITIONS:
b. The cognizant contracting office will issue competitive TORs for specific ACCENT requirements.
i. The Product Lead Enterprise Computing (PL EC) Army Application Migration Business Office (AAMBO) serves as the requiring activity focal point for all ACCENT requirements. All potential ACCENT requirements shall be reviewed by the AAMBO office prior to execution under these BOAs. TOs cannot be issued under this BOA for requirements which have not been reviewed by the AAMBO.
ii. TOs will identify the specific requirements, to include the contract type and evaluation procedures. (See Section H for specific TOR details.) Holding a BOA does not mean that offerors will be eligible to propose on all requirements. See Section H "SPECIAL CONTRACT
REQUIREMENTS" under "TASK ORDER PROCEDURES" for more information.
iii. TOs will be awarded and administered by the cognizant Army Contracting Office competing the requirements.
3. The prime contractor may be a company acting as a Systems Integrator or the Cloud Service Provider (CSP), as the DoD-Provisional
Authorization (PA) holder, itself. Requirements identified within the PWS apply to all contractor teams. If the requirements are specific to the CSP that is hosting the data, it is the prime contractor's responsibility to ensure the CSP, and any of its team members, meet specific requirements.
4. Offerors are required to maintain the capabilities as proposed under the BOA. If multiple DoD-PA certifications are held under the
Offeror's BOA, the Offeror must, at a minimum, maintain the DoD-PA certification capabilityrequired under the specific Task Order in
2 62

order to be considered for award.
BOA holder's should use the annual review of the BOA to change, update or add DoD-PA Certifications to the BOA. Should the offeror only hold one. DoD-PA certification and its validity is questioned or cancelled, the BOA holder shall immediately notify the BOA contracting officer.
5. NOTICE OF ORGANIZATIONAL CONFLICT OF INTEREST (OCI)
It is the intent of the USG to use the services of a support contractor to assist in the administrative support and assist as a subject matter expert of the USG's evaluation of proposals submitted under this solicitation. However, the exclusive responsibility for
Execution Decision remains with the USG.
Offerors are hereby notified that NES Associates, LLC will be used as a support contractor under this solicitation. The Army contract with NES Associates, LLC prohibits the unauthorized use or disclosure of any data submitted with proposals or in any way associated with this acquisition. In accordance with FAR subpart 9.5, NES Associates, LLC is prohibited from either offering on this solicitation or participating in any resultant contract.
These individuals will be authorized access only to those portions of the proposal data and discussions that are necessary to enable them to perform their respective duties. Support contractor and subcontractor personnel performing work under this BOA may receive, have access to or participate in the review of proprietary or Execution Decision information.
These support contractors will be required to protect the Offerors' information from unauthorized use or disclosure for as long as it remains proprietary and refrain from using the information for any purpose other than that for which it was furnished. Proprietary information will be stored only on USG computers and any printed copies will remain in government possession only.
All contractor personnel included in the Execution Decision organization are required to sign a Nondisclosure, Conflicts of Interest, and Rules of Conduct Certificate, which requires the participating individuals to protect Execution Decision and proprietary information in accordance with the Procurement Integrity Act.
Offerors are hereby notified that by submitting a proposal under this solicitation, they are consenting to release of their proposals to the above support contractors for the purpose of evaluation of their proposals.
6. This Executive Summary is provided for administrative assistance only and is not intended to alter the terms and conditions of the solicitation. Provisions of the solicitation and technical data shall prevail, should inconsistencies exist.
7. The closing date and time is identified on page 1 of this solicitation. Offerors interested in submitting a proposal for ACCENT must submit a proposal in response to this solicitation by the closing date and time. Offerors may submit questions up to ten (10) days prior to the closing date.

SECTION H - SPECIAL CONTRACT REQUIREMENTS
1. TASK ORDER COMPETITIONS:__________________________
As requirements for cloud hosting services arise, a Task Order request (TOR) will be competed among the qualified BOA holders in accordance with the procedures listed here and in the TOR. Each BOA will designate the conditions under which they are eligible to propose based upon the DoD-PA certificates held for each BOA holder and the impact level approved for each certificate holder. Any changes or additional DoD-PA certification acquired must be submitted to the BOA Contracting Officer for approval. Each TOR will define the specific services to be acquired and any other requirements for the services being procured.
a. The cognizant Ordering Contracting Officer (OCO)will issue a TOR to the BOA holders upon identification of the need for an order.
The USG's TOR does NOT constitute an authorization to start work nor serve as a basis for any future claims against the USG.
i. Task Orders (TOs) may utilize the following contract types: Fixed Price (FP), Firm Fixed Price (FFP), labor-hour, or Time and
Material.
ii. TOs may be evaluated utilizing the following procedures: Best Value Tradeoff, Low Price Technically Acceptable (LPTA), or Price only. Evaluation criteria that may be used at the TO level are: Technical, Management, Organizational Capability, Past Performance, Small Business Participation, Price and any subfactors under each of the factors as determined by the TOR Contracting Officer.
iii. TOs shall contain a Small Business Participation evaluation factor for all contractors holding a BOA (with the ability to propose for the stated requirements); Small Business Subcontracting plan is required by other than small business concerns only (Separate documents). Small Business set-asides must comply with the Limitation on Subcontracting clause.
iv. The TOR OCO reserves the right to apply the "rule of 2" for one or more task order requirements to limit to Small Businesses (SB), when/if the TOR OCO determines two or more responsible SB BOA Holders are capable of executing the requirements of the TOs. In this case, the TOs will be competed to SB BOA holders only.
v. It is the USG's intent to issue TORs that reflect a Performance-Based contracting approach IAW FAR Part 2.101.
vi. Deliverables may be defined and required at the TO level. When deliverables are required, the TO will include a Contract Data
Requirements List which will identify the format and delivery schedules for any required deliverables.
vii. Government Furnished Property, Equipment, and/or Materials will be specified at the TO level.
viii. All USG owned data delivered as part of the capability migration will remain USG owned throughout the performance of the TO. The data developed as a result of operating or maintaining the application over the TO Period of Performance(POP) shall be considered USG owned data. All USG owned data shall transition to the USG specified destination upon request by the USG.
ix. TOs may be issued for a maximum period of performance (POP) of five years, to include all options. TORs will include 52.217-5
Evaluation of Options if options are considered. Orders become binding upon acceptance of the order.
x. TOs may utilize commercial contracting procedures. The TOR OCO should consider the following commercial clauses for inclusion if the requirements are determined commercial:
FAR 52.212-1 Instruction to Offerors -- Commercial Items
FAR 52.212-2 Evaluation -- Commercial Items
FAR 52.212-3 Offeror Representations and Certifications -- Commercial Items
FAR 52.212-4 Contract Terms and Conditions -- Commercial Items
FAR 52.212-5 Contract Terms and Conditions Required to Implement Statutes or Executive Orders -- Commercial Items
DFARS 212.301(f) list commercial DFARS clauses
2. Travel:__________
Offeror travel required for performance of TOs awarded under the BOA shall be performed in compliance with DoD Joint Travel Regulations
(JTR). The USG will approve all Contactor travel prior to trip initiation. No local travel will be authorized as part of this BOA or
TOs awarded under this BOA.
3. Postaward Conferences:_________________________
a. The contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with FAR Subpart 42.5, "Post award Orientation."
10 62
Name of Offeror or Contractor:
PIIN/SIIN MOD/AMD
b. An annual meeting with all BOA holders may be necessary to review BOA terms and conditions, discuss potential upcoming requirements, any potential changes to the BOAs, and any other issues deemed pertinent. In addition to annual review requirements, there may be event-driven circumstances requiring BOA or Service Level Agreements (SLA), that are defined at the TO, for review. An example of an event-driven review would include newly published overarching Cloud Guidance/Policy which may impact the Army cloud requirements.
c. The Contracting Officer, COR, OCO, and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings, the Contracting Officer will apprise the contractor of how the USG views the contractor's performance, and the contractor will apprise the USG of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. To reduce cost, post award conferences may be held electronically via webinars or teleconference with briefing materials provided electronically prior to the meeting. I-127 52.216-5 PRICE REDETERMINATION--PROSPECTIVE OCT/1997
(a) General. The unit prices and the total price stated in this contract shall be periodically redetermined in accordance with this clause, except that --
(1) The prices for supplies delivered and services performed before the first effective date of price redetermination (see paragraph
(c) of this clause) shall remain fixed; and
(2) In no event shall the total amount paid under this contract exceed any ceiling price included in the contract.
(b) Definition. Costs, as used in this clause, means allowable costs in accordance with Part 31 of the Federal Acquisition Regulation
(FAR) in effect on the date of this contract.
(c) Price redetermination periods. For the purpose of price redetermination, performance of this contract is divided into successive periods. The first period shall extend from the date of the contract to -TBD-, and the second and each succeeding period shall extend for -TBD- months from the end of the last preceding period, except that the parties may agree to vary the length of the final period.
The first day of the second and each succeeding period shall be the effective date of price redetermination for that period.
(d) Data submission.
(1) Not more than -TBD- nor less than -TBD- days before the end of each redetermination period, except the last, the Contractor shall submit --
(i) Proposed prices for supplies that may be delivered or services that may be performed in the next succeeding period, and --
(A) An estimate and breakdown of the costs of these supplies or services in the format of Table 15-2, FAR 15.408, or in any other form on which the parties may agree;
(B) Sufficient data to support the accuracy and reliability of this estimate; and
(C) An explanation of the differences between this estimate and the original (or last preceding) estimate for the same supplies or services; and
(ii) A statement of all costs incurred in performing this contract through the end of the -TBD- before the submission of proposed prices in the format of Table 15-2, FAR 15.408 (or in any other form on which the parties may agree), with sufficient supporting data to disclose unit costs and cost trends for --
(A) Supplies delivered and services performed; and
(B) Inventories of work in process and undelivered contract supplies on hand (estimated to the extent necessary).
(2) The Contractor shall also submit, to the extent that it becomes available before negotiations on redetermined prices are concluded --
(i) Supplemental statements of costs incurred after the date stated in subdivision (d)(1)(ii) of this section for --

(A) Supplies delivered and services performed; and
(B) Inventories of work in process and undelivered contract supplies on hand (estimated to the extent necessary); and
(ii) Any other relevant data that the Contracting Officer may reasonably require.
(3) If the Contractor fails to submit the data required by subparagraphs (d)(1) and (2) of this section, within the time specified, the Contracting Officer may suspend payments under this contract until the data are furnished. If it is later determined that the
Government has overpaid the Contractor, the Contractor shall repay the excess to the Government immediately. Unless repaid within 30 days after the end of the data submittal period, the amount of the excess shall bear interest, computed from the date the data were due to the date of repayment, at the rate established in accordance with the Interest clause.
(e) Price redetermination. Upon the Contracting Officers receipt of the data required by paragraph (d) of this section, the Contracting
Officer and the Contractor shall promptly negotiate to redetermine fair and reasonable prices for supplies that may be delivered or services that may be performed in the period following the effective date of price redetermination.
(f) Contract modifications. Each negotiated redetermination of prices shall be evidenced by a modification to this contract, signed by the Contractor and the Contracting Officer, stating the redetermined prices that apply during the redetermination period.
(g) Adjusting billing prices. Pending execution of the contract modification (see paragraph (f) of this section), the Contractor shall submit invoices or vouchers in accordance with the billing prices stated in this contract. If at any time it appears that the then-current billing prices will be substantially greater than the estimated final prices, or if the Contractor submits data showing that the redetermined price will be substantially greater than the current billing prices, the parties shall negotiate an appropriate decrease or increase in billing prices. Any billing price adjustment shall be reflected in a contract modification and shall not affect the redetermination of prices under this clause. After the contract modification for price redetermination is executed, the total amount paid or to be paid on all invoices or vouchers shall be adjusted to reflect the agreed-upon prices, and any requested additional payments, refunds, or credits shall be made promptly.
(h) Quarterly limitation on payments statement. This paragraph (h) applies only during periods for which firm prices have not been established.
(1) Within 45 days after the end of the quarter of the Contractors fiscal year in which a delivery is first made (or services are first performed) and accepted by the Government under this contract, and for each quarter thereafter, the Contractor shall submit to the contract administration office (with a copy to the contracting office and the cognizant contract auditor) a statement, cumulative from the beginning of the contract, showing --
(i) The total contract price of all supplies delivered (or services performed) and accepted by the Government and for which final prices have been established;
(ii) The total costs (estimated to the extent necessary) reasonably incurred for, and properly allocable solely to, the supplies delivered (or services performed) and accepted by the Government and for which final prices have not been established;
(iii) The portion of the total interim profit (used in establishing the initial contract price or agreed to for the purpose of this paragraph (h)) that is in direct proportion to the supplies delivered (or services performed) and accepted by the Government and for which final prices have not been established; and
(iv) The total amount of all invoices or vouchers for supplies delivered (or services performed) and accepted by the Government
(including amounts applied or to be applied to liquidate progress payments).
(2) The statement required by subparagraph (h)(1) of this section need not be submitted for any quarter for which either no costs are to be reported under subdivision (h)(1)(ii) of this section, or revised billing prices have been established in accordance with paragraph (g) of this section, and do not exceed the existing contract price, the Contractors price-redetermination proposal, or a price based on the most recent quarterly statement, whichever is least.
(3) Notwithstanding any provision of this contract authorizing greater payments, if on any quarterly statement the amount under subdivision (h)(1)(iv) of this section exceeds the sum due the Contractor, as computed in accordance with subdivisions (h)(1)(i), (ii), and (iii) of this section, the Contractor shall immediately refund or credit to the Government the amount of this excess. The
Contractor may, when appropriate, reduce this refund or credit by the amount of any applicable tax credits due the Contractor under 26
U.S.C.1481 and by the amount of previous refunds or credits affected under this clause. If any portion of the excess has been applied to the liquidation of progress payments, then that portion may, instead of being refunded, be added to the unliquidated progress payment account, consistent with the Progress Payments clause. The Contractor shall provide complete details to support any claimed reductions in refunds.
(4) If the Contractor fails to submit the quarterly statement within 45 days after the end of each quarter and it is later determined

that the Government has overpaid the Contractor, the Contractor shall repay the excess to the Government immediately. Unless repaid within 30 days after the end of the statement submittal period, the amount of the excess shall bear interest, computed from the date the quarterly statement was due to the date of repayment, at the rate established in accordance with the Interest clause.
(i) Subcontracts. No subcontract placed under this contract may provide for payment on a cost-plus-a-percentage-of-cost basis.
(j) Disagreements. If the Contractor and the Contracting Officer fail to agree upon redetermined prices for any price redetermination period within 60 days (or within such other period as the parties agree) after the date on which the data required by paragraph (d) of this section are to be submitted, the Contracting Officer shall promptly issue a decision in accordance with the Disputes clause. For the purpose of paragraphs (f), (g), and (h) of this section, and pending final settlement of the disagreement on appeal, by failure to appeal, or by agreement, this decision shall be treated as an executed contract modification. Pending final settlement, price redetermination for subsequent periods, if any, shall continue to be negotiated as provided in this clause.
(k) Termination. If this contract is terminated, prices shall continue to be established in accordance with this clause for
(1) completed supplies and services accepted by the Government and
(2) those supplies and services not terminated under a partial termination. All other elements of the termination shall be resolved in accordance with other applicable clauses of this contract.
I-128 52.216-7 ALLOWABLE COST AND PAYMENT JUN/2013
(a) Invoicing.
(1) The Government will make payments to the Contractor when requested as work progresses, but (except for small business concerns) not more often than once every 2 weeks, in amounts determined to be allowable by the Contracting Officer in accordance with Federal
Acquisition Regulation (FAR) Subpart 31.2 in effect on the date of this contract and the terms of this contract. The Contractor may submit to an authorized representative of the Contracting Officer, in such form and reasonable detail as the representative may require, an invoice or voucher supported by a statement of the claimed allowable cost for performing this contract.
(2) Contract financing payments are not subject to the interest penalty provisions of the Prompt Payment Act. Interim payments made prior to the final payment under the contract are contract financing payments, except interim payments if this contract contains
Alternate I to the clause at 52.232-25.
(3) The designated payment office will make interim payments for contract financing on the -TBD- day after the designated billing office receives a proper payment request. In the event that the Government requires an audit or other review of a specific payment request to ensure compliance with the terms and conditions of the contract, the designated payment office is not compelled to make payment by the specified due date.
(b) Reimbursing costs.
(1) For the purpose of reimbursing allowable costs (except as provided in subparagraph (b)(2) of this clause, with respect to pension, deferred profit sharing, and employee stock ownership plan contributions), the term costs includes only --
(i) Those recorded costs that, at the time of the request for reimbursement, the Contractor has paid by cash, check, or other form of actual payment for items or services purchased directly for the contract;
(ii) When the Contractor is not delinquent in paying costs of contract performance in the ordinary course of business, costs incurred, but not necessarily paid, for --
