1.1 Purpose and Authority [footnoteRef:2] [2: For additional information please refer to the Department of Defense (DOD), Other Transactions Guide (OTA Guide), Version 1..0, dated November 2018 https://www.dau.mil/guidebooks/Shared%20Documents%20HTML/Other%20Transactions%20(OT)%20Guide.aspx]

The purpose of this Prototype Project Opportunity Notice (PPON) is to award up to four Prototype Other Transaction Agreements (OTA) pursuant to 10 U.S.C. § 2371b, with the goal of delivering 15 Direct View Optic (DVO) Systems with operator manual, MIL-STD-1913 rail compatible mounting hardware, battery, and cleaning items per awardee to be delivered within 30 calendar days after OTA award date. The Government intends to evaluate and award, based on a trade-off process, up to four fixed amount, stand-alone OTAs. Based on the results of the prototype testing and updated proposals, the Government intends to conduct an evaluation of successfully completed prototype OTAs and, pursuant to 10 U.S.C. 2371b(f), select one prototype OTA awardee for award of a follow-on production Agreement or contract for a known quantity of 50 DVOs. The maximum quantity of the follow-on Agreement or contact will be 120,000 DVO System. The follow-on production Agreement or contract will be for five years and will have Line Item Number (LIN) Range Pricing.

1.2 Background

United States military operations take place worldwide and in all types of terrains as well as under various environmental conditions. The DVO will mount on the M4A1 carbine and provide Soldiers with the ability to detect, recognize, identify, and accurately engage targets at extended ranges. It will be used throughout the range of military operations, from Humanitarian assistance and Peacekeeping through Military Operations other than war and full scale war. In all environments the DVO will not only increase Soldier lethality but their selectivity as well. The DVO will be capable of variable power magnification with minimum magnification of 1.0x with no rounding and maximum magnification greater than or equal to 6.0 power. Rationale: Variable power magnification optics combine the capabilities of the non-magnified optic’s ability to engage close quarter targets with a fixed-magnification optic’s ability to detect, recognize, identify, and precisely engage targets at extended ranges. This allows the Soldier to have both critical capabilities without the limitations of either non magnified or fixed magnification optics.

1.3 Acquisition Approach

The Government intends to award up to four independent fixed amount OTAs for DVO prototyping. The structure of this program is a single phase Prototype with a two-step evaluation approach:

Prototype Other Transaction Agreement (OTA) Awards Offerors will be required to submit a 3.0 minute video about their DVO System, a two page proposal, and complete the Pricing tab contained in Attachment 1 – DVO Proposal Form. The Go/No-Go criteria tab in Attachment 1 – DVO Proposal Form will be used by Government evaluators to verify that the DVO meets the criteria.

Prototype Testing & Follow on Production Award The Government will verify the 15 delivered DVO Systems per Offeror meet all the desired goals through Government analysis, demonstration, examination, and/or testing. At the conclusion of the Government’s verification, Prototype OTA Awardees may be asked to provide updated proposals which will include updated pricing for production DVO systems, and provide details on the Awardee’s Delivery Capability and its Quality Program. It is the Government’s intention to conduct an integrated assessment of Prototype Testing, updated Pricing for Production DVO systems, (downward adjustment only), Delivery Capability, and Quality Program. As a result of that assessment the Government intends to select one Prototype OTA Awardee for award of a follow-on production agreement or contract for a known quantity of 50 DVOs with a maximum quantity of 120,000 DVO systems.

Future Requirements: At the current time, the Army has no requirements beyond the known quantity of 50 DVO systems. However, it is estimated that the requirement can increase to upwards of 120,000 DVO systems if other agencies have requirements for DVO systems. In the event that future requirements develop, the Government may utilize the follow-on production award to fulfill these future requirements up to a period of five years after date of the follow-on production award. This includes requirements for sustainment purposes.

1.4 Definitions

“Agreements Officer (AO)” is the United States Army Contracting Command – New Jersey Contracting Activity warranted Officer with authority to enter into, administer, change or terminate other transactions agreements.

“Agreements Specialist (AS)” is the United States Army Contracting Command – New Jersey Contracting Activity Specialist and designee of the AO for executing modifications, administrative matters, and financial aspects of the Agreement.

“Cost Share” includes any costs a reasonable person would incur to carry out (necessary to) Statements of Work not directly paid for by the Government.

“Direct View Optic System” includes a functional DVO optic with operator manual, MIL-STD-1913 rail compatible mounting hardware, battery, and cleaning items.

“Fixed Amount” means an OTA under which an awardee agrees to complete a prototype project for an agreed upon total price and where payments are not based on amounts generated from the awardee’s financial or cost records.

“Innovative” means any new technology, process, material, or method, including research and development; or any new application of an existing technology, process, material, or method as defined by the DoD OTA Guide. Examples of what might be considered a significant contribution include supplying new key technology or products, accomplishing a significant amount of the effort, or in some other way causing a material reduction in the cost or schedule or increase in performance.

“Laser Filter Unit” Due to the DVO magnification, one potential threat is that an incoming laser could be magnified to essentially make a safe laser unsafe. Every production contract DVO will be equipped with a Laser Filter Unit (LFU) to mitigate this threat. The LFU is an objective lens end mounted filter produced to a Government specification.

“Non-traditional Defense Contractor” as the term is defined in section 2302(9) of title 10, United States Code with respect to applicable authority, means an entity that is not currently performing and has not performed, for at least the one-year period preceding the solicitation of sources by the Department of Defense for the procurement or transaction, any contract or subcontract for the Department of Defense that is subject to full coverage under the cost accounting standards prescribed pursuant to section 1502 of title 41 and the regulations implementing such section (see 10 U.S.C. 2302(9)).

"Other Transaction for Prototype Projects” refers to this type of OTA. This type of OTA is authorized by 10 U.S.C. § 2371b for prototype projects directly relevant to enhancing the mission effectiveness of military personnel and the supporting platforms, systems, components, or materials proposed to be acquired or developed by the DoD, or for the improvement of platforms, systems, components, or materials in use by the armed forces. This type of OTA is treated by DoD as an acquisition instrument, commonly referred to as an "other transaction" for a prototype project or a Section 2371b "other transaction".

“Significant Participant” means an entity that makes a significant contribution to the prototype project. Examples of what might be considered a significant contribution include supplying new key technology or products, accomplishing a significant amount of the effort, or in some other way causing a material reduction in the cost or schedule, or increase in performance.

“Small Business” as defined by the DoD OTA Guide means a small business concern as defined under section 3 of the Small Business Act (15 U.S.C. 632).

1.5 Eligibility

In accordance with 10 U.S. Code § 2371b, the Offeror’s proposal must satisfy at least one of the following conditions to be considered for an OTA award:

(A) There is at least one non-traditional defense contractor or nonprofit research institution participating to a significant extent in the prototype project; or

(B) All significant participants in the transaction other than the Federal Government are small businesses (including small businesses participating in a program described under section 9 of the Small Business Act (15 U.S.C. 638)) or non-traditional defense contractors; or

(C) At least one third of the total cost of the prototype project is to be paid out of funds provided by sources other than the Federal Government.

In addition, Offerors must have a Dunn and Bradstreet (DUNS) number and must register in the System for Award Management (SAM) to obtain a Commercial and Government Entity (CAGE) code. This system verifies identity and ensures that payment is sent to the right party. In general, to invoice and receive payment after award of an OTA, Offerors must register in the Invoice, Receipt, Acceptance, and Property Transfer (iRAPT) system formerly known as Wide Area Work Flow (WAWF). The Offeror must be considered a responsible party by the Agreements Officer, and is not suspended or debarred from such agreement by the Federal Government, and is not prohibited by Presidential Executive Order, or law from receiving such award.

1.6 Evaluators

ACC-NJ, with the assistance of subject matter experts will review and evaluate proposals submitted in response to this PPON.

3.3 OTA Basis of Evaluation: ACC-NJ, with the assistance of subject matter experts, will review and evaluate proposals submitted in response to the PPON to ensure the Offeror meets all Government requirements. Offeror Proposal(s) will be evaluated in a careful, full and impartial manner pursuant to the stated criteria of the PPON. To be eligible for award, Offerors must meet all Go / No-Go Requirements. An integrated assessment of the remaining factors will be conducted to determine the best overall solution(s). The Government reserves the right to conduct a Pre-Award Survey or similar, in order to determine Contractor responsibility.

The below Evaluation Criteria will be used in the selection of up to four OTA awards. The basis for award of OTAs resulting from this PPON will be the result of the evaluation of the Factors specified below.

3.4 OTA Evaluation Factors:

Factor 1: Go/No Go Factor 2: Price Factor 3: Magnification Factor 4: Weight

3.5 Prototype OTA Order of Importance:

Factor 2 is more important than Factor 3 and Factor 3 is more important than factor 4.

Price may become a more significant factor when ratings of acceptable proposals are closely grouped. Offerors are cautioned, however, that the agreement may not necessarily be made to the lowest priced Offeror or the Offeror with the highest rating.

3.6 Factor 1 – Go or No-Go Criteria Evaluation:

The evaluation team will determine if the offered solution, as demonstrated in the video, meets the Go or No-Go criteria listed in Attachment 1 – DVO Proposal Form.

If a solution receives at least one “No” under Factor 1, the proposal will be removed from the competition. No further evaluation will be conducted on that proposal.

3.7 OTA Factor 2 – Price Evaluation:

All pricing shall be Fixed Amount. All calculations are rounded two decimal places. The Government will conduct a price analysis of the overall prices submitted to determine price reasonableness for OTA agreement(s). It is anticipated that price reasonableness will be established based on competitive offers received in response to the PPON and against the Government estimate. A price evaluation will be conducted by summing the evaluated prices for Total OTA Price and Total Follow-on Production Price to arrive at a Total Evaluated Price. All prices shall be proposed on Fixed Price basis. Pricing will be for the item manufactured using the contractor’s usual quality assurance and design verification practices.

Prototype OTA Line Items: The Total price per line item is calculated by multiplying the Quantity by the Unit Price. The Total Prototype OTA Price is calculated by summing the Total prices for all line items.

Follow-on Production Line Items: Prices proposed in the DVO Proposal Form Attachment 1 to the PPON will be utilized to compute a total evaluated price. A weighted evaluated price will be calculated for each quantity range. The evaluated quantity for each quantity range will be the maximum quantity in the respective quantity range. The evaluated quantity in each range will be multiplied by the proposed unit price for that quantity range to derive the evaluated amount for each quantity range. The evaluated amount for each quantity range will be multiplied by the assigned weighted percentage to derive the weighted evaluated price for each quantity range. The weighted evaluated price will be rounded to the nearest hundredth (two decimal places). A price reasonableness determination will be made on the total evaluated price. The total evaluated price will be computed by summing the weighted evaluated prices computed from the unit prices proposed in the DVO Proposal Form Attachment 1.

3.8 OTA Factor 3 – Magnification: Higher maximum magnification is a desired attribute for the DVO. The Offeror will be evaluated on the magnification range of the proposed optic with 1x as the lower limit.

3.9 OTA Factor 4 – Weight: Lower weight is a desired attribute for any Soldier-carried item. Offers will be evaluated on the weight of the proposed optic.

3.10 OTA Rating Definitions:

The government will use the following criteria in support of the rating of OTA Factor 3 - Magnification:

Color

Companies shall describe their process for inspection and prevention of nonconforming product. This counts towards the 10 pages.

4.3 Follow-on Production Basis of Evaluation:

The below Evaluation Criteria shall be used in the selection of the Follow-on Production Agreement or contract.

Follow-on Production Basis of Evaluation Factors:

Factor 1: Prototype Testing Results Sub-Factor -1: Technical Capabilities Testing (1-22) Sub-Factor -2: User Testing (23) Factor 2: Updated Price Evaluation Factor 3: Delivery Capabilities Factor 4: Quality Program

Due to the existing technologies, limited quantities, and rapidly changing DVO system market, it is not advantageous for the Government to pursue data rights in order to facilitate competition for follow-on activities. Therefore, data rights is not a factor in the selection.

4.3.1 Follow-on Production Proposal Order of Importance:

Factor 1 is the most important Factor. Factor 2 is more important than Factor 3. Factor 3 is more important than Factor 4. When all evaluation Factors other than Price are combined, they are significantly more important than Price. However, price may become a more significant factor when ratings of acceptable proposals are closely grouped. Contractors will be cautioned, however, that the award may not necessarily be made to the lowest priced contractor or the contractor with the highest rating.

4.3.2 Follow-on Production Factor 1 – Prototype Testing Results:

Prototype Testing consists of two Sub-Factors. Sub-Factor 1 is Technical Capabilities Testing, items 1-22 and Sub-Factor 2 is User Testing Capability, item 23.

(Does not count towards 10 pages, Prototype Test Results are provided by the Government)

The DVO item for this prototype OTA has the following Capabilities and Desired Goals which are part of the Prototype testing. Passing of the rough handling test, however, is a requirement. Prototype Testing will cease for any Offeror whose DVO item fails Rough Handling and that system will not be further considered for evaluation and will be eliminated from the competition. All other Capabilities are equal in importance.

1. Modulation Transfer Function (MTF)
MTF is defined in ISO 12233 and 15529. The relative spatial frequency over a normalized modulation is a transferable measure of spatial and contrast resolution for comparable purposes between optical design and quality.
1. Gunfire Shock
MIL-STD-810G, section 516.7 (Pyroshock) as guidance. 3 optic sights will be used for this test using a Small Arms Pyroshock Simulator. The optics will be subjected to a total of 5 Pyroshock cycles. Each cycle simulates an M4A1 firing 100 M855A1 rounds. After each cycle, an autocollimator will be used to measure angular travel of the aiming reference in both azimuthal and elevation directions.
1. Power Consumption
A measure of the nominal electrical power draw while the unit is in a standard operating condition, and/or at temperature extreme conditions of -40°F (±3.6°F) and +140°F (±3.6°F). The results will be used to determine the number of 96-hours missions each set of batteries can sustain.
1. Reliability
IAW The optic shall be fully functional after a minimum of 10,000 rounds fired from M16/M4 series weapons or equivalent simulator (RCO CPD,) 1 April 2005).
1. Signature
The relative measure of detectability of the aiming reference of the optic as seen by an observer at a given distance. The aiming reference is tested with both the naked eye and a night vision device.

Sub-Factor 2 – User Testing

User Evaluation- Soldier touchpoint (Target identification, firing accuracy, firing times, sight comfort, adjustability, maintainability during a series of operationally realistic engagements)
Measuring performance against the shooter in the loop accuracy requirement in the draft CDD and Evaluating risk of user acceptance based on usability in operationally relevant scenarios.

4.3.3 Follow-on Production Factor 2 – Price Evaluation (Downward Adjustment Only):

(Does not counts towards 10 pages)

Companies may update the Price section in the DVO Proposal Form (Attachment 1, downward adjustment only). The Government will conduct a price analysis of the overall prices submitted to determine price reasonableness for follow-on production. . Price reasonableness will be based on competitive offers received in response to the PPON and against the Government estimate.

Unbalanced Pricing: The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, one or more line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. The Agreement Officer may reject a proposal where the lack of balance poses an unacceptable risk to the Government.

4.3.4 Follow-on Production Factor 3 – Delivery Capability:

(Counts towards 10 pages)

The Government will assess whether Companies will be able to produce and deliver 50 DVO systems after award and up to 2,000 DVO systems per month over a period of five years. The Government will assess the adequacy of the Company’s manufacturing process and/or approach, giving consideration to the assembly line, production, test, inspection, assembly, facility layout, packaging, and shipping of the DVO systems.

4.3.5 Follow-on Production Factor 4 - Quality Program:

(Counts towards 10 pages)

The Government will assess the Company’s quality management process for in-coming inspection, in-process inspection, and control final inspection. The evaluation will consider the Company’s process for identification, inspection, and control of critical performance characteristics and processes.

4.4 Follow-on Production Rating Definitions:

The evaluators will use the following terms in support of the rating of the Follow-on Production Factor 1 (Capabilities 1-22) and Factor 4 Quality Program.

Color
Rating
Definition
Blue
Good
The Offeror’s proposal has benefits that far outweigh any shortcomings. The risk of unsuccessful Agreement performance is very low.
Green
Acceptable
The Offeror’s proposal has benefits that outweigh any shortcomings. The risk of unsuccessful Agreement performance is low.
Yellow
Marginal
The Offeror’s proposal has benefits that offset the shortcomings. The risk of unsuccessful Agreement performance is medium.

A benefit means an aspect of an Offeror’s proposal that enhances performance, provides military utility, and/or reduces schedule or performance risk.

A shortcoming means an aspect of an Offeror’s proposal that does not provide adequate performance, does not provide military utility, and/or increases schedule or performance risk.

Note 1: Overall Rating For Sub Factor 1 – Technical Capabilities – each capability (1-22) will receive its own rating.

For Sub Factor 2 – Production –capability (23) will receive its own rating.

The evaluators will use the following terms in support of the rating of the Follow-on Production Factor 1 (capability 23):

Ratings from the Likert items from a Soldier Evaluation Questionnaire for the DVO will be tabulated for each question, across all the Users, for each DVO system. Additionally, the frequencies of negative, non-negative (neutral and positive), and positive responses will be tabulated and given to the source selection board. This will generate a cumulative percentage of negative, non-negative, and positive ratings, and the percentage of these ratings for each question. Greater than 15% cumulative negative responses suggests a high risk to User acceptance. If 85% or greater of responses are positive, that candidate is considered to be at low risk for User acceptance. If 85% or greater of responses are non-negative (neutral and positive), that candidate is considered to be at medium risk for User acceptance.

The same scoring as above depicts risk level to User acceptance for that particular DVO system. The open ended responses associated with each DVO system will be used to explain both positive and negative ratings with regard to implications for DVO usage.

Follow-on Production Factor 2 (Updated Price Evaluation):

Line Item Prices will be evaluated for price reasonableness but will not be assigned an adjectival rating.

Follow-on Production Factor 3 (Delivery Capabilities):

The evaluators will use the following terms in support of the rating of:

Color
