UOSA CONTRACT P2NR+ 4 AUGUST 2026

Questions and Communications All contact between prospective Bidders and UOSA with respect to this solicitation should be in writing through the Purchasing Office. Questions concerning this solicitation are due by the deadline for questions shown on the cover page.
Misinterpretation of specifications shall not relieve the Contractor(s) of responsibility to perform. Substantive questions must be submitted in writing via mail, e-mail, fax, etc., to the attention of the UOSA Purchasing Department (see contact information on the cover of this document). Questions submitted after the deadline will not be answered.
All properly submitted substantive questions will be responded to in writing, in the form of an addendum to the solicitation. Failure to submit questions or to otherwise seek clarification(s) by the deadline for submitting questions shall constitute a waiver of any potential claim by the Bidder/contractor. All questions will be answered via an Addendum to the solicitation.
Communications between prospective Bidders, their agents and/or representatives and any member of UOSA other than as authorized herein, concerning this solicitation are prohibited. In any event and in all circumstances, unauthorized communication cannot be relied upon.
Contract Award
A contract will be awarded to the lowest responsive and responsible Bidder as delineated in this IFB and will be based on the total cost as indicated on the Bid Summary Sheet.
Prior to Contract award for the Work contemplated by the Contract Documents, the Owner will conduct such investigation as the Owner deems appropriate to determine the performance record and ability of the apparent lowest Bidders to perform the size and type of Work specified under the Contract. Upon request, each Bidder shall submit such information as is deemed necessary by the Owner to evaluate the Bidder's qualifications.
Failure to submit information deemed necessary by the Owner shall make the Bid non-responsive and the Owner at its sole discretion may reject the Bid.
Bidders are referred to the Instructions to Bidders for information regarding Bidder qualifications.
The attention of Bidders is directed to the applicable Commonwealth of Virginia requirements and conditions of employment to be observed under the Contract. Each Bidder shall inform itself of, and the Bidder awarded the Contract shall comply with, all Federal, State, and local laws, statutes, ordinances, and regulations relative to the execution of the Work. These
UOSA CONTRACT P2NR+ 5 AUGUST 2026
requirements include, but are not limited to, applicable regulations concerning minimum wage rates, nondiscrimination in the employment of labor, protection of natural resources, fire protection, safety, permits, taxes, fees, and similar subjects.
Within the identified time period after the opening of Bids, the Owner will issue written Notice of Award, or Notice of Intent to Award, or will act otherwise as follows:
Notice of Award shall be mailed to the successful Bidder at the office address given on the Bid Form and Notice thereof to others shall be by posting in the lobby of the Owner's Administration Building and on the Owner’s webpage. In the event of failure of the lowest responsive, responsible Bidder to sign the Contract and provide acceptable insurance certificate(s) and, if required, Performance Bond and Payment Bond, the Owner may award the Contract to the next lowest responsive, responsible Bidder.
The rights are reserved by the Owner to (i) reject all Bids; (ii) reject any Bid not conforming in all material respects to the Invitation to Bid and to the intent and purpose of the Contract Documents; and (iii) waive informalities and irregularities in any Bid.
The right also is reserved by the Owner to negotiate with the responsible Bidder submitting the lowest responsive Bid in the event such Bid exceeds the Owner's budget for the Work.
Such negotiations, if the Owner elects to negotiate rather than reject all Bids, shall be directly between the Owner and such Bidder. The Owner and such Bidder shall review the Contract Documents, and the Owner may provide such additional information as it deems appropriate to provide. Such Bidder then may be invited by the Owner to submit a revised Bid. Such Bidder shall be under no obligation to submit a revised Bid and the Owner may reject any such revised Bid.
INSTRUCTIONS TO BIDDERS
Phase 2 Nitrogen Removal Plus Other Interim Process Improvements UOSA Contract P2NR+
1. CONTRACT DOCUMENTS
A. FORMAT
The Contract Documents are divided into parts, divisions, and sections for convenient organization and reference. Generally, there has been no attempt to divide the Specifications into Work performed by the various building trades, Work by separate Subcontractors, or Work required for separate facilities in the Project. The content of the Specifications, not the heading or description, shall determine to what portion of the Work the Specifications are applicable.
B. DOCUMENT INTERPRETATION
(1) The separate portions of the Contract Documents are intended to be mutually complementary and to provide the details reasonably required for the execution of the proposed Work.
(2) Terms used in these Instructions to Bidders shall have the meanings established by the Contract Documents for the Project. Should there be any doubt as to the meaning or intent of any Contract Document or of any term or provision therein, the Bidder shall request of the Owner, in writing (to be received by the Owner at least fifteen (15) days prior to the bid opening) an interpretation thereof. Any interpretation or change in the Contract Documents will be made only in writing and signed by the Owner, in the form of Addenda to the Contract Documents, which will be furnished to all Official Bidding Document Holders (those who have obtained from the Owner a complete set of Contract Documents). The Owner will not be responsible for nor in any way bound by any other explanation or interpretation of the Contract Documents regardless of who is asserted to have provided such explanation or interpretation. Bidders shall acknowledge on the Bid Form in the space provided receipt of all Addenda.
2. GENERAL DESCRIPTION OF THE PROJECT
A. A general description of the Work to be performed under the Contract is set forth in the Invitation to Bid. The scope of the Work is more fully set forth in the other Contract Documents.
3. REGISTRATION REQUIREMENTS FOR CONTRACTORS
A. Contractors and Subcontractors, whether resident or nonresident in Virginia, will be required to show evidence of a license as required by Chapter 11 of Title 54.1 of the Code of Virginia and all licenses required under applicable Fairfax County, Virginia requirements.
B. Proof of licensure of a Subcontractor shall be submitted to the Owner before the Subcontractor commences Work under the Contract. No portion of the Contract shall be performed by a Subcontractor not then holding all licenses required by Chapter 11 of Title 54.1 of the Code of Virginia and applicable Fairfax County, Virginia requirements.
C. A Bidder organized or authorized to transact business in the Commonwealth of Virginia pursuant to Title 13.1 or Title 50 of the Virginia Code shall include in its Bid the identification number issued to it by the Virginia State Corporation Commission. Any Bidder that is not required to be authorized to transact business in the Commonwealth of Virginia as a foreign business entity under Title 13.1 or Title 50 of the Virginia Code or as otherwise required by law shall include in its Bid a statement describing why the Bidder is not required to be so authorized. Any Bidder that fails to provide the required information shall not receive an award unless a waiver of this requirement is granted by the Commonwealth of Virginia Director of the Department of General Services.
4. QUALIFICATIONS OF BIDDER
A. The Owner will consider, in determining the qualifications of a Bidder, its record in the performance of any contract with any public bodies or corporations, and the Owner expressly reserves the right to reject the Bid of any Bidder if its record discloses that such Bidder, in the opinion of the Owner, has not properly performed such contracts or has habitually and without just cause neglected the payment of bills, or has otherwise disregarded its obligations to the contracting authorities, subcontractors, or employees.
B. The Owner may make such investigation as the Owner deems necessary to determine the ability of the Bidder to perform the Work, and the Bidder shall furnish the Owner all such information and data for this purpose as the Owner may request. Such information shall include, but is not limited to, documentation regarding the Bidder’s ability and experience relative to past performance of Work of the general nature of that included in this Contract.
C. The Owner reserves the right to reject any Bid if the evidence submitted by, or investigation of, such Bidder fails to satisfy the Owner that such Bidder is properly qualified by experience or has the financial status to carry out the obligations of the Contract and to complete the Work contemplated therein.
D. Only Official Bidding Document Holders (those who obtained from the Owner a complete set of Contract Documents) will receive Addenda and only Official Bidding Document Holders may submit a Bid. The Contract Documents are dependent and complementary, and it is necessary to review all parts of the Contract Documents to fully understand the Contract requirements and scope of the Work.
E. Refer to Bid Form, Part D for additional Bidder’s qualifications requirements.
5. BIDDER’S UNDERSTANDING
A. Each Bidder shall inform itself of all conditions relating to the performance of the Work. The submission of a Bid shall constitute a representation by the Bidder that it has exercised due diligence in the inspection of the Site and has thoroughly familiarized itself with all the Bidding Documents. Failure of the Bidder to have, in fact, done so will not relieve the successful Bidder of its obligation to enter into the Contract and complete the contemplated Work in strict compliance with the Contract Documents. Prospective Bidders are invited, at their own expense, to make additional facility, equipment, and subsurface investigations; provided, however, that such work is scheduled by appointment with the Owner and all disturbed Site areas, facilities, and equipment are restored to the Owner's satisfaction.
B. Any claim for an adjustment of the Contract Price or of the Contract Time shall be subject to and limited by the investigation requirements, the disclosures, the Notice requirements, and all other limitations and conditions set forth in the Contract Documents. The Contractor shall not be entitled to any increase in the Contract Price nor to any extension of the Contract Time for any condition which upon reasonable investigation and in the exercise of due diligence the Contractor should have discovered prior to entering into the Contract.
C. In preparation of the Drawings and Specifications, the Engineer has utilized the following information and drawings of existing facilities and physical conditions in or relating to the existing surface and subsurface facilities and features, which are at or are contiguous to the Site.
(1) Project 15
(2) Contract 27
(2) Contract 32
(3) Contract 54
(4) Contract 4
(5) Contract P1NR
(6) Contract 9/2
(7) Contract R2D2
(8) Contract P2NR Settleability Pilot Plant
D. Any such information that the Owner may have regarding the Site and existing facilities (hereinafter “Site and Existing Facilities Information” dated August 2026) will be available for Bidder review. Any Site and Existing Facilities Information provided by or available from the Owner shall not be considered a part of the Contract Documents. The Owner makes no representations, warranties or guaranties regarding the accuracy or completeness of any information contained in the Site and Existing Facilities Information. No such information provided by the Owner shall in any way relieve the Contractor from any risk, or from properly and thoroughly examining the Site and making such additional investigations as it may elect, or from properly fulfilling all the requirements of the Contract Documents. Each Bidder has the option to perform additional test borings, hazardous materials safety surveys, and other exploratory investigations, at its own cost, to obtain any additional information it deems necessary prior to submitting its Bid.
E. Each Bidder shall inform itself of, and the Bidder awarded the Contract shall comply with, all federal, state, and local laws, statutes, ordinances and regulations relative to the execution of the Work. This requirement includes, but is not limited to, applicable regulations concerning minimum wage rates, nondiscrimination in the employment of labor, protection of public and employee safety and health, environmental protection, the protection of natural resources, fire protection, permits, licenses, taxes, fees, insurance/extended insurance, and similar subjects.
Permits or fees special to the Contractor conducting business, or required for the execution of a specific portion of the Work or as a result of the manner in which the Contractor elects to conduct the Work, such as, but not limited to, off-site disposal of trees, debris, or regulated and/or hazardous materials, shall be the responsibility of the Contractor. Further detail concerning permits and licenses appears in General Conditions, Article 64, CODES, ORDINANCES, PERMITS, AND LICENSES.
F. Each Bidder is advised that the Owner is not aware of any particular invention, design, process, product or device specified in the Contract Documents for use in performance of the Work which use is subject to patent rights or copyrights calling for the payment of any license fee or royalty to others. If a Bidder during preparation of its Bid discovers a requirement for any such fee or royalty, the Bidder shall make this requirement known to the Owner in order that an appropriate addendum may be issued to all Bidders. Further detail concerning royalties and patents appears in General Conditions, Article 80, ROYALTIES AND PATENTS.
G. The Contract Documents require compliance with the fire protection required by any applicable federal, state, or local laws, statutes, ordinances, or regulations relative to the execution of the Work. In addition, except where expressly permitted, smoking of tobacco products of any kind is prohibited in all parts of the Site occupied by the Owner. The smoking prohibition includes but is not limited to all existing buildings, structures and facilities and all grounds and between such buildings, structures and facilities; all new construction within Owner-occupied areas; and all new construction once it has been occupied by the Owner. By having submitted a Bid, the Contractor acknowledges that this smoking prohibition is a critical safety requirement due to the presence of explosive gasses throughout the Site and agrees that this smoking prohibition will be strictly enforced at all times.
H. Bidders shall pay particular attention to the requirements for supervision in General Conditions, Article 65, SUPERINTENDENCE. The Owner reserves the right to stop work if qualified on-site supervision is not provided at all times and if a qualified supervisor is not present in the immediate proximity of the Work during working hours.
6. EXECUTION OF THE WORK
The Contractor shall, with its own forces, perform Work having a value at least equal to the 30% percent of contract value excluding value of the Equipment as defined in the Contract Documents.
7. NOTICE TO PROCEED AND FINAL COMPLETION TIMES
The Contract Time for completion of the Work to be performed under the Contract is the essence of the Contract. Extensions of the Contract Time may be allowed only in accordance with the provisions set forth in the Contract Documents. The time requirements for the Notice to proceed and Final Completion of the Work in the Project are as set forth in the Invitation to Bid and as shown below:
A. Notice to Proceed for the Project will be issued within 30 days after contract execution
B. The Contractor shall achieve both Substantial and Final Completion within the Contract Time as set forth in the Contract form. By submitting a Bid, the Bidder acknowledges that the times set forth herein for Final Completion are reasonable and waives any objection thereto.
8. SUBSTITUTE MANUFACTURERS/SUPPLIERS
A. When the Bid Form allows the Bidder to submit Substitute Manufacturers/Suppliers on a particular Equipment item for Owner's selection, the Bidder shall list only such Substitute Manufacturer's/Supplier's Equipment that will comply with the specified design in function, performance, general configuration, material quality and durability, and that will not adversely impact nor otherwise delay any required completion dates set forth in the Contract Documents. The Bidder shall also include a Submittal that demonstrates that the proposed Substitute Manufacturer satisfies the “Or Equal” requirements in the General Conditions. The Owner's initial selection of any such Substitute Manufacturer's/Supplier's Equipment shall not be construed to indicate either its approval or acceptance thereof, nor to relieve the successful Bidder and/or Substitute Manufacturer/Supplier of the Equipment from performing all obligations required by the Contract Documents and furnishing a completely satisfactory and operable system.
B. When the Bid Form requires specific submittals with the Bid for any proposed Substitute, failure to submit all the required information with the Bid shall be
UOSA CONTRACT P2NR+ 6 AUGUST 2026
sufficient grounds to result in a determination that the proposed Substitute Manufacturer/Supplier is “not equal.”
9. PREPARATION OF BIDS
A. GENERAL
(1) All blank spaces in the Bid Form must be filled in, either typed or printed, in BLACK or BLUE ink. All price information shall be shown in both words and figures where required by the Bid Form. No changes shall be made to the Bid Form. Amounts written in words shall govern in case of any discrepancy between the amount stated in writing and the amount stated in figures.
(2) A Bid may be deemed non-responsive which fails to conform to the conditions of the Invitation for Bids, the Instructions to Bidders, or which contains:
a. Omissions;
b. Additions of any kind;
c. Prices uncalled for;
d. Erasures or alterations which, in the sole discretion of the Owner, are in any way confusing, unclear, or have the potential to mislead; or
e. Prices which are obviously unbalanced.
B. SIGNATURE
The Bidder shall sign the Bid Form in the blank space provided therefore. If the Bidder is a corporation, the legal name of the corporation shall be set forth above the signature line, together with the signature of the officer or officers authorized to sign contracts on behalf of the corporation. If the Bidder is a partnership, the true name of the firm shall be set forth above the signature line, together with the signature of the partner authorized to sign contracts on behalf of the partnership.
If the Bidder is a joint venture, the true name of the joint venture shall be set forth above the signature line and the Bid shall be signed by each venturer trading as the named joint venture. For example, if AB, Inc., and CD, Inc., are submitting a bid as XYZ Joint Venture, the Bid Form shall be completed and submitted identifying the Bidder as “AB, Inc., and CD, Inc., trading as XYZ Joint Venture” and signed by each venturer. If signature is by an agent, other than an officer of a corporation or a member of a partnership, a notarized power-of-attorney must be on file with the Owner prior to opening of Bids or be submitted with the Bid, otherwise the Bid will be regarded as not properly authorized and not responsive.
10. STATE AND LOCAL SALES AND USE TAXES
It is anticipated that the Owner will be exempt from state and local sales and use taxes on materials and Equipment incorporated into the Work. The Bid shall not include sales and
UOSA CONTRACT P2NR+ 7 AUGUST 2026
use taxes on material or Equipment to be incorporated into the Work. In the event such exemption is determined by governmental authorities to be not applicable, and the Contractor is required to pay any such sales or use taxes, the Contract Price will be adjusted by Change Order to include such tax.

be provided whether bids are submitted in electronic or physical format and any bids submitted electronically shall include all required forms to be provided as document attachments to the bid in eVA. In the event that there are required bid elements that cannot be submitted electronically, such as cash or check for bid security, those elements should be submitted physically in a sealed package marked with Bidder contact information, solicitation number and labeling identifying the contents as supplemental information to be included with an online eVA bid submission.
C. At the time of the Bid opening, UOSA shall open hard copy sealed Bids first then open the electronic Bids. All Bids shall be entered on the official Bid Tab for that project. UOSA shall not indicate if the Bid was received electronically or hard copy on the Bid Tab. All Bids (hard copy and electronic) that were accepted and opened will be reviewed for responsiveness and responsibility (as defined by the Virginia Public Procurement Act) for final award of the

F. Bids or unsolicited amendments to Bids arriving after the closing date and time will not be considered. Bids received after the bid submission deadline will be returned to the Bidder unopened providing that sufficient bid identification information is shown on the outside of the Bid envelope.
12. WITHDRAWAL OF BIDS
A. Any Bid submitted may be withdrawn by Notice to the Owner received by the Owner prior to the time and date designated for receipt of Bids. Such Notice shall be in writing over the signature of the Bidder in the same format as required for the submission of the Bid. Strict compliance with these requirements is a condition precedent to effective withdrawal of a Bid.
B. A Bidder may withdraw its Bid from consideration after the Bids have been opened if the bid price was substantially lower than the other Bids due solely to a mistake therein, provided the Bid was submitted in good faith, and the mistake was a clerical mistake as opposed to a judgment mistake, and was actually due to an unintentional arithmetic error or an unintentional omission of a quantity of work, labor or material made directly in the computation of its Bid, which unintentional arithmetic error or unintentional omission can be clearly shown by objective evidence drawn from inspection of original work papers, documents and materials used in the preparation of the Bid sought to be withdrawn.
If a Bid contains both clerical and judgment mistakes, a Bidder may withdraw its Bid from consideration if the price bid would have been substantially lower than the other Bids due solely to the clerical mistake, that was an unintentional arithmetic error or an unintentional omission of a quantity of work, labor or material made directly in the compilation of a Bid which shall be clearly shown by objective evidence drawn from inspection of original work papers, documents and materials used in the preparation of the Bid sought to be withdrawn. A Bidder seeking to withdraw its Bid on the foregoing grounds shall give Notice in writing of its claim of right to withdraw its Bid in such a manner that such Notice and all original work papers, documents and materials used in the preparation of the Bid are received by the Owner by 5:00 P.M. of the second business day after the conclusion of the Bid opening procedure. Such mistake shall be proved only from the original work papers, documents and materials delivered as required herein.
The Owner shall notify the Bidder of its decision whether or not to permit withdrawal of the Bid within fourteen (14) days after receipt by the Owner of the work papers, documents and materials as required herein in accordance with the provisions of Section 2.2-4330.F, Va. Code Ann.

Within twenty-one (21) days after receiving the complete, accurate and signed Contract with required bonds and proof of insurance from the successful Bidder, the Owner's authorized agent will sign the Contract absent proper grounds for declining to do so. Signature by both parties constitutes execution of the Contract.

16. CONTRACT BONDS
A. PERFORMANCE BOND
If the Contract Price is in excess of $100,000, then at the time of execution of the
Contract, the successful Bidder shall file with the Owner a Performance Bond in the form bound herewith, in the full amount of the Contract Price, as security for the faithful performance of the Contract in strict conformity with the requirements of the Contract Documents, and to cover all guarantees against defective workmanship or materials, or both, including but not limited to the Warranty Period. Such bond shall remain in effect for a period of one year after the date of Final Completion and acceptance of all the Work as established by the Owner. The date of the Payment Bond shall be the date the Contractor signs the Contract, or the Surety shall otherwise certify that the Payment Bond executed prior to the date the Contractor signs the Contract is effective as of the date the Contractor signs the Contract. all applicable Virginia law as evidence of its authority to bind the Surety on the date of execution of the bond.
17. FAILURE TO EXECUTE CONTRACT, FURNISH BOND, AND INSURANCE
CERTIFICATES
A Bidder to whom the Contract is awarded and who fails to execute the Contract and furnish the required bonds and proof of insurance in accordance with Paragraph, EXECUTION OF THE CONTRACT, shall forfeit the lesser of (i) the difference between the amount of its Bid and the next low responsive, responsible Bid, or (ii) the face amount of the Bid Security, and it is agreed that such sum is a fair estimate of the amount of damages the Owner will sustain in case the Bidder fails to enter into a Contract or furnish the required bonds and proof of insurance. Bid Security deposited in the form of cash or certified check shall be subject to the same requirements as a Bid Bond.
18. LIQUIDATED DAMAGES
Liquidated Damages are as defined in the contract form and bid documents.
19. BID EVALUATION
Such negotiations, if the Owner elects to negotiate rather than reject all Bids, shall be directly conducted between the Owner and such Bidder.
