About this file

This is a Request for Ratification of Unauthorized Commitment (UAC) form from the Indian Health Service (IHS), Department of Health and Human Services, for the approval of an unauthorized procurement action valued at $29,362.23. The commitment involves electronic/online nurse training services provided by J.E. Federal Enterprises, LLC (James E. Elwell, CEO) located in Auburn, Alabama, with a commitment date of June 25, 2024.

The UAC was necessitated when the Division of Nursing Services (DNS) required continuation of online nurse education services beyond the February 18, 2024 expiration of the existing contract 75H70421C00008. An acquisition package submitted in January 2024 was not awarded until September 2024, creating a service gap. To bridge this gap, the Contracting Officer and Contracting Officer Representative agreed to utilize a Government Purchase Card for up to $10,000 pending a new award, and subsequently requested price quotes from the vendor for specified timeframes. The vendor submitted three invoices totaling $29,362.23 for service periods: March 24–April 9, 2024; April 27–May 13, 2024; and May 14–30, 2024. The online nurse training services provided continuing education credits through the American Nurses Credentialing Center and supported nursing competency, licensure maintenance, and clinical knowledge enhancement for Indian Health Service staff. Funds were certified available under CAN FY2026 J940484 (Public Health Nursing). All required supervisory reviews, funds certification, and contracting officer assessments confirmed the appropriateness of the ratification. The Head of the Contracting Activity (CHANTEL A. SMITH) approved the ratification on January 17, 2026.

3 Statement that funds are and were available at time of unauthorized commitment: The Vendor submitted 3 invoices in June2024.

On 6/25/2024 – The vendor submitted 3 invoices for payment for a total of $29,362.23 for the following date ranges: 24 Mar 2024 – 9 Apr 2024 (unpaid); 27 Apr 2024 – 13 May 2024 (unpaid); and,14 May 2024 – 30 May 2024 (unpaid). The Vendor also provided usage reports which confirmed IHS nurses used the service during the "unpaid" time frames.

Funding was available in the PHN CAN J940484 for FY2024 in June2024. The J94PY22 balance was $104,739; however, price quotes were NOT requested for services during the 3 time frames and no financial commitments were made to the Vendor for payment during the "unpaid" time frames in FY2024.

CO advised UAC as the services were accessed and used by the nurses for the time frames identified in the 3 invoices.

4 Describe the benefits received by the government Give value of benefit and other pertinent facts and if service or goods have: The online nurse training service provided an avenue to support excellence and quality in the Indian health system as a resource for staff education to support comprehensive and public health services were available and accessible to American Indian and Alaska Native people.

The services provided an option for nurses to access continuing nurse education credits by the American Nurses Credentialing Center (ANCC) Commission on Accreditation and by state licensing boards and certification which met the requirements of hospital and health care organization accrediting bodies. The resource provided nurses an option to maintain certification and licensure, meet continuing education requirements and enhance baseline clinical knowledge and skill-sets to improve services.

9 Describe corrective action taken Include a description of any administrative action taken under applicable personnel: Actions taken was a meeting with Tina Tah, COR II and Brendon Moran, CO to review the most recent contract with the vendor. Review of the invoices and the services that were rendered was completed during this meeting. Discussion by the Mr. Moran, CO was geared toward understanding the benefits of the services rendered to the agency. The action taken was to provide education regarding these types of incidences.

OCPS leadership in collaboration with Tina Tah, COR and this writer, have initiated a root cause analysis and are working with DAP on a corrective action plan..

10 Describe measures taken to prevent recurrence of unauthorized commitments: To prevent recurrence of this is to ensure the responsible parties have the knowledge and skills to perform duties as the CO and COR. Also to improve communications with the vendor to ensure they are aware of the current status of approved services.

The other measure is to ensure timely completion of contract/requirements for services that have been identified as needed services that support the mission of IHS and to improve communication between all stakeholders of said contract.

Contracting Officers Review: The ratification is in accordance with all known limitations prescribed under Agency procedures. The electronic/online nurse training courses were provided to and accepted by the Government. A benefit to the Government was gained by obtaining and utilizing the nurse education modules, courses and trainings, as it was professional training sought and/or required by nursing employees at all levels (CNA to NP, etc.) to improve their work performance and skill set, maintain licenses via continuing education, etc. Unfortunately, this unauthorized commitment (UAC) occurred due to a breakdown in communication, during which the ongoing services were not effectively overseen by the Government, nor was the proper procurement process followed by the vendor in the provision of services. If this UAC is approved, the agency ratifying official does have the authority to enter into a contractual commitment. The resulting contract (Purchase Order) would otherwise have been proper if made by an active Contracting Officer with approved documentation (JOFOC, etc., for an interim solution) and UFMS requisition in the full amount. In this case, funding was available, however, specific funding was simply not committed nor obligated at the time that services were delivered. The responsible party and myself have met with the vendor, and a separate meeting organized with their Supervisor and DAP Management has resulted in identification of the root causes, as well as how to move forward effectively. Internal OCPS/DNS procedures have been discussed and updated to prevent a re-occurrence, and proactive communication between DNS and DAP for future re-competes, etc., will ensure the same time constraints are not faced. In addition, the assigned Buyer (myself), has worked with DAP Management to correct the acquisition-related root causes associated with this UAC. The price of $29,362.23 is determined as fair and reasonable, as this represents the cost of similar online/electronic nurse training services utilized prior for employees seeking professional medical skill development, as well as similar services available commercially at current rates (GSA). Given the above findings, payment to the vendor in full is recommended. Per IHS Agency policy, the Head of Contracting Activity may approve the ratification of UACs in the prescribed dollar ($) amount. Sufficient funds are available, and were available at the time the UAC occurred. The applicable CAN is J940484, as cited above. Legal counsel is not required, as the total value of the UAC is below $350,000.00. As a warranted Contracting Officer, I recommend ratification of this transaction.

Vijay C. Kannan -S
PART II CCOS REVIEW: I have reviewed the facts and order of events set forth herein and agree with the Contracting Officer's assessment and recommendation for approval of the UAC in the amount of $29,362.23.
1:
Describe circumstances: Division of Nursing Services (DNS) contracted with J.E. Federal Enterprises, LLC under contract 75H70421C00008 for online nurse education. The contract was extended on June 30, 2023 for 6-months. DNS needed to continue services after February 18, 2024, and was advised by Division of Acquisition (DAP) on January 3, 2024 to submit an acquisition package to DAP which was submitted. The Contracting Officer (CO) and Contracting Officer Representative (COR) met prior to the end of the 6-month extension to discuss options to continue services and decided to utilize the Government Purchase Card (GPC) for a brief period (up to $10,000.00) until a new award was in place. The CO reached out to the vendor with a Scope of Work and requested a price quote and on February 15, 2024 provided the subject quotation to continue services for 17 days and advised COR to work with the intended cardholder for payment. The CO and COR agreed that until a new award was in place, the CO would reach out to the vendor to request a price quote for service of a designated time frame and provide the quote to the COR to coordinate the payment with a designated GPC holder. During this time, the COR worked with the CO to seek price quotes for services and the CO continued to reach out to the vendor for price quotes. In June 2024, the DNS decided to end purchasing incremental services; and, at this time, the vendor submitted 3 invoices requesting payment. Services for these time frames were not requested by the CO or COR; however, usage reports submitted by the vendor showed that the online nurse training service was utilized by the IHS nurses during the invoiced time periods.
2:
Explain why appropriate acquisition: Appropriate acquisition mechanisms followed included the submission of the acquisition package (AP) in January 2024 to DAP by DNS for the online nurse training service. Per advisement by the Contracting Officer (CO) on Feb 7, 2024, the Government Purchase Card (GPC) was implemented to purchase the online training service pending a new award. The CO and Contracting Officer Representative (COR) agreed that the CO would contact the vendor to request the price quotes for service of a designated time frame and provide the quote to the COR who coordinated the payment with a designated GPC holder for payment.

The AP was submitted in January2024, not posted until June2024, and awarded in September2024. In June2024, DNS/COR decided to discontinue the use of GPC as this process was becoming cumbersome and confusing to follow with CO requesting quotes and COR coordinating the payment with GPC holder. Reports that the AP would be posted soon also became burdensome to follow.

When services were discontinued in June2024, the Vendor submitted 3 invoices for payment. A detailed review of price quotes with related time frames revealed that services for the 3 invoices were not requested by CO or COR; however, the Vendor submitted usage reports to demonstrate that nurses did use this service during the time frames of the 3 invoices. CO advised UAC as services were used by the IHS nurses for the time period of the 3 invoices.
