About this file

This document is a Justification for Other Than Full and Open Competition (JOFOC) prepared by the National Aeronautics and Space Administration (NASA) Kennedy Space Center (KSC).

NASA seeks to award a sole-source contract with United Rental for a 12-month modular building (double-wide construction trailer) lease beginning October 1, 2026, and ending September 30, 2026. The trailer will house the KSC construction management and corrosion control team, enabling them to respond to critical needs across the center, particularly supporting launch damage refurbishment for the Launch Pad in connection with the Artemis III mission. The contract will be structured as a Firm Fixed Price Purchase Order, with estimated pricing based on historical costs for the facility. The contracting officer has determined that the anticipated cost will be fair and reasonable, subject to proposal analysis and negotiation prior to contract execution.

The justification for sole-source acquisition is based on unusual and compelling urgency. NASA is realigning its contract infrastructure per Administration direction, resulting in the loss of previously contracted facility access on short notice. Fiscal year cutoff constraints and an aggressive schedule for NASA to assume ownership of multiple capabilities preclude the Government from securing alternative facility space within required timeframes without leaving the team without facility access. The contracting officer has exempted this acquisition from the notice requirements under FAR 5.101(b)(1). Market research indicates that retaining the existing modular building provides immediate, fully functional capability with no transition delay, whereas alternatives such as new purchase or lease of a different unit would require unacceptable procurement lead time, site preparation, and installation. The contracting officer intends to compete this requirement in the open market or as a set-aside in subsequent fiscal years.

NATIONAL AERONAUTICS AND SPACE ADMINISTRATION

Kennedy Space Center (KSC)

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION

(JOFOC)

For Modular Building Trailer Lease

1. Federal Acquisition Regulation (FAR) 6.104-1(a)(1) – Identification of the agency and the contracting activity, and specific identification of the document as a “Justification for other than full and open competition.”

This document is a justification for other than full and open competition prepared by National Aeronautics and Space Administration (NASA) Kennedy Space Center (KSC). The procuring agency is NASA, and the contracting activity is Kennedy Space Center

(KSC).

2. FAR 6.104-1(a)(2) – The nature and/or description of the action being approved: This justification provides the rationale for contracting by other than full and open competition to award a sole source contract with United Rental for leasing a modular building (trailer) for the KSC construction management and corrosion control team to reside in and be able to respond to critical needs across the center.

3. FAR 6.104-1(a)(3) – A description of the supplies or services required, to meet the Agency’s needs (including the estimated value):

NASA has a need for leasing a modular building (trailer) for the KSC construction management and corrosion control team to reside in and be able to respond to critical needs across the center. The intent is to complete a Firm Fixed Price Purchase Order for the lease agreement for 12 months starting October 01, 2026, and end on September 30, 2026.

4. FAR 6.104-1(a)(4) – An identification of the statutory authority permitting other than full and open competition:

The statutory authority permitting other than full and open competition is 10 U.S.C. 3204(a) (2), as implemented by FAR 6.103–2.

5. FAR 6.104-1(a)(5) – A demonstration that the proposed contractor’s unique qualifications or the nature of the acquisition requires use of the authority cited:

The rationale supporting the use of 10 U.S.C. 3204(a) (1) is as described below.

Rev.: 4/2026

NASA is currently in the process of realigning their contract infrastructure with the Administration’s direction. As such the capability that previously provided access to this facility is being removed and the burden of providing this capability is falling to NASA on very short notice. Because of the fiscal year cut off, and an aggressive schedule that is currently being pursued for NASA to take ownership of multiple, previously contracted, capabilities, the Government is unable to secure a facility for the construction management and corrosion control team in a timeframe that would not leave them without facility access.

To ensure the critical Artemis III operations continue unhindered, it is in the Government’s best interest to absorb the lease of the current facility and retain the same building for the next fiscal year. At the end of the next fiscal year, it is the Government’s intent to compete this capability out on open market or set aside.

The CO has access to historical costs that have been paid for this facility, and based on those historical costs, the CO is able to provide sufficient confidence that the costs are controlled and fair and reasonable.

Should the Government not retain this facility there is a risk that the team that currently resides there will not be able to provide the critical support needed, which will impact on the Artemis III launch schedule. This team is currently providing launch damage refurbishment to the Launch Pad, and it is critical they continue to bring the pad back to standard, so the Artemis III mission is a success.

6. FAR 6.104-1(a)(6) – A description of the efforts made to ensure that offers are solicited from as many potential sources as practicable, including whether a notice was or will be publicized as required by Subpart 5.1 and, if not, which exception under 5.101 applies:

The contracting officer has determined in accordance with FAR 5.101(b)(1) that this action is exempt from the notice required in FAR 5.101, because unusual and compelling urgency precludes competition to the maximum extent practicable and the Government would be seriously injured if the agency complies with the publicizing and response time periods specified in FAR 5.101(d).

7. FAR 6.104-1(a)(7) – A determination by the contracting officer that the anticipated cost to the Government will be fair and reasonable:

The Contracting Officer’s signature on this document indicates that the Contracting Officer has determined that the anticipated cost to the government will be fair and reasonable. The Contractor must be required to submit a proposal to be evaluated and negotiated by the Government. Prior to execution of the contractual instrument, a proposal analysis will be performed. The proposal analysis will ensure that the final agreed-to price for the contract action is fair and reasonable.

8. FAR 6.104-1(a)(8) – Description of the market research conducted, and the results, or a statement of the reasons market research was not conducted (e.g., urgent, and compelling requirement):

Rev.: 4/2026

Market research indicates that a 12-month lease for a double-wide construction trailer is the most appropriate course at this time, since NASA cannot reliably forecast the requirement beyond the next fiscal year. The alternatives (new purchase or lease of a different unit) would require procurement lead time, site preparation, installation, and setup, causing unacceptable downtime. Retaining the existing modular building provides immediate, fully functional capability with no transition delay and preserves operational readiness.

9. FAR 6.104-1(a)(9) – Any other facts supporting the use of other than full and open competition:

N/A

10. FAR 6.104-1(a)(10) – A listing of the sources, if any, that expressed an interest in the acquisition in writing:

The contracting officer has determined in accordance with FAR 5.101(b)(1) that this action is exempt from the notice required in FAR 5.101, because unusual and compelling urgency precludes competition to the maximum extent practicable and the Government would be seriously injured if the agency complies with the publicizing and response time periods specified in FAR 5.101(d).

11. FAR 6.104-1(a)(11) – A statement of actions, if any, the agency may take to remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required:

The CO will continue to examine the market in the future for alternative solutions or new sources before executing any subsequent acquisitions for the same requirements.
