About this file

This is a Justification and Approval (J&A) document for the use of other than full and open competition for a sole source contract amendment by the United States Marine Corps Systems Command (MARCORSYSCOM).

The document authorizes an amendment to contract J&A #25,342.0 (approved June 6, 2025) to increase the contract value and procure up to an additional 350 Titan SV MPv3 systems from BlueHalo, along with associated ancillary items, spares, and support. The initial contract procured 84 Titan SV MPv3 systems with initial spares, New Equipment Training, and fielding support. The Titan SV MPv3 is a specialized counter-unmanned aerial system (O-CsUAS) that uses advanced sensors and signal processing algorithms for radiofrequency emissions monitoring and threat detection, designed for integration with surveillance platforms to support military, defense, and security operations. BlueHalo is identified as the only original equipment manufacturer and responsible source for this highly specialized system; no other sources satisfy agency requirements in a USON environment. The estimated total dollar value (inclusive of prior and new requirements) is redacted, with cost estimates presented in a redacted funding summary table. The statutory authority for sole source procurement is Title 10, U.S.C. § 3204(a)(1) (Only One Responsible Source) and Title 10, U.S.C. § 3204(a)(2) (Unusual and Compelling Urgency). A synopsis was posted on SAM.gov on March 17, 2025, allowing 15 calendar days for industry interest; no parties expressed interest. The Contracting Officer will ensure fair and reasonable pricing through analysis of certified cost and pricing data, previous procurements, and an Independent Government Cost Estimate. A future program of record for O-CsUAS is planned for Fiscal Year 2027 and will be procured through full and open competition as advanced non-kinetic defeat technologies mature.

J&A No. 25,342.1 would be able to procure both the 350 systems under this effort and the 84 systems previously procured at the same price as that offered by BlueHalo. Highly experienced PM GBAD personnel familiar with the cUAS marketplace uniformly find this outcome to be unlikely in the extreme.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance with FAR Part 10, the proposed contract was synopsized by posting Notice of Intent to Sole Source M67854-25-I-0104 on SAM.gov on 17 March 2025. The Program Office allowed industry 15 calendar days to express interest in this requirement. No parties expressed an interest in this requirement. No additional market research was conducted because of the compelling urgent need for this capability.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402, the Contracting Officer will ensure that supplies and services procured, as a result of this J&A, are at fair and reasonable prices. The contractor will be required to submit a formal proposal with certified cost and pricing data and sufficient information to support the accuracy and reliability of their estimate. An analysis of the proposal will be performed by technical analysts from PM GBAD and contract specialists, with the assistance of the Defense Contract Management Agency and Defense Contract Audit Agency, as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, and review the actual costs from previous procurements, if applicable. Furthermore, the Government will also utilize the PM GBAD Independent Government Cost Estimate as part of their evaluation. Award will only be made to the contractor if the negotiated pricing is found fair and reasonable based upon all available data.

8. Actions to Remove Barriers to Future Competition.

A program of record for O-CsUAS is planned to initiate in Fiscal Year 2027. The components of this future program will be procured through full and open competition as it is expected that advanced non-kinetic defeat technologies should be mature by this time.

For reasons set forth in Paragraph 5 above, PM GBAD has no plans to compete the Titan SV MPv3 systems at this time. If future procurements of the component described herein are necessary and if another potential source emerges, PM GBAD will assess whether competition for future requirements is feasible. Any future actions will be reviewed by PM GBAD to offer competition to the greatest extent possible.
